I-405/I-5 to SR-169 State 2 - Widening and SR-515 Interchange project, with the

stormwater facilities, and transfer of right-of-way operation, maintenance, and ownership
back to the City; and to adopt the related resolution.

SPECIAL PRESENTATION
a) Renton Reporter's 2015 FilmFrenzy People's Choice Award - Mitch Shepherd and Ben
Andrews from reelRenton, explained the mission of reelRenton and the purpose of the
FilmFrenzy competition. Additionally, they shared information about how the competition
works, the 21 film making teams this year, and the highly respected judges who participated
in the event. Brian Beckley from the Renton Reporter announced that this year's winner of

the 2015 Renton Reporter People's Choice Curvee Award goes to Long Tran for his film titled
"Camp Cedar River: Part 1." Mr. Tran accepted the award and thanked his crew and parents,
expressing appreciation for the award.
PUBLIC HEARINGS
a) Street Vacation Request: Portion of a Right-of-Way in the Vicinity of 300 Rainier Ave. N.
(Petitioner: City of Renton; VAC-15-003). This being the date set, and proper notices having
been posted and published in accordance with local and State laws, Mayor Pro Tem Prince
opened the public hearing to consider the petition to vacate a portion of a right-of-way
(ROW) in the vicinity of 300 Rainier Ave. N.; petitioner City of Renton.
Mapping Supervisor Amanda Askran reported that 100% of the abutting property owners
have signed the vacation petition. She relayed that the ROW is adjacent to the Renton Airport
and more specifically located on the proposed Aerospace Training Facility site, and that the
vacation will realign the irregular shaped ROW. She also specified that this request has been
reviewed and that it conforms to the scheduled street improvements for Rainier Ave. N.
Upon circulation of the petition to City departments and outside agencies, there were no
objections to the vacation. However, it was noted that Puget Sound Energy (PSE) has a
transformer located in the ROW; though the transformer is slated for removal during a
redevelopment project, the City, developer, or WMATI (Washington Manufacturing Advanced
Training Institute) will need to enter into a customer service agreement with PSE, and an
electrical easement will be required.
Senior Assistant City Attorney Fontes clarified that the staff recommendation is to approve
the vacation petition and refer the ordinance to vacate the ROW to first reading on next
week’s agenda under the condition that the property owner, developer, or WMATI enter into
a customer service agreement with PSE; and that the City will allow the transformer to remain
intact until the customer service agreement is executed or the transformer location is
redeveloped.
There were no audience comments.

RECOMMENDATION TO APPROVE THE VACATION PETITION AND PLACE THE
ORDINANCE TO VACATE THE RIGHT-OF-WAY FOR FIRST READING ON NEXT
WEEK'S AGENDA ON THE CONDITION THAT THE PROPERTY OWNER, DEVELOPER,
OR WMATI ENTER INTO A CUSTOMER SERVICE AGREEMENT WITH PSE. CARRIED.
b) 2016 School District Impact Fees. This being the date set and proper notices having been
posted and published in accordance with local and State laws, Mayor Pro Tem Prince opened
the public hearing to consider the collection of impact fees for the Issaquah, Kent, and Renton
School Districts.

Public Hearing Audience Comments: Ralph Fortunado, Director of Fiscal Services for Kent
School District, explained that the school impact fees were reduced in the Kent School District
because there are fewer families with children living in the newer multi-family units within the
Kent School District.

ADMINISTRATIVE REPORT
Chief Administrative Officer Jay Covington reviewed a written administrative report
summarizing the City’s recent progress towards goals and work programs adopted as part of
its business plan for 2015 and beyond. Items noted were:
The Governor’s Smart Communities Awards judges were asked to select the greatest
examples of successful planning over the past 25 years of the Growth Management Act
(GMA). Because the City of Renton has received the Governor’s Smart Communities
Award for multiple projects in 2012, 2013, 2014 and 2015 it was awarded the honor of a
lifetime achievement award. The Lifetime of GMA Achievement Award was presented at
the 25th Anniversary of the GMA reception on November 13, 2015.
Preventative street maintenance will continue to impact traffic and result in occasional
street closures.

AUDIENCE COMMENT
a) Howard McOmber, Renton, thanked everyone who assisted with the REACH Gala. He also let
Council know that the homeless children in the City of Renton are being provided shelter at
night through the services of REACH.
CONSENT AGENDA
Items listed on the consent agenda were adopted with one motion, following the listing.
a) Approval of the November 9, 2015 Council meeting minutes. Council Concur.
b) Mayor Law reappointed Robert Dempster (Primary Position - Aircraft Owners & Pilots
Association) to the Airport Advisory Committee for a term expiring on May 7, 2018. Council
Concur.
c) Mayor Law appointed Kelly Beymer as the new Community Services Administrator at step A
of salary grade m49, effective 1/1/2016. Council Concur.
d) City Attorney requested authorization to hire a Senior Assistant City Attorney at step D of
salary grade m42. Council Concur.
e) Community & Economic Development Department recommended approval of a Facade
Improvement Agreement to loan $200,000, from Community Development Block Grant
(CDBG) funds, to Cortona LLC, for the purposes of assisting with exterior improvements to
their property located at 724 S. 3rd St. Council Concur.
f) Community & Economic Development Department recommended approval to extend the
sunset clause to 12/31/2018 for accepting applications for the Multi-Family Housing Property
Tax Exemption Program. Refer to Planning & Development Committee.
g) Community & Economic Development Department recommended approval to extend the
sunset clause to 12/31/2018 for accepting applications for the Owner-Occupied and Rental
Housing Incentive Programs. Refer to Planning & Development Committee.
h) Community & Economic Development Department requested approval of an Exemption
Agreement for The Lofts at Second and Main project to receive a partial property tax
exemption upon completion. Refer to Planning & Development Committee.
i) Human Resources / Risk Management Department recommended approval of the 2016
Group Health Cooperative medical coverage contracts for LEOFF I retirees and all active
employees, in the total amount of $219,721. Council Concur.
j) Human Resources / Risk Management Department recommended approval of a contract in
the amount of $323,202 with Healthcare Management Administrators (HMA) and Envision Rx
for 2016 medical, dental, and prescription claims processing. Council Concur.
k) Transportation Systems Division recommended approval of an amendment to the Seaplane
Base Dredging & Shoreline Mitigation Project (CAG-12-008) in the amount of $55,330 to
extend the time of the project and changed the scope of work; the funding will be provided
via a transfer of $40,000 from the Airport ending fund balance. Refer to Transportation
(Aviation) Committee.

a) Finance Committee Vice-Chair Taylor presented a report recommending concurrence with the
staff recommendation to adopt an ordinance to approve impact fee collection changes and
Capital Facilities Plans for three school districts within the City of Renton as follows:
Collect the requested impact fee of $4,635, an increase of $75, for each new single-family
home and an impact fee of $1,534 for each multi-family unit, an increase of $76, on behalf of
the Issaquah School District; and
Collect the requested impact fee of $4,990, a decrease of $496, for each new single-family
home and $2,163, a decrease of $1,215, for each new multi-family unit on behalf of the Kent
School District; and
Collect the requested impact fee of $5,643, an increase of $102, for each new single-family
home and $1,385, an increase of $25, for each new multi-family unit on behalf of the Renton
School District.
Finally, the Committee recommended that an ordinance regarding this matter be prepared for
first reading. (See below for ordinance.)

b) Finance Committee Vice-Chair Taylor presented a report approving for payment on November
16, 2015 claims vouchers 342843 - 343126, five wire transfers and one payroll run with benefit
withholding payments totaling $6,715,360.62 and payroll vouchers including 752 direct deposits
and 56 payroll checks totaling $1,645,716.37.

c) Finance Committee Vice-Chair Taylor presented a report recommending concurrence in the staff
recommendation to grant the waiver requested for the following utility accounts:
1. Sewer and King County Metro related charges from a water leak at the service address of
2300 Benson Rd South, Bldg B (Account #06322-000), as presented for the total amount of
$13,250.38. The adjustment includes City Sewer ($4,736.16) and King County Metro
($8,514.22) charges above their normal usage.
2. Water, Sewer and King County Metro related charges from a water leak at the service
address of 151 Sunset Blvd N (Account #01736-000), as presented for the total amount of
$14,292.24. The adjustment includes City Water ($2,359.44), City Sewer ($4,230.72) and
King County Metro ($7,702.08) charges above their normal usage.

new multi-family in the Issaquah School District; setting the impact fee at $4,990 per new
single-family home and $2,163 per new multi-family home in the Kent School District; setting
the impact fee at $5,643 per new single-family home and $1,385 per new multi-family home
in the Renton School District; and adopting the capital facilities plans of the Issaquah, Kent,
and Renton School Districts.

The Washington State Department of Transportation (WSDOT) I-405/I-5 to SR 169 Stage 2 Widening and SR 515
Interchange Project began in 2008. An additional lane was constructed on I-405 in each direction between SR 167 and
SR 169. Benson Road South was reconstructed from south of City Hall over I-405. Talbot Road South was widened
between South Renton Village Place and South Puget Drive. A half-interchange was constructed at Talbot Road South.
The project was completed in 2011.
The city has negotiated the following agreements with WSDOT to assume ownership and responsibility of operation and
maintenance of portions of rights-of-way, landscaping and stormwater facilities that are related to the construction
project:

BACKGROUND:
The Washington State Department of Transportation I-405/I-5 to SR 169 Stage 2
Widening and SR 515 Interchange Project began in 2008. An additional lane was
constructed on I-405 in each direction between SR 167 and SR 169. Benson Road South
was reconstructed from south of City Hall over I-405. Talbot Road South was widened
between South Renton Village Place and South Puget Drive. A half-interchange was
constructed at Talbot Road South. The project was completed in 2011.
The state constructed improvements to Talbot Road South (SR-515) and South Renton
Village Place within limited access right-of-way. This agreement outlines operation and
maintenance activities by the city of two state-owned luminaires.
Additionally, the state reconstructed a portion of Benson Road South. To mitigate
stormwater impacts from improvements on street-owned limited access right-of-way,
the city allowed the state to treat runoff from city streets. The General Maintenance
Agreement Benson Road outlines maintenance responsibilities of the stormwater
facilities.
The city requested that the state include landscape strips along both sides of SR 515
located within state-owned limited access right-of-way. The state constructed the
required landscape strips as well as stormwater facilities as part of the project. The
General Maintenance Agreement for Maintenance of SR 515 Landscape Strips and
Stormwater Facilities outlines maintenance responsibilities and requirements for the
landscape strips and stormwater conveyance systems.
In 2008 WSDOT acquired under the provisions of RCW 47.52.210, the rights to the
portion of Benson Road South required to reconstruct this road in the I-405 Stage 2
project. The rights were acquired in order to also accommodate the I-405 Thunder Hills
Creek culvert replacement project.
Upon completion of the I-405 Stage 2 project and upon review by the state and the city,
this agreement transfers the Benson Road South right-of-way outside of I-405 limited
access back to city ownership, operation and maintenance.
The project was completed in 2012 and the agreements went through multiple reviews
between WSDOT and city staff.

6.3.3Ifanylitigation,claim,orauditiscommenced,therecordsandaccountsalongwithsupportingdocumentationshallberetaineduntilalllitigation,claim,orauditfindinghasbeenresolvedeventhoughsuchlitigation,claim,orauditcontinuespastthethree(3)yearretentionperiod.6.3.4IntheeventthatitisdeterminedthatanoverpaymenthasbeenmadetoeitherParty,thatPartymayinvoicetheotherPartyfortheamountofoverpayment.Paymentshallbemadeforverifiedandapprovedoverpaymentamountswithinthirty(30)calendardaysaftertheinvoiceisreceived.Ifpaymentisnotmadewithinforty-five(45)calendardaysaftertheverifiedandapprovedinvoicewasreceived,theoverpaymentamountmaybedeductedfromfutureinvoicepaymentsuntilsuchoverpaymentamountissatisfied.7.0RIGHTOFENTRY7.1TheSTATEgrantstheCITYarightofentryuponallSTATErightofwayand/orpropertyinwhichithasaninterest,forthepurposeofperformingallworkauthorizedunderthisAgreementandanySupplementsand/orAmendmentsthereto.7.2TheCITYgrantstheSTATEarightofentryuponallCITYrightofwayand/orpropertyinwhichithasaninterest,forthepurposeofperformingallworkauthorizedunderthisAgreementandanySupplementsand/orAmendmentsthereto.8.0TERMOFAGREEMENT/TERMINATION8.1ThetermofthisAgreementshallbeforuptoone(1)year,beginningontheParty’sdatelastsignedbelow,andendingonDecember31ofthatyear.ThisAgreementshallautomaticallyberenewedonacalendaryearbasisunlesspriorwrittennoticeofterminationisgivenbyeitherPartybytheprecedingNovember1ofanysuchyear.FailureofeitherPartytonotifytheotherofsuchterminationonorbeforeNovember1ofanysuchyearshallcausethisAgreementtoautomaticallyberenewedforthenextensuingcalendaryear.Thisprocessshallremainineffectforten(10)yearsandshallterminateonDecember31ofthe10thyear.ThePartiesmayextendthetermofthisAgreementbyamendment.8.2EithertheCITYortheSTATEmayterminatethisAgreementforanyreasonwithwrittennoticetotheotherPartyattheendofsixty(60)calendardaysfollowingreceiptofthewrittennotice.TerminationofthisAgreementshallconstituteterminationofallassociatedSupplementsand/orAmendments.UponsuchnoticeandexceptassetforthinSection10.0herein,theCITYand/ortheSTATEshallhavenofurtherresponsibilityofanykindornatureregardingtheluminairesidentifiedinthisAgreementownedbytheotherParty,includinganyluminairesthatwereaddedtothisAgreementbySupplementand/orAmendment.However,eachPartyshallberesponsiblefortheactualdirectandrelatedindirectcostsincurreduptothedateoftermination.9.0DISPUTES9.1IntheeventthatadisputearisesunderthisAgreementwhichcannotberesolvedbetweentheParties,thedisputeshallbesettledinthefollowingmanner:EachPartytoGM1557OperationandMaintenanceofLuminairesPage7of9AGENDA ITEM #7. c)
thisAgreementshallappointamembertoadisputeboard.ThememberssoappointedshalljointlyappointathirdmembertothedisputeboardwhoisnotemployedbyoraffiliatedinanymannerwiththetwoPartiestothisAgreement.Thethree-memberdisputeboardshallconductadisputeresolutionhearingthatshallbeinformalandunrecorded.Thedisputeboardshallevaluatethefacts,contractterms,andapplicablestatutesandrulesandmakeaproposeddeterminationonthedispute.TheCITYandtheSTATEshallequallyshareinthecostofthethirddisputeboardmember;however,eachPartyshallberesponsibleforitsowncostsandfees.10.0LEGALRELATIONS10.1ThePartiesshallprotect,defend,indemnify,andholdharmlesseachotherandtheiremployeesandauthorizedagents,whileactingwithinthescopeoftheiremploymentassuch,fromanyandallcosts,claims,judgments,and/orawardsofdamages(bothtopersonsand/orproperty),arisingoutof,orinanywayresultingfrom,eachParty’sobligationstobeperformedpursuanttotheprovisionsofthisAgreement.ThePartiesshallnotberequiredtoindemnify,defend,orholdharmlesstheotherPartyiftheclaim,suit,oractionforinjuries,death,ordamages(bothtopersonsand/orproperty)iscausedbythenegligentactsoromissionsoftheotherParty;providedthat,ifsuchclaims,suits,oractionsresultfromtheconcurrentnegligenceof(a)theSTATE,itsemployeesand/orauthorizedagentsand(b)theCITY,itsemployeesand/orauthorizedagents,orinvolvesthoseactionscoveredbyRCW4.24.115,theindemnityprovisionsprovidedhereinshallbevalidandenforceableonlytotheextentofthenegligenceofeachParty,itsemployeesand/orauthorizedagents.ThisindemnificationshallsurviveterminationofthisAgreement.10.2IntheeventthateitherPartydeemsitnecessarytoinstitutelegalactionorproceedingstoenforceanyrightorobligationunderthisAgreement,thePartiesheretoagreethatanysuchactionorproceedingsshallbebroughtinthesuperiorcourtsituatedinThurstonCounty,Washington.Further,thePartiesagreethateachPartywillbesolelyresponsibleforpaymentofitsownattorneysfees,witnessfees,andcosts.10.3Allclaimsbroughtwhichariseoutof,inconnectionwith,orincidenttotheworktobeperformedpursuanttothetermsofthisAgreementwillbeforwardedtotheappropriateDesignatedRepresentativeforinitialprocessing.Further,anysuchclaimsbelievedtobecausedbytheconcurrentorsolenegligenceoftheCITYwillbereturnedtotheCITY.AnysuchclaimsbelievedtobecausedbytheconcurrentorsolenegligenceoftheSTATEwillbeformallytenderedtotheOfficeofFinancialManagement’sRiskManagementDivisionforprocessingpursuanttoRCW4.92.100.GM1557OperationandMaintenanceofLuminairesPage8of9AGENDA ITEM #7. c)

4.3IntheeventtheCITYdoesnotcorrectadeficiencywithinthirty(30)calendardaysofreceiptoftheSTATE’swrittennotice,orwithintheapprovedextensionoftimeasprovidedinSection4.2,theSTATE,initssolediscretion,mayperformthedeficientmaintenance,oralterorremovethestormwaterdrainagefacilitiesorlandscapingcoveredbythisAgreement.4.4IntheeventtheCITYdoesnotcorrectadeficiencyandtheSTATEelectstoalterorremovethestormwaterdrainagefacilitiesorlandscapingcoveredbythisAgreement,theCITYagreestopayallcostsofSTATE-performedworkinaccordancewithSection6.0.TheCITY’sresponsibilityforsaidcostsshallbelimitedtothecostofremovingandreplacingwithstandardSTATEitemsthefeatureslistedinSections2.1&2.2.5.0EMERGENCYMAINTENANCEANDOPERATION5.1ShouldtheSTATEidentifyaconditioninthoseareasofCITYmaintenanceresponsibilitywithintheMaintenanceAreaonExhibitAwhichmaycauseadangertothetravelingpublicorstate-ownedhighwayrightofway,warrantingemergencymaintenance,theSTATEwillimmediatelynotifytheCITY’sRepresentativelistedinSection1.6.2,orsuchofficial’sfunctionalsuccessor,andrequesttheCITYtoimmediatelyaddressthemaintenanceproblem.5.2UponSTATEnotificationpursuanttoSection5.1,andintheeventthatCITYforcesarenotavailabletoperformemergencymaintenanceoriftheSTATEdeterminesthattimedoesnotallow,theSTATEreservestherighttoperformtheemergencymaintenance,atCITYexpense,totheextentnecessarytopreservethesafetyofthetravelingpublicandtopreventdamagetostatehighwayrightofway.5.3ShouldtheCITYidentifyaconditioninthoseareasofSTATEmaintenanceresponsibilitywithintheMaintenanceAreaonExhibitBwhichmaycauseadangertothetravelingpublicorcity-ownedstreetrightofway,warrantingemergencymaintenance,theCITYwillimmediatelynotifytheSTATE’sRepresentativelistedinSection1.6.1,orsuchofficial’sfunctionalsuccessor,andrequesttheSTATEtoimmediatelyaddressthemaintenanceproblem.5.4UponCITYnotificationpursuanttoSection5.3,andintheeventthatSTATEforcesarenotavailabletoperformemergencymaintenanceoriftheCITYdeterminesthattimedoesnotallow,theCITYreservestherighttoperformtheemergencymaintenance,atSTATEexpense,totheextentnecessarytopreservethesafetyofthetravelingpublicandtopreventdamagetocitystreetrightofway.6.0PAYMENTS6.1ShouldtheSTATEfinditnecessarytoperformCITYmaintenanceactivitieswithintheMaintenanceAreaonExhibitAundertheconditionsdescribedinSections4.0or5.0above,theCITYagreestoreimbursetheSTATEfor100%oftheactualdirectandrelatedindirectcosts.6.2Paymentsshallbemadewithinthirty(30)calendardaysaftertheCITYreceivesadetailedinvoicefromtheSTATE.Invoicesandpaymentsarenottobemorefrequentthanone(1)permonth.GM1558GeneralMaintenanceAgreementforBensonRoadPage4of8AGENDA ITEM #7. c)
6.3ShouldtheCITYfailtomakepaymenttotheSTATEasprovidedherein,theCITYauthorizesandagreesthattheSTATEmaywithholdanymoneystowhichtheCITYisentitledtoreceivefromtheMotorVehicleFundandexpendsuchmoneysuntiltheCITY’sobligationsarepaidinaccordancewithRCW47.24.050.6.4ShouldtheCITYfinditnecessarytoperformSTATEmaintenanceactivitieswithintheMaintenanceAreaonExhibitBundertheconditionsdescribedinSections4.0or5.0above,theSTATEagreestoreimbursetheCITYfor100%oftheactualdirectandrelatedindirectcosts.6.5Paymentsshallbemadewithinthirty(30)calendardaysaftertheSTATEreceivesadetailedinvoicefromtheCITY.Invoicesandpaymentsarenottobemorefrequentthanone(1)permonth.7.0BETTERMENTSANDIMPROVEMENTS7.1ImprovementsmadebytheCITYtoBensonRoadwithinLimitedAccesswillbecoordinatedwiththeSTATEandcompletedunderaseparateagreementbetweentheCITYandtheSTATE.DesignofsaidimprovementsshallbeinaccordancewiththecurrentguidanceintheSTATEDesignManual(M22-01),asamended.7.2IntheeventthatwideningorotherhighwayimprovementsarecontemplatedbytheSTATEthatwillimpacttheMaintenanceAreaonExhibitA,theSTATEwillreviewtheimpactsofthewideningorimprovementwiththeCITY.8.0RIGHTOFENTRY8.1TheSTATEherebygrantstotheCITYanditsauthorizedagents,contractors,subcontractors,andemployees,arightofentryupontheLimitedAccess,subjecttothetermsofSection8.2,forthepurposeofmaintenance,asrequiredbythisAgreement.8.2TheSTATE’srightofentrygranttotheCITYpursuanttoSection8.1mayrequireadditionalconditions,forexample,atrafficcontrolplanwillberequirediftheCITY’sworkwillimpactinterstatehighwaytraffic.Therefore,theCITYagreestocontacttheSTATE’sRepresentativelistedinSection1.6.1,orsuchofficial’sfunctionalsuccessor,todeterminewhetheratrafficcontrolplanisrequired.ThegrantingofthisrightofentryinSection8.1doesnotrelievetheCITYfromtheneedtoobtainanyrequiredpermitsthatmaybenecessarytoconductthemaintenanceasrequiredinthisAgreement.9.0INDEPENDENTCONTACTOR9.1BothPartiesshallbedeemedanindependentcontractorforallpurposes,andtheemployeesofeachPartyoranyofitscontractors,subcontractors,consultants,andtheemployeesthereof,shallnotinanymannerbedeemedtobeemployeesoftheotherParty.10.0INDEMNIFICATIONANDHOLDHARMLESS10.1EachPartyshallprotect,defend,indemnify,andholdharmlesstheotherParty,itsofficers,officials,employees,andagents,whileactingwithinthescopeoftheirGM1558GeneralMaintenanceAgreementforBensonRoadPage5of8AGENDA ITEM #7. c)
employmentassuch,fromanyandallcosts,claims,judgments,and/orawardsofdamages(bothtopersonsand/orproperty),arisingoutof,orinanywayresultingfromthemaintenanceworkconductedpursuanttotheprovisionsoftheAgreement.NoPartywillberequiredtoindemnify,defend,orholdharmlesstheotherPartyiftheclaim,suit,oractionforinjuries,death,ordamages(bothtopersonsand/orproperty)iscausedbythesolenegligenceoftheotherParty.Wheresuchclaims,suits,oractionsresultfromtheconcurrentnegligenceofbothParties,orinvolvesthoseactionscoveredbyRCW4.24.115,theindemnityprovisionsprovidedhereinshallbevalidandenforceableonlytotheextentofeachParty’soritsoffices’,officials’,employee’,andagents’ownnegligence10.2ThePartiesagreethattheirobligationsunderthisSectionextendtoanyclaim,demand,and/orcauseofactionbroughtby,oronbehalfof,anyoftheiremployeesoragentswhileperformingmaintenanceworkwithintheMaintenanceAreasonExhibitsAandB,asappropriate.Forthispurpose,theParties,bymutualnegotiation,herebywaive,withrespecttotheotherPartyonly,anyimmunitythatwouldotherwisebeavailableagainstsuchclaimsundertheIndustrialInsuranceprovisionsofchapter51.12RCW.10.3ThisindemnificationandwaivershallsurvivetheterminationofthisAgreement.11.0SEVERABILITY11.1Ifanysection,term,orprovisionofthisAgreement,oranysection,term,orprovisionofanydocumentincorporatedbyreference,shallbeheldinvalid,suchinvalidityshallnotaffecttheothersections,terms,orprovisionsofthisAgreementthatcanbegiveneffectwithouttheinvalidsection,term,orprovision,ifsuchremainderconformstotherequirementsofapplicablelawandthefundamentalpurposeofthisAgreement,andtothisendtheprovisionsofthisAgreementaredeclaredtobeseverable.12.0AMENDMENTANDASSIGNMENT12.1ThisAgreementmaybeamendedormodifiedonlybythemutualagreementoftheParties.SuchamendmentsormodificationshallnotbebindingunlesstheyareinwritingandsignedbypersonsauthorizedtobindeachoftheParties.12.2NeitherPartytothisAgreementshalltransferorassignanyrightorobligationhereunderwithoutpriorwrittenconsentoftheotherParty.13.0EFFECTIVENESSANDDURATION13.1ThetermofthisAgreementiseffectiveuponexecutionbybothPartiesandwillcontinuetobeinfullforceandeffect,unlessterminatedpursuanttoSection15.0.14.0DISPUTERESOLUTION14.1TheDesignatedRepresentativesidentifiedinSection1.6shallusetheirbesteffortstoresolvedisputesandissuesarisingoutof,orrelatedtothisAgreement.TheDesignatedRepresentativesshallcommunicate,asneeded,todiscussthetaskstobeperformedhereunderandtoresolveanyissuesordisputesrelatedtosuccessfulperformanceofthisAgreement.TheDesignatedRepresentativesshallcooperateinprovidingstaffGM1558GeneralMaintenanceAgreementforBensonRoadPage6of8AGENDA ITEM #7. c)
supporttofacilitatetheperformanceofthisAgreementandtheresolutionofanyissuesordisputesrelatedtothisAgreement.14.2AParty’sDesignatedRepresentativeshallnotifytheotherParty’sDesignatedRepresentativeinwritingofanyproblemordisputethattheDesignatedRepresentativebelievesrequiresformalresolutionaccordingtothedisputeresolutionsprovisionsofthisAgreement.TheDesignatedRepresentativesshallmeetwithinfive(5)workingdaysofreceivingthewrittennoticesandattempttoresolvethedispute.14.3IntheeventtheDesignatedRepresentativescannotresolvethedispute,theMayoroftheCITYandtheSTATERegionalAdministrator,ortheirrespectivedesignees,shallmeetandengageingoodfaithnegotiationstoresolvethedispute.14.4IntheeventtheprocessdescribedinSections14.1through14.3doesnotresolvethedispute,theSTATEandtheCITYshallappointamembertoadisputeboard.ThesetwomembersshalljointlyappointathirdmembertothedisputeboardwhoisnotaffiliatedinanymannerwiththetwoPartiestothisAgreement.Thethree-memberdisputeboardshallconductadisputeresolutionhearingthatshallbeinformalandunrecorded.Thedisputeboardshallevaluatethefacts,contractterms,andapplicablestatutesandrulesandmakeadeterminationonthedispute.TheCITYandtheSTATEshallequallyshareinthecostofthethirddisputeboardmember;however,eachPartyshallberesponsibleforitsowncostsandfees.14.5Anattemptatsuchdisputeresolutionincompliancewithaforesaidprocessesshallbeaprerequisitetothefilingofanylitigationconcerningthedispute.ThePartiesagreethattheyshallhavenorighttoseekreliefunderthisAgreementinacourtoflawuntilandunlesseachoftheseproceduralstepsisexhausted.15MTERMINATION15.1ThisAgreementmaybeterminatedbyeitherPartywithsixty(60)calendardayswrittennotice,onlyifmutuallyagreedtoinwritingandsignedbypersonsauthorizedtobindeachoftheParties.15.2Upontermination,thestormwaterdrainagefacilitiesandthelandscapingwithinLimitedAccessidentifiedasCITYmaintenanceresponsibilitiesshallreverttoSTATEresponsibilityandshallbemaintainedasdeterminedsolelybytheSTATE.TheSTATE,initssolediscretionmayremove,alter,orotherwisemodifythesestormwaterdrainagefacilitiesand/orlandscapingfeatures.15.3AnyterminationofthisAgreementshallnotprejudiceanyrightsorobligationsaccruedtotheSTATEand/ortheCITYpriortotermination.16.0VENUEANDATTORNEYFEES16.1IntheeventthateitherPartydeemsitnecessarytoinstitutelegalactionorproceedingstoenforceanyrightorobligationunderthisAgreement,thePartiesheretoagreethatanysuchactionorproceedingsshallbebroughtinthesuperiorcourtsituatedinThurstonCounty,Washington.ThePartiesshallberesponsiblefortheirownattorneyandwitnessfeesandcosts.GM1558GeneralMaintenanceAgreementforBensonRoadPage7of8AGENDA ITEM #7. c)

7.0RIGHTOFENTRY7.1TheSTATEherebygrantstotheCITYanditsauthorizedagents,contractors,subcontractors,andemployees,arightofentryupontheSTATE’srightofway,subjecttothetermsofSection7.2,forthepurposeofmaintenanceandoperation,asrequiredbythisAgreement.7.2ThegrantingofthisrightofentrytotheCITYpursuanttoSection7.1doesnotrelievetheCITYfromtheneedtoobtainanyrequiredpermitsthatmaybenecessarytoperformmaintenance,operationorworkasrequiredinthisAgreement.7.3TheCITYherebygrantstotheSTATEarightofentryupontheCITY’srightofwayforthepurposeofmaintenance,asrequiredbythisAgreement.8.0INDEPENDENTCONTACTOR8.1TheCITYshallbedeemedanindependentcontractorforallpurposes,andtheemployeesoftheCITYoranyofitscontractors,subcontractors,consultants,andtheemployeesthereof,shallnotinanymannerbedeemedtobeemployeesoftheSTATE.9.0INDEMNIFICATIONANDHOLDHARMLESS9.1Totheextentauthorizedbylaw,eachPartytothisAgreementshallprotect,defend,indemnify,andholdharmlesstheotherParty,itsofficers,officials,employees,andagents,whileactingwithinthescopeoftheiremploymentassuch,fromanyandallcosts,claims,judgments,and/orawardsofdamages(bothtopersonsand/orproperty),arisingoutof,orinanywayresultingfrom,eachParty’snegligentactsoromissionswithrespecttoitsactionsundertheprovisionsofthisAgreement.NoPartywillberequiredtoindemnify,defend,orholdharmlesstheotherPartyiftheclaim,suit,oractionforinjuries,death,ordamages(bothtopersonsand/orproperty)iscausedbythesolenegligenceoftheotherParty,itsofficers,officials,employees,andagents,whileactingwithinthescopeoftheiremploymentassuch.Wheresuchclaims,suits,oractionsresultfromtheconcurrentnegligenceoftheParties,orinvolvesthoseactionscoveredbyRCW4.24.115,theindemnityprovisionsprovidedhereinshallbevalidandenforceableonlytotheextentofeachParty’soritsoffices’,officials’,employee’,andagents’ownnegligentactsoromissions.9.2TheCITYagreesthatitsobligationsunderthisSectionextendtoanyclaim,demand,and/orcauseofactionbroughtby,oronbehalfof,anyCITYemployeesoragentswhileperformingLandscapeStrips,StormwaterConveyance,andIrrigationSystemoperationandmaintenanceidentifiedonExhibitsA,BandC,asappropriate.Forthispurpose,theCITY,bymutualnegotiation,herebywaives,withrespecttotheSTATEonly,anyimmunitythatwouldotherwisebeavailableagainstsuchclaimsundertheIndustrialInsuranceprovisionsofchapter51.12RCW.9.3ThisindemnificationandwaivershallsurvivetheterminationofthisAgreement.GM1513GeneralMaintenanceAgreementforSR515Page6of9AGENDA ITEM #7. c)
10.0SEVERABILITY10.1Ifanysection,term,orprovisionofthisAgreement,oranysection,term,orprovisionofanydocumentincorporatedbyreference,shallbeheldinvalid,suchinvalidityshallnotaffecttheothersections,terms,orprovisionsofthisAgreementthatcanbegiveneffectwithouttheinvalidsection,term,orprovision,ifsuchremainderconformstotherequirementsofapplicablelawandthefundamentalpurposeofthisAgreement,andtothisendtheprovisionsofthisAgreementaredeclaredtobeseverable.11.0AMENDMENT11.1EitherPartymayrequestmodificationstothisAgreement.11.2NovariationoralterationofthetermsofthisAgreementshallbevalidunlessmadeinwritingandsignedbyauthorizedrepresentativesofthePartieshereto.12.0ALLWRITINGSCONTAINEDHEREIN12.1ThisAgreementcontainsallthetermsandconditionsagreeduponbythePartiestothisAgreement.Nootherunderstanding,oralorotherwise,regardingthesubjectmatterofthisAgreementshallbedeemedtoexistortobindeitherofthePartieshereto.13.0GOVERNANCE13.1ThisAgreementisenteredintopursuantto,andundertheauthoritygrantedby,thelawsoftheStateofWashingtonandapplicablefederallaws.13.2TheprovisionsofthisAgreementshallbeconstruedtoconformtotheselaws.14.0EFFECTIVENESSANDDURATION14.1ThetermofthisAgreementshallbeginonthelastdateenteredbelowandcontinuetobeinfullforceandeffectuntilsuchtimeeitherPartyprovideswrittennoticeofterminationtotheotherPartypursuanttoSection16.15.0DISPUTES15.1IntheeventthatadisputearisesundertheprovisionsofthisAgreement,theCITYandtheSTATEagreetoworkquicklyandcollaborativelytodeterminearesolutionusingthefollowingguidelinesatthelowestorganizationallevel.15.2Theprocesstoinformallyresolvetheissueshallproceedinthefollowingorder:15.2.1TheCITY’sCommunityServicesAdministratorandtheSTATE’sNorthwestRegionArea4MaintenanceSuperintendentshalljointlycooperatetoresolveanydisputeasquicklyandefficientlyaspossible.15.3Ifunresolved,eitherPartymayterminatethisAgreementpursuanttoSection16,TERMINATION.GM1513GeneralMaintenanceAgreementforSR515Page7of9AGENDA ITEM #7. c)
16.0TERMINATION16.1EitherPartymayterminatethisAgreementforanyreasonwithsixty(60)calendardayspriorwrittennotice,onlyifmutuallyagreedtoinwritingandsignedbypersonsauthorizedtobindeachoftheParties.16.2Upontermination,theCITYshallhavenofurtherresponsibilityofanykindornatureregardingtheLandscapeStripswithinstate-ownedlimitedaccessrightofwayatthelocationsshowninExhibitA.16.3UponterminationofthisAgreement,theSTATEwillterminatetheutilitypermitorfranchisedescribedinSection3.2.4.TerminationoftheutilitypermitorfranchisewillrequiretheCITYtodisconnectthewater,removethewaterconnection,removethewaterpipefromstate-ownedlimitedaccessrightofway,andcaptheirrigationpipes.-16.4Upontermination,thosefeatureswithinstate-ownedlimitedaccessrightofwayidentifiedasCITYmaintenanceresponsibilitiesshallreverttoSTATEresponsibilityandmaybemaintainedasdeterminedsolelybytheSTATE.16.4.1Theelectricalserviceassociatedwiththeirrigationsystemshallbedisconnected.16.4.2TheSTATEshallhavenofurtherobligationtomaintaintheLandscapeStripsorirrigationsystem.16.4.3TheSTATE,initssolediscretion,mayremoveallplantingswithintheLandscapeStrips.17.0VENUE17.1IntheeventthateitherPartydeemsitnecessarytoinstitutelegalactionorproceedingstoenforceanyrightorobligationunderthisAgreement,thePartiesheretoagreethatanysuchactionorproceedingsshallbebroughtinthesuperiorcourtsituatedinThurstonCounty,Washington.ThePartiesshallberesponsiblefortheirownattorneyandwitnessfeesandcosts.GM1513GeneralMaintenanceAgreementforSR515Page8of9AGENDA ITEM #7. c)

RESOLUTION NO. _______
A RESOLUTION OF THE CITY OF RENTON, WASHINGTON, AUTHORIZING THE
MAYOR AND CITY CLERK TO ENTER INTO FOUR (4) INTERLOCAL AGREEMENTS
WITH WSDOT REGARDING THE I‐405/I‐5 TO SR‐169 STAGE 2 WIDENING AND
SR‐515 INTERCHANGE PROJECT.
WHEREAS, the City and the Washington State Department of Transportation (WSDOT)
are authorized, pursuant to RCW Chapter 39.34, the Interlocal Cooperation Act, to enter into
interlocal government cooperative agreements; and
WHEREAS, the WSDOT I‐405/I‐5 to SR 169 Stage 2 ‐ Widening and SR‐515 Interchange
project began in 2008; and
WHEREAS, WSDOT constructed improvements to SR‐515 (Talbot Road South) and South
Renton Village Place, within limited access right‐of‐way, including two (2) state‐owned
luminaries to be maintained by the City; and
WHEREAS, WSDOT reconstructed a portion of Benson Road to mitigate stormwater
impacts from improvements on state‐owned limited access right‐of‐way, and the City allowed
WSDOT to treat runoff from City streets; and
WHEREAS, the City requested and WSDOT constructed landscape strips along both sides
of SR‐515 (Talbot Road South) along with stormwater facilities as part of the project; and
WHEREAS, WSDOT acquired the rights to a portion of Benson Road in order to
reconstruct it as part of the I‐405 Stage 2 project; and
WHEREAS, upon completion of the I‐405 Stage 2 project, the rights to that certain
portion of Benson Road shall be transferred back to the City; and

WHEREAS, it is necessary to document the terms and conditions of the operation and
maintenance of the two (2) state‐owned luminaries; the maintenance of the various landscape
strips and stormwater facilities; and the ownership, operation and maintenance of the Benson

RESOLVE AS FOLLOWS:
SECTION I. The above recitals are found to be true and correct in all respects.
SECTION II. The Mayor and City Clerk are hereby authorized to enter into the
following four (4) interlocal agreements with WSDOT:
1. City and State Operation and Maintenance of State‐Owned and City‐Owned
Luminaires;
2. General Maintenance Agreement Benson Road;
3. General Maintenance Agreement for Maintenance of SR‐515 Landscape Strips
and Stormwater Facilities; and
4. Turnback Agreement (Construction Completed),
and all subsequent addenda, amendments, supplements and/or future agreements regarding
these projects that do not materially change the terms of the agreement and are without
budget parameters.

ORDINANCE NO. ________
AN ORDINANCE OF THE CITY OF RENTON, WASHINGTON, VACATING A
PORTION OF RIGHT‐OF‐WAY IN THE VICINITY OF 300 RAINIER AVENUE NORTH
(VAC 15‐003).
WHEREAS, a proper petition for vacating a portion of right‐of‐way in the vicinity of 300
Rainier Avenue North, was filed with the City Clerk on or about September 18, 2015, and that
petition was signed by 100% of the owners of the property abutting upon the portion of right‐of‐
way to be vacated; and
WHEREAS, the City Council, by Resolution No. 4266, passed on October 26, 2015, set
the 16th day of November, 2015, at the hour of 7:00 p.m. in the City Council Chambers of the
City of Renton as the time and place for a public hearing on this matter; and the City Clerk
having given proper notice of this hearing as provided by law, and all persons having been
heard who appeared to testify in favor or in opposition on this matter, and the City Council
having considered all information and arguments presented to it; and
WHEREAS, the Administrator of the Public Works Department has considered this
petition for vacation, and has found it to be in the public interest and for the public benefit, and
that no injury or damage to any person or properties will result from this vacation;
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF RENTON, WASHINGTON, DOES
ORDAIN AS FOLLOWS:
SECTION I. The following described portion of right‐of‐way in the vicinity of 300
Rainier Avenue North to wit:

is hereby vacated.
SECTION II. As this is a City of Renton initiated street vacation, the City Council

days after publication.
A certified copy of this ordinance shall be filed with the King County Recorder’s Office,
and as otherwise provided by law.
