HomeMy WebLinkAboutL_Articles of Incorporation_230101_V1ARTICLES OF INCORPORATION OF GRANT PLACE TOWNHOMES HOMEOWNERS ASSOCIATION– PAGE 1 OF 3 ARTICLES OF INCORPORATION OF GRANT PLACE TOWNHOMES ASSOCIATION KNOW ALL MEN BY THESE PRESENTS: That the undersigned, APEX ENTERPRISES GROUP, LLC, a Washington limited liability company, for purposes of forming a corporation under the Washington Non-profit Corporation Act, R.C.W. 24.03 et seq, hereby certifies and adopts the following Articles of Incorporation. I. NAME OF CORPORATION: The name of the corporation shall be GRANT PLACE TOWNHOMES HOMEOWNERS ASSOCITION. II. DURATION: The period of duration of this Corporation shall be perpetual. III. PURPOSE: The general nature of the business of the Corporation and the objects and purposes to be proposed to be transacted, promoted and carried on by it, are as follows: 1. Management and operation of nonprofit homeowners association under the Washington Uniform Common Interest Ownership Act, Chapter 64.90 RCW. PROVIDED, HOWEVER, that nothing herein contained shall be deemed to authorize or permit the Corporation to carry on any business, to exercise any power to do any act which a corporation formed under the Washington Nonprofit Act of the State of Washington, or any amendment thereto, or substitute therefore, may not at any time lawfully carry on or do. The foregoing clauses of this Article III shall each be construed as purposes and powers and the matters expressed in each clause shall be in no way limited or restricted by reference to or inference from the terms of any other clauses, but shall be regarded as independent purposes and powers; and nothing contained in these clauses shall be deemed in any way to limit or exclude any power, right or privilege given to this Corporation by law or otherwise. IV. REGISTERED OFFICE AND AGENT: ARTICLES OF INCORPORATION OF GRANT PLACE TOWNHOMES HOMEOWNERS ASSOCIATION– PAGE 2 OF 3 1. The location of the registered office of the Corporat ion in this state shall be Andy Chang, 5218 76th Avenue Ct. W, University Place, WA 98467. 2. The registered agent of the Corporation shall be Andy Chang whose address is 5218 76th Avenue Ct. W, University Place, WA 98467. V. DIRECTORS: The number of directors of this Corporation shall be fixed as provided in the Bylaws, and may be changed from time to time, amending the Bylaws as therein provided . During the period of Declarant control, there may be one (1) director. After termination of Declarant Control, the number of directors shall not be less than three (3). VI. FIRST DIRECTORS: The first directors of this Corporation shall be one (1) in number and the name and post office address is as follows: Andy Chang 5218 76th Avenue Ct. W University Place, WA 98467 The first directors shall serve until their successors are elected and qualified. VII. CONTRACTS IN WHICH DIRECTORS HAVE INTEREST: No contracts or other transactions between the Corporation and any other corporation, and no act of the Corporation shall in any way be affected or invalidated by the fact that any of the directors in the Corporation are pecuniarily or otherwise interested in, or are directors or officers of, such other Corporation, and; Any director individually, or any firm of which any director may be a member, may be a party to, or may be pecuniarily or otherwise interested in, any contracts or transactions of the Corporation, provided that the fact that he or such firm is so interested shall be disclosed or shall have been known to the Board of Directors or a majority thereof. VIII. AMENDMENTS: The Corporation reserves the right to amend, alter, change or repeal any provision contained in these Articles of Incorporation, in the manner now or hereafter prescribed by law, and all rights and powers conferred herein on members and directors are subject to this reserve power. IX. ARTICLES OF INCORPORATION OF GRANT PLACE TOWNHOMES HOMEOWNERS ASSOCIATION– PAGE 3 OF 3 INCORPORATORS: The name and post office address of the incorporator is: Andy Chang 5218 76th Avenue Ct. W University Place, WA 98467 X. CONSENT TO APPOINTMENT AS REGISTERED AGENT: I, ANDY CHANG, hereby consent to serve as Registered Agent, in the State of Washington, for GRANT PLACE TOWNHOMES ASSOCIATION. I understand that as agent for the Corporation, it will be my responsibility to receive service of process in the name of the Corporation; to forward all mail to the Corporation; and to immediately notify the office of the Secretary of State in the event of my resignation, or of any changes in the registered office address of the corporation for which I am agent. DISTRIBUTION UPON DISSOLUTION: In the event that the corporation is dissolved, the net assets of the Corporation are to be distributed to the owners of the GRANT PLACE TOWNHOMES ASSOCIATION as more fully provided in the governing documents.
