Home My WebLink AboutS_Maintenance and Defect Agreement Signed C21004931_20230920_V1CITYOFRENTONIPERMITCENTERMAINTENANCEANDDEFECTAGREEMENT(TWOYEARS)FORPUBLICROADS,PUBLICANDPRIVATELANDSCAPING,DRAINAGEFACILITIESANDOTHERPUBLICIMPROVEMENTSThisagreementismadeandenteredintothis___ _ _dayoff)fti74,2Q3betweentheCityofRenton,hereinaftercalledtheCITY,andtheabovenamedapplicant,hereinaftercalledAPPLICANT.BASISFORAGREEMENTWHEREAS,theundersignedAPPLICANThasconstructedpublicroads,publicandprivatelandscaping,drainagefacilitiesand/orotherpublicimprovementstobedeededtotheCITYinconnectionwiththeabove-referencedproject;andWHEREAS,theAPPLICANThasagreedtosecurethesuccessfulmaintenanceandoperationofsaidimprovementsforthereferencedprojectpursuanttoRMC4-6-030andRMC9-10-5.NOWTHEREFORE,theAPPLICANTherebyagreesandbindsitselfanditslegalrepresentatives,successors,andassignsasfollows:TERMSOFTHEAGREEMENT1.TheimprovementsconstructedbytheAPPLICANTorhisrepresentativeshallsuccessfullyoperateandshallremainfreeofdefectsindesign,workmanship,andmaterialsforaperiodoftwo(2)yearsfromthedateofsatisfactorycompletionoftheimprovementsorfinalplatapproval,whicheverislater.AsusedinthisAGREEMENT,theterm“defects”includesbutisnotlimitedto,damageresultingfromconstructionactivitiesand/oruseduringthetwo(2)yearperiod.2.TheAPPLICANTisresponsibleformaintenanceofthepublicroad,publicandprivatelandscaping,drainagefacilitiesandotherpublicimprovements,includingtheroadwaysurfaceforthetwo(2)yearperiodfromthedateofsatisfactoryconstructionapprovalorfinalplatapproval,whicheverislater.3.Intheeventofanyfailureoftheimprovementstosatisfactorilyoperateorintheeventofadefectindesign,workmanship,ormaterials,theAPPLICANTshallpromptlyandadequatelyrepairand/orcorrectthefailureordefect.4.TheCITYwillperformmaintenanceinspectionsduringthetwo(2)yearperiod.5.Duringthetwo(2)yearperioduponnotificationbytheCITY,theAPPLICANTshallcorrectand/ormakerepairstothetight-of-wayimprovementswithinthetimeperiodspecifiedbytheCITYwhendefectsinthedesign,workmanship,ormaterialsoccur.6.IntheeventtheCITYdeterminesthatrepairsmustbeperformedimmediatelytopreventrisktoperson(s)andproperty,theCITYmaymakenecessaryrepairsandthecostsofthoserepairsshallbepaidbytheAPPLICANTupondemand.7.TheAPPLICANTshallpayallrequiredfeesinaccordancewithRentonMunicipalCode.APPLICANT’SNAME:StraightArrowHomesLLCMAILINGADDRESS:PDBox3946,Bellevue,WA98009PHONE:425-443-5458PROJECTNO./PERMITNO.:C21004931PROJECTNAME:910N31stStfrontageSITELOCATION:910N31stStGUARANTEEDEPOSITAMOUNT:$2,702.24rentonwa.gov/permitcenterIdevelopmentengineering@rentonwa.govI425-430-72402/24/2023IPage1of2 SURETY—MAINTENANCEANDDEFECTAGREEMENT8.Attheendofthetwo(2)yearperiod,theAPPLICANTshallcleanthedrainagefacilitiespriortotheCITY’sfinalnspection.9.If,attheconclusionofthetwo(2)yearperiod,theCITY,atitssolediscretion,determinestheimprovementsarenotadequatelymaintained,theAPPLICANTshallperformpromptmaintenancetotheCITY’ssatisfaction.IntheeventthismaintenanceisnotperformedwithinthetimeperiodspecifiedbytheCITY,theCITYwillinvoketheenforcementprocessesfoundinRMCChapter1-3.10.AnyfailurebytheAPPLICANTtocomplywiththetermsofthisAGREEMENTinatimelymannershallconstitutedefault.AnyactionorinactionbytheCITYfollowinganydefaultinanytermorconditionofthisAGREEMENTshallnotbedeemedtowaiveanyrightsoftheCITYpursuanttothisAGREEMENT.11.TheAPPLICANTshallindemnifyandholdtheCITYanditsagents,employeesand/orofficersharmlessfromandshalldefendatitsownexpenseallclaims,damages,suitsatlaworequity,actions,penalties,losses,orcostsofwhatsoeverkindornature,broughtagainsttheCITYfornegligencearisingoutof,inconnectionwith,orincidenttotheexecutionofthisAGREEMENTand/ortheAPPLICANT’sperformanceorfailuretoperformanyaspectoftheAGREEMENT.Provided,however,thatifsuchclaimsarecausedbyorresultfromconcurrentnegligenceoftheAPPLICANTandtheCITY,itsagents,employeesand/oroffices,thisprovisionshallbevalidandenforceableonlytotheextentofthenegligenceoftheAPPLICANT,andprovidedfurther,thatnothinghereinshallrequiretheAPPLICANTtoholdharmlessordefendtheCITYfromanyclaimarisingfromthesolenegligenceoftheCITY’sagents,employeesand/orofficers.12.IntheeventthatanypartdeemsitnecessarytoinstitutelegalactionorproceedingstoenforceanyrightorobligationunderthisAGREEMENT,thepartiesheretoagreethatanysuchactionorproceedingshallbebroughtinacourtofcompetentjurisdictionsituatedinKingCounty,Washington.13.TheAPPLICANTisgrantedtherighttoaccessCITYright-of-way,tracts,andeasementsdedicatedtotheCITYforthepurposeofperformingworkrequiredbythisMaintenanceandDefectAgreementuntiltheAGREEMENTisreleased.ReleaseRequirements:ThisAGREEMENTshallremaininforceandeffectandshallnotbereleaseduntilalltermsofthisAGREEMENThavebeencompletedtothesatisfactionoftheCITY.INWITNESSTHEREOF,thepartiesheretohaveexecutedthisAGREEMENTasofthedayandyearfirstabovewritten.APPLICANT:toi7t(PrintName)ignature)(Date)rentonwa.gov/permitcenterIdevelopmentengineering@rentonwa.govI425-430-72402/24/2023IPage2of2
