As part of the construction, we will be installing side sewer stubs from the sewer main to your property line. The City has designed side sewer stub locations for each property. However, the City is offering property owners the opportunity to choose where they would prefer their side sewer to be located. Therefore, the City is supplying each property owner with this stake to indicate where they want the stub to be located. Please place this stake in your yard to help us install your side sewer in the location you would prefer. Try to place your stake in a location that will keep your side sewer at least 10 feet from your water meter (see drawing below). We will endeavor to place the side sewer stub as close to your stake as possible. However, other buried utilities may not allow this. Please remember, we are only installing the side sewer to your property line so place the stake in a location that will be convenient for you if you decide to connect your house at a later date. After your sewer stub has been installed, the contractor will place a white 2x4 board in the ground to mark the end of the sewer stub. Obviously, they all know it's a required form and ignorance of the form becomes a moot point. 2) Your Table of Contents list the forms included in the contract documents and specifies those which are required to be submitted at the time of bid opening. The triple form is inclusive by it's reference. 3) The final paragraph on your Table of Contents makes it clear that the marked items must be included and EXECUTED and that ALL PAGES MUST BE SIGNED. 4) Your Instructions to Bidders, item 416, states that the contract will be awarded to the lowest, responsible, responsive bidder. Partial bids will not be accepted. 5) In your Instructions to Bidders, item #23, under bidders responsibility, you note that it is the bidders responsibility to ensure that all the documents listed are included in their copy of the bid specifications and it is their sole responsibility to obtain missing documents. The first bullet item at the end of this section notes that all the documents required under "submit with bid" are included. 6) There are three columns on your bid tabulation form that you hand out to bidders at the time of the opening. The first item in the left column is the "triple form". This indicates to me that, even ahead of the bid bond and price, that the triple form is a prevailing document. 7) It has been our experience that the City of Renton has always required the triple form in their bid packages and I cannot recall any bids, in which we have participated, where a triple form was not considered a requirement for a "responsive" bid. A few years ago one of our bids was summarily rejected due to the absence of this form. It is our opinion that the exclusion of the signed and notarized "triple form", whether or not included and unsigned, by the apparent low bidder, results in a "incomplete bid", which is specifically prohibited by specification. This is not an informality that can be waived or overlooked and I doubt that the City wants to establish this kind of precedent for future bids. Public works projects are a very competitive business and, as a result, we (contractors) depend on the fairness and consistency of the Owners when we submit our bids. Mistakes are understandable, but not necessarily forgivable. I can assure you that each bidder has, at one time or another, been in a similar circumstance and we all have to live with and accept the reality, and the ultimate consequences, of our mistakes. Washington Law Requires Rejection of Non-Responsive Bids. Washington courts have developed a body of law around the concept of bid responsiveness as framework for reaching the goals of public procurement by competitive bidding, these rules were announced in Gostovich v. West Richland, 75 Wn.2d 583, 587, 452 P.2d 737 (1969). A responsive bid is defined as a bid that meets the material terms of the invitation in all material respects, Schnitzer, Government Contract Bidding, 11A (3d ed. 1987). A public agency is required to reject any bid that is non-responsive (i.e., the agency must reject any bid which varies materially from the bid invitations terms. Gostovich, Supra; AAB Elec. v. Stevenson Public Sch. Dist., 5 Wn.App. 887, 889, 491 P.2d 684 (1971). By requiring the award of a public contract to conform to the bid invitation, the responsively rule assures the public agency and tax payers that: (1) the agency is procuring construction at the lowest cost; (2) public monies are being distributed in a fair forum, and the potential for fraud or favoritism is alleviated; and (3) monies awarded under the contract would be spent for the intended purpose of the contract. Gostovich at 587. If there are material irregularities in the bidding process, the public works entity should not accept the offensive bid. Goodman Enjoyed a Material Advantage Over Other Bidders And Therefore Its Bid Is Non-Responsive and It Must,As A Matter Of Law, Be Rejected. A public works entity, may, waive an irregularity as an informality in the bidding, if the irregularity is not material. The test of whether a variance is material . . . "is whether it gives a bidder a substantial advantage or benefit not enjoyed by other bidders." Gostovich v. West Richland, 75 Wn.2d 583, 587, 452 P.2d 737 (1969). If a bidder is in a position that it can accept or reject a contract, the bidder has gained a substantial advantage not enjoyed by other bidders, and its bid should be rejected. AAB Elec. v. Stevenson Public Sch. Dist., 5 Wn.App. 887, 890, 491 P.2d 684 (1971). In AAB Elec. v. Stevenson Public Sch. Dist., the court stated, a contractor submitting an unsigned bid would be in the position after bid opening, and after it had seen the other bidder's prices, of deciding whether to (1) sign its bid; or(2)walk away from the contract. Since this opportunity for"two bites at the apple" is not available to other bidders, the bidder submitting the unsigned bid had a substantial advantage over the other bidders, and the irregularity was material, requiring rejection of the bid. The City of Renton Invitation for Proposal (IFP), in the "Bidder's Checklist" lists the"*Combined Affidavit and Certificate Form (See Exhibit 1) as a mandatory bid document. The Checklist specifically reads as follows: Documents marked as follows [with an asterisk"*Submit with Bid"] must be submitted at the time noted and must be executed by the Contractor, President, Vice President or Secretary if corporation by-laws permit. All pages must be signed. (Emphasis added). Goodman omitted to execute the Combined Affidavit and Certificate Form. That omission makes Goodman's bid non-responsive. The City's Combined Affidavit and Certificate Form required prospective bidders to, among others, swear that the person who submitted the bid is indeed the person signing the bid and that it is not submitted as a"sham" and that no collusion has taken place in the bidding process, further, and most importantly, the bidder certifies that the bidder will pay all workers in accordance with the Washington Prevailing Wage Statute. Goodman, by omitting the required Combined Affidavit and Certificate Form, that the City of Renton's IFP required to be executed and submitted with the bid at the time of bid opening, is now in the enviable position of being able to look at other bids and now submit the missing Affidavit or simply walk away from the contract. Goodman is being offered"two bites of the apple", an opportunity not granted the other bidders. Perhaps the non-collusion affidavit arguably could be cured after the fact, although, if Goodman submitted the proposal under a fictitious name or collusively by not executing the Affidavit, Goodman could probably get out of its bid with impunity. The Prevailing Wage Affidavit omission, however, is significantly more acute in terms of material irregularity. Goodman could bid the work by submitting a figure, and then, when bids are opened and Goodman had seen the other bidder's prices, could then decide, because Goodman did not execute the Prevailing Wage Affidavit, to simply walk away from the contract by asserting its price was not based on payment of prevailing wages. That is a material irregularity and that irregularity cannot be waived. If bidding contractors realize the integrity of the City of Renton's bidding system as secondary to price, it will cost the City of Renton significantly in the long run. Many contractors, who would otherwise bid, knowing that the City of Renton's determination of the low responsive bidder is not a fair one, will refrain from submitting prices. Only when there is fair and open competition in public works contracting, is the City or Renton assured of its best value. This is an issue of extreme importance, not only to Pivetta, but also to all contractors who submit bids on City of Renton procurements. There were 13 companies that submitted bids. The low bidder, as well as three others, neglected to sign the "Combined Affidavit and Certification form: Non-Collusion, Anti-Trust, and Minimum Wage (Non-Federal Aid)". The second low bidder did sign and submit this form as part of their bid proposal. The "Combined Affidavit and Certification form: Non-Collusion, Anti-Trust, and Minimum Wage(Non-Federal Aid)"form was transposed with another page in all of the specification books and therefore was not located in the place indicated by the Table of Contents. The Table of Contents does indicate that this form is to be submitted with the bid. The "Instuctions to Bidders", Section 23, also indicates what must be submitted with the bid. I have included a copy of the project specification book with the appropriate pages marked for your review. I have also included a copy of the 1996 WSDOT Standard Specifications page (this is the version currently adopted by the City of Renton) that pertains to the Noncollusion Declaration. This specification seems to require the Noncollusion form be submitted as part of the bid proposal in paragraph 2, however,paragraph 3 seems to indicate that by signing the proposal,the bidder is deemed to have signed the Noncollusion Declaration. Due to the confusing language in the WSDOT Standard Specifications, it is not unreasonable to expect a legal challenge to be filed by the Low Bidder if we do not award the project to them or by the Second Low Bidder if we do not award to them.
