RECITALS 1 . 1 The City of Renton (the "City") is an optional municipal code city of the State of Washington. The City has responsibility for, among other things, the regulation of development through its shoreline, land use, building and other codes, and the management of its parks, streets and municipal utilities within its jurisdiction. 1.2 King County (the "County") is a political subdivision of the State of Washington and a "Home Rule" Charter county created pursuant to Article 11, Section 4 of the Washington Constitution. Pursuant to a public vote, the County assumed the rights, powers and obligations of the former Municipality of Metropolitan Seattle ("METRO") effective January 1, 1994 . As a result, the County now performs the function of water pollution abatement pursuant to RCW 35 . 58 . 050 (1) . 1 . 3 By Resolution No. 23, adopted April 22, 1959 the former METRO Council adopted a Comprehensive Sewage Disposal Plan for the Seattle-King County Metropolitan area. In accordance with the authority granted by RCW 35 . 58 . 200, this plan as been re- designated the Comprehensive Water Pollution Abatement Plan. The Comprehensive Water Pollution Abatement Plan has been supplemented and amended from time to time. 1 . 4 The County is responsible for constructing and operating all regional wastewater conveyance facilities in King County. 1. 5 In order to restore capacity in the Eastside Interceptor Section 1, the County must construct a new 72-inch diameter bypass pipeline from the intersection of Burnett Avenue South and Houser Way South, along Houser Way South to the intersection of Morris Avenue South, along Morris Avenue South to the intersection of South 7tn Street, all in the City of Renton. 1 . 6 With the support of County funding, the City wishes to undertake certain mitigation and neighborhood projects described herein as full and complete mitigation for any adverse impacts associated with the County' s contemplated improvements to the Eastside Interceptor Section 1 . 1 . 7 The City is willing to design, construct, operate and maintain the mitigation and neighborhood projects, provided they are funded by the County as set forth herein. In addition to its funding commitments regarding the City' s mitigation and neighborhood projects, the County is willing to design, construct, operate and maintain an upgraded Eastside Interceptor Section 1 as set forth herein. 1 . 8 As a second primary purpose of this Agreement, therefore, the County and the City agree to work collaboratively to resolve 11/08/00 2 MOA Renton rev 100600.doc all City permitting and approval requirements in order to expedite the construction of the contemplated improvements to the Eastside Interceptor Section 1 . In particular, the City agrees to expedite to the fullest degree possible in complying with all state and local laws including SEPA, the processing of all City permits and approvals associated with the Eastside Interceptor Section 1 Capacity Restoration Project. 1. 9 Execution of this Agreement has been duly authorized by the the City and the County. SECTION 2 . DEFINITIONS For purposes of this Agreement, the terms underlined below shall have the following meanings: 2 . 1 Agreement - this Agreement. 2 .2 City — the City of Renton, Washington, a municipal corporation and an optional municipal code city of the State of Washington. 2. 3 Administrator (City of Renton Planning/Building/Public Works Administrator) or his/her designee - that individual or his/her designated representative (s) responsible for coordinating and facilitating City personnel, private contractors and consultants, and financing matters in connection with the City' s Mitigation and Neighborhood Projects and for overseeing City land use and regulatory 11/08/00 3 MOA Renton rev 100600.doc approval processes related to the County' s Eastside Interceptor Section 1 Capacity Restoration Project. 2 . 4 City Project Manager - that individual or his/her designated representative (s) appointed by the Administrator to carry out the specific project-related responsibilities set forth in this Agreement. 2 . 5 Compensate or Compensation - the County' s activities to design, fund, construct, own, operate, maintain or manage or take actions to offset impacts associated with the Eastside Interceptor Section 1 Capacity Restoration Project by replacing, enhancing or providing substitute resources or environments, as allowed under WAC 197-11-768 (5) and which meets the following: — Mitigate or fund mitigation projects related to the direct and indirect impacts of construction and operation of the Project; — Compensate for unavoidable impacts on residential neighborhoods, private property and the urban environment associated with the Project; — Direct mitigation toward actions taken; — Relate the cost of mitigating measures to the impacts; — Where possible foster coincident benefits with other projects; and 11/08/00 4 MOA Renton rev 100600.doc Base mitigation on facility performance and site characteristics, and not on a uniform technology-based standard. 2 . 6 County - King County, Washington, a political subdivision of the State of Washington and Home Rule Charter county created pursuant to Article 11, Section 4 of the Washington Constitution. 2 . 7 County Project Manager - that individual appointed by the Manager of the Wastewater Treatment Division, King County Department of Natural Resources to carry out coordinating responsibilities as set forth in this Agreement . 2 . 8 Disbursement - any moneys transferred to the City by the County pursuant to this Agreement. 2 . 9 Disbursement Date - any date on which the County pays Disbursements to the City. 2 . 10 Implement or Implementation -- activities to plan, design, fund, construct, own, operate, maintain, mitigate or otherwise manage or take action to carry out Mitigation and Neighborhood Project or the Eastside Interceptor Section 1 Project. 2 . 11 Include or Including - including but not limited to. 2 . 12 Initial Disbursement - the first Disbursement under this Agreement. 2 . 13 Initial Disbursement Date - the date of the Initial Disbursement. 11/08/00 5 MOA Renton rev 100600.doc 2 . 14 Mitigation and Neighborhood Projects - projects designed and constructed by the City and financed in whole or part with King County funds under Section 4 of this Agreement . 2 . 16 Permitting, Permit Review, Permit Processing - the procedures or process of analyzing or deciding upon any license, permit, approval or concurrence by the City with respect to the System Improvement Projects. 2 . 17 Project Managers - the City Project Manager and the County Project Manager. 2 . 18 Project Schedule - the schedule recognized by the City and County for permitting and constructing the System Improvement Projects . SECTION 3. PERMITTING AND CONSTRUCTION OF FACILITIES 3. 1 Eastside Interceptor Section 1 Project Schedule. As set forth in Exhibit A-1, the County' s permitting work for the project began in August 2000 and is scheduled to be completed by January 2001 . The City agrees to use its best efforts to assist the County in meeting the Project Schedule for the Eastside Interceptor Section 1 Project. The SEPA checklist and determination for this project is attached as Exhibit A- 2 . 3. 2 The City shall in good faith exercise its best efforts, including the use of all legal and practicable means, to facilitate and not hinder the County' s ability to begin and complete construction and implementation of the Eastside 11/08/00 6 MOA Renton rev 100600.doc Interceptor Section 1 Project in accordance with their respective Projects Schedule, including the following: (a) To use its best efforts to expeditiously process all project permits required from the City to allow timely commencement of site preparation work in accordance with applicable Project Schedules; (b) Ensuring that City review of all County permit applications is timely completed and that notices for all public hearings are timely issued; (c) Devoting staff time and other resources reasonably necessary to process permits as described in subsection (b) above; (d) Supporting the mitigation measures described herein before the public and other regulatory agencies reviewing and approving the mitigation measures, and not recommending or seeking additional mitigation or compensation in connection with the Eastside Interceptor Section 1 Project; (e) Acknowledging that the mitigation measures described herein are adequate to mitigate all environmental impacts associated with the Eastside Interceptor Section 1 Project and that no additional mitigation is necessary or appropriate; 11/08/00 7 MOA Renton rev 100600.doc (f) Assisting the County in avoiding or defending any appeals of Eastside Interceptor Section 1 Project permits or other approvals required for the Project; and (g) Agreeing not to encourage other individuals or entities to oppose, appeal, or otherwise delay the beginning of construction work being scheduled. 3. 3 The County will take reasonable steps to secure its necessary permits and approvals, including timely submission of related applications. SECTION 4 . MITIGATION AND COMPENSATION 4 . 1 General . In consideration for (a) adverse construction and other impacts on the City of Renton associated with the Eastside Interceptor Section 1 Project; and (b) the City' s best efforts to expeditiously process all necessary City of Renton permits and approvals associated with the Project, the County shall pay Disbursements to the City to support the design and construction of the Mitigation and Neighborhood Projects in accordance with subsections 4 . 2, 4 . 3, 4 . 4, 4 . 5, and 4 . 6 below. Payment for the review of land use applications associated with the County' s Eastside Interceptor Section 1 Project, including all permit review and processing services provided by the City, shall be paid pursuant to a City Ordinance No. 4 .2 County Funding in Support of Mitigation and Neighborhood Projects . The County shall fund $ in support of City 11/08/00 8 MOA Renton rev 100600.doc designed and constructed Mitigation and Neighborhood Projects in accordance with the terms and conditions of this Agreement. Such Projects shall consist primarily of community improvements within the City designed to mitigate impacts on the City of Renton associated with the County' s Eastside Interceptor Section 1 Project. Subject to subsection 4 . 6 below, the County shall pay to the City one Disbursement as follows: -- Within 30 days of the City' s issuance of permits necessary for the County to begin construction of the Eastside Interceptor Section 1 Project - $ 4 .3 City Funding of Storm Sewer and Water Line Work Along Morris Avenue South. The City shall reimburse the County for associated engineering and construction costs for the storm sewer and water line work along Morris Avenue South in accordance with the terms and conditions of this agreement. Subject to subsection 4 . 6 below, the City shall pay the County the following Disbursements : - all associated engineering costs within 30 days after the Notice to Proceed of construction of the Eastside Interceptor Section 1 Project. These costs shall include the Design Consultant' s costs related to the storm sewer and water line work during design. - All associated construction costs 30 days after the Substantial Completion of the construction of the Eastside Interceptor Section 1 Project. These costs include the Contractor' s costs, Design Consultant' s costs, and Construction Management Consultant' s costs related to the storm sewer and water line work during construction. 4 .4 Waterline Extension Work. In consideration for limiting construction impacts to the local neighborhood, the County will install a waterline extension under the Burlington Northern Santa Fe railroad tracks at the intersection of Houser Way South and Morris Avenue South. The County will pay for all design, permitting, 11/08/00 9 MOA Renton rev 100600.doc and construction costs for this work. The City agrees to provide technical support for this portion of work 4 . 5 Storm Sewer/Water Line Work along Morris Avenue South. In consideration for limiting construction impacts to the local neighborhood, the County will install a new 12 inch to 18 inch storm sewer line along Morris Avenue South from Houser way South to South 7th Streetand a new 12 inch water line along Morris Avenue South from South 5th Street to South 7th Street. The City agrees to reimburse the County for all costs associated with engineering and construction of the new storm sewer and water line. The City will provide technical assistance during the design process. King County staff time will not be reimbursed by the City. 4 . 6 Conditions of Payment. It shall be a condition precedent to any Disbursement or County expenditure of funds under subsection 4 . 2, 4 . 3, 4 . 4, and 4 . 5 above that the County has received all City permits necessary to proceed with construction (provided that King County and the City have taken reasonable steps to secure such permits) . If the City permits are appealed, the Disbursement will not occur until all such appeals have been resolved, allowing construction to begin. SECTION 5. RESPONSIBILITIES 5 . 1 City Responsibilities . The City shall have full responsibility for design, permitting, construction, operation and maintenance of the Mitigation and Neighborhood Project improvements . (a) The City shall be responsible for the following project related activities in connection with Mitigation and Neighborhood Projects : 11/08/00 10 MOA Renton rev 100600.doc 1 . Performing all aspects of project design. 2 . Obtaining all necessary permits . 3. Performing all aspects of construction. 4 . Providing final acceptance of all facilities from the construction contractor. 5 . Operating and maintaining all facilities . (b) The City shall also provide the County with progress reports according to the following schedule: 1 . Annual progress report 2 . Provide annual reports for seven years from the date of the agreement. (c) Ownership of all facilities constructed under this section shall be with the City; all operation and maintenance responsibilities and costs shall similarly be the obligation of the City. (d) The City shall assume all liability for the design, construction, operation and maintenance of all facilities constructed under this section. 5 . 2 County Responsibilities . The County shall: (a) Submit to the City all notices from the County of award of a contract for the construction of the Eastside Interceptor Section 1 Project. SECTION 6. CITY USE OF DISBURSEMENTS 6. 1 Conditions of Disbursement . Subject to the conditions established by subsection 4 . 2, the Disbursement to the City shall be conditioned upon compliance by the City with the terms of this Agreement and the issuance of a Notice to 11/08/00 11 MOA Renton rev 100600.doc Proceed to a Contractor for construction and implementation by the County of the Eastside Interceptor Section 1 Project . 6. 2 Maximum Disbursement Amount . In no event shall the total amount of Disbursement to the City pursuant to this Agreement exceed $ for the Mitigation and Neighborhood Projects. In no event shall the total amount of Disbursement to the County pursuant to this Agreement exceed $ for the Storm Sewer and Water Line. 6. 3 City Expenditure of Disbursement. The City shall deposit, invest, and expend all moneys received from the County pursuant to this Agreement consistent with the terms of this Agreement. Subject to subsection 6. 4, the City agrees to the following: (a) The money shall be expended for public purposes on capital improvements to, or acquisition of, real property. (b) During construction of all Mitigation and Neighborhood Projects, the City will include the County as a funding source for any project for which the City would provide signing. (c) Mitigation and Neighborhood Projects acquired, developed, constructed or improved by the City in whole or in part from Disbursement made pursuant to this 11/08/00 12 MOA Renton rev 100600.doc Agreement shall not be transferred or conveyed except by the City' s standard method. (d) All Disbursements received by the City and interest thereon shall be expended solely on the Mitigation and Neighborhood Projects contemplated by this Agreement. (e) The City shall invest all Disbursements pending expenditure. Investment earnings on such moneys shall be applied to uses permitted for Disbursements under this Agreement. 6. 4 Permanent Maintenance Fund. Notwithstanding subsection 6. 3 (a) , the City may set aside up to 0 of Disbursements in a permanent trust fund. Interest earned on moneys invested in this trust fund shall be used for operation and maintenance of the capital improvements constructed with Disbursements . Moneys in the fund shall be invested in a manner that permits interest income thereon to be spent regularly for such purposes. The Disbursements contributed to the fund shall be retained therein as a permanent source of income for maintenance and operation of such capital improvements . 6. 5 Annual Reports. The City shall submit Annual Reports to the County. The first Annual Report shall be submitted on or before the first anniversary of the Disbursement Date. Subsequent Annual Reports shall be submitted not later than the anniversary each year of the Disbursement Date, and 11/08/00 13 MOA Renton rev 100600.doc continuing until all funds subject to this Agreement have been expended. Each Annual Report shall include: (a) An accounting for any Disbursement received during the prior years including the amount of funds expended within that year, total funds expended to date, interest accrued, and a list of project for which funds were expended. Expenditure reports shall establish that all Disbursements have been expended in the manner contemplated by this Agreement. SECTION 7 . ALLOCATION AND ASSIGNMENT OF RESPONSIBILITIES 7 . 1 Common Overall Responsibilities . The County' s Wastewater Treatment Division Manager and the Administrator shall: (a) Serve as the point of contact and liaison during Mitigation and Neighborhood Project and Eastside Interceptor Section 1 Project implementation (to each agency and to other governmental agencies) . This responsibility may be delegated to other staff members of each agency for particular functions or purposes by mutual consent of the Administrator and the County' s Wastewater Treatment Division Manager. This responsibility does not abridge statutory or certain permit issuance responsibilities of other City officials, boards or commissions . (b) Use collaborative problem solving and negotiation 11/08/00 14 MOA Renton rev 100600.doc techniques to review and attempt to resolve perceived conflicts that cannot be resolved by the Project Managers . (c) Review and revise, as necessary, the Project Schedules contained in Exhibit 7 . 2 Common Project Manager Responsibilities . The County Project Manager shall have responsibility for the Eastside Interceptor Section 1 Project. The City Project Manager shall have responsibility for the Mitigation and Neighborhood Projects. The Project Managers shall: (a) Provide each other, within a reasonable amount of time, with current and necessary information as requested that pertains to their respective responsibilities under the Agreement, in order to expedite review. (b) Use collaborative problem solving and negotiation techniques to identify and attempt to resolve issues related to implementation of all Projects contemplated under this Agreement. (c) Convene meetings as necessary with the County Wastewater Treatment Division Manager and the Administrator to discuss substantive issues, the project schedules, and activities related to the design, construction and implementation of all Projects contemplated under this Agreement. 11/08/00 15 MOA Renton rev 100600.doc (d) Meet with the City and County technical, interagency and citizen advisory committees and other interested persons as needed to carry out the purposes of this Agreement . (e) Be given, upon request, reasonable opportunities to brief the City Council and/or County Executive and County Council on the status of all Projects contemplated under this Agreement. (f) The City Project Manager shall coordinate and facilitate plans and permit processing by the City so as to expedite the City' s review and approval of any plans, reviews, and permits related to the Eastside Interceptor Section 1 Project . SECTION 8 . DISPUTE RESOLUTION 8 . 1 Resolution of Disputes by Project Managers . The Project Managers shall use their best efforts to resolve disputes and issues arising out of or related to the Projects contemplated under this Agreement. 8 . 2 Resolution of Disputes by County Wastewater Treatment Division Manager and Administrator. In the event that disputes cannot be resolved by Project Managers the County Wastewater Treatment Division Manager and Administrator will apply their best efforts to resolve disputes and other matters between the County and the City arising out of or related to the Projects contemplated by this Agreement. Each will consult with responsible agency staff members and 11/08/00 16 MOA Renton rev 100600.doc officials regarding existing requirements or other policies and procedures before attempting to resolve disputes . 8 . 3 Resolution of Disputes by Administrator and County Executive. If the Wastewater Treatment Division and Administrator are unable to resolve a matter within fifteen (15) days of the time such matter is properly referred to them, the City Mayor and County Executive shall be asked to resolve the dispute, subject to applicable statutory permit requirements, policies or procedures. In the event of an emergency, either Manager may (after notifying the other Manager) refer a Project- related dispute immediately to the City Mayor and Executive for resolution. The City Mayor and Executive may call upon their staff for assistance. 8 . 4 Exhaustion of Procedural Steps. The County and the City agree to exhaust each of these procedural steps before seeking to resolve disputes in formal mediation, arbitration or court of law or other tribunal, except to the extent that these procedures may conflict with formal administrative appeal procedures. SECTION 9. INDEMNIFICATION; TERM OF AGREEMENT 9. 1 Indemnification. To the maximum extent permitted by applicable law, the City and the County shall each protect, indemnify, defend and hold harmless the other, respectively, including its employees, agents, contractors, subcontractors, officers, directors, attorneys, successors and assigns, from and 11/08/00 17 MOA Renton rev 100600.doc against any and all liabilities, damages, claims, demands, judgments, losses, harm, costs, expenses, suits or actions, including but not limited to appeals, caused by the negligent acts or omissions of the indemnifying party, including its agents, employees, contractors, subcontractors, officers, directors, attorneys, successors or assigns, arising out of or in connection with or as a result of this Agreement or the performance by the indemnifying party of any of its obligations hereunder. 9. 2 Term. This Agreement shall be effective commencing on the first date when it has been duly authorized and executed by both the County and the City. Except as otherwise specifically provided herein, this Agreement shall expire upon the completion of all Projects contemplated hereunder; provided that the Agreement may be terminated at an earlier or later date by mutual written agreement of the Parties . SECTION 10 . MISCELLANEOUS 10. 1 Notices to King County. All written notices required under this Agreement shall be deemed received three (3) business days after the day they were mailed, or eight (8) regular business hours after they were sent out for hand delivery to the addressee. Transmitted and confirmed delivery of written notices via telephone facsimile, while expediting reviews and 11/08/00 19 MOA Renton rev 100600.doc possible responses, will not be considered official notification. 10 . 4 Assignment . This Agreement may not be assigned by either party without the prior written consent or the other party. 10. 5 Relationship of the Parties. Nothing in this Agreement is intended to create a partnership or constitute a joint venture between the City and the County. No party to this Agreement shall have any responsibility to perform services or to assume contractual obligations which are the obligation of the other party. Nothing herein shall make either party an agent or representative of the other party, or create any fiduciary relationship between them. 10 . 6 Waiver. Unless otherwise specifically provided by the terms of this Agreement, no delay or failure to exercise a right resulting from any breach of this Agreement shall impair such right or shall be construed to be a waiver thereof, but such right may be exercised from time to time and as often as may be deemed expedient. Any waiver shall be in writing and signed by the party granting such waiver. If any representation, warranty or covenant contained in this Agreement is breached by either party and thereafter waived by the other party, such waiver shall be limited to the particular breach so waived and shall not be deemed to waive any other breach under this Agreement. 11/08/00 20 MOA Renton rev 100600.doc 10 . 7 Effect of Recitals . The recitals set forth in Section 1 above are a material part of this Agreement and are fully incorporated in its terms. 10. 8 Section Captions, References . The section headings and captions contained herein are included for convenience only and shall not be considered a part hereof or affect in any manner the construction or interpretation hereof. Except as otherwise indicated, all references herein to sections and subsections are to sections and subsections of this Agreement . 10 . 9 Severability. In the event that any provision of this Agreement shall, for any reason, be determined to be invalid, illegal or unenforceable in any respect, the parties hereto shall negotiate in good faith and agree to such amendments, modifications or supplements of or to this Agreement or such other actions as shall, to the maximum extent practicable in light of such determination, implement and give effect to the intentions of the parties as reflected herein. The other provisions of this Agreement shall remain in full force and effect. 10. 10 Amendment . This document may not be amended except by a written agreement signed by the parties . 10. 11 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of 11/08/00 21 MOA Renton rev 100600.doc Washington. The venue for any actions hereunder shall be the King County Superior Court. 10. 12 No Other Agreements . All negotiations, proposals and agreements prior to the date of this Agreement with respect to the subject matter hereof are merged herein and superseded hereby. 10 . 13 Limitation of Liability. The obligations of the County under this Agreement are payable solely from King County' s Water Quality Operating Account . This Agreement is not intended as, nor shall it be construed as, a debt or general obligation of King County. The execution or performance of this Agreement shall not impose any personal liability on any member, officers employee, agent, advisor, or consultant of either the County or the City. 10. 14 Successors and Assigns . This Agreement shall be binding on both parties and their successors and assigns . 10 . 15 Execution of Documents. This Agreement may be executed in duplicate originals, and any such duplicate original shall be regarded for all purposes as an original and all of which shall constitute but one and the same instrument. 10. 16 No Third-Party Beneficiaries . In promising performance to one another under this Agreement, the Parties intend to create binding legal obligations to and rights of enforcement in (i) one another, and (ii) one anther' s permitted assignees or successors in interest . The parties have not created for any third party any right to enforce this Agreement. He stated there is a concern by the local residents and the City of Renton regarding starting the construction during the Holiday Season. The NTP date was a surprise and FCCC felt that an agreement could be reached that would be acceptable to the Contractor and the County. This would promote a spirit of cooperation to start this project. • Don passed out a DRAFT construction schedule. Handout `B" (Included with this Packet). • Don reviewed his draft construction schedule that had a start date of Jan. 2, 2002 and showed one month of float at the end of the job. He stated on several occasions that the constraints that were placed in the contract were going to make the job difficult to complete in the given widows of time for the various stages of work. He highlighted the street closure requirements of 8 months for the Intermediate Access Shaft and the 4 and 5 month street closures for the Bifurcation and Junction Structures. Preconstruction Conference Meeting Minutes—Page 1 of 4 • Don stated that he would like to take the time from now until the NTP, if it is extended to after the holidays, to get submittals in and approved. He placed emphasis on the amount of time that was needed to get submittals approved. • Don was asked about the possibility of completing the potholing before the holidays. He responded that it would be difficult to get the traffic control permits from the City of Renton. The potholing operation will cause a mess and an inconvenience to the local residence. • Kayren Kittrick from the City of Renton stated that she was not concerned with the disruption that the potholing operation would create with the local residents. • Don reminded her that the potholing required deep excavations. Coordination and Communication—Scott Clemons • Communication: all correspondence is to be addressed to Glen Hiraki and sent to the ESI field office (Address is shown on the initial handout from Glen Hiraki). • Project Hours: the constraints to the work hours are stated in the contract and it is important that these constraints are adhered. • Traffic: traffic control plans must be approved by the City of Renton as well as the coordination of street closures. • Permits: the CMC will continually be reviewing the conditions of the various permits and verify that they are being adhered to. • Inspection and Testing: the CMC will be coordinating all of the inspection and testing of the work. We will have onsite inspection at all times as well as scheduling of the testing lab for concrete and soils, etc. • Project Phases—There will be several phases of the work: potholing, utility relocations, shaft excavation, tunneling, surface utilities and restoration. The CMC team will coordinate meetings for each phase to review the operation and review concerns by all agencies. Community Relations—EnviroIssues Kathy Albert • Kathy handed out and discussed a packet of flyers that have been distributed to the community, an outline of the public outreach intended during construction and a list of specific concerns that local residents have. Handout"C" (available upon request). • Kayren stated that local residences are the most concerned about parking. • She also stated there is a large amount of concern regarding settlement of the homes in the area. • Erik Hansen from HWA stated that they have done extensive photographing of the roads, sidewalks near the project. Most to the homes received photo documentation of the existing conditions both inside and out. • Kathy and Devon stated have been working on this project since 1998 working closely with businesses and residents. They have informed the local residence that construction will start next year. • David Dittmar of King County stated that Public Relations was to be a topic that will be discussed every week at the weekly at the project coordination meeting. Construction Issues—.Bill Cranston • Bill passed out two drawings G1 and P2 that were for information purposes only. These drawings were from the construction of the first interceptor that is now being replaced. They show where shoring and piles might have been and the repair of the invert. See Handout "D" (available upon request). • Bill stated that there is a large concern regarding the existing interceptor. It is the only way the sewage can be sent to the plant. There is no alternate route and there are no valves or gates that can be used to shut off the flow. • Bill also passed out and discussed a detailed list of Design and Construction Issues. See Handout"E"(available upon request). • Rod Boyd stated that the insurance agreement with the BNSF railroad was still being negotiated. He would contact FCCC and confirm the final decision. Preconstruction Conference Meeting Minutes—Page 2 of 4 • Kayren from City of Renton submitted a document that highlights pertinent information for the City of Renton. See Handout"F"(available upon request). Closing Comments—all • Bill Williams of King County stated that he is concerned that if the contract slips that FCCC will be making the tie-in to the existing interceptor during the high flow season. • Rod Boyd King County stated that it is imperative that the specific conditions of each permit be adhered to. Please review them carefully. For example, the flow in the existing interceptor could be forced out of any upstream structures including tie-in structures being constructed under this contract, should the power in the plant go down. • Joe Jainga from PSE stated that they have an existing wrought iron gas line that will need to be removed in order to relocate the line around the shaft. They will not be able to make a simple relocation around the structure the complete line will need to be replaced. He will know more when he sees the shoring drawings. Break • King County, FCCC,and the CMC team remained after the break. Site Safety—Wyatt Wood • Wyatt gave FCCC an example draft of the submittal he is expecting to receive under contract specification 01063. See Handout"G". Which describes the submission of the FCCC company safety plan and a site-specific safety plan. Apprenticeship—Bob Forgie • Bob informed FCCC that they would need to keep records of their apprenticeship utilization and report it to King County when submitting their pay request. FCCC may submit it electronically because signatures are not required. A copy should go to Bob and one copy to go to Scott Clemons for verification of contract compliance. • Bob also stated that they were to submit an Apprentice Utilization Plan one week prior to the Pre-Con. This was not done. Contract Administration—Scott Clemons • Submittals and RFI's are to be addressed to Glen Hiraki, but all should be submitted to the field office. From there they will be distributed to the appropriate parties. The CMC will track the submittals to expedite their approval. • Materials sampling and testing will be handled through the CMC Team. The testing lab under contract is Otto Rossenau and Associates. • CMC will monitor the permit requirements to verify contractor compliance. CMC will utilize the contractor's updated schedule to keep City of Renton, King County and other parties current with the project progress. • CMC Inspectors on this project are Stan Burns and Kim Staheli Louch. • Record Drawings will be reviewed on a monthly basis as a part of monthly approval of the application for payment. Contract Administration—Shoji Oiye • Shoji handed out a letter on behalf of Christi Sanders-Meena that highlights 14 points that will assist in the administration of this contract. It also included the Submittal, Substitution Request, Certification of wages paid by the contractor, and Certification of payment to subcontractors and suppliers forms. See Handout"H" (available upon request). • Shoji asked how the contractor or their sub would be updating the master schedule. FCCC will be using"Suretrak Software". Shoji requested it weekly. Preconstruction Conference Meeting Minutes—Page 3 of 4 • Shoji asked how FCCC would be handling the retainage. FCCC has obtained a bond. Shoji reminded them that if a change orders increases, the contract amount for then the retainage bond would need to be increased also. • Schedules of Values and project schedule are required within 14 days after NTP. • Taxes on this project are 8.8% • Monthly Payments need to include: Monthly Narrative, Statement of Intent to Pay Prevailing Wages (from both the prime and subs), and an updated construction schedule. The final payment should contain a final affidavit of amounts paid. • Change Orders need to be accompanied by the appropriate back up paper work. • Retainage will not be released until all affidavits have been submitted, all claims are resolved and release letters from the State of Washington (Dept L&I, Depart of revenue, and Employ Sec) have been received. Meetings—Scott Clemons • Weekly Progress meetings, preferably Thursdays, will be held at the field office once construction starts. • King County asked if they could attend FCCC's weekly safety meetings. FCCC agreed. • Pre-Activity Meetings—King County will be scheduling separate meetings to discuss the major phases of work and will invite other parties (i.e., City of Renton)that may be directly effected by that phase of work. Closing Comments • Troy Pyles asked FCCC if they would be open to a type of NTP that stated submittal requirements and other items that could be worked on prior to construction commencing. • Scott asked FCCC whom the Superintendent was scheduled to be. FCCC stated that it would most likely vary depending on the type of work being done at the time and who on their available staff was available at the time. Most likely Jim Burke or Greg Hines. • Kim asked FCCC whom they had planned for the tunnel operator; they stated most likely Greg Gaines. This report is a summary of the water quality data obtained for the ground water samples which are intended to be representative of the water that will be disposed of during the dewatering activity. On September 5`b and 6t'2000,three sets of groundwater samples were collected from monitoring wells BH-1, BH-7, and BH-11, located in the areas scheduled for excavation. The locations of these monitoring wells are indicated on the attached Site and Exploration Plan. The samples were packaged and delivered to OnSite Environmental, Inc., of Redmond, Washington for water quality testing. The purpose of these tests was to analytically screen the samples for the analytes listed above. The following tables list the anal es and contaminant levels for an y y compound detected above its practical quanitation level (PQL). RESULTS The ground water sample collected from BH-7 showed low-level hits for six organic compounds although the concentrations were well below regulated levels. Tetrachloroethene was detected at about one third of the MTCA Method A MCL, but this should not be an issue for sanitary sewer discharge. Samples collected from BH-1 and BH-11 revealed low levels of total metals at one to two orders of magnitude below the sanitary sewer discharge limits. Although the metals concentrations were well below the Metro discharge standards, it was observed during sampling that the water was turbid which may account for the higher levels than would otherwise be expected. The water produced during dewatering is not anticipated to contain the sediment load associated with the test samples and therefore should contain a lower concentration of total metals. It is anticipated that the construction dewatering wells will produce water that is less turbid than the samples reported above, resulting in even lower or non-detectable levels of total metals. ADDITIONAL DEWATERING CONSIDERATIONS We anticipate that each pit will likely have 1 or 2 dewatering wells installed to keep the excavation bottoms dewatered. No more than two pits are likely to be in operation at any given time. The dewatering discharge from each pit is likely to be 25,000 gallons per day (gpd), however it could be twice or even three times this amount. The jacking pit at Houser and Morris(BH-1) will likely be in use for 4 to 6 months. The two receiving pits (BH-7 and BH-11) will likely be open for t/Z this time. In addition, sumps and pumps will likely be used to collect surface water and leakage through the pit walls that collects in the pit bottoms. We expect this leakage to be less than 25,000 gpd; however, this water will likely be relatively turbid. We anticipate the sump/pump water will be cleaned by settling or filtering. BACKGROUND SUMMARY: In the early days of the initial formation of what was Metro (1963-64) and is now King County Wastewater Treatment Division. Metro constructed its Eastside Interceptor Section I. In 1965, the Seattle area experienced a significant eanhquake that caused a section of the new interceptor to lift-up approximately 3-feet. This condition resulted in significant deposits of solid materials collecting behind this up-lifted section. To resolve this problem, Metro installed a concrete paved invert approximately 3,000 feet in length to overcome the lost slope. The result of this action was that the capacity of this facility was reduced from its original design of 224 million gallons per day (mod) to approximately 173 mgd. This lost capacity was not critical in 1965 and has not been a significant issue until this current time as flows from the service area are more closely meeting or exceeding the current reduced capacity. February 20, 2001 Page 2 King County anticipates that the current facility will be at capacity by 2003. With this in mind, the County conducted a pre-design effort to evaluate various options to restore the lost capacity in the interceptor. Options ranged from replacement in-line of the existing facility, major re-routes of greater than 7,000-feet in length, and pumping alternatives. As the pre-design effort progressed, an option that minimized the routing of an additional facility was determined. This alternative ultimately has become the route they intend to construct. This route minimizes impacts to the downtown area, while restoring the actual lost capacity that resulted from the 1965 earthquake. In-line options proved to be far more complex than anticipated, specifically in trying to determine ways to temporarily bypass flows in the existing interceptor. Alternatives that included full re-routing of the facility resulted in far greater impacts, especially to portions of Downtown in the process of redevelopment. With an alternative selected, the County and the City worked to put together a project that best met each of our needs. The result of this team effort is included within the Memorandum of Agreement. This agreement covers all issues related to the project including permitting, project scope,joint project work, and mitigation. The City agreed to expedite and assist the County in its permitting effort for the project. The City and County have agreed to include City water and storm improvements as part of their project in order to minimize the total impact to the neighborhood. Mitigation measures include payment of$500,000 to the City for its use on capital improvements, as well as installation of a water main crossing at Houser Way South and South Morris Street. It is Staff's intent to use the $500,000 mitigation fund to supplement the City's Street Overlay Program, including some of the roadways currently being disrupted within the South Renton Neighborhoods. The current schedule for this project is for construction bidding to begin in April of this year. Construction is expected to begin in June of 2001 and be completed in August of 2002. In order to minimize construction impacts, the County will install a new 72-inch pipeline by tunneling. This methodology will allow the County to construct the new facility, but only have three excavation points along the route to install the pipeline. In addition to the County work, the contractor will also install a new 12-inch water line and a new 18-inch storm line from South 5`h Street to South 7`I' Street in Morris Avenue South. By constructing these facilities at the same time as the County's facility, we minimize the overall impact to this neighborhood. CONCLUSION: The County needs to install an additional pipeline in order to facilitate future flows anticipated for its Eastside Interceptor. The City and the County have negotiated a Memorandum of Agreement that identifies and addresses key issues associated with this project. As such, Staff recommends that Council approve the Memorandum of Agreement. The Comprehensive Water Pollution Abatement Plan has been supplemented and amended from time to time. 1.4 The County is responsible for constructing and operating all regional wastewater conveyance facilities in King County. 1.5 In order to restore capacity in the Eastside Interceptor Section 1, the County must construct a new 72-inch diameter bypass pipeline from the intersection of Burnett Avenue South and Houser Way South, along Houser Way South to the intersection of Morris Avenue South, along Moms Avenue South to the intersection of South 71h Street, all in the City of Renton. 01/31/01 1 MOA January 30, 2001.doc x 1.6 With the support of County funding,the City wishes to undertake certain mitigation and neighborhood projects described herein as full and complete mitigation for any adverse impacts associated with the County's contemplated improvements to the Eastside Interceptor Section 1. 1.7 The City is willing to design, construct, operate and maintain the mitigation and neighborhood projects, provided they are funded by the County as set forth herein. In addition to its funding commitments regarding the City's mitigation and neighborhood projects,the County is willing to design, construct, operate and maintain an upgraded Eastside Interceptor Section 1 as set forth herein. 1.8 A second primary purpose of this Agreement is to provide a means for the County and City to work collaboratively to satisfy all City permitting and approval requirements in order to expedite the construction of the contemplated improvements to the Eastside -Interceptor Section 1. In particular, the City agrees to expedite to the fullest degree possible in complying with all state and local laws including SEPA, the processing of all City permits and approvals associated with the Eastside Interceptor Section 1 Capacity Restoration Project. 1.9 Execution of this Agreement has been duly authorized by the the City and the County. SECTION 2. DEFINITIONS For purposes of this Agreement, the terms underlined below shall have the following meanings: 2.1 Agreement - this Agreement. 2.2 City - the City of Renton, Washington, a municipal corporation and an optional municipal code city of the State of Washington. 2.3 Administrator(Ci1y of Renton Planning/Building/Public Works Administrator) or his/her- desi nee-that individual or his/her designated representative(s) responsible for coordinating and facilitating City personnel,private contractors and consultants, and financing matters in connection with the City's Mitigation and Neighborhood Projects and 01/31/01 2 MOA January 30, 2001 .doc for overseeing City land.use and regulatory approval processes related to the County's Eastside Interceptor Section I Capacity Restoration Project. 2.4 Cily Project Manager-that individual or his/her designated representative(s) appointed by the Administrator to carry out the specific project-related responsibilities set forth in this Agreement. 2.5 Compensate or Compensation-the County's activities to design, fund, construct, own, operate, maintain or manage, or take actions to offset impacts associated with the Eastside Interceptor Section I Capacity Restoration Project by replacing, enhancing or providing substitute resources or environments, as allowed under WAC 197-11-768(5) and which meets the following: Mitigate or fund mitigation projects related to the direct and indirect impacts of construction and operation of the Project; Compensate for unavoidable impacts on residential neighborhoods,private property and the urban environment associated with the Project; — Direct mitigation toward actions taken; — Relate the cost of mitigating measures to the impacts; Where possible foster coincident benefits with other projects; and Base mitigation on facility performance and site characteristics. 2.6 Coun - King County, Washington, a political subdivision of the State of Washington and Home Rule Charter county created pursuant to Article 11, Section 4 of the Washington Constitution. 2.7 County Project Manager- that individual appointed by the Manager of the Wastewater Treatment Division, King County Department of Natural Resources to carry out coordinating responsibilities as set forth in this Agreement. 2.8 Disbursement - any moneys transferred to the City by the County pursuant to this Agreement. 2.9 Disbursement Date - any date on which the County pays Disbursements to the City. f O1/31/O1 3 MOA January 30, 2001.doc 2.10 Implement or Implementation- activities to plan,design, fund, construct, own, operate, maintain, mitigate or otherwise manage or take action to carry out Mitigation and Neighborhood Project or the Eastside Interceptor Section 1 Project. 2.11 Include or Including-including but not limited to. 2.12 Initial Disbursement- the first Disbursement under this Agreement. 2.13 Initial Disbursement Date -the date of the Initial Disbursement. 2.14 Mitigation and Neighborhood Projects-projects designed and constructed by the City and financed in whole or part with King County funds under Section 4 of this Agreement. 2.16 Permittiniz, Permit Review, Permit Processing-the procedures or process of analyzing or deciding upon any license, permit, approval or concurrence by the City with respect to the System Improvement Projects. 2.17 Project Managers - the City Project Manager and the County Project Manager. 2.18 Project Schedule -the schedule recognized by the City and County for permitting and constructing the System Improvement Projects. SECTION 3. PERMITTING AND CONSTRUCTION OF FACILITIES 3.1 Eastside Interceptor Section I Project Schedule. As set forth in Exhibit A-1,the County's permitting work for the project began in August 2000 and is scheduled to be completed by January 2001. The City agrees to use its best efforts to assist the County in meeting the Project Schedule for the Eastside Interceptor Section 1 Project. The SEPA checklist and determination for this project is attached as Exhibit A-2. 3.2 The City shall in good faith exercise its best efforts, including the use of all legal and _ practicable means,to facilitate and not hinder the County's ability to begin and complete construction and implementation of the Eastside Interceptor Section I Project in accordance with their respective Project Schedules, including the following: (a) To use its best efforts to expeditiously process all project permits required from the City to allow timely commencement of site preparation work in accordance with applicable Project Schedules; 01/31/01 4 MOA January 30, 2001.doc (b)- Ensuring that City review of all County permit applications is timely completed and that notices for all public hearings are timely issued; (c) Devoting staff time and other resources reasonably necessary to process permits as described in Subsection(b)above; (d) Supporting the mitigation measures described herein before the public and other regulatory agencies reviewing and approving the mitigation measures, and not recommending or seeking additional mitigation or compensation in connection with _ the Eastside Interceptor Section 1 Project; (e) Acknowledging that the mitigation measures described herein are adequate to mitigate all environmental impacts associated with the Eastside Interceptor Section 1 Project and that no additional mitigation is necessary or appropriate; (f) Assisting.the County in avoiding or defending any appeals of Eastside Interceptor Section I Project permits or other approvals required for the Project; and (g) Agreeing not to encourage other individuals or entities to oppose, appeal or _ otherwise delay the beginning of construction work being scheduled. 3.3 The County will take reasonable steps to secure its necessary permits and approvals, including, but not limited to, providing adequate preliminary information and studies, staff,.funding and timely submission of related applications. SECTION 4. MITIGATION AND COMPENSATION 4.1 General. In order to (a) mitigation of adverse construction and other impacts on the City of Renton associated with the Eastside Interceptor Section 1 Project; and (b)providing the City with the necessary assets to assist the City in providing the resources to expeditiously process all necessary City of Renton permits and approvals associated _ with the Project, the County shall pay Disbursements to the City to support the design and construction of the Mitigation and Neighborhood Projects in accordance with Subsections 4.2, 4.3, 4.4, 4.5 and 4.6 below. Payment for the review of land use applications associated with the County's Eastside Interceptor Section 1 Project, 01/31/01 5 MOA January 30, 2001 .doc including all permit review and processing services provided by the City,shall be paid pursuant to Title 4 of Renton City Code. 4.2 County Funding in Support of Mitigation and Neighborhood Projects. The County shall _ fund $500,000 in support of City designed and constructed Mitigation and Neighborhood Projects in accordance with the terms and conditions of this Agreement. Such Projects shall consist primarily of community improvements within the City designed to mitigate impacts on the City of Renton associated with the County's Eastside Interceptor Section 1 Project. Subject to Subsection 4.6 below,the County shall pay to the City one Disbursement as follows: Within 30 days of the City's issuance of permits necessary for the County to begin construction of the Eastside Interceptor Section 1 Project - $500,000. 4.3 City Funding of Storm Sewer and Water Line Work Along Morris Avenue South. The City shall reimburse the County for associated engineering and construction costs for the storm sewer and water line work along Morris Avenue South in accordance with the terms and conditions of this Agreement. Subject to Subsection 4.6 below, the City shall pay the County the following Disbursements: All associated engineering costs within 30 days after the Notice to Proceed of construction of the Eastside Interceptor Section 1 Project. These costs shall include the Design Consultant's costs related to the storm sewer and water line work during design. All associated construction costs 30 days after the Substantial Completion of the _ construction of the Eastside Interceptor Section 1 Project. These costs include the Contractor's costs, Design Consultant's costs and Construction Management Consultant's costs related to the storm sewer and waterline work during construction. 4.4 Waterline Extension Work. In order to limit construction impacts to the local neighborhoods, the County will install a waterline extension under the Burlington Northern Santa Fe railroad tracks at the intersection of Houser Way South and Morris 01/31/01 6 MOA January 30, 2001 .doc Avenue South. The County will pay for all design, permitting and construction costs for _ this work. The City agrees to provide technical support for this portion of work. 4.5 Storm Sewer/Waterline Work Along Morris Avenue.South. In order to limit construction impacts to the local neighborhoods,the County will install a new 12 inch to 18 inch storm sewer line along Morris Avenue South from Houser way South to South 71' Street and a new 12 inch waterline along Morris Avenue South from South 5'h Street to South 7ffi Street. The City agrees to reimburse the County for all costs associated with engineering and construction of the new storm sewer and waterline. The City will provide technical assistance during the design process. King County staff time will not be reimbursed by the City. 4.6 Conditions of Payment. It shall be a condition precedent to any Disbursement or County _ expenditure of funds under Subsection 4.2, 4.3, 4.4 and 4.5 above that the County has received all City permits necessary to proceed with construction (provided that King County and the City have taken reasonable steps to secure such permits). If the City permits are appealed, the Disbursement will not occur until all such appeals have been resolved, allowing construction to begin. SECTION 5. RESPONSIBILITIES . 5.1 City Responsibilities. The City shall have full responsibility for the Mitigation and Neighborhood Project improvements. (a) The City shall be responsible for the following project related activities in connection with Mitigation and Neighborhood Projects: 1. Performing all aspects of project design. 2. Obtaining all necessary permits. 3. Performing all aspects of construction. 4. Providing final acceptance of all facilities from the construction contractor. 5. Operating and maintaining all facilities. 01/31/01 7 MOA January 30, 2001.doc (b) The City shall also provide the County with progress reports according to the following schedule: 1. Annual progress report. 2. Provide annual reports until all mitigation funds have been expended, but not to exceed seven years from the date of the Agreement. _ (c) Ownership of all facilities constructed under this Section shall be with the City; all _ operation and maintenance responsibilities and costs shall similarly be the obligation of the City. (d) The City shall assume all liability for the design, construction, operation and maintenance of all facilities constructed under this Section. 5.2 County Responsibilities. The County shall: (a) Submit to the City, all notices from the County of award of a contract for the construction of the Eastside Interceptor Section 1 Project. (b) The County shall make payment of the mitigation monies to the City on a timely basis. (c) The County shall also use its' best efforts to minimize impacts on the City, its' neighborhoods and citizens, cooperating with the City to resolve problems, communicating with the City about problems and upcoming events, and providing adequate budget and funding to see that the project is constructed in a timely and efficient manner. SECTION 6. CITY USE OF DISBURSEMENTS 6.1 Conditions of Disbursement. Subject to the conditions established by Subsection 4.2, the Disbursement to the City shall be conditioned upon compliance by the City with the terms of this Agreement and the issuance of a Notice to Proceed to a Contractor for construction and implementation by the County of the Eastside Interceptor Section 1 Project. X 01/31/01 8 MOA January 30, 2001.doc 6.2 Maximum Disbursement Amount. In no event shall the total amount of Disbursement to the City pursuant to this Agreement exceed $500,000 for the Mitigation and Neighborhood Projects. In no event shall the total amount of Disbursement to the _ County pursuant to this Agreement exceed$46,351 for engineering services and the construction bid amount plus all change orders, as approved by the City, for the Storm Sewer and Waterline. 6.3 City Expenditure of Disbursement. The City shall deposit, invest and expend all monies received from the County pursuant to this Agreement consistent with the terms of this Agreement. Subject to Subsection 6.4,the City agrees to the following: (a) The money shall be expended on capital improvements to,or acquisition of, real property. (b) During construction of all Mitigation and Neighborhood Projects,the City will include the County as a funding source for any project for which the City would provide signage. (c) Mitigation and Neighborhood Projects acquired, developed, constructed or improved by the City in whole or in part from Disbursement made pursuant to this Agreement shall not be transferred or conveyed except by the City's standard method. (d) All Disbursements received by the City and interest thereon shall be expended solely on the Mitigation and Neighborhood Projects contemplated by this Agreement. (e) The City shall invest all Disbursements pending expenditure. Investment earnings on such monies shall be applied to uses permitted for Disbursements under this Agreement. 6.4 Annual Reports. The City shall submit Annual Reports to the County. The first Annual Report shall be submitted on or before the first anniversary of the Disbursement Date. Subsequent Annual Reports shall be submitted not later than the anniversary each year of 01/31/01 9 MOA January 30, 2001.doc _ the Disbursement Date, and continuing until all funds subject to this Agreement have been expended. Each Annual Report shall include: An accounting for any Disbursement received during the prior years including the amount of funds expended within that year,total funds expended to date, interest _ accrued and a list of projects for which funds were expended. Expenditure reports shall establish that all Disbursements have been expended in the manner contemplated by this Agreement. SECTION 7. ALLOCATION AND ASSIGNMENT OF RESPONSIBILITIES 7.1 Common Overall Responsibilities. The County's Wastewater Treatment Division _ Manager and the Administrator shall: _ (a) Serve as the point of contact and liaison during Mitigation and Neighborhood Project and Eastside Interceptor Section I Project implementation (to each agency and to other governmental agencies). This responsibility may be delegated to other staff members of each agency for particular functions or purposes by mutual consent of the Administrator and the County's Wastewater Treatment Division Manager. This responsibility does not abridge statutory or certain permit issuance responsibilities of other City officials, boards or commissions. (b) Use collaborative problem solving and negotiation techniques to review and attempt to resolve perceived conflicts that cannot be resolved by the Project Managers. (c) Review and revise, as necessary,the Project Schedules contained in Exhibit A-l. 7.2 Common Project Manager Responsibilities. The County Project Manager shall have responsibility for the Eastside Interceptor Section 1 Project. The City Project Manager shall have responsibility for the Mitigation and Neighborhood Projects. The Project Managers shall: 01/31/01 10 MOA January 30, 2001.doc (a) Provide each other,within a reasonable amount of time,with current and necessary information as requested that pertains to their respective responsibilities under the Agreement in order to expedite review. (b) Use collaborative problem solving and negotiation techniques to identify and _ attempt to resolve issues related to implementation of all Projects contemplated under this Agreement. (c) Convene meetings as necessary with the County Wastewater Treatment Division _ Manager and the Administrator to discuss substantive issues, the project _ schedules and activities related to the design, construction and implementation of all Projects contemplated under this Agreement. (d) Meet with the City and County technical, interagency and citizen advisory committees and other interested persons as needed to carry out the purposes of this Agreement. (e) Be given,upon request,reasonable opportunities to brief the City Council and/or County Executive and County Council on the status of all Projects contemplated under this Agreement. (f) The City Project Manager shall coordinate and facilitate plans and permit processing by the City so as to expedite the City's review and approval of any plans, reviews and permits related to the Eastside Interceptor Section I Project. SECTION 8. DISPUTE RESOLUTION 8.1 Resolution of Disputes by Project Managers. The Project Managers shall use their best _ efforts to resolve disputes and issues arising out of or related to the Projects _ contemplated under this Agreement. 8.2 Resolution of Disputes by County Wastewater Treatment Division Manager and Administrator. In the event that disputes cannot be resolved by Project Managers, the _ County Wastewater Treatment Division Manager and Administrator will apply their best efforts to resolve disputes and other matters between the County and the City arising out 01/31/01 11 MOA January 30, 2001.doc of or related to the Projects contemplated by this Agreement. Each will consult with responsible agency staff members and officials regarding existing requirements or other policies and procedures before attempting to resolve disputes. 8.3 Resolution of Disputes by Administrator-and County Executive. If the Wastewater Treatment Division and Administrator are unable to resolve a matter within fifteen(15) days of the time such matter is properly referred to them, the City Mayor and County Executive shall be asked to resolve the dispute, subject to applicable statutory permit requirements,policies or procedures. In the event of an emergency, either Manager may (after notifying the other Manager), refer a Project-related dispute immediately to the City Mayor and Executive for resolution. The City Mayor and Executive may call upon x their staff for assistance. 8.4 Exhaustion of Procedural Steps. The County and the City agree to exhaust each of these procedural steps before seeking to resolve disputes in formal mediation, arbitration or court of law or other tribunal, except to the extent that these procedures may conflict with formal administrative appeal procedures. SECTION 9. INDEMNIFICATION; TERMS OF AGREEMENT 9.1 Indemnification. To the maximum extent permitted by applicable law, the City and the County shall each protect, indemnify, defend and hold harmless the other, respectively, _ including its employees, agents, contractors, subcontractors, officers, directors, attorneys, successors and assigns, from and against any and all liabilities, damages, claims,demands, judgments, losses, harm, costs, expenses, suits or actions, including but not limited to appeals, caused by the negligent acts or omissions of the indemnifying party, including its agents, employees, contractors, subcontractors, officers, directors, attorneys, successors or assigns, arising out of or in connection with or as a result of this Agreement or the performance by the indemnifying party of any of its obligations hereunder. 9.2 Term. This Agreement shall be effective commencing on the first date when it has been duly authorized and executed, by both the County and the City. Except as otherwise 01/31/01 12 MOA January 30, 2001.doc specifically provided herein,this Agreement shall expire upon the completion of all Projects contemplated hereunder;provided that the Agreement may be terminated at an earlier or later date by mutual written agreement of the Parties. SECTION 10. MISCELLANEOUS 10.1 Notices to King County. All written notices required under this Agreement shall be deemed received three (3)business days after the day they were mailed, or eight(8)regular business hours after they were sent out for hand delivery to the addressee. Transmitted and confirmed delivery of written notices via telephone facsimile,while expediting reviews and possible responses, will not be considered official notification. 10.4 Assignment. This Agreement may not be assigned by either party without the prior _ written consent of the other party. 10.5 Relationship of the Parties. Nothing in this Agreement is intended to create a partnership or constitute a joint venture between the City and the County. No party to this Agreement shall have any responsibility to perform services or to assume contractual obligations which are the obligation of the other party. Nothing herein shall make either party an agent or representative of the other party, or create any fiduciary relationship between them. 10.6 Waiver. Unless otherwise specifically provided by the terms of this Agreement, no delay or failure to exercise a right resulting from any breach of this Agreement shall impair such right or shall be construed to be a waiver thereof, but such right may be exercised from time to time and as often as may be deemed expedient. Any waiver shall be in writing and signed by the party granting such waiver. If any representation, warranty or covenant contained in this Agreement is breached by either party and thereafter waived by the other party, such waiver shall be limited to the particular breach so waived and shall not be deemed to waive any other breach under this Agreement. 10.7 Effect of Recitals. The recitals set forth in Section 1 above are a material part of this Agreement and are fully incorporated in its terms. 10.8 Section Captions, References. The section headings and captions contained herein are included for convenience only and shall not be considered a part hereof or affect in any _ manner the construction or interpretation hereof. Except as otherwise indicated, all references herein to sections and subsections are to sections and subsections of this Agreement. 01/31/01 14 MOA January 30, 2001 .doc `� 10.9 Severability. In the event that any provision of this Agreement shall, for any reason,be determined to be invalid, illegal or unenforceable in any respect,the parties hereto shall negotiate in good faith and agree to such amendments,modifications or supplements of or to this Agreement or such other actions as shall,to the maximum extent practicable in light of such determination, implement and give effect to the intentions of the parties as reflected herein. The other provisions of this Agreement shall remain in full force and effect. 10.10 Amendment. This document may not be amended except by a written agreement signed by the parties. 10.11 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Washington. The venue for any actions hereunder shall be the King County Superior Court. 10.12 No Other Agreements. All negotiations,proposals and agreements prior to the date of this Agreement with respect to the subject matter hereof are merged herein and superseded hereby. 10.13 Limitation of Liability. The obligations of the County under this Agreement are payable solely from King County's Water Quality Operating Account. This Agreement is not intended as, nor shall it be construed as, a debt or general obligation of King County. The execution or performance of this Agreement shall not impose any personal liability on any member, officers employee, agent, advisor or consultant of either the County or the City. 10.14 Successors and Assiqns. This Agreement shall be binding on both parties and their successors and assigns. 10.15 Execution of Documents. This Agreement may be executed in duplicate originals, and any such duplicate original shall be regarded for all purposes as an original and all of which shall constitute but one and the same instrument. 10.16 No Third-Party Beneficiaries. In promising performance to one another under this Agreement,the Parties intend to create binding legal obligations to and rights of X 01/31/01 15 MOA January 30, 2001.doc enforcement in (i)one another, and (ii) one anther's permitted assignees or successors in interest. The parties expressly do not intend to create any obligation or liability, or promise any performance to, any third party. Plan sheet C-401: Install two 12-inch 22-1/4 degree vertical bends with shackle rods and concrete blocking north of the new valve at Sta.—0+13, so that the water line can cross under the existing 36-inch storm line. A minimum vertical separation of 6-inches will be required at the crossing. This change is needed because the existing 18-inch water line is shallower than it is shown on the plan. 2. Plan sheets C-403 and C-405 Detail A: We request changing the two"Romac or Dresser" 12-inch transition couplings at Sta. 11+64 and at Sta. 12+90 for the connections of the HDPE to the DI pipes to 2-12-inch long body ductile iron solid sleeves with mechanical joints. This change is needed to allow a stronger connection between the HDPE and DI pipes, since they have a same outside diameter measurement. Please request a cost proposal for the above changes from the contractor and forward it to me for approval at your earliest convenience. The contractor's surveyor shall record the as-built vertical and horizontal locations of the bends and submit them to the County and City. The budget was based both on this assumed level of consultant participation and anticipation of providing design detail and form consistent with the County documents. At the startup meeting in Renton in December, we learned that the City had not yet prepared the storm system design but expected to complete the design in 2 or 3 weeks. General design approach was discussed at that time. It was our understanding at that meeting that we would show installation of storm drain lines along Morris Ave. between 5th St. and 7th St., including new catch basins at typical intervals between 6th and 7th, as well as re-connection of several existing catch basins between 51h and 6th. We agreed to provide a preliminary design by January 15, 2001 for City review. To meet this schedule, we prepared a preliminary design and subsequent revisions designed to resolve potential conflicts during construction. The 90% documents, which contained subsequent design development work, were submitted on January 30, 2001. Considerable design effort was expended to accommodate existing sewer laterals for which the City was unable to determine the location. Upon receiving the comments on the preliminary design and the 90% drawings, we found that the alignments had changed at the intersection of 71b and Morris, that the inverts and pipe sizes had changed, and that additional catch basins had been added. In addition, there was a new requirement that the existing catch basins and ,mil, the-connect' lines would have to be replaced. For the specifications, the pipe �j terial was changed at this point ll. These changes were made and the "991);. review ument were submitted. In the 99% comments, the utility made further changes. More catch basins were added, additional details were added, and a requirement for drawing the probtles of the pipes connecting the replacement catch basins with the new interceptor was added. As noted above, the various iterations of design included re-sizing, re-elevating and horizontally shifting the main storm sewer and adding additional catch basins. In addition, increasing amounts of information and detail were requested at each review, requiring increasing levels of effort beyond the standard set in the County documents. We were essentially preparing drawings to a of detail level suited to 06/.21/2001 10: 41 2066@41959 CAPITAL IMPROVEMENT PAGE 03 unit price bidding, while our understanding had been that the work was to be included as lump sum bid items in the County documents. Abdoul requested that MJ plugs be used to close the abandoned pipe off. - Connection to the existing 18" water in line in 7th will be made. The new line in Morris will be connected to the new line under the railroad. - The connection to the hydrant on Morris at 7th will be revised for the new pipe size. - Stubs for the connections at the cross streets will be run past the intersections. 12" pipe will be used for these stubs. The new 12" stubs should be a close as possible to the existing 4" lines in the cross streets. Provide 4 to 6 feet of cover over the water lines. The water connections along Morris will extend at least to the meters. The meters may be replaced; Abdoul will let Gafour us know if the water meters along Morris will be replaced. 3. New Storm Sewer in Morris: - A new 12" line will be run north from 7th to three pairs on new catch basins between 6th and 7th. This line will connect to the new storm line already being provided at 7th. The catch basins will be spaced at a maximum of 150 feet apart, starting about 150 feet south of 6th. - The existing line between 5th and 6th will be replaced with a new line. The size will be tentatively shown as an 18" line. Allen will be preparing an analysis to determine the Quynn final size. This should be complete in 2 or 3 weeks. - The new line will replace the existing (i.e., the existing line will not be abandoned in place). - The catch basins will be on side sewers, not the main line. The catch basin connections will be 12" pipe. - Type 1 catch basins will be used. Manhole will be Type 2, 48" dia. - As with the new water line, the new storm sewer will be stubbed out beyond the intersection at each cross street connection. The pipe sizes for the stubs will be 12" or as defined by Renton. - The invert of the line at the connection at 6th and Morris will be the reference. The new line will be run a minimum slope upstream from this point. The DOE criteria for minimum slope will be used. - The new storm sewer will be extended north of 5th to the intersection of Houser and Morris. A new catch basin will be placed on the southeast corner of the intersection. Beginning with the new bypass manhole at 7`n (sta 0+23), space two Type II CBs 150 feet apart. • Lower the invert of the proposed 12" pipe connecting into the bypass manhole at 71n to match the invert of the proposed 36" pipe running west (El. 116.48 — King County Datum). Hopefully this will allow the storm pipe to clear the sewer laterals. Maintain the same slope of 0.22%. • Shift the pipe west 2-ft to allow additional horizontal clearance from the 8" sewer. Maintain at least 5-foot separation between storm and water line. This can be accomplished by either shifting the manholes along the alignment including the bypass manhole at 71n or leaving the bypass manhole where it is, offsetting the next manhole to the north and angling the pipe to the northwest. I'm not sure a CB is necessary on the southwest corner of the intersections at 6`n and 51n. It appears to me that there is very little runoff draining to those locations. Most of the runoff from Morris Ave., SW 51n and 6`n will be intercepted at the other three corners of those intersections. What do you think? • Eliminate the manhole stub outs east and west of Morris Ave. and 61n and the stub out manhole east of Morris Ave. and 5`n. • The new storm pipe along Morris Ave. between 51n and 6`n will be a 24" CPEP set at a slope of 0.48%. The north invert for the new Type II CB at Morris and 6`n will be set at El. 22.44 (NAVD 88). The south invert for the new Type II CB at Morris and 5`n will be set at the existing invert El. 25.10 (NAVD 88). Match inverts with the existing 12" pipes east and west at Morris Ave. and 61n and west at Morris Ave. and 51n 0 There appears to be a conflict with a 4" water line and the proposed CBs on the south side of the intersection of Morris Ave. and 5`n • Show all lateral profiles for Type I CBs.
