Grantor shall retain the right to use the surface of the easement as long as such use does not interfere with the easement rights granted to the Grantee. Erect or maintain any buildings,utilities,structures,and related appurtenances within the easement, except the following existing features previously installed for the Boeing Customer Services Training Center project: • concrete storm water outlet vault and appurtenances. • storm water outfall piping with backwater control valves and other appurtenances. b. Develop,landscape,or beautify the easement area in any way which would unreasonably increase the costs to the Grantee of restoring the easement area and any private improvements therein. This easement shall run with the land described herein,and shall be binding upon the parties,their heirs, successors in interest and assigns. Grantors covenant that they are the lawful owners of the above properties and that they have a good and lawful right to execute this agreement. RECOMMENDATION: Authorize the Mayor and City Clerk to execute an Agreement Regarding Drainage Easement Dedication with the Boeing Company. BACKGROUND: An approximately 0.7 acre drainage easement is needed over a portion of the Boeing Company's Customer Training Center property along Springbrook Creek near SW 16th Street to allow for widening of the creek. The creek widening within the proposed easement area is scheduled to take place in the summer of 1998 in conjunction with the Oakesdale Avenue SW Extension Project. The creek widening work will be funded by the Surface Water Utility Capital Improvement Program. To compensate Boeing in exchange for the drainage easement, it is proposed that the City agree to offset 100% of the Surface Water Utility system development charge that will become due for Boeing's Family Center development proposal (LUA-97-140, SA, ECF). The amount that would be offset is $10,379.85. CONCLUSION: The Planning/Building/Public Works Department recommends that Mayor and City Clerk be authorized to execute an Agreement Regarding Drainage Easement Dedication with the Boeing Company. Compensation for the drainage easement would total $10,379.85 and be accomplished by offsetting 100% of the Surface Water Utility system development charge that will become due for Boeing's Family Center development proposal. The correspondence from Mr. McCann of Perkins Coie LLP was important. We have modified the documents according to his comments, and they are enclosed. We have retained a copy of Mr. McCann's letter and return the original as well. The enclosed documents include a Quit Claim Deed to document for the record the current surveyed alignment of the creek, a Dedication Deed for the right-of-way for Oakesdale Avenue SW, and a separate Drainage Easement which has several blanks in the last line of the first page. These blanks will be completed when the Quit Claim Deed is recorded with the Record of Survey. There should not be a question of the Drainage District ditch/creek alignment from your perspective. The surveyor indicated that your property description matched the creek alignment. The issue is that the Drainage District had a different and conflicting description as did the Benaroya Company. The purpose of the Quit Claim Deeds is to avoid a Quiet Title action and acknowledge the actual alignment. We anticipate recording all documents this month. Box 3707, M/S 19-34 Seattle, WA 98124-2207 Re: Dedication of Right-of-Way for Oakesdale Extension Project Dear Rick: Your memo of November 25, 1997 asked that we review a November 19, 1997 letter from Thomas Boyns, City of Renton Services Supervisor, to you, and the enclosed dedication documents for the Oakesdale extension. The documents included an excise tax affidavit, dedication deed and exhibits. Some of the legal descriptions in the exhibits to the deed for the parcels surrounding the right-of-way takes were significantly different from the legal descrip- tions in the title insurance policies issued at the acquisition by Boeing. John Jones at Transnation Title Insurance Company, which issued one of the policies, agreed that it would be advisable for him to review the legal descriptions. On the enclosed copies of the exhibits he identified the corresponding parcel reference in the title policy, as well as marking the right-of-way takes on the enclosed copy of the survey. We have duplicated the survey so marked and enclose an extra copy. We have reviewed the proposed documents and have the following comments: 1. The Deed of Dedication recites that the Grantor is The Boeing Company. The property to be dedicated is owned by Longacres Park, Inc. A Certificate of Amendment is enclosed that you may want to provide to the City. The Grantor should be described as follows: Longacres Park, Inc., a Washington corporation, which acquired title as Broadacres, Inc. 2. The granting clause recites that the dedication is "for and in consideration of mutual benefits." That should be modified to provide that the dedication is "under the threat of and in lieu of condemnation." The conveyance language also needs to be modified. The granting clause would then read: The Grantor, under threat of and in lieu of condemnation, conveys and quitclaims to the Grantee named above the above- described real estate situated in the county of King, state of Washington. 3. The property to be conveyed has been divided into six separate parcels for these conveyances, each described on a separate Exhibit "A." The property is referred to by Parcel Nos. 1 through 6 on the drawings identified as Exhibits "B" with the legal descriptions, but the same parcel reference is not included on the legal description itself. Each legal description on Exhibit "A" should clearly identify the parcel number of the particular parcel being described that matches the drawing attached as Exhibit "B." 4. The Excise Tax Affidavit needs to have the grantor's name changed from "The Boeing Company" to "Longacres Park, Inc. (formerly Broadacres, Inc.)." 5. The explanation for the conveyance, in Category 6 of the Excise Tax Affidavit needs to be modified to reflect that this is under threat of and in lieu of condemnation (to come within the exemption from the excise tax) and the WAC number should be changed to subparagraph [03003-0352/SB973490.086] 1/28/98 Mr. Richard J. Surface Water Utility City of Renton 200 Mill Avenue South Renton,Washington 98055 RE: Springbrook Creek Easements BOE/NG We have reviewed, as you requested in your October 31St letter to me, the easement documents for the Springbrook Creek widening and have the following comments. We have reviewed: 1. A quitclaim deed from Drainage District No. 1 for The Boeing Company,for a boundary line adjustment; 2. A quitclaim deed from The Boeing Company to Drainage District No. 1 for the same boundary line adjustment;and 3. A drainage easement from The Boeing Company to the City of Renton for additional land west of Springbrook Creek. We have the following comments: 1. Quitclaim Deed from Drainage District No. 1 to The Boeing Company. This is the Drainage District's quitclaim to The Boeing Company of land that lies east and west of Springbrook Creek. Springbrook Creek is defined as 20 feet on each side of its centerline. Boeing does not have any interest in land that lies east of Springbrook Creek and have therefore modified the legal description to reflect that it is quitclaim only of property that lies west of the 20-foot westerly boundary of Springbrook Creek. 2. Quitclaim Deed from The Boeing Company to Drainage District No. This Quitclaim Deed quitclaims any Boeing interest in the land that lies east of the westerly line of Springbrook Creek. Again, the westerly line of Springbrook Creek is 20 feet west of the centerline of the Creek. This legal description appears to be in order. 3. Drainage Easement from The Boeing Company to the City of Renton. The City offers $0.30 per square foot for a total of$7,500 to acquire this easement of approximately 29,807 square feet. We propose that the price per square foot be $0.35 for a total of$10,400. This will pay in full the system development fee for the Boeing Family Care Center(FCC) that's presently under construction. Per the FCC's Determination of Non-significance, the calculated system development connection charge is $10,379.85. If this offset option is acceptable to Renton then, a separate agreement is required. This easement contains warranties that should be deleted. We have made the notations on the document. It should be in the form of a quitclaim, without warranty. The description of the easement itself is for "drainage" "with necessary BOE/NG appurtenances." The word drainage does not provide much description of what the City actually intends, or will be legally entitled to accomplish, with this easement. We would prefer that it describe its purpose in some detail. That is, is this a floodway drainage, a flood planning drainage, an easement for use of base flow in Springbrook Creek, or simply a surface and surface water runoff easement. The easement grants the city the right to install,construct, operate, maintain, remove, repair, replace, and use this "drainage channel." It entitles the City of instruct "facilities" initially, and from time to time thereafter. We do not know what "facilities" means in this context and that should be explained in the document. If it is simply grading and contouring, then that should be stated. If the City intends to install permanent improvements--concrete retaining walls, bulkheads, or water diversion structures, that should be stated and a location shown on the drawings. Again, we have deleted the warranty language in the last paragraph of the easement. If you or anybody else at the City have questions about our comments, please let me know; it may be most efficient if we simply sit down with Larry Warren and you and explain our concerns. The easement affects a portion of the Boeing CSTC site along Springbrook Creek near the proposed Oakesdale bridge crossing. As noted on page 1 of the easement,the area requested totals about 29,807 square feet, including the area to be dedicated for the Oakesdale Avenue. The net area of the easement, excluding the Oakesdale take, is about 25,000 square feet. We propose to compensate The Boeing Company for the easement at $0.30 per square foot for a total of$7,5.00. Our offer is at about one-quarter the cost of the $1.09 per square foot the Surface Water Utility recently paid for a deed from the Benaroya Capital Company for property along the opposite site of the creek. The compensation could be accomplished by a cash payment or by offsetting a portion of the surface water utility system development charge for the proposed Boeing daycare center. This assumption caused a ripple of errors through the report. The square footage needed from Boeing is 241,817. At the appraised value of$8.17 per square foot the value is$ 1,975,650 (rounded). If you are satisfied with this figure,we are as well. We had the centerline of Springbrook Creek surveyed. It is clear that in the last 100 years or so the creek has moved. This has caused an overlap in property boundaries which could create a difficult title problem in the future if not corrected. We have discussed the need to correct the title error concerning the location of Springbrook Creek with Drainage District No. 1. They fully agree that it is appropriate to correct the title. We propose to resolve the discrepancies through the use of quit claims executed by each of the parties involved. The attached legal descriptions have been prepared by holding the surveyed boundary of the Boeing site and adjusting the Drainage District and City property boundaries to agree with the Boeing survey. The property line for the Boeing site is based on the determination that the center of the Drainage District's 40-foot right-of-way follows the surveyed location of the center of the existing Springbrook Creek channel. Please prepare three quitclaim deeds for each of the three legal descriptions. Please also review the legal descriptions and the attached draft record of survey for accuracy.
