REAL ESTATE PURCHASE AND SALE AGREEMENT
THIS AGREEMENT is between Binh K. Vuong and Ha Tat Vuong,husband and wife,
("Seller") and City of Renton, a Washington municipal corporation, ("Purchaser"), and is made for
the purpose of purchase and sale of the following described real property.
In consideration of the covenants and agreements hereinafter made,the parties agree as
follows:
1. Description of Property. Purchaser agrees to purchase from Seller,and Seller
agrees to sell unto Purchaser,the following described real property commonly known as 13642 SE
116`" ST,Renton,King County, Washington,and referred to in this Agreement as "the premises":
THE WEST 164 FEET OF THE SOUTHWEST QUARTER OF THE
NORTHEAST QUARTER OF THE NORTHWEST QUARTER OF SECTION 10,
TOWNSHIP 23 NORTH,RANGE 5 EAST,W.M. IN KING COUNTY,
WASHINGTON; EXCEPT ROADS,(OR 49,036 SQUARE FEET OR 1.125
ACRES MORE OR LESS).
KING COUNTY PARCEL NO. 102305-9129.
Purchaser hereby authorizes the insertion over his signature of the correct legal description
of the above-designated property if unavailable at time of signing, or to correct the legal description
previously entered if erroneous or incomplete.
2. Purchase Pri The purchase price is Two Hundred Thirteen Thousand Five
Hundred Dollars and No Cents($213,500.00),payable in cash at closing.
3. Prorations. Taxes for the current year,rents,insurance,interest,mortgage reserves,
water and other utilities constituting liens on the property shall be prorated as of date of closing.
4. Title. Title to the premises shall be conveyed free of encumbrances or defects,at
closing, except encumbrances,restrictions and reservations of record, rights reserved in Federal
Patents or State Deeds, building or use restrictions general to the district, existing easements not
inconsistent with the intended use of the property, and building and zoning regulations or
provisions. The title insurance policy to be issued shall contain no exceptions other than those
provided in the standard form plus the defects noted in this paragraph. If title is not so insurable
as above provided and cannot be made so insurable by the termination date set forth herein,this

Agreement shall be terminated. Seller authorizes the escrow agent to apply for a standard form
owner's policy of title insurance,at Purchaser's expense.
5. Conveyance. Transfer of Seller's interest in the premises shall be by Statutory
Warranty Deed.
6. Annexation. As further consideration,the Administration of the Purchaser agrees
to start and pursue the 60 Percent Annexation Process to annex the remainder of Seller's property,
and a section of the surrounding properties,to the City. All costs for annexation will be borne by
the Purchaser. Seller agrees to sign any annexation petition and support any annexation process
undertaken by the City.
Annexation is subject to receiving signatures representing at least 60 percent of the assessed
property value,and approval by the City Council and State Boundary Review Board. If the
annexation fails, for any reason,the City may choose to pursue a different annexation area,or may
choose not to annex any adjacent property including the Seller's remainder. This sale shall proceed
with or without success of the annexation effort.
7. Closing. This purchase shall be closed by Pacific Northwest Title Company,within
30 days after removal of all contingencies, but in any event not later than December 15,2001,
which shall be the termination date unless extended by this Agreement or otherwise. The
termination date may be extended for an additional year by payment of$10,000.00 nonrefundable
earnest money,which will be paid over to Sellers and applied to the purchase price. The parties
will deposit in escrow with the closing agent all instruments and moneys necessary to complete this
purchase in accordance with this Agreement. The cost of escrow shall be
by the ems, ?u r-CW er.
8. Possession. Seller shall deliver possession to Purchaser on date of closing.
9. Seller's representations and warranties. Seller represents and warrants to
Purchaser as follows:
9.1 Seller has full power and authority to convey the Property to Purchaser.
9.2 To the best of Seller's knowledge,the Property is now, or will be as of the
Closing Date, in compliance in all material respects with all applicable zoning, land-use,
building, construction, subdivision and other local, state and federal laws, ordinances and
regulations and with all existing covenants, conditions, restrictions and easements.

9.3 To the best of Seller's knowledge, all Due Diligence Materials and other
instruments and documents delivered to Purchaser pursuant to this Agreement(the "Warranted
Materials") are complete and accurate originals or copies, and Seller shall advise Purchaser in
writing of any inaccuracies in the Warranted Materials as Seller becomes aware of them. With
respect to all other instruments and documents delivered or required to be delivered to Purchaser
by Seller pursuant to this Agreement, Seller has not purposefully altered or withheld any of them.
9.4 Seller has not received notice of any special assessment or notice of any
condemnation proceedings affecting the Property.
9.5 To the best of Seller's knowledge, there is no litigation pending or threatened
against Seller(or any basis for any claim)that arises out of the ownership of the Property.
9.6 Seller has received no notice of any failure of Seller to comply with any
applicable governmental requirements in respect of the use, occupation and construction of the
Property, including, but not limited to,environmental, fire, health, safety, zoning, subdivision
and other land use requirements that have not been corrected to the satisfaction of the appropriate
governmental authority, and Seller has received no notice of, and has no knowledge of, any
violations or investigation relating to any such governmental requirement.
9.7 Seller has received no notice of any default or breach by Seller under any
covenants, conditions,restrictions,rights of way or easements that may affect Seller in respect to
the Property or may affect the Property or any portion thereof and no such default or breach now
exists.
9.8 To Seller's best current knowledge,no building or other improvement encroaches
on the real property.
0.9 There are no leases affecting any part of the Property other than those delivered to
Seller, and there are no written or oral promises, understandings or agreements between Seller
and any tenant that have not been disclosed by Seller as part of the materials provided by
Purchaser.
9.10 To the best of Seller's current knowledge there are no permits, licenses or
consents required by any governmental authority in connection with the use and occupancy of the
Property except those previously obtained by Seller and delivered to Purchaser, and Seller knows
of no local improvement districts proposed which will affect the Property.

9.11 All public utilities required for the operation of the Property either enter the
Property through adjoining public streets or, if they pass through adjoining private lands, do so in
accordance with valid public easements or private easements that will inure to the benefit of
Purchaser on the Closing Date.
9.12 Water and sanitary and storm sewage facilities currently service the Property and
are on or immediately abutting the property.
9.13 Seller is not a foreign person as defined in Section 1445 of the Internal Revenue
Code.
9.14 All of the representations,warranties and covenants of Seller contained in this
Agreement are true and correct as of the Effective Date and as of the Closing Date and will
survive the closing of the transaction contemplated by this Agreement.
10. Hazardous material.
10.1 Definitions
a. Definition of"Environmental Laws": The term"Environmental Laws"means
any and all state, federal and local statutes, regulations and ordinances relating to the protection
of human health and the environment.
b. Definition of"Hazardous Material": The term"Hazardous Material"means
any hazardous or toxic substance, material or waste,including, but not limited to,those
substances,materials and wastes listed in the United States Department of Transportation
Hazardous Materials Table (49 C.F.R. § 172.101)or by the United States Environmental
Protection Agency as hazardous substances (40 C.F.R.pt. 302 and amendments thereto)or in the
Washington Hazardous Waste Management Act(Ch. 70.105D RCW) or the Model Toxics
Control Act(Chs. 70.105D RCW, 82.21 RCW),petroleum products and their derivatives, and
such other substances,materials and wastes as become regulated or subject to cleanup authority
under any Environmental Laws.
10.2 Compliance with environmental laws. Seller represents and warrants that:
a. Seller has no actual knowledge of the release or presence of any Hazardous
Material on, in, from or onto the Real Property;
b. Seller has not generated, manufactured, refined, transported, stored,handled,
disposed of or released any Hazardous Material on the property, nor has Seller permitted the
foregoing;

c. To the best of Seller's actual knowledge, Seller has obtained all approvals and
caused all notifications to be made as required by Environmental Laws;
d. To the best of Seller's actual knowledge, Seller has not received any notice of
any violation of any Environmental Laws;
e. To the best of Seller's actual knowledge,no action has been commenced or
threatened regarding Seller's compliance with any Environmental Laws;
f. To the best of Seller's actual knowledge, no tanks used for the storage of any
Hazardous Material above or below ground are present on or about the Real Property; and
g. To the best of Seller's actual knowledge,no action has been commenced or
threatened regarding the presence of any Hazardous Material on or about the Real Property.
10.3 No waiver of liability. Seller has not released or waived and will not release or
waive the liability of any previous owner, lessee or operator of the Real Property or any party
who may be potentially responsible for the presence or removal of Hazardous Material on or
about the Real Property. Seller has made no promises of indemnification regarding Hazardous
Material to any party.
10.4 Indemnification. Seller agrees to defend(with counsel approved by Purchaser),
fully indemnify and hold entirely free and harmless Purchaser from and against all claims, -
judgments, damages,penalties, fines, costs, liabilities or losses (including, without limitation,
sums paid in settlement of claims, attorneys' fees, consultant fees and expert fees)that are .
imposed on,paid by or asserted against Purchaser or its successors or assigns,by reason or on
account of, or in connection with, or arising out of(a)the presence or suspected presence of
Hazardous Material in the soil, groundwater or soil vapor on or about the Real Property, or(b)
the migration of any Hazardous Material from or onto the Real Property, or(c)the violation of
any Environmental Law, and, with respect to (a), (b) and(c),that existed as of or prior to the
Closing Date and only if it did so in violation of Seller's representations. This indemnification of
Purchaser by Seller includes, without limitation, costs incurred in connection with any of the
following:
a. Any investigative or remedial action involving the presence of Hazardous
Material on or about the Real Property or releases of Hazardous.Material from the Real Property;

b. Any allegations made by any governmental authority or any private citizen or
entity or group of citizens or entities as to the violation of any Environmental Laws involving the
Real Property or the operations conducted thereon; and/or
c. Any injury or harm of any type to any person or entity or damage to any
property arising out of, in connection with or in any way relating to (i) the generation,
manufacture, refinement, transportation,treatment, storage, recycling, disposal or release, or
other handling of Hazardous Material on or about the Real Property or pursuant to the operations
conducted thereon, and/or(ii) the violation of any Environmental Laws, and/or(iii)the
contamination of the Real Property.
10.5 Environmental inspection. During the Feasibility Study Period, Purchaser upon
reasonable notice to Seller will have the right to take soil and water samples (including
groundwater samples) from the Real Property, and to test and analyze those samples to determine
the extent of any contamination of the soils and water(including groundwater) on or about the
Real Property. If,based on the results of those inspections and/or tests, Purchaser determines
that the condition of the Real Property is unsatisfactory or if Purchaser believes that its
ownership of the Real Property would expose Purchaser to undue risks of government
intervention or third-parry liability,Purchaser may, without liability, cancel the purchase of the
Property and terminate this Agreement.
11. C on ingencies. The obligations of the parties to this Agreement are contingent
upon the occurrence of the following on or before the date of closing.
11.1 Approval by the City Council of the City of Renton to execute this Agreement and
authorize the closing of this transaction.
11.2 Review and approval within 30 days by Purchaser of all records of the Seller
related to the condition of the premises, if any are in the possession or control of Seller, including
but not limited to the following: Hazardous material liens filed against the property; all
environmental checks or environmental impact statements prepared in connection with the
premises in the past; soils reports; blueprints for the improvements on the premises; building
plans; aerial photographs; agency records regarding the use or release of hazardous waste on the
premises; and any environmental audit of the premises, in the use thereof,to ascertain the
presence upon the premises of any hazardous substance(as defined by RCW 70.105.D.020(6)),
or the release thereof which has resulted in or contributed to the need for remedial action under
PURCHASE AND SALE AGREEMENT- 6 .
RCW 70.105.D. Seller is not obligated to obtain for review by the Purchaser,records which it
does not actually have in its possession.
11.3 Receipt and approval within 90 days of such studies and/or environmental
assessments or audits as may be deemed necessary by the purchaser, and at the expense of the
purchaser, to determine the presence of any hazardous substance (as defined by RCW
70.105.D.020(6)), or the release thereof which has resulted in or contributed to the need for
remedial action under RCW 70.105.D. As a part of this environmental assessment,the Purchaser
shall have the authority to enter upon the property to inspect it, and to interview such parties as
may be deemed appropriate by Purchaser, including present or prior employees of the Seller,
regarding the prior use of the premises. Purchaser shall make a copy of any report or
environmental assessment of the property available to the Seller immediately. The Purchaser
shall pay the cost of Purchaser's studies and tests and shall indemnify and hold harmless Seller
from any loss, cost, liability or expense caused by its inspection, studies or environmental
reports.
11.4 Receipt of a feasibility study of the property for use as a surface water retention
facility, acceptable to Buyer at Buyer's sole discretion, including any geotechnical reports or
other reports, acceptable to Buyer at Buyer's sole discretion.
12. Existing Septic ,System. If the existing septic system for the residence at the
southeast corners of the Seller's property intrudes into the premises, or if seepage from the
system affects the premises,the Purchaser may correct any deficiencies in the Seller's system as
the Purchaser sees fit. The corrections may include repairing or rebuilding the existing drain
field and septic system, abandoning the existing septic system and connecting the residence to
sanitary sewer, or any other actions the Purchaser determines necessary to reduce septic
discharge to the premises.
The Purchaser will be the sole determinant of what corrections, if any, are needed.
The Purchaser may perform the work at a time of his choosing, any time before or during
construction of the Purchaser's project on the premises.
The Purchaser will be responsible to obtain and pay for all permits, fees, and construction
of the new side sewer, or repair of the existing septic system.
The Seller will grant free and full access to his remaining property for all work the
Purchaser, or its agents, needs to do for the existing septic system, drain field, and new side

sewer. The Seller will support the Purchaser's efforts by providing any needed signatures,
approvals, and information, as the property or septic system owner, on any permits or
applications.
The Seller will be responsible for all future sewer costs including but not limited to
monthly use fees, charges, any future assessments, and any future maintenance and repair costs
associated with the new side sewer, and abandoned or repaired septic system.
13. Continuation and survival of representations and warranties. All
representations and warranties by the respective parties contained in this Agreement or made in
writing pursuant to this Agreement, including Section 12 herein, are intended to and will remain
true and correct as of the time of closing,will be deemed to be material and will survive the
execution and delivery of this Agreement and the delivery of the Deed and transfer of title. Such
representations and warranties, however, are not assignable and do not run with the land, except
as may be expressly provided herein or contained in a written instrument signed by the party to
be charged.
14. Governing law. This Agreement will be governed by and construed in
accordance with the laws of the state of Washington.
15. Nonmerger. The terms and provisions of this Agreement, including,without
limitation, all indemnification obligations, will not merge in,but will survive,the closing of the
transaction contemplated under this Agreement.
16. Default. If either party defaults in his contractual performance herein,the non-
defaulting party may seek specific performance pursuant to the terms of this Agreement,damages,
or rescission. The non-defaulting parry shall be entitled to recover its costs and attorney's fees in
the event counsel is retained as a result of such default.
17. Miscellaneous. There are no verbal or other agreements which modify or affect this
Agreement. Time is of the essence of this Agreement. Purchaser has not consulted with,nor
discovered the respective parcels through the use of a realtor or other agent and there are no fmder's
fees or commissions due upon this transaction. Facsimile transmission of any signed original
document, and retransmission of any signed facsimile transmission, shall be the same as
transmission of an original. At the request of either party,or the Closing Agent,the parties will
confirm facsimile transmitted signatures by signing an original document. Notices given under this

18. Residency of Seller. Seller warrants to Escrow Agent that if Seller is an individual,
Seller is not a non-resident alien for purposes of U.S. income taxation or if Seller is a corporation,
partnership,trust,or estate, Seller is not a foreign corporation, foreign partnership,foreign trust or
foreign estate.
19. Exchange Cooperation. If requested to do so by Seller,Purchaser shall cooperate
in a simultaneous or deferred exchange by permitting Seller to assign this agreement to a third party
("Exchange Facilitator")and by accepting a conveyance of the premises from the Exchange
Facilitator. The assignment may take effect only simultaneously with the closing under this
agreement. In no event shall Seller be relieved of any liability under this agreement by reason of
the assignment, and the Exchange Facilitator shall have no right to enforce this agreement that
Seller would not have if there had been no assignment. Purchaser shall not be required to bear any
escrow,title or other expenses in an amount greater than those Purchaser would bear if there were
no exchange,nor shall Purchaser be required to expend any sums of money in connection with the
exchange. Purchaser shall not be required to execute any document creating personal liability or
assume or be exposed to any liability in connection with an exchange,nor shall the Closing Date be
extended to consummate an exchange. In no event shall Purchaser be required to take title to any
property other than the premises, and in no event shall Purchaser be responsible for any tax
consequences to Seller or any other party in connection with an exchange. Seller agrees and
covenants to defend, indemnify,protect and hold harmless Purchaser from any liability, damages,
loss,cost or expense(including reasonable attorneys'fees)of whatsoever kind and nature arising
out of any exchange.
20. The Seller agrees to provide to the Purchaser within five(5)days of the mutual
acceptance of this agreement a Real Property Transfer Disclosure Statement pursuant to R.C.W.
Chapter 64.06.

21. Adjustment of PralleM Purehased. In the event the Purchaser's studies and
subsequent design determine that Purchaser needs more of Seller's property than first
determined, Seller agrees to sell to Purchaser the additional property at the per square foot value
determined by the appraisal commissioned by Purchaser, except that that appraisal must satisfy
the valuations under contingency section 10.4. -7X

16th St recommended a public meeting be set on 07/23/2001 to consider the 10%
Notice of Intent to Annex for the proposed Vuong Annexation; approximately
2.25 acres located at 13642 SE 116th St. Council concur.
Human Services: 2001 Local Human Services Division submitted application for 2001 Local Law
Law Enforcement Block Grant Enforcement Block Grant, and recommended Council set public hearing on
(LLEBG)Application 08/13/2001. Council concur.
Utility: Vuong Pro e Surface Water Utility Division requested the following: approval of a purchase
(13642 SE 16th St)Purchase and sale agreement with Binh K. and Ha Tat Vuong to purchase 1.12 acres
& NE l6th St I Anacortes Ave located at 13642 SE 116th St.in the amount of$213,500 for construction of a
NE Storm System stormwater detention pond; and approval of a consultant contract with CH2M
Improvement&Detention Hill in the amount of$122,535 for the NE 10th St./Anacortes Ave. NE Storm
Pond Project, CH2M Hill System Improvement and Detention Pond project. Council concur.
Airport: WorldWind Transportation Division recommended authorization of an airport sublease from
Helicopters Operating Permit South Cove Ventures dba AeroDyne Aviation to WorldWind Helicopters, Inc.
& Sublease and requested approval of a five-year operating permit with WorldWind
Helicopters, Inc. Refer to Transportation (Aviation) Committee.
CAG: 98-132, Logan Ave S Transportation Systems Division submitted CAG-98-132,Logan Ave. S.
Improvements, Gary Merlino Improvements; and recommended approval of the project, authorization for
Const Co final pay estimate in the amount of$976,026.51, commencement of 60-day lien
period, and release of retained amount of$49,028.69 to Gary Merlino
Construction Co., Inc.,contractor, if all required releases are obtained. Council
concur.
At the request of Council,Planning/Building/Public Works Administrator
Gregg Zimmerman provided additional information regarding items 7.c. and
7.e., the purchase and sale agreement for the Vuong property located at 13642
SE 116th St, the consultant contract for the NE IOth St./Anacortes Ave. NE
Storm System Improvement and Detention Pond project, and the proposed
Vuong annexation. He explained that the original design to alleviate flooding
along NE loth St. and Anacortes Ave. NE, which included an outlet to Honey
Creek,required a Hydraulic Permit by the Washington State Department of
Fish and Wildlife (WDFW). WDFW denied the permit because of concerns
that the proposed pipe system would increase peak flow to Honey and May
Creeks and adversely affect fish life.
Continuing,Mr. Zimmerman stated that an alternate design is being pursued to
use a detention system to reduce peak stormwater flow and flooding which
requires the purchase of 1.12 acres located at 13642 SE 116th St. for the
construction of a detention pond. The purchase and sale agreement contains a
clause that makes the sale contingent on the site being feasible for construction
of the detention pond. Mr. Zimmerman explained that the subject property is
located in unincorporated King County; therefore, a public meeting is requested
to consider the 10%Notice of Intent to Annex for the proposed Vuong
Annexation consisting of approximately 2.25 acres.
Responding to Council inquiry regarding funding for this project, Chief
Administrative Officer Jay Covington confirmed that funds have been set aside
in the 2001 Surface Water Utility Capital Improvement Program budget to
address the flooding problems in this area.

CORRESPONDENCE Electronic mail was read from Cindy Williams, 3129 SE 5th St., Renton,
Citizen Comment: Williams— 98058,requesting that the use of fireworks be banned in the City of Renton.
Fireworks Ban Ms. Williams questions the benefit the City derives from allowing fireworks
and wonders why fireworks are still legal. Mayor Tanner commented that the
use of fireworks on July 4th did not result in any significant fires, so the cost to
the City this year was minimal.

OLD BUSINESS Planning and Development Committee Chair Keolker-Wheeler presented a
Planning&Development report regarding the preservation of the Lande Feed building. The Committee
Committee discussed with the Renton Historical Society available resources for the
Community Services: Lande relocation and preservation of the Lande Feed building. The Historic Society
Feed Building Preservation was unable to identify any additional funding sources or options for the
preservation of the building. Therefore, the Committee recommended no
further action be taken on this matter. MOVED BY KEOLKER-WHEELER,
SECONDED BY CORMAN, COUNCIL CONCUR IN THE COMMITTEE
REPORT. CARRIED.
Development Services: One Planning and Development Committee Chair Keolker-Wheeler presented a
Valley Place Rezone,Removal report regarding the removal of restrictive covenants for Valley Medical
of Restrictive Covenants (R- Center; covenant required for approval of One Valley Place Rezone(R-81-
81-047) 047). The Committee recommended concurrence with the staff
recommendation to authorize the removal of restrictive covenants required as a
condition of rezone of the subject property to P-1 (Public Use) in 1981. The
covenants required that development of the site be limited to a Planned Unit
Development subject to the Planned Unit Development regulations.
The covenants are no longer relevant to present conditions surrounding the
subject site and unduly encumber the property. Therefore,the Committee
recommended allowing the applicants to proceed with removing the restrictive
covenants from the land title. The Committee further recommended that the
Council authorize the Administration to prepare any necessary documents for
executing removal of the covenants. MOVED BY KEOLKER-WHEELER,
SECONDED BY CORMAN, COUNCIL-CONCUR IN THE COMMITTEE
REPORT. CARRIED.
Planning: Request for Zoning Planning and Development Committee Chair Keolker-Wheeler presented a
Text Amend re Boat& report regarding recreational vehicle(RV) and boat storage. The Committee
Recreational Vehicle Storage met on June 7th, 25th, and July 9th, to review a property owner's request to add
RV and boat storage to the list of uses allowed in the Commercial Arterial (CA)
zone.
• The Committee recommended that RV and boat storage be included in a
revised definition of"Vehicle Storage"replacing the definition of"Storage
Lot" in Title IV, Section 4-11-190, Definitions "S", as: "A specially
designed,paved, and enclosed or partially enclosed area for parking or
holding of operable motor vehicles, boats or wheeled equipment for more
than seventy-two hours."
