The scope of this report included reading and evaluating several environmental assessment reports provided by the City of Renton and communication with the Glacier Park Company to determine if additional reports were available for review. This report presents our opinion regarding the completeness of the referenced reports, their suitability for the intended purpose, and the validity of recommendations presented therein. The scope of this project did not include activities to correct perceived data deficiencies, and the report draws no conclusions regarding the suitability of the properties for acquisition by the City of Renton. This report provides our interpretation of the generally accepted standards of care for a Level 1 Environmental Assessment, describes the evaluated reports, summarizes our evaluation of each of the individual reports, provides general comments regarding the site, and presents our recommendations. 1.0 Introduction — Level 1 Environmental Assessments In recent years, stringent environmental regulations that generally hold a property owner responsible for the cleanup of hazardous materials releases on his property have been adopted on a state and federal level. With the advent of these regulations, the acquisition of property, particularly industrial property, entails a certain amount of financial risk that varies with the types of activities that may have occurred on the site. Evaluation of this risk involves interpreting the likelihood that hazardous materials will be found on the site, that they will exist in sufficient quantities to require a cleanup, and the cost of such a cleanup. A Level 1 Environmental Assessment (Preliminary Assessment) is the first of three levels of effort for environmental investigations or evaluations intended to assist in establishing the degree of risk assumed by the potential purchaser. Level 1 Environmental Assessments are performed to identify the potential for contamination by hazardous materials in the soil or groundwater at a site. This potential is evaluated by: • performing historical research into past activities at the site, OFFICES IN AUSTRALIA,CANADA,GERMANY,HUNGARY,ITALY,SWEDEN,UNITED KINGDOM,UNITED STATES May4,1992 2 PR3-1920 • observing historical and current aerial photographs showing the sequence of site development, • reviewing records and lists of hazardous materials releases kept by environmental agencies, • researching other available records, • conducting interviews of site residents, neighbors, and public service authorities that have jurisdiction over the project site, and • performing a site inspection to observe for evidence symptomatic of a release. Level 2 Environmental Assessments are scoped to verify that a release has occurred. Investigations at this level usually include limited sampling of soil, sediments, surface water, and/or groundwater in order to determine if hazardous materials are present on the site. Level 3 Environmental Assessments are intended to determine the extent or severity of contamination. These investigations typically include extensive sampling programs, combined with groundwater investigation and modeling, in an attempt to determine the quantity of hazardous material present, where it is located, where it might have migrated, and frequently, how much it will cost to clean it up. In some cases, various levels of environmental assessment may contain elements of a higher or lower level of effort. For instance, a very limited sampling program may be instituted within a Level 1 assessment to obtain preliminary data, often to support recommendations for a more extensive Level 2 study. 2.0 References Documents by the City of Renton supplied for evaluation were originally obtained from the Glacier Park Company, a division of Burlington Northern Railroad. These included a total of five reports. Four of the five reports are entitled "Preliminary Environmental Assessments" by the authors. These are equivalent to Level 1 Environmental Assessments as described above. The fifth report is categorized as a "Preliminary Surface Water and Sediment Quality Assessment' by the author. On the basis of its limited scope, this report might be considered to be a supplement to the accompanying Level 1 report, but it does not include sufficient detail to classify it as a Level 2 investigation. First, sources of information that currently are widely used in preparing Level 1 environmental assessments appear to have been neglected in the preparation of all of the above referenced reports. The omission of data from these sources does not necessarily negate the value of the reports, however we believe that these sources should routinely be consulted in preparing Level 1 assessments since they are readily available and enhance the investigators knowledge of the property. These sources include the following. 3.1 Title History Reports Title history reports, researched by a licensed title history firm, provide valuable information regarding the transfer of properties, primarily by giving the names of individuals or corporations that may have historically owned the property. Typically, title history reports are researched back 25 to 50 years prior to the present. The environmental assessment investigator reviews the reports, alert to acquisition of the property by firms that are either known to have a history of releases to the environment at other sites, or are engaged in work that historically has resulted in releases. Typical observations that might result in recommendations for further study might include evidence that a property was owned by a dry cleaning firm, auto wrecking yard, automobile service station, aircraft manufacturer, or electrical power company. All of these types of operations are potential sources of environmental contamination. All of the parcels listed were described as having agricultural use until the mid-1960's, whereupon Burlington Northern Railroad acquired the property. These data may be sufficient to understand the recent history of the property, however, they do not address the possibility that some of the land may have been used for industrial purposes (including chemical dumping) and then reverted back to agricultural use prior to the 1960's. Since no statement was made in any of the reports regarding title history searches, it is assumed that none were performed. 3.2 Local public service agencies In preparing Level 1 environmental assessments, Golder Associates investigators typically contact representatives of county health departments, fire departments, and public works agencies to determine if they have any records on file concerning the subject property. This may result in information about buildings that may have burnt down (that may have contained hazardous chemicals), public complaints about health risks that predate or otherwise don't appear on Ecology or EPA records, or observations that may have been made during public works construction or maintenance activities adjacent to the property. None of the referenced reports mention any contact with health, fire, or public works departments. 3.3 Interviews with local residents / businesses Recollections of past activities at the project site by residents or workers at neighboring properties may sometimes provide valuable information about the potential for environmental releases. For example, a neighbor might recall a chemical spill or other inadvertent release that might not appear in public records. Information obtained from Golder Associates May4,1992 4 PR3-1920 these interviews must be regarded with a certain degree of skepticism, but it may be of sufficient importance to recommend further investigation. None of the reports mention that interviews were attempted or accomplished. 3.4 Business directories If available, a historical search of city business directories may reveal the-names of firms that may have been in business on the site. A review of the types of businesses historically occupying the property, in a manner similar to the title history reviews, may identify past site practices with the potential for environmental contamination. Only the Hart Crowser report for GPC Property Sequence 968 mentions an attempt to locate businesses in a city directory. 4.0 Summary of Environmental Assessment Reviews The following sections briefly summarize our additional observations concerning the individual environmental assessments. As observed in Section 3.0 all of the following reports are consistent in their omission of reference to title history searches, interviews with local agencies or neighboring property holders, or business or city directories (with the exception of the Hart Crowser report for Sequence 968). 4.1 Preliminary Environmental Assessment, GPC Property Sequence No. 968, Parcels 13 and 14, Renton, Washington,J-3405B, October 11, 1991; Francisco, Diane and Winter, David (Hart Crowser) The primary concerns noted in this report are related to the source of fill material that may have been transported to the site, surface water that may have flowed across the property from Sternoff Metals, and potential groundwater contamination that may have migrated within the property boundaries from Olympic Pipeline Terminal or Longacres Park. These concerns appear to be appropriate at the current level of investigation. The potential for contaminated fill and/or surface contamination resulting from runoff from the Sternoff site appear to be the most significant of the potential problems. Hart Crowser's recommendations for a sampling program appear to be consistent with the potential for contamination from these sources, although the scope of the suggested Level 2 investigation appears to be somewhat ambitious. The Hart Crowser recommendations call for sampling and analysis of fill materials and creek sediments for chlorinated organic compounds, polyaromatic hydrocarbons, metals, inorganic compounds, PCBs, and dioxin. For the purposes of a Level 2 investigation, it would be more economical and would provide sufficient information concerning the presence (but not the extent) of contamination to choose the most likely target compounds (for instance, petroleum hydrocarbons, lead, and one or two other compounds, based on an examination of the parameters found at Sternoff) and analyze only for them. If the target parameters are found, then an informed decision may be made to proceed with the more expensive Level 3 investigation, decline the property transfer, or pursue other avenues. Similarly, the recommendation to complete a hydrogeological survey to determine directions of groundwater flow on the property may also provide information of limited use at unneeded expense. Unless it can be demonstrated that groundwater beneath the site is actually contaminated, it appears that understanding its movement is of little interest. It might be of more value to obtain groundwater samples along the borders of the property, adjacent to the properties with known contamination. If the groundwater beneath the project site appears uncontaminated, there would be no real incentive to continue to characterize the hydrogeological conditions. Golder Associates • May4,1992 5 PR3-1920 Finally, the site reconnaissance described the site as being heavily vegetated, but no observations are made concerning the presence of stressed vegetation (a characteristic common to contaminated sites). The potential for contamination, as described in the Hart Crowser report, appears to be consistent with the types of described activities that have occurred on the site and adjacent properties. The recommendations for further investigation are appropriate, but may indicate a higher level of effort than may actually be required to check for the actual presence of hazardous materials at the site. 4.2 Preliminary Surface Water and Sediment Quality Assessment, Springbrook Creek- Orillia Industrial Park, Renton Washington,J-3405C, October 21, 1991; Carpenter, Kathryn and Winter, David (Hart Crowser) This report describes a limited sediment and surface water sampling and analysis program that was accomplished at the project site evaluated in Section 4.1. The project involved the collection of stream water and sediment samples from Springbrook Creek near where it enters and exits the property. The water samples exhibited slightly elevated concentrations of barium. The sediments contained elevated petroleum hydrocarbons or related constituents, chromium, and lead. None of the reported constituents were interpreted by Hart Crowser to exceed cleanup standards. The report does not extrapolate these data to the rest of the site, in keeping with generally accepted engineering practice. However, the report does indicate that the stream sampling may be indicative of local groundwater conditions, since groundwater in the area generally discharges to the creeks. This assertion may not take into consideration on-site groundwater plumes that have not yet reached the creek due to retardation through the soil, or that may exist in the groundwater in elevated concentrations that are subsequently diluted when they reach the creek, or that flow in a different direction. 4.3 Preliminary Environmental Assessment, Orillia Corporate Park Property (Sequence 120), Renton, Washington, K/J/C 896082.00, December 29, 1989; DuCharme, Michael and Lloyd, Michael (Kennedy/Jenks/Chilton) The conclusions and recommendations provided in this report appear consistent with the site observations and agency reviews performed, although our observations made in Section 3 apply to this report, as well as the other K/J/C reports. Other observations noted in our evaluation of this report include: • The source of the earth fill used on this site was identified, and was not considered to be a matter of concern. If the same fill was used on Sequence 968, it may help alleviate concerns about the fill located on that property. • A "hi-tech metal manufacturing" company was observed as a current or past tenant on the property, but was not further identified. Is this Sternoff Metals or another firm? Several types of contaminants could potentially be released from a metal fabricator, including metals, chlorinated solvents, plating solutions, or acids/bases, depending on the type of operations performed. • An oily sheen was noted on the surface of Springbrook Creek, which crosses the property. • The maps shown in Figure 1 and Figure 2 appear to be inconsistent, making it unclear as to which parcels were actually inspected. • An area of discolored soil noted from a previous report referenced in the field checklist section could not be located during this investigation. The observations made in Section 3.0 apply here. Other observations include: • Oily sheens were observed on limited portions of Springbrook Creek • Figure 2 is identical to Figure 2 in the Sequence 120 report, and is inconsistent with Figure 1 as well as the description of the property given in the text of the report. 4.5 Preliminary Environmental Assessment, Orillia Corporate Park Property (Sequence 968), Renton, Washington, K/J/C 896082.00, January 19, 1990; DuCharme,Michael and Lloyd, Michael (Kennedy/Jenks/Chilton) The conclusions and recommendations provided in this report generally appear to be supported by the information presented. The observations made in Section 3.0 apply here. Other observations include: • Although it is stated that storm water culverts discharge onto the site, the potential source of the storm water is not identified. This could vary considerably in importance, depending on the collection area, since several suspected hazardous materials sites are located in the vicinity. • The field checklist notes a "small electrical substation", presumably associated with the Puget Power easement, in a section describing existing structures. The location is not noted on the figures, contrary to the instructions provided on the field checklist form. However, sections of the checklist entitled "Transformers" and "TCSA: PCB Transformers' are noted as "none" or "NA". This appears to be inconsistent, since substations are usually associated with transformers or similar equipment such as switches, capacitors, reclosers, etc. Substations have frequently been a source for PCB contamination in the past, even though current practice does not include the use of PCB oils. No mention is made in the text of the report concerning the substation, and it is not known if inquiries were made to Puget Power regarding it. 5.0 Conclusions In our opinion, the environmental assessments reviewed generally serve the purpose for which this type of study is intended, that is, they identify potential sources of contamination that may have affected the target properties. Several departures from currently accepted standards of practice were noted, most significantly the omission of title history searches and contact with county health departments, fire departments, or public works departments. These deficiencies may have affected the conclusions presented in each of the reports, although it is unlikely that any additional information from these sources would substantially alter any conclusions, unless evidence for a significant release was found. On the basis of the information presented in the reports, the conclusions appear to be reasonable. The environmental assessments that were the basis of this review provided several recommendations for additional study. These recommendations also appear to be appropriate, and should be accomplished to further evaluate the potential for contamination at the site. Although the level of effort required to confirm or deny potential releases and characterize groundwater conditions is somewhat debatable, it is our opinion that the scope of work recommended in the environmental assessments is Golder Associates T May4,1992 7 PR3-1920 sufficient for a Level 2 environmental assessment. It appears that Mitigation Bank Site 1 contains approximately 18 .78 acres of wetlands and Mitigation Bank Site 2 contains approximately 6.77 acres of wetlands for a total of approximately 25.6 acres of wetlands and approximately 19. 35 acres of uplands existing in the mitigation banks. Of this total, the report states that approximately 8 .03 acres of wetlands on the bank sites are enhanceable. The conceptual mitigation plan indicates that these mitigation banks will include preserved forested wetlands, enhanced wetlands, open water, emergent marsh, shrub buffer, created scrub-shrub wetland, created open water and emergent plantings . The report does not contain any information relative to creation of wetlands nor does it contain any information pertaining to the referenced applications and the participation of these separate nationwide permittee's in the mitigation scenario. Although we have been informed that the city of Renton is requiring these separate parcels to participate in the mitigation banks, we do not have any details supporting this . Enclosed is a location map listing the 8 separate nationwide permits issued for the individual parcels as shown on the map. This enclosure also includes individual and total wetland fill for the 8 parcels. Our records indicate that the 8 separate nationwide permits will allow approximately 6. 57 acres of total fill into wetlands. Please submit additional information as to which parcels will be participating in the mitigation bank, the ratios you expect when participating in the bank and if the ratios are expected to be different for creation versus enhancement of wetlands . Please submit any finalized mitigation bank drawings and/or established banking parameters for the different applicants and parcels referenced above. -2- We are requesting this information because currently there is no way for the Corps of Engineers to track applicants and/or permittees utilizing the mitigation bank. In the future we may require an applicant to submit mitigation plans for fill activity under Nationwide Permit No. 26 or under the individual permit process and we will need information and updates as to which mitigation banks are accessible for use and how much wetland creation and/or enhancement is still available at these banks. We need to ensure that duplicate banking does not occur at these sites and to ensure appropriate ratios are obtained for filled wetlands versus created and/or enhanced wetlands on the mitigation bank sites. We would also like to reemphasize and clarify our position on the Nationwide No. 26 permitting of the above referenced applications. Our decision to issue separate nationwide permits was based solely on our determination, that the separate parcels were not a "single and complete" project. Our decision was autonomous from the mitigation bank concept and remains as such. The Corps, in this case, did not "trade the right to fill some marginal wetlands in exchange for preserving significant wetlands elsewhere" . This erroneous assumption has been emphasized in several newspaper articles in the past two months. The articles also implied that the Corps "cut a deal " with the city of Renton for the separate nationwide permits. The basis of our determination was established through rigorous research and the gathering of background information pertinent to our decision on the single and complete aspect of the proposals. We would like to make it clear that the Corps does not "cut deals" for mitigation banking proposals and that we look at each application on a case by case basis. Any clarification that the city of Renton could provide to the media and the public on this aspect would be greatly appreciated. Please submit the requested information as soon as possible so we can update our files to contain the pertinent information on the mitigation banking. Also, please be aware that the Corps has confirmed the wetland delineation for the Mitigation-Bank 1 site (Corps Application No. 91-4-00149) , by letter dated February 28, 1992. Parties participating in the mitigation bank may need to get a permit from the Corps to perform some of the work, such as wetlands enhancement, on this site. (ORD 1743) 1965 The East Side Green River Watershed Plan is completed recommending measures to solve flooding within the valley. The P-1 channel is proposed as a part of this workplan. February, 1969 Glacier Park applies for rezone of roughly 300 acres from G to M-P and H-l. (R-560-69) September, October, 1969 Glacier Park asks city the to suspend processing of rezone application until it clarifies its intent for those properties. December, 1969 Glacier Park verbally gives the go ahead for rezone of part of application. The City Council approves rezone for a portion of the area from G to M-P. (ORD 2533) 1972 Construction of elements of the East Side Green River Watershed Workplan are postponed until an Environmental Impact Statement has been completed. June, 1974 The City Council passes a resolution in support of the Green River Flood Control Zone. In this resolution, the city agrees to acquire 110 acres within the flood control zone for wetland habitat. The city also agrees to require that at least 2% of each new development within the flood control zone be set aside for wildlife habitat. In addition, the city agreed that all areas not needed or used within the flood control zone should be planned and managed for wildlife open space until they are needed for development. RES 1923 April, 1975 Glacier Park applies for a fill and grade permit for 594 acres of land in the Green River Valley. (SP 822-75) July, 1975 Glacier Park requests reactivation of the remaining portion of the original rezone application. October, 1975 Burlington Northern agrees to exclude 20 acre wetland and P-1 channel from rezone application. November, 1975 Planning staff notes that, although 20 acres of the site with greenbelt designation have been excluded from the rezone and will be left in G zoning, a remaining portion of the proposed fill area is also designated for greenbelt by the comprehensive plan. The staff recommends to the Planning Commission that the remaining 80 acres of the proposed fill area which are in the greenbelt designation should be excluded-from the rezone until the location of the P-1 channel and the amount of wetlands which will be purchased by the city to comply with ORD 1924 have been determined. November, 1975 The city receives a petition with 38 signatures protesting the proposed fill of 80 acres of marshland. December, 1975 The first phase of fill permits are issued. December 1975 Planning Commission recommends approval of rezone requests as proposed by applicant. December, 1975 Burlington Northern sends letter to City Council expressing intent to donate 20 acres of land to the city and reserve land for the P-1 channel help the city satisfy the requirements of ORD 1924 and finish the Valley Drainage Plan. They express that the 20 acre donation can be sold and used to purchase other wetland areas if the city so desires. December, 1975 Audubon Society objects to rezone and till of 80 acres of potential wetland and wildlife habitat area on the grounds that it would be inconsistent with the comprehensive plan. December, 1975 City Council removes 80 acres from pending rezone and fill requests pending further information and study. February, 1976 Burlington Northern notes that it does not wish to give up additional acreage but would be willing to allow the city a one year option to purchase the remaining 37 acres at $10,000/acre. February, 1976 Glacier Park donates 20 acres of land to the City of Renton to be set aside for wetland, wildlife habitat and open space purposes pursuant to the 2% wetland habitat requirement of RES 1924. March 1976 Rezone of 271 acres from G to M-P and H-1 is approved by the City Council. The 20 acre donation lot is excluded from the rezone. The 39 acres are held in abeyance of the rezone for two years for potential acquisition by the city. (ORD 3012) October 1976 Second phase of fill and grade permits are issued under the condition that 39 acres of the site are excluded from the fill permit. The Commission also added a condition that the 39 acres be held for potential acquisition by the city on a year to year basis until the applicant has use for the property. October, 1978 The Basin Executive Committee and Soil Conservation Service agree to explore detention and alignment alternatives. January, 1978 Preliminary Plat for 464 acres is approved under the condition that Springbrook Creek and the P-1 drainage channel be reserved for drainage, wildlife habitat and public access in perpetuity. The 39 acre wetland is reserved for potential acquisition by the city until Feb., 1978. (PP-086- 77) May, 1978 Glacier Park submits Division I final plat application. July, 1978 Division I of the final plat is approved by the City Council. These parcels become available for subsequent development. (FP-176-78) January, 1979 Glacier Park applies for approval of Division II of the final plat. February, 1979 King County requests that approval of Division II final plat be delayed until completion of the feasibility study on the detention alternative for the East Side Green River Watershed Project. February, 1979 Division II Final Plat is approved by the Hearing Examiner. Questions remain about alignment of drainage system, however, the Hearing Examiner concludes that these issues are not sufficient to delay approval of the plat. The Hearing Examiner noted that the plat may need to be modified if Springbrook Creek were expanded, however, the other alternatives were adequately accommodated in the plat. (FP 278-79) March, 1979 Division II Final Plat is approved by the Renton City Council. These parcels become available for subsequent development. June, 1979 EIS for East Side Green River Watershed Project is issued. August, 1979 Glacier Park requests permission to fill remaining 39 acre site. August, 1979 Renton City Council goes on record as not being in the position to acquire the additional 39 acres of the site for wetland because of lack of funding. September, 1979 Planning Department responds that, upon review of the previous application for fill, it was determined that this site was not included in the fill permit in order to provide for flood storage until permanent flood control measures were implemented. The Department concluded that a new application for fill of this site was required. November, 1979 ` Glacier Park submits application to fill 25 acres of the site along with environmental checklist. (SP-451-79) February, 1980 A declaration of environmental significance is issued for the fill application. February, 1981 Burlington Northern request that the city pay for the cost of conducting an environmental impact statement in compensation to B.N. for withdrawing the site from the original fill permit application. February, 1981 City responds that pre-established rights to fill the site do not exist and that the proposed fill application must undergo full environmental review. February, 1980 The Revised Watershed Plan for the East Side Green River Valley Watershed is approved. May, 1981 Amplification of 1979 East Side Green River Watershed Plan EIS is issued to reflect revised plan. 1982 Local sponsors withdraw from East Side Green River Watershed Plan due to cost and funding problems. 1983 City of Renton assumes lead-agency responsibilities for East Side Green River Watershed Plan from King County. March, 1984 Glacier Park's application for 25 acre fill and grade permit is closed due to inaction on the application. 1984-1990 City of Renton undertakes construction of some elements of the ESGR Watershed Plan. 1990 City begins environmental review of additional revised elements of the ESGR Watershed Plan. 120621//8oS i WETLAND MITIGATION BANK AGREEMENT THIS AGREEMENT is entered into this I8A� day of �+X,_ , 1992 by and between THE CITY OF RENTON, a Washington munici al corporation (the "City" ) , and GLACIER PARK COMPANY, a Delaware corporation ( "GPC" ) . WHEREAS the City desires to encourage economic development in the Orillia area consistent with city zoning, comprehensive plans, and past investments for public infrastructure; WHEREAS the City desires to establish a more flexible creative method of regulating development in and around emerging wetlands that can serve as a model program for future development in the City and other jurisdictions; WHEREAS the City desires to establish and expand a regional wetland system located near Springbrook•Creek and other significant wetlands; WHEREAS the City desires to increase flood storage along the Springbrook Creek corridor; WHEREAS the City desires to implement a master plan for addressing storm water control, recreation facilities, open space, and the preservation of critical areas; WHEREAS the City desires to obtain sites that may be used to mitigate and offset the loss of wetlands that may result from City-sponsored projects; WHEREAS GPC owns several tracts of real property located in the Orillia area of the City of Renton and more particularly described on Exhibit A attached hereto and incorporated herein by this reference (the "GPC Property" ) ; WHEREAS portions of the GPC Property have been filled with City approval in the past; WHEREAS GPC mitigated the prior fill activity by dedicating a wetland in excess of 15 acres in size to the City; WHEREAS the previously filled portions of the GPC Property have some low quality emergent wetlands; WHEREAS portions of the GPC Property that have not been filled contain some high quality wetlands; WHEREAS it is necessary to fill the low quality wetlands in order to obtain a reasonable economic use of the GPC Property; - 1 - WHEREAS the local improvement district assessments paid by GPC affect both previously filled areas and unfilled high quality wetland areas; WHEREAS GPC desires to eliminate special assessments, mitigation bank performance bond requirements, and property tax liabilities on properties that will never be developed; WHEREAS the City is willing to allow fill material to be placed in low quality wetlands provided there is no net loss of wetland acreage and functions , as required by the City' s Wetland Management Ordinance, through adequate mitigation; WHEREAS the City believes that wetland mitigation banking can provide a large, consolidated, and high quality wetland rather than the small, scattered, and low quality wetlands presently located on the filled portion of the GPC Property; WHEREAS GPC and the City recognize that a wetland mitigation bank could be used by other property owners and the City to offset the losses of low quality wetlands on other properties; WHEREAS GPC is in the process of liquidating its assets and dissolving the company; WHEREAS GPC is willing to dedicate to the City the property necessary to establish a wetland mitigation bank; WHEREAS the City can gain an economic benefit by formulating a mitigation bank with GPC; and WHEREAS GPC and the City are desirous of establishing an agreement to allow the consolidation of wetland mitigation in a central mitigation bank. NOW, THEREFORE, the parties agree: 1 . Mitigation Bank. The City and GPC shall establish a wetland mitigation bank (the "Mitigation Bank" ) on the real property more particularly described on Exhibit B attached hereto and incorporated herein by this reference in accordance with the terms of this Agreement. GPC has provided to the City and the City acknowledges receipt of a conceptual design of the completed Mitigation Bank together with a description of the available mitigation credits contained in the Mitigation Bank. Any wetland buffer required by City regulations for the wetlands in the Mitigation Bank and that affects the Benefitted Properties shall be contained wholly on the Mitigation Bank. 2 . Conveyance of Mitigation Bank. GPC shall convey the Mitigation Bank to the City by quit claim deed on or before June 15, 1992 . The City shall approve the necessary lot line adjustments required in order to configure the Mitigation Bank as - 2 - separate legal parcels . If the lot line adjustments are not completed by June 15 , 1992 , the Mitigation Bank shall be conveyed to the City by GPC within twenty (20 ) days after the lot line adjustments have been completed and recorded in the records of King County. 3 . Use of Mitigation Bank by Other Property Owners . The parties contemplate that other property owners may use the Mitigation Bank to mitigate wetland fills on their property. The quit claim deed pursuant to which GPC shall convey the Mitigation Bank to the City shall contain a covenant restricting the City and its successor and assigns from converting the Mitigation Bank to a use which does not maintain the Mitigation Bank as open space and from conveying the Mitigation Bank to any entity other than a public or not-for-profit organization. 4 . Placement of Fill Material . The City shall permit all the wetlands located on the real property more particularly described on Exhibit C attached hereto and incorporated herein by this reference (the "Benefitted Properties" ) to be filled. The fill material and the methods by which the fill material is placed shall comply with applicable City requirements . Prior to placing any wetland fill in excess of . 99 acres on one of the Benefitted Properties, any required approvals from the U. S . Army Corps of Engineers and the Washington State Department of Ecology shall be obtained. The City shall also approve a vegetation management plan that will permit all of the Benefitted Properties to be maintained by moving surface vegetation, removing trees, filling minor depressions, and conducting minor grading activities; provided, however, that the vegetation management plan shall not permit any clearing or grading activities within 200 feet of the ordinary high water mark of Springbrook Creek except as may be conducted in accordance with the City' s shoreline master program and regulations regarding landclearing and tree cutting. The fill material may be placed and the vegetation management plan may be implemented at any time after the Mitigation Bank has been conveyed to the City. Any Category 3 wetland that is not filled on the Benefitted Properties shall be protected by a wetland buffer not to exceed 25 feet in width. 5 . Subsequent Environmental Review. When GPC or its successors or assigns, submit plans and applications for development of any of the Benefitted Properties, the City shall issue determinations of non-significance, pursuant to the State Environmental Policy Act and City of Renton environmental ordinances and regulations, for the filling of any wetlands on the Benefitted Properties, and the placement of such fill material shall not be deemed to have a probable significant adverse environmental impact . However, the City may determine, after reviewing the environmental checklist, that other aspects or components of the proposed development of the Benefitted Properties do have a probable significant adverse environmental - 3 - impact such that additional environmental review or imposition of mitigating conditions is required for those other aspects or components of the proposed development . In addition, the City shall not require any wetland mitigation on account of the development of any of the Benefitted Properties regardless of any comments that are received by the City from any local, state, or federal agency. If any wetland mitigation is required for the subsequent development of the Benefitted Properties, the City shall pay for and complete any City required wetland mitigation within the Mitigation Bank. The City shall allow the proponent of any development of the Benefitted Properties to construct in the Mitigation Bank any wetland mitigation required by state or federal agencies for the development of the Benefitted Properties . The proponent of development of any of the Benefitted Properties shall pay for any wetland mitigation required for Category 3 wetlands in excess of a mitigation ratio of 1 . 5 : 1, and the City shall pay for all wetland mitigation required up to and including a mitigation ratio of 1 .5 : 1 . 6 . Support of Wetland Mitigation Bank Concept. The City shall support GPC, or its successors or assigns, if the U. S . Army Corps of Engineers or the Washington State Department of Ecology do not cooperate with the formation of a wetland mitigation bank as provided in this Agreement or if those agencies, or any other agency, seek to require additional mitigation in conjunction with the filling of the wetlands on the Benefitted Properties . 7 . Assumption of Indebtedness . The City shall assume GPC ' s obligation for and shall pay all outstanding and future amounts owed for local improvement district assessments, street improvement performance bonds, and property taxes for the Mitigation Bank. 8 . Compliance with City Regulations . This Agreement, the provisions contained herein, and the development of the Benefitted Properties in accordance with the provisions- of this Agreement comply with the City' s Wetland Management Ordinance and the City's ordinance regulating landclearing and tree cutting. 9 . Successors and Assigns . This Agreement and the provisions contained herein shall run with the land and shall benefit the Benefitted Properties and GPC and its successors and assigns . 10 . Amendments . Any amendment to this Agreement shall be in writing and shall be signed by the parties hereto or their successors or assigns . 4 - 11 . Governing Law.
