Under those circumstances, there is no need for legal review. The Task Orders themselves are technical in nature and have:fittle or no legal implication. My main scope of review is of the contract itself, and since the contract will not be changed I do not need to rereview the material. This contract shall be interpreted and construed in accordance with the laws of Washington. The Consultant agrees to indemnify, defend and hold the City and its officers and employees harmless from and shall process and defend at its own expense all claims, demands or suits at law or equity arising in whole or part from the Consultant's negligence or breach of any of its obligations under this Agreement provided that nothing herein shall require the Consultant to indemnify the City against and hold harmless the City from claims, demands or suits based upon the conduct of the City, its officers or employees and provided further that if the claims or suits are caused by or result from the concurrent negligence of (a)the Consultant's agents or employees and(b)the City, its agents, officers and employees, this provision with respect to claims or suits based upon such concurrent negligence shall be valid and enforceable only to the extent of the Consultant's negligence or the negligence of the Consultant's agents or employees except as limited below. The Consultant shall secure general liability, property damage, auto liability, and professional liability coverage in the amount of$1.0 million, with a General Aggregate in the amount of$2 million, unless waived or reduced by the City. The Consultant shall submit a completed City of Renton Insurance Information Form, and the Standard Acord Certification Form prior to the execution of the contract. The Consultant shall also submit copies of the declarations pages of relevant insurance policies to the City within 30 days of contract acceptance. The Certification and Declaration page(s) shall be in a form as approved by the City. If the City's Risk Manager has the Declaration page(s) on file from a previous contract and no changes in insurance coverage has occurred, only the Certification Form will be required. The limits of said insurance shall not, however, limit the liability of Consultant hereunder. All coverages provided by the Consultant shall be in a form, and underwritten by a company acceptable to the City. The City will normally require carriers to have minimum A.M. Best rating of A XII. RECOMMENDATION: The Surface Water Utility recommends approval of Annual Professional Services Contract CAG-94-139 with Dames & Moore, Inc., for Geotechnical Investigation of the Wetland Mitigation Banking Sites in the amount of $9,700.71 . The proposed new contract is less than $10,000 and may be signed by the Department Administrator. DISCUSSION: On July 19, 1993 the City executed a professional services consulting contract with Parametrix, Inc., to establish the technical and programmatic framework for the conversion of existing upland on the two City of Renton mitigation bank sites to wetlands and for the use of these wetlands to offset impacts to lower quality wetlands by private and public development that may occur in the same drainage basin. Site 1 is about 31 acres in size and is located near the northwest corner of SW 34th Street and Oakesdale Avenue SW. Site 2 is about 14 acres in size and is located adjacent to and east of Springbrook Creek, south of SW 34th Street, and east of Oakesdale Avenue SW in the City of Renton. Parametrix is scheduled to complete a full public review draft of the Wetland Mitigation Banking Program and Plan in February 1995. Alternatives for creation of wetlands on the sites will be presented in the plan with an assessment of the feasibility of each alternative. One of the most critical factors affecting the feasibility of the alternatives is the availability of a sufficient water source to support wetland creation. Surface water modeling and Mayor Earl Clymer Drainage Investigations Project Page 2 preliminary test pits information for the sites indicate that use of ground or surface water as a source may require significant amounts of excavation which will add to the cost of the project. The purpose of the proposed contract is to perform a geotechnical investigation of the two sites to more accurately evaluate the seasonal depth to ground water and its relationship to neighboring surface water sources. The investigation also includes field and laboratory characterization of the soil to assess the suitability of on-site soils for use in wetland creation, submit recommendations regarding dewatering and other construction methods, and to assess the marketability of the excess excavated soil as off-site fill material. If the on-site material is not useable as off-site fill, then the cost of excavation and disposal will be much higher. The information will be documented in a report which will be included in the Wetland Mitigation Banking Program and Plan document prepared by Parametrix as an appendix. The expenditure required for the proposed contract addendum is $9,700.71 . Funding for the contract is proposed from the Surface Water Utility's Wetland Mitigation Bank Plan capital improvement account budget (421/600/18.596.38.65.651 19). The unencumbered balance of the approved 1995 budget for this account is $300,000. The remaining 1995 budget for the Wetland Mitigation Bank Plan account will be used for the design and permitting of the Wetland Mitigation Bank site 2 construction and for general City administration and project staff costs. TO: ' Scott Woodbury FROM: Beverly Nelson Glode SUBJECT: Annual Professional Services Consultant Agreement with Dames & Moore for Geotechnical Investigation of the Wetland Mitigation Banking Sites i As a general rule the City does not accept General Liability coverage written on a claims made basis. The coverage will suffice for the above mentioned project if the contractor agrees to provide proof of uninterrupted coverage for three years after conclusion of the contract. Should the contractor's coverage with the current carrier be cancelled for any reason,the contractor must agree to secure an extended reporting period of three years with the current carrier. These changes will provide protection from loss somewhat similar to that provided by a policy written on a per occurrence basis. This assurance should be included in the contract. The City of Renton proposes to establish large contiguous wetlands on the proposed Wetland Mitigation Banking Facility. Excavation on Site 1 could potentially extend 4 to 6 feet below the existing ground surface, and excavation on Site 2 could potentially extend 8 to 12 feet below the existing ground surface. The purpose of this geotechnical investigation and consultation services is to evaluate the feasibility of creating an engineered wetland on the two sites. The evaluation will include assessing the permeability of the on-site soils. Also, the usability or marketability of the excess soils will be addressed. The specific scope of our services is outlined in Exhibit A, estimated schedule is provided in Exhibit B, cost estimate is itemized in Exhibit C, and details for the calculation of overhead and fringe costs are included in Exhibit D.
