Recitals A. AutoZone has acquired from O'Farrell under King County Recording No. ;;U9:Q 10 /;X, ft 1 certain real property located in the City of Renton, King County, Washington and illustratively shown as trot C on Exhibit A attached hereto and incorporated herein by this reference ("Lot C"). B. O'Farrell is the owner of certain abutting property located in the City of Renton, King County, Washington and illustratively shown Lot A on Exhibit A attached hereto and incorporated herein by this reference ("Lot A"). AutoZone desires, and O'Farrell has agreed to grant, the right of use for parking and pedestrian and vehicular access over and across a portion of Lot A for the benefit of Lot C under the terms and conditions of this Agreement. 11. Grant of Parking and Access Easement I. Grant of Easement. For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged. 1.1 O'Farrell hereby grants to AutoZone, for itself, its successors and assigns, for the benefit of and appurtenant to Lot C, a perpetual, nonexclusive easement for the purposes of parking and pedestrian and vehicular access (the "Access Easement") over and across the following described land: THE SOUTH 49.00 FEET OF LOT `A', CITY OF RENTON LOT LINE ADJUSTMENT NO. LUA-10-022-LLA, LND-30-0355, RECORDED UNDER KING COUNTY RECORDING 20100907900001. SITUATE IN THE CITY OF RENTON, COUNTY OF KING, STATE OF WASHINGTON. (hereinafter the "Access Easement Area") 1.2 AutoZone shall further have the right to construct: (i) a five foot (5') sidewalk along the south line of the Access Easement, (ii) parking stalls, and (iii) a driveway in the locations on Lot A as illustratively shown on the Illustrative Site Map attached hereto as Exhibit C. 1.3 AutoZone hereby accepts the Access Easement on the terms and conditions contained herein. 1.4 O'Farrell also grants to AutoZone, for itself, its successors and assigns, for the benefit of and appurtenant to Lot C, a temporary construction easement over a strip of land ten (14) feet in width and immediately adjacent along the north line of the Access Easement Area to the extent reasonable necessary for the purpose of installing and constructing such Access Easement (hereinafter the "Temporary Construction Easement"). The Temporary Construction Easement shall automatically terminate upon completion of construction. 2. Unimpaired Use of Access Easement Area/Use of Access Easement by Lot A. O'Farrell and its successors and assigns shall not unreasonably interfere with, restrict or impede use by AutoZone of the Access Easement Area or, while in effect, the Temporary Construction Easement, for the purposes described in this Agreement; provided, however, O'Farrell shall have the unconditional right for the benefit of Lot A to use the sidewalk, the parking stalls and the 06.43-tia 2 0 20141012001459.003 driveway area for pedestrian and vehicular access within the Access Easement granted under this Agreement. 3. Construction within the Access Easement Area/Permits. 3.1 AutoZone shall provide copies of construction and permit drawings to O'Farrell for O'Farrell's prior approval, which shall not be unreasonably withheld, conditioned or delayed. In the event AutoZone fails to obtain such approval from O'Farrell, AutoZone shall have no right to construct any improvements within the Access Easement Area, 3.2 Prior to commencement of construction of improvements within the Access Easement Area, AutoZone shall provide O'Farrell with fifteen (15) days advance written notice. 3.3 During the period of construction within the Access Easement Area, AutoZone shall maintain the Access Easement Area and Temporary Construction Easement in a reasonably neat and tidy condition and shall not unreasonably disrupt the use of Lot A. 3.4 AutoZone, at its expense, shall be required to obtain all necessary approvals and permits from the City of Renton for construction of sidewalk, parking stalls, and a driveway within the Access Easement Area and any such improvements shall be installed and constructed in accordance with all applicable laws and regulations. 3.5 In the event that AutoZone shall fail to construct within the Access Easement Area the improvements authorized under Paragraph 1.2 above prior to the issuance of a building permit to Lot A for construction-ofa building on Lot A, O'Farrell shall have the right, without prior notice to AutoZone, to construct a sidewalk, parking stalls, and driveway within the Access Easement Area upon receipt of required permits and approvals from the City of Renton consistent with the Illustrative Site Map in Exhibit C. Maintenance and Repair. 4.1 Ordinary Maintenance and Repair 4.1.1 O'Farrell shall maintain the Access Easement Area in good order, repair and condition, including resurfacing the Parking and Driveway Areas when commercially reasonably necessary to maintain the pavement in good order, repair and condition. Upon a determination that the Access Easement Area requires maintenance and repair under this Agreement, O'Farrell shall provide written notice to AutoZone of the nature of the maintenance and repair work and the cost of such maintenance and repair ("Notice of Ordinary Maintenance and Repair"). 4.1.2 Except in the case of an Extraordinary Repair, prior to the commencement of such maintenance and repair work, AutoZone shall have the right to object in an-zvao 3 9 20101012001459.004 writing, within ten (10) days of receipt of such Notice of Ordinary Maintenance and Repair, to either the nature of or the cost of such maintenance and repair work. In the event the parties cannot reach agreement on the nature of or the cost of such maintenance and repair work, O'Farrell shall have the right to proceed with such work and any such dispute shall be resolved by the dispute mechanism for defaults hereunder. AutoZone shall reimburse O'Farrell for fifty percent (50%) of the cost incurred by O'Farrell in maintaining the Access Easement Area, within thirty (30) days after AutoZone's receipt of each invoice reflecting the expenditure and AutoZone's share thereof. Any amount not paid when due shall bear interest at the rate of twelve percent (12%) per annum from the due date. 4.1.3 If O'Farrell fails to maintain the Access Easement Area or make any required repairs under this Section 4. 1, then AutoZone, after the continuance of any such failure for ten (10) days after written notice thereof is given by AutoZone to O'Farrell, may elect to perform such maintenance or make such repairs on behalf of and at the expense of O'Farrell and do all necessary work and make all necessary payments in connection therewith. O'Farrell shall reimburse AutoZone for fifty percent (50%) of all such maintenance or repair costs within thirty (30) days after O'Farrell's receipt of each invoice reflecting the expenditures. Any amount not paid when due shall bear interest at the rate of twelve percent (12%) per annum from the due date. 4.2 Extraordinary Repair. 4.2.1 In the event the need for an Extraordinary Repair ("Extraordinary Repair") occurs, O'Farrell shall have the right to proceed to make such extraordinary repair without prior notice to AutoZone; provided, however, O'Farrell shall provide AutoZone with notice not more than five (5) days after such extraordinary repair ("Notice of Extraordinary Repair') is made and AutoZone shall have the right to object in writing, within ten (10) days of receipt of such Notice of Extraordinary Repair, to either the nature of or the cost of such maintenance and repair work. An "Extraordinary Repair" means a condition or state of facts which if not corrected would imminently result in further damage to the Access Easement Area or personal injury or damage or prevent access to the Access Easement Area. 4.2.2 In the event the parties cannot reach agreement on the nature of or the cost of such Extraordinary Repair work, any such dispute shall be resolved by the dispute mechanism for defaults hereunder. AutoZone shall reimburse O'Farrell for fifty percent (501/16) of the cost incurred by O'Farrell for any such Extraordinary Repair work performed within the Access Easement Area within twenty (20) days after AutoZone's receipt of each invoice reflecting the expenditure and AutoZone's share thereof. Any amount not paid when due shall bear interest at the rate of twelve percent (12%) per annum from the due date. Indemnification/Insurance. 5.1 AutoZone and its successors and assigns shall indemnify, defend and hold O'Farrell or its successors and assigns harmless from any third -party claims, demands, losses, damages, expenses, and costs, including, attorney's fees and costs, arising from or related to oU xa•so 4 0 0 20101012001459.005 AutoZone's construction, use of, or activities within the Access Easement Area and Temporary Construction Easement, or AutoZone's obligations under this Agreement, including but not limited to the discharge of any Hazardous Materials provided that such claim is not due to the negligent or intentional conduct of O'Farrell or its successors or assigns relating to or arising From the Access Easement Area or this Agreement. When a claim or demand results from negligent or intentional conduct attributable to both the owner of Lot A and the owner of Lot C, each party shall between responsible for the claim or demand in proportion to its allocable share of such joint negligent or intentional conduct. 5.2 O'Farrell and its successors and assigns shall indemnify, defend and hold AutoZone or its successors and assigns harmless from any third -party claims, demands, losses, damages, expenses, and costs, including, attorney's fees and costs, arising from or related to O'Farrell's use of or activities within the Access Easement Area, or O'Farrell's obligations under this Agreement, including but not limited to the discharge of any Hazardous Materials provided that such claim is not due to the negligent or intentional conduct of AutoZone or its successors or assigns relating to or arising from the Access Easement Area or this Agreement. When a claim or demand results from negligent or intentional conduct attributable to both the owner of Lot A and the owner of Lot C, each party shall between responsible for the claim or demand in proportion to its allocable share of such joint negligent or intentional conduct. 5.3 Each party to this Agreement shall carry commercial general liability insurance on its Lot with combined minimum limits of not less than Two Million Dollars ($2,000,000) per occurrence and the aggregate for property damage and bodily injury. Such policy shall name the owners of the other Lot as additional insureds and shall not be cancelable without at least ten (10) days' prior written notice to the other Lot owner. 5.4 For purposes of this Agreement, "Hazardous Materials" shall mean any matter (whether gaseous, liquid or solid), including but not limited to materials now or hereafter designated as hazardous or toxic waste or substance under the Comprehensive Environmental Response, Compensation and Liability Act of 1980, 42 USC 9601, et seq., or as a Hazardous Substance, Hazardous Household Substance, Moderate Risk Waste or Hazardous Waste under the Hazardous Waste Management Act, RCW Chapter 70.105, or as a hazardous substance under the Model Toxics Control Act, RCW Chapter 70.105D, all as now or hereafter amended, or which may now or hereafter be regulated under any other federal, state, or local law, statute, ordinance or regulation pertaining to health, industrial hygiene or the environment, including, without limitation, (i) any asbestos and/or asbestos containing materials (collectively "ACMs") regardless of whether such ACMs are in a friable or non -friable state, or (ii) any matter designated as a hazardous substance pursuant to Section 311 of the Federal Water Pollution Control Act (33 USC 1317), or (iii) any matter defined as hazardous waste pursuant to Section 1004 of the Federal Resource Conservation and Recovery Act (42 USC 6901 et seq.), pertaining to health or the environment. 6. Successors and Assigns. The term "successors and assigns" includes, but is not limited to, mortgagees, beneficiaries of debds of trust, secured parties under security agreements, W23.10 5 0 0 20101012001459.006 and any purchaser upon the foreclosure of any such security interest or in lieu thereof. The term also includes contract purchasers, optionees, trustees and lessees. 7. Eminent Domain. In the event of any exercise of eminent domain or transfer in lieu thereof of any part of the Access Easement Area, the award attributable to the land and improvements of such portion of the Easement Area shall be payable only to the owner in Lot A and no claim for any award or payment shall be made by the owner of Lot C as easement holder of the Access Easement Area. S. Rights and Obligations of Lender. The charges and burdens of this Agreement are, and shall at ail times be, prior and therefore superior to the lien or charge of any mortgage or deed of trust hereafter made in good faith and for value affecting Lot C or Lot A, but are subordinate to the security interests of record on the date hereof. A breach of any of the easements, covenants, or restrictions hereof shall not defeat or render invalid the lien or charge of any mortgage or deed of trust. 9. Not a Public Dedication. Nothing herein contained shall be deemed to be a gift or dedication of any portion of Lot A to the general public or for the general public or for any public purposes whatsoever, it being the intention of the parties hereto that this Agreement shall be, strictly limited to and for the purposes herein expressed. The right of the public or any person to make any use whatsoever of the Access Easement Area (other than any use expressly allowed by a written instrument) is by permission, and subject to the control of the Owner of Lot A. 10. Default. 10.1 If the owner of Lot A or Lot C shall default in the full, faithful and punctual performance of any obligation required hereunder, and if at the end of thirty (30) days after written notice from any owner of a Lot or the party to whom its authority has been delegated, stating with particularity the nature and extent of such default, the defaulting owner has failed to cure such default, and if a diligent effort is not then being made to cure such default, then the other owner of a Lot or the party to whom its authority has been delegated shall, in addition to all other remedies it may have at law or in equity, have the right to perform such obligation of this Agreement on behalf of such defaulting owner and recover the cost thereof, together with interest at the rate of twelve percent (12%) per annum and together with attorney's fees and costs related to the preparation and enforcement of said lien. 10.2 Any such claimfor reimbursement, together with interest as aforesaid, shall be a secured right and a lien shall attach and take effect upon recordation of lien claim by the claimant with the Office of the King County Recorder. The claim of lien shall include the following: (a) the name of the claimant; (b) a statement concerning the basis of the claim of the lien; (c) the last known name and address of the owner or reputed owner of the Parcel against which the lien is claimed; (d) a description of the Parcel against which the lien is claimed; (e) a description of the work performed or payment made which has given rise to the claim of lien hereunder and a statement itemizing the amount thereof; and (f) a statement that the lien is claimed pursuant to the provision of this Agreement. The notice shall be duly verified, 0&211-ia 6 0 20101012001459.007 acknowledged and contain a certificate that a copy thereof has been served upon or mailed to the party against whom the lien is claimed, either by personal service or by mailing (first class, certified, return receipt requested) at the address for mailing of tax statements with respect to the property against which the lien is claimed. A party which files a lien shall be obligated to release the lien if the owner of the Lot posts a bond in an amount sufficient to release the lien as a matter of record. The lien so claimed shall attach from the date of recordation solely in the amount claimed thereby and it may be enforced in any manner allowed by law for the foreclosure of liens. Notwithstanding the foregoing, such liens shall be subordinate to any mortgage or deed of trust given in good faith and for value now or hereafter encumbering the property subjected to the lien which is recorded prior to the date of such lien herein, and any purchaser at any foreclosure or trustee's sale (as well as any grantee by deed in lieu of foreclosure or trustee's sale) under any first mortgage or deed of trust shall take free and clear from any such then existing lien, but otherwise be subject to the provisions of this Agreement. The failure of the owner or owners of a Lot to insist in any one or more cases upon the strict performance of any of the promises, covenants, conditions, restrictions or agreements herein, shall not be construed as a waiver or relinquishment for the future breach of the provisions hereof. 11. Notice. Any notice required to be given by any party to another party pursuant to the provisions of this Agreement shall be in writing and shall be deemed to have been duly given, if deposited in the United States mail, postage prepaid, registered or certified, return receipt requested, or delivered by overnight courier. If a notice is mailed, it shall be considered delivered three (3) days after deposit in such mail. If a notice is delivered via overnight courier, it shall be deemed received upon the next business day. The headings in this Agreement are for convenience only and do not in any way limit or affect the terms and provisions hereof. 12.2 Unenforceabilit . If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect the remainder of such provision or any other provisions hereof. 0&23 -ID 7 0 0 20141012001458.008 12.3 Gender. Wherever appropriate in this Agreement, the singular shall be deemed to refer to the plural and the plural to the singular, and pronouns of certain genders shall be deemed to include either or both of the other genders. 12.4 Applicable Law/Venue/Jurisdiction. The parties hereby consent to the jurisdiction of the State of Washington in any action or proceeding relating to the Property. It is further agreed that the venue of any action or proceeding brought under the terms of this Agreement shall be King County, Washington. This Agreement shall be governed by the applicable laws of the State of Washington and any conflicts of law shall be decided under Washington law. 12.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but which when taken together shall constitute one and the same instrument. 12.6 Construction. The parties acknowledge that each party and its representative or legal counsel have reviewed and revised this Agreement and that the normal rule of construction to the effect that any ambiguities are to be resolved against the drafting party shall not apply in the interpretation of this Agreement or any amendments thereto, and the same shall be given a reasonable interpretation in accordance with the plain meaning of its terms and the intent of the parties. 12.7 Entire Agreement. This Agreement constitutes the entire agreement among the parties with respect to the subject matter hereof and supersedes all prior agreements, oral or written, express or implied, and all negotiations or discussions of the parties, whether oral or written, and there are no warranties, representations or agreements among the parties in connection with the subject matter hereof except as set forth herein. 12.8 Waiver. A party may, at any time or times, at its election, waive any of the conditions to its obligations hereunder, but any such waiver shall be effective only if contained in a writing signed by such party. No waiver shall reduce the rights and remedies of such party by reason of any breach of any other party. No waiver by any party of any breach hereunder shall be deemed a waiver of any other or subsequent breach. 12.09 Effective Date. This Agreement shall be effective upon the date of recordation with the Office of the King County Recorder. 12.10 Time of the Essence. Time is of the essence under this Agreement.
