Public Access Easement Page 1 Instrument Number: 20241107000615 Document:EAS Rec: $309.50 Page-2 of 7 Record Date:ll/7/2024 1:47 PM King County,WA Grantor, GMD Renton LLLP, a Washington limited liability limited partnership,grants this public access easement to the City of Renton, a Washington municipal corporation, for the purpose of perpetual recreational pedestrian use by the public over and across those certain sidewalks, pathways, promenades and/or public walkways described in that certain Exhibit A (the "easement property"), and depicted in Exhibit B, attached hereto, together with the right of ingress and egress thereto and other general access uses consistent with or otherwise reasonably necessary for the enjoyment of the easement property as a public walkway, without prior institution of any suit or proceedings of law and without incurring any legal obligation or liability therefor. This easement is granted subject to the following terms and conditions: 1. The conveyance of this easement for public access shall be for surface rights of public access only and shall not constitute conveyance of any rights other than those specified in this document. 2. Grantor assumes responsibility for maintenance of the surface of the walkway on the easement property. 3. Grantor shall retain the right to use the surface of the easement property as long as such use does not interfere with the easement rights granted to the Grantee. 4. Any lawsuit or legal action brought by and party to enforce or interpret this Agreement or any of its terms or covenants shall by brought in King County Superior Court for the State of Washington at the Maleng Regional Justice Center in Kent, King County, Washington, or its replacement or successor. Grantor and Grantee hereby expressly consent to the personal and exelusive jurisdiction and venue of such court even if Grantor or Grantee is a foreign entity registered,or not registered,with the State of Washington 5. Grantee covenants that in connection with its activities in the easement property, it shall at all times comply with applicable laws, rules, regulations, ordinances and rulings. Grantee hereby agrees to indemnify, defend and hold Grantor harmless from and against any and all claims, losses, liabilities, damages and expenses (including reasonable attorneys'fees) incurred by or asserted against Grantor and to the extent arising solely out of Grantee's use and enjoyment of the easement property and/or the negligent or wrongful acts or omissions of Grantee pursuant to this Agreement. Notwithstanding the foregoing, if the damages, claims, liabilities or expenses so arising are caused by the concurrent negligence of both Grantor and Grantee, their employees, agents,or contractors,Grantee shall indemnify Grantor only to the extent of Grantee's own negligence or that of its agents, employees or contractors.The foregoing indemnity is specifically and expressly intended to constitute a waiver of the indemnifying party's immunity under Industrial Insurance,Title 51 RCW, to the extent necessary to provide the indemnified party with a complete indemnity for the negligence of the indemnifying party's employees, to the extent of their negligence, and has been the subject of specific negotiation between the parties. In no event shall Grantee be liable for any claims, losses, fiabilities, damages and expenses (including reasonable attorneys' fees) whatsoever arising from the activities on Grantor's Property by users of the easement property or other third parties. This easement shall run with the land described herein,and shall be binding upon the parties,their heirs,successors in interest and assigns. Grantor covenants that it is the lawful owner of the above property and that it has a good and lawful right to execute this agreement. By this conveyance,Grantor will warrant and defend the sale hereby made unto the Grantee against all and every person or persons,whomsoever, lawfully claiming or to claim the same. This conveyance shall bind the heirs, executors,administrators and assigns forever.
