HomeMy WebLinkAboutContractMASTER NON-EXCLUSIVE ON-CALL SMALL PUBLIC WORKS AGREEMENT FOR FIRE SYSTEM INSPECTION AND REPAIR SERVICES (CAG-_) PARTIES AN D EFFECTIVE DATE Reference Date: March 11, 2025 Effective Date: Upon last signature below Parties: This Agreement, effective on the Effective Date, is entered between: •City: City of Renton, a Washington municipal corporation •Contractor: API Group Life Safety USA LLC d/b/a/ Western States Fire Protection Co., a foreign profit corporation with its principal office in Minnesota, License No. WESTESF785LH II.KEY TERMS The Parties agree to the following Key Te rms and those set forth in Exhibits A and B. A.Scope of Work: Brief Summary: Contractor will provide non-exclusive on-call fire systems inspection and repair services for routine maintenance of fire alarm and sprinkler systems at Maplewood Golf Course Clubhouse and Driving Range Buildings. Inspections shall be as set forth in the attached Exhibit B, incorporated herein. Individual repair projects will be identified in the course of inspection by Contractor, and the City will be notified by Contractor's "deficiency report" of the repair needed and the estimated cost for repair. Contractor will commence repair work upon City approval of the repairs and costs in the deficiency report. In addition to standards set forth in Exhibit B, all work shall comply with RCW 39.12 (prevailing wages), RCW 39.04 (public works), and City of Renton standards. B.Time of Performance: Start Date: Performance shall commence upon the Effective Date Expiration: All work shall conclude and this agreement shall terminate on March 31, 2028. Extensions: Allowed by mutual written amendment. C.Compensation: Total Maximum Amount: The cumulative total for all projects under this agreement is $64,000.00, excluding applicable sales taxes. The cumulative total includes $13,250.00 fixed pricing for Inspection services described in Exhibit B. The balance of the compensation is for required repairs arising during the term of this Agreement. Individual Project Limit: No single project shall exceed $25,000.00. This cap applies to the total estimated cost of each public works project, including all related work (e.g., inspections and repairs). Invoicing: Contractor will submit invoices to City for work performed on a monthly or no less than quarterly basis. City will issue partial payment (less retainage per below) within 30 days of City approval of invoices. Contractor's final bill is due upon completion of each project; full payment, including release of retainage, made only after all applicable legal requirements (e.g., RCW 60.28.011, RCW 39.12.040) are met, including submission of Affidavit of Wages Paid and clearance of liens or claims. FIRE SYSTEM INSPECTION AND ON-CALL REPAIR AGREEMENT Page 1 of6 CAG-25-125 D.Prevailing Wage, Retainage, and Bonding: 1.Prevailing Wage: Contractor shall comply with all requirements of RCW 39.12, including but not limited to: o Contractor shall pay workers at least the prevailing wage rates, as published by L&I (hUp_�://l_lJ.L..W?.g_o_v/trade_s.=li-9e.ru;lng/prevaillng-w_a�vage.;ra_te..sJ), that are in effect on the Effective Date of this Agreement, to be updated annually each contract year thereafter. o Contractor shall submit to the City a Statement of Intent to Pay Prevailing Wage ("Statement of Intent") for this Agreement, listing the contractor's registration certificate number, the applicable prevailing wage rates for each classification of workers entitled to prevailing wages under RCW 39.12.020, and the estimated number of workers in each classification. A Statement of Intent must be submitted annually, each contract year. A Statement of Intent must be submitted by the contractor and each subcontractor before payment is made by the City. o Each Statement of Intent, and amendments thereto, must be approved by L&I before it is submitted to the City. o Contractor shall submit certified payroll reports to L&I for all work performed at least monthly pursuant to RCW 39.12.120. o Each invoice submitted for payment must state that prevailing wages have been paid in accordance with the rates in effect at the time each task order was issued. o Contractor shall submit to the City an Affidavit of Wages Paid annually for all work completed under this Agreement during the previous contract year and at the conclusion of all work under the Agreement. o Each Affidavit must be submitted by the contractor and each subcontractor, and each must be certified by L&I before submission to the City. 2.Retain age: The City will withhold a retainage of five percent (5%) of the moneys earned by Contractor per RCW 60.28.011, except as otherwise provided below. 3.Bonding: [Contractor Select One] □Contractor will provide to the City a performance and payment bond in an amount equal to the full contract price pursuant to RCW 39.08.010 and RCW 39.08.030, along with retainage of five percent described in Paragraph D.2 above.□Where the value of this Agreement is one hundred fifty thousand dollars or less, Contractor will provide to the City a retainage of ten percent (10%) of the contract amount in lieu of a bond. If no selection, default is 5% retainage with bond. If the City terminates this Agreement pursuant to this Paragraph, Contractor will be paid for work completed prior to termination, less prior payments, subject to prevailing wage and retainage requirements.
