Now,thereforethepartiesagreeasfollows: 1.Agreement.Thisagreementincorporatesthefollowingdocumentsasiffullysetforthherein:the2016Standard SpecificationsforRoad,Bridge,andMunicipalConstruction,aspreparedbytheWashingtonStateDepartmentof TransportationandtheWashingtonStateChapteroftheAmericanPublicWorksAssociation,includingallpublished amendmentsissuedbythoseorganizations(“StandardSpecifications”);theCity’sContractBidDocumentsforthe Project,includingbutnotlimitedtoAddenda,ProposalForm,SpecialProvisions,ContractPlans,andAmendments totheStandardSpecifications;Contractor’sProposalandalldocumentssubmittedtherewithinresponsetothe City’sCallforBidsDocuments;andanyadditionaldocumentsreferencedascomprisingtheContractandContract DocumentsinSection1Ͳ04.2oftheStandardSpecifications,asrevisedbytheAmendmentsandSpecialProvisions includedwiththeCity’sCallforBidsandContractDocuments. 2.Project.Contractorshallcompleteallworkandfurnishalllabor,tools,materials,andequipmentfortheproject entitledGateandPerimeterSecurityUpgrades,CAGͲ25Ͳ012,includingallchangestotheWorkandforceaccount work,inaccordancewiththeContractDocuments,asdescribedinSection1Ͳ04.2oftheSpecialProvisions. 3.Payments.CityshallpayContractorattheunitandlumpsumprices,andbyforceaccountasspecifiedinthe ProposalaccordingtotheContractDocumentsastotime,manner,andconditionofpaymentinacontractamount nottoexceed$___________,unlessmodifiedbyanapprovedchangeorderoraddendum.Thepaymentsto Contractorincludethecostsforalllabor,tools,materialsandequipmentfortheWork. 4.CompletionDate.ContracttimeshallcommenceuponCity'sNoticetoProceedtoContractor.TheWorkunderthis AgreementshallbecompletedwithinthetimespecifiedintheContractBidDocuments.IfthePhysicalWorkunder thisAgreementisnotcompletedwithinthetimespecified,Contractorshallpayliquidateddamagesandall engineeringinspectionandsupervisioncoststoCityasspecifiedintheContractBidDocuments. 5.Attorney'sFees.IntheeventlitigationiscommencedtoenforcethisAgreement,theprevailingpartyshallbe entitledtorecoveritscosts,includingreasonableattorney'sandexpertwitnessfees. 6.Disclaimer.NoliabilityofContractorshallattachtoCitybyreasonofenteringintothisAgreement,exceptas expresslyprovidedinthisAgreement. 7.Counterparts.ThisAgreementisexecutedintwo(2)identicalcounterparts,bytheparties,eachofwhichshallfor allpurposesbedeemedanoriginal. ϵƚŚ :ƵŶĞ ϮϬϮϱ WĞƌŝŵĞƚĞƌ^ĞĐƵƌŝƚLJ'ƌŽƵƉ͕>> ΨϮ͕ϯϭϳ͕ϱϳϬ͘ϲϲ         RentonGate&PerimeterSecurityUpgradesAgreement CAGͲ25Ͳ012 2025 INWITNESSWHEREOF,theCityhascausedthesepresentstobesignedbyitsMayorandattestedbyitsCityClerkand theContractorhashereuntosethishandandsealthedayandyearfirstaboveͲwritten.
