Benoit =- C Subject: West Kennydale Interceptor S-374 Gentlemen: All of our costs for the changed condition discovered at Station 0 + OS ie, buried duct bank have been finalized. This unknown has cost our firm one i (1) extra day to install the connection to the existing M.H. @ 0 + 00. The 1 / schedule allows two (2) days for this connection. Due to the increase in l excavation and shoring difficulty, this work actually tvok 3 days to complete. 1 (Please see the attached photo showing conduit location.) II This conduit bank is not indicated on the plans in the area of new sewer construction. A telephone vault is shown east of our alignment. However, the conduit appears to end before crossing the proposed sewer alignments. Also, during the one call locate process prior to construction, U.S. West Communication ` has marked the pavement in this area with "No U.S.West" (See attached photo). When we uncovered this duct bank, I called the one call service and requested that the utilities examine this duct to determine its ownership. For most of Tuesday October 2, 1990, ownership was undetermined. It appears that U.S. West Communications is negligent in its locates and as-builts. I have computed a cost per day f�- the crew used on this work. (See the attached time record.) These costs calculated using Force Account methods and Blue Book Rental rates. King CQ suction Co. will agree to settle this claim for a lump sum payment of $3,232.38 and the addition of one contract day to the contract time. If this is agreeable to your please prepare a change order reflecting the above pricing and time extensions. West Kennydale Sewer Extension Project Dear Mr. Holt: I This letter sets forth our assessment and legal opinion of the merits of your damage claim against either the City of Renton or U.S. West or both as a result of their failure to properly identify and/or locate the underground telephone facility encountered by your crew while performing I work on the "West Kennydale Sewer Extension" project. Our analysis concludes that you are entitled to recover your claim amount, prejudgment interest, and attorney fees against either the City of Renton, U.S. West, or both. FACTUAL SUMMARY Based upon our past discussions and our review of the contract, your files and your claim, we understand the pertinent facts involved in this dispute to be as follows. In approximately August of 1990, King entered into a contract with the City of Renton for the cone*ruction of the West Kennydale Sewer Extension ("Project"). T..e contract is 1I as City of Penton project S-374 In September 1990, King made three separate calls to the "one number locator service" to notify utility owners of its planned excavation and to request field marking of the facilities. King's one cell" locate reference number was 9036-0988. ! In response to King's "one call" locate request, field markinis were made at the proposed area of excavation showing "No U.S. West. King then began its work on the Project. On October 2 1990, King encountered a l Mr. Brad Holt September 23, 1991 I Page 2 buried, concrete encased, duct bank at approximately Station 0.06. The underground telephone facility was not identified on the Project plans. The duct bank has since been determined to be an underground telephone facility awned by U.S. West. On October 5, 1990, King wrote a letter to the City of Renton advising that the buried telephone line constituted a changed or differing site condition. On November 2, 1990, King informed the City of Renton of Its damages incurred as a result of encountering the unidentified telephone facility. King's damages totaled $3,232.38 (i.e,• 51,202.11 labor plus $1,876.35 equipment). Five months later, on March S, 1991, the City of Renton denied King's differing site condition claim. The City based its denial on the premise - that the existence of all underground facilities known to it were indicated on the plans. The City did not address the differing site conditions clause or the applicable statute, which allocate the risk of such subsurface condition% to the project owner regardless of knowledge on its part. Instead, the City of Renton recommended that King recover its damages directly from the telephone company, U.S. West. LEGAL ANALYSIS A. OPINION SUMMARY Applying the above facts to Washington's underground utilities law _ (RCW 19.22 ei seq.) and the applicable contract provisions yields a i straightforward conclusion: King is entitled to recover its damages, plus preiudgment interest and attorney fees. as a consequence of the failure of either the City of Renton or U.S. West or both to perform their identifying and/or locating obligations with respect to the encountered underground telephone facility. The City of Renton, as project owner, is liable to King because it - either: (1) failed to indicate in the plans the existence of underground facilities known by it to be located within the proposed area of excavation; or (2) breached its contract by failing to pay a statutorily recognized differing site condition claim (i.e., an u-clerground facility not identified or not located shall be deemed a differing site condition). U.S. West, as owner of the underground facility, is also liable for "ate damages" to King or to the City of Renton since it failed to locate its facilities. RCW 19.122, et seq. In any event, King is entitled to recover Its damages from either the City of Renton or U.S. West or both. It is not King's obligation to allocate their respective liabilities. B. THE OBLIGATIONS OF RCW 19.122 Washington's underground utilities law places, amongst others, the 5 following obligations on contractors, utility owners, and project owners. First, before commencing excavation, King was obligated to "provide notice of the scheduled commencement of excavation to owners of underground facilities through a one-number locator service." RCW 19.122.030. Here, there is no dispute that King satisfied its obligation. to; Second, U.S. West, as owner of an underground facility, was obligated � 1 _ provide the excavator with reasonably accurate information as to its locatable underground facilities by surface marking the i location of the facilities. RCW 19.122.030. There is no dispute that U.S. West did not provide reasonably accurate surface markings. Rather, U.S. West provided wrong field markings indicating "no U.S. West." Third, the City of Renton, as project owner, was obligated to: 1 indicate in bid or contract documents the existence of underground facilities known by the project owner to be located within the proposed area of excavation. RCW 19.122.040(1). The City's position is that it did not indicate the existence of the underground telephone facilityy on the plans because it did not know of the existence of the facilitv.i/ What the City fails to understand, however, is that even if this is true--it is precisely such ignorance or "lack of knowledge" or unknown contingency which triggers t1 City's obligation to pay for this as a differing site condition. RCW 19.122.040(1). Here, as is typical in excavation contracts,V the City of Renton and King included a differing site condition clause in their contract, which allocates the risk of unknown contingenciesY The differing site conditions clause is typical in government contracts. It is a no-fault clause developed to avoid unnecessary owner expense and minimize the contractor's risk. The changed conditions clause is a contractual Innovation designed for the mutual benefit of both the government and the contractor. The government benefits by the use of such a clause because the contractor no longer needs to add large contingency sums to his bid in order to cover the risk of encountering adverse subsurface conditions. Subsurface or latent physical conditions at the site which differ Ifi materially from those indicated in this Contract, or b. Unknown physical conditions at the site, of an unusual nature, which differ materially from those ordinarily encountered and generally recognized as inherent in work of the character provided for in the Contract. Thus, much of the gamble is taken out of underground construction. The government does not have to pay the contractor a windfall price when only normal conditions are encountered, and the contractor suffers no disaster when unanticipated conditions ^ arise. Furthermore, both parties benefit by the existence of an informal machinery for resolving problems through negotiation rather than litigation.!/ Thus, while it appears that U.S. West will inevitably be liable for as damages, Washington law specifically recognizes that parties to excavation contracts may agree to allocate this risk--i.e, the risk of an unidentified or uniocaled underground facility: a differing site condition. CONCLUSION AND RECOMMENDATION Consistent with our above analysis and the established principles of Washington law, King is entitled to recover from the City of Renton and U.S. West, its claim, plus prejudgment interest and attorney fees incurred to date. In the event that efforts to negotiate a prompt and full payment of King's claim prove unsuccessful, we strongly recommend that King initiate appropriate legal action against both the City of Renton and U.S. West Communications. King's action against the City should be for breach of contract (Le. failure to pay for a differing site condition claim) and for the City's failure to comply with its obligations under RCW 19.122 (i.e.. failure to indicate a "known" facility on their plans). King's action against U.S. West arises as a result of U.S. West's failure to fulfill its obligations under RCW 19.122. Obviously, H it becomes necessary for King to file a lawsuit, It should do so against both the City of Renton and U.S. West. The City of Renton 1 will likely then assert a cross-claim against U.S. West. However, if the City contirues to fail to recognize and pay for the differing site condition claim, actual litigation may be the only alternative left to fully protect i King's rights. We are, in fact, willing to grade, cover, channel, etc. any work we do to protect it from the elements. This saves both us and the Awarding Agency time and money. We are, however, referring to page two of the Supplementary Conditions Article "Specifications". This paragraph covers the incorporation cf the WSDOT and APWA -tandard Specifications, 1988 edition. Section 1-07.12 of the WSDOT Specifications excepts floods from being the Contractor's responsibility. The damage done to the properties along our project was caue:ed by off site i run off from a rain fall that has been considered by cities counties and even state officials as flooding. We contend that the damage was from an Act of God and that we had taken all necessary precautions '.o stop damage from normal conditions. We are however, not ah1e, any more than anyone else to predict flooding or what people off-site from our Project , will do that can cause damage to our work. When weather permits, we will be cleaning up the Project and repairing the flood damage. Also, during the one call locate process prior to construction, U.S. West Communication has marked the pavement in this area with "No U.S.West" (See attached photo). When we uncovered this duct bank, I called the one call service and requested that the utilities examine this duct to determine its ownership. For most of Tuesday 0ctoher 2, 1990, ownership was undetermined. It appearb that U.S. West Communications is negligent in its locates and as-builts. I have computed a cost per day for the crew used on this work. (See the attached time record.) These costs are calculated using Force Account methods and Blue Bwk Rental rates. King Construction Co. wi'l agree to settle this claim for a lump sum payment of $3,232.38 and the aduitim of one contract day to the contract time. Warren, City Attorney RE: Excavator Contacting Buried Telephone Lines Dear Mike: During a meeting on February 7, 1991, you related a fact situation to me and asked for legal advice. Apparently a city contractor j was performing excavation. The contractor contacted the One l Number Locator Service. The telephone company did not locate its j lines and the contractor contacted the lines. The contractor has then come to the city asking for extra compensation because of the work delay and the extra work related to excavating around the telephone company's lines. The contractor cited to RCW 19.122.040 to support its position. A closd reading of that statute indicates that the city must have violated a duty urd-r ' a statcte. before it is required to give the excavator , c::anyc order for an extra. The statutes also require the city to locate the underground utilities, if the city has that knowledge. If it did not, then the onus to locate the lines falls on the owner of the line, in this instance the telephone company. A more expansive review of the statutes bhows that RCW 19.122.030 permits the excavator to recover its extra costs from the owner Df j the line that improperly identified or failed to identify the line. Therefore, it would appear that the excavator should seek damages directly from the telephone company. I am proposing to use manufactured stainless steel casing spacers in lieu of timber supports and sand filler. These casing spacers are used successfully, world wide. They provide the benefit over the designed method, by allowing ready access to the carrier pipe for repair, if it is ever needed. The labor saving to remove and repair a carrier pipe could amocnt to thousands of dollars. I would like to point out that casing spacers have been successfully installed on previous City of Renton Public Works Projects. King Construction was the Contractor for Honey Creek Phase III Sewer Replacement. On schedule C, we installed casing spacers for the bore under I-405. This bore tied into the existing manhole at the north end of our project.
