Gall M. Schne!der, husband and wife ("The Schneiders" in). RECITALS A. The Schneiders constructed the Hilltop Apartments, an apartment project located on that certain real property In the City of Renton legally descrlbe: on Exhibit A, attached hereto and Incorporated hureln by this reference (the "Pr petty" herein). B. Approximately 300 linear feet (LF) of 8-Inch, P.V.C. sewer plpe has been installed in a certain locations on the Property. The City has !f) purchased all such pvc pipe pursuant to a Bill of Sale recorded In the Wy Division of Records and Elections, King County, Washington, Recording No. "Vt s059o. t.. C. A portion of such pipe V :V D pvc I e has been Installed parallel to and .n under certain balconies constructed on the Property, which installation O is unacceptable to the City for maintenance purposes. The locatl on of such portions of the pvc sewer pipe Is specifically shown on the shaded portion of Exhibit B, attached hereto and Incorporated herelr. by this reference and referred to as the "Sewer Lines' herein. 0. the Schneiders have requested that the City walye Its objections to the Installation of the Sewer Line and the City has therefore agreed to waive Its objections, subject to the terms and conditions stated herein AGREEMENTS NOW, THEREFORE, In consideration of the mutual promises set forth herein, the parties hereby agree as follows: I. The Schneiders covenant and agree, at its sole cost and expense, to maintain, repair, and replace such Sewer Line on the Property as such maintenance, repair anJ replacement of [uch Sewer Line, Is, In 'he reasonable discretion of the Clty, necessary. In the event such weIntenance, repair or replacement Is seemed necessary, the City shall so notify the Schneiders In writlog. The Schneiders shall, upon receipt of such notification, proceed with all due diligence to complete such maintenance, repair or replacement within a reasonable time thereafter, weather and other conditions permitting. Z. The Schneiders shall Indeen sty and hold the City harmless from any Injuries to persons or property, losses, damages, or any claims caused by the location of such Sewer Line nr the Property or from the failure to adequately ma lntain, repair, and repl.e said Sewer Line; except as such Injuries to persons, property, losses, damages or claims may be In any way caused by the Clty's gross negligence or the actlons of Its employees, representatives u agents. ). The covenants and agreements contaInod In this Agreement shall be covenants running with the land and shall be binding upon the heirs, successors, and assigns of the parties hereto. <. The developer installed all the utilities and provided the City with all the necessary easements for these utilities prior to starting any of the buildings. When he <tarted the buildings, he repositioned Building "M" slightly. The foundation of the building remained outside of the sewer ease- ment but the building balconies overhang the easement. This is not acceptable to the City and the cost of relocating the building or sewer line does not appear to be a reasonable solution to the problem. Therefore, we propose to use the attached Hold Harmless. Could you please review this Agreement and advise if it adequately protects the City. The Schneiders have requested that the City waive Its objections to the Installation of the Sewer Line and the City has therefore agreed to waive its objections, subject to the terms anc conditions stated herein AGREEMENTS NOW, THEREFORE, in consideration of the mutual promises set forth herein, the parties hereby agree as follows: 1 . The Schneiders covenant and agree, at Its sole cost and expense, to maintain, repair, and replace such Sewer Line on the Property as such maintenance, repair and replacement of such Sewer Line, Is, In the reasonable discretion of the City, necessary. In the event such maintenance, repair or replacement is deemed necessary, the City shall so notify the Schneiders In writing. The Schneiders shall , upon receipt of such not if lcatI on, proceed with all due diligence to complete such maintenance, repair or replacement within a reasonable time thereafter, weather and other conditions permitting. 2. The Schneiders shall Indemnify end hold the City harmless from any Injuries to parsons or property, losses, damages, or any claims caused by the location of such Seer Line on the Property or from the failure to adequately malntsin, repair, and replace said Sewer Line; except as such Injuries to persons, property, losses, damages or claims may be In any way caused by the City's gross negligence or the actions of Its employees, representatives or agents. 3.
