IV OWNERSHIP OF PRODUCTS AND DOCUMENTS TO BE FURNISHED BY TIM CONSULTANT Documents,exhibits or other presentations for the work covered by this Agreement shall he furnished by the Consultant to the City upon compirtion of the various phases of the work. All such material, including working documents,notes,maps,drawings,photo,photographic negatives,etc.used in the project,shall becom and remain the property of the City and may be used by it without restriction. Any use of such documents by the City not directly related to the project pursuant to which the documents were prepared by the Consultant r`tall be without any liability wlutsoever to the jConsultant. i All written documents and products shall be printed on recycled paper as practicable Use of the chasinga w symbol identifying the recycled content of the paper shall be used whenever practicable. All documents will be printed on both sides of the recycled paper,as tensible. V TEWE OF BEGINNING AND COMPLETION � The work detailed in the Scope of Work will be perforated according to Exhibit B,Time Schedule of Completion,attached hereto and incorporated herein as though fully set forth. it is agreed that all the Consultant's scrvitv,,.arc to be completed and all products shall be delivered in a timely manner notwithstanding delays due to factors that are beyond the control of the Consultant. The Consultant shall not begin work under the terms of this Agreement until authorized in writing by the City. If,after receiving Notice to Proceed,the Consultant is delayed in the performance of its services by factors that arc beyond its control,the Consultant shall notify the City of the delay and shall prepare a revised I estimate of the time and cost needed to complete the Project and submit the revision to tht City for its approval. Time schedules are subject to mutual agreement for any revision unless specifically described as otherwise herein. VI I� PAYMENT The Consultant shall be paid by the City for completed work for services rendered under this j Agreement as provided hereinafter as specified in Exhibit C,Cost Estimate. Such payment shall be full compertsatlon for work performed or services rendered and for all labor,materials,sepplics, equipment,and incidentals necessary to complete the work. All billings for compensation for work performed under this Agreement will list actual time(days and/or hours)and dates during which the work was performed and the compensation shall be figured using the rates in Exhibit C. Payment for this work shall not exceed$6,972.03 without a written amendment to t m�ontmct,agreed to and signed by both parties. i i Est Ptus Ne I'c Payment for work accompJshed shall be on the basis of the Consultant's actual cost plus a net fee The actual cost includes direct salary cos:,overhead,and direct non-salary cost. I I 1. The direct sala• -ost is the salary expense for professional and technical persc nnel and principals for the time they are productively engaged in the work necewry to fulfill the terns of this Agreement. The direct salary costs arc set forth in the attached Exhibit C and by this reference made a part of this Agreement. 2. The overhead mats as identified on Exhibit r arc determined as 187.8 percent of the direct Wary cost and by this reference made a pan of this Agreement. The overhead cost rate is an "tinmate based on currer'ly available accounting information and shall be used for all progress payments w er the period of the contract. 3. The direct non-salary costs are those costs directty incurred in fulfilling the terms of this Agreement,including,but not limited to travel,reproduction,telephone,supplies,and ices of outside consultants. The direct non.W2ry costs are specfied in Exhibit l Cost Estimate. Billings for any direct non-salary costs shall be supported by copies of original bills or invoices. Reimbursement for outside consultants and services%hail be on the basis of 10% 1 times the invoiced amount. i 7 � 4. The net fee,which represents the Consultants profit shall be 12 percent of direct salary ploy r. ' overhead costs. This fee is based on the Scope of Work and the estimated labor hours therein. In the event a supplemental agreement is entered into for additional work by the E ". Consultant,the supplemental agreement will include provision for the added costs and an I appropriate additional fee. The net fee will be prorated and paid monthly in proportion to `'",N the percentage of the project completed as estimated in the Consultant's monthly progress - I�r reports and approved by the City. Progress paymenns may be claimed monthly for d.rect costs actually incurred to date as supported by detailed statements,for overhead costs and for a proportionate amount of the net fee payable to the Consultant based on the estimated percentage of the completion of the services to date. Final payment of any balance due the Consultant of the gross amount earned will be made promptly upon its verification by the City after completion and acceptance by the City of the work under this Agreement. Acceptance,by the Consultant of final payment shall constitute fill and final satisfaction of all amounts due or claimed to be due. Payment for extra work performed under this Agreement shall be paid as agreed to by the 1,.,,Lies hereto in writing at the time extra work is authorized. (Secrlw,Vill"EXTRA WORK7. I A short narrative progress r.:port shall accompany each voucher for progress payment. The report shall include discussion of any problem.•.and ,otential causes for delay. To provide a means of verifying the invoiced salary costs for consultant employees,the City may conduct employee interviews. Acceptance of such final payment by the Consultant shall constitute a release of all claims of any nature, related to this Agreement,which the Consultant may have against the City unless such claims are specifically reserved in writing and transmitted to the City by the Consultant prior to its acceptance. Said final payment shall not,however,be a bar to any claims that the City may have against the Consultant or to any remedies the City may pursue with respect to such claims. If any litigation,claim or audit is started before the §•+y�' Y� Y• expiration of the three-year retention period,the records shag be retained until all litigation,claims or t audit findings involving[:!c records have been resolved. The three-year retention period stalls when I the Consultant receives final payment. ` I r VD CHANGES IN WORK ,r.I iThe Consultant shall make all such revisions and changes in the completed work of this Agreement as - arc necessary to correct errors appearing therein,when required to do so by the City,without additional compensation. Should the City find it desirable for its own purposes to have previously satisfactorily completed work or parts t:trcof revised,the Consultant shall make such revisions,if requested and as directed by the City in writing. This work shall be considered as Extra Work and will be paid for as provided in Section Vill. V[Tt EXTRA WORK i The City racy desire to have the Consultant perform work or render services in connection with the Proicet in addition to or other than work provided for by the expressed intent of the Scope of Work. Such work will be considered as Extra Work and will be specified in a written supplement which will set forth the nature and scope thereof. Work under a supplement shall not proceed until authorized in writing by the City. Any disputc as to whether work is Extra Work or work already covered under this Agreement shall be resolved before the work is undertaken. For breach or violation of this warranty,the City shall have the right to annul this Agreement without liability,or in its discretion to deduct from the Agreement price or consideration or otI rcrwtsc recover,the full amount of such fee, " commission,percentage,brokerage fee,gift or contingent fee. s Any and all employees of the Consultant,while engaged In the performance of any work or services required by the Consultant under this Agreement,shall be considered employees of the Consultant only and not of the City and any and all claims that may or might arise under the Workman's Compensation Act on behalf of said employees,while so engaged and any and ill claims made by a third party as a consequence of any negligent act or omission ran the part of ilia Consultant's employees,while SJ engaged on any c f the work or services provided to he rcndcred herein,shall be the obligation and responsibility of the Consultant. The Consultant shall not engage,on a full or part-time basis,or other basis,during the period of the contract,any professional or technical personnel who are,or have been at any time during the period Of this contract,in the employ of the City except regularly retired employees,without written consent of the Cu). The Consultant understands and agrees that if it violates ttus Non-Discrimination provision,this Agreement w-� may be terminated by the City and further that the Consultant shall be barred from performing any services for the City now or in the future,unless a showing is made satisfactory to the City that - discriminatory practices have terminated and that recurrence of such action is unlikely. )a TERMINATION OF AGREENIENt' A. The City reserve the right to terminate this_lgrecment at any time upon not less than ten (10)days written notice to the Consultant,subject to the City's obligation to pay Consultant in accordance with subparagraphs C 2ad D below. B. In the event of the death of any of the parties listed in the previous paragraph,should the surviving members of the Consultant,with the City's concurrence,deire to terminate this Agreement,payment shall be made as set forth in Subsection C of this section. i I i I)i$751hWC bh 9 l 1 a � C. In the event this Agreement is terminated by the City other than for lault on the part of the ���. Consultant,a final payment shall be made to the Consultant for actual cost for the work complete at the time of termination of the Agreement,plus the following described portion ` p, of the net fee. Ilic portion of the net fee for which the Consultant shall be paid shall be the same ntio to the total net fee as the work complete is to the total work required by the i� Agreement. In addition,the Consultant shall be paid on the same basis as above for any , authorized extra work completed. No payment shall be made for any work completed after i ten(10)days following receipt by the Consultant of the Notice to Terminate. If the accumulated payment made to the Consultant prior to Notice of Termination exceeds the total amount that would be due as set forth herein above,then no final payment shall be due and the Consultant shall immediately reimburse the City for any excess paid. D. In the event the services of the Consultant arc terminated by the City for fault on the part of the Consultant,the above stated formula for payment shall not apply. In such an event the mount to be paid shall be determined by the City with consideration given to the actual ti costs incurred by the Consultant in performing the work to the date of termination,the a amount of work originally required which was satisfactorily completed to date of termination,whether that work is in a form or of a type which is usable to the City at the . time of termination,the cost to the City of employing another firm to complete the work t'- required and the time which may be required to do so,and other factors which affect the value to the City of the work performed at the time of termination. Under no cimumstan.: s shall payment made under this subsection exceed the amount which would hr z beer.madt if the formula set forth in subsection C above had been applied. F. In the event this Agreement is terminated prior to completion of the work,the original copies of all Fngineetlng plans,reports and documents prepared by he Consultant prior to termination shall become the property of the City for its use without restriction. Such unrestricted csc not occurring as a part of this project,shall be without liability or legal exposure to the Consultant. F. Payment for any part of the work by the City shall not constitute a waiver by the City of any remedies of any type it may have a&ai ust the Consultant for any breach of this Agreement by the Consultant,or for failure of the Consultant to perform work required of it by the City. Forbearance of any rights under the Agreement will not constitute waiver of entitlement to exercise those rights with respect to any future act or omission by the Consultant. f i Y„tg} 9VS7SDOc/ A 10 4 l- I i P N XII DISPUTES Any dispute coneeming questions of facts in connection with work not disposed of by agm",cnt between the Consultant and Lite City shall be rclbrccd for determination to the Director of Planning/Buildmg/Pubge Works or his./her successors and delegees,whose decision in the matter shall be final and conclusive on the parties to this Agreement. In the event that either party is required to institute legal action or proceedings to enforce any of its rights to this Agreement,both parties agree that any such action shall be brought in the Superior Court of the State of Washington,situated in Icing County. XM LEGAL RELATIONS The Consultant shall comply with all Federal Government,State and local laws and ordinances applicable to the work to be done under this Agreement. This contract shall be interpreted and j construed in accordance with the laws of Washington. I � The Consultant agrees to indemnify,defend and hold the Cit,and its officers and employees harmless + from and shall process and defend at its own expense all claims,demands or suits at law or equity arising in whole or part from the Consultant's negligence or breach of any of its onligations under this Agreement provided that nothing herein shall require the Consultant to indemnify the City against and hold hamiless the City from claims,demands or suits based solely upon the conduct of the City,its officers or employees and provided further that if the claims or suits are caused by or result from the concurrent negligence of(a)the Consultant's agents or employees and(b)the City,its agents,officers and employees,this idemnity provision with respect to claims or suits based upon such concurrent negligence shall be valid and enforceable only to the eetent of the Consultant's negligence or the negligence of the Consultant's agents or employees except as limited below. The Consultant shall secure general liability,property damage.auto WbUiry,aad professional liability coverage in the amount of$1.0 million,unless waived or reduced by the City. The Ccnsultant shall submit a completed City of Renton Insurance Information Form,and the Consultant shall furnish copies of the declarations pages of relevant insurance policies to the City prior to execution of this Agreement. The limits of said insurance shall not,however,limit the liability of Consultant hereunder. AB coverages provided by the Consultant shall be in a font,and underwritten by company acceptable to the City. The City will normally require carriers to have minimum A.M.Best rating of A XII. The 9VS7S.DOC/M 1: Fx. ilii♦ Consultant shall keep all required coverages in full force and effect during the lift of this project,and a M K minimum of thirty days'notice shall be given to the City prior to the cancellation of any paltry. r. �; r The Consultant shall verify,when submitting first payment invoice and annually thereafter,possession }b of a current City of Renton business license while conducting work for the City. The Consultau[shall . sSif require,and provide verification upon request,that all subconsultants participating in a City project possess a current City of Renton business license. The Consultant shall provide,and oatain l;ty iapproval of,a tragic control plan prior to conducting work in City right-of-way. The Consultant's relation to the City shall be at all times as an independent contractor. 7QY SUBLETTING OR ASSIGNING OF CONTRACTS - The consultant shall not sublet or assign any of the work covered by this Agreement without the express consent of the City. Xv ENDORSEMENT OF PIANS The Consultant shall place their certification on all plans,specifications,estimates or any other engineering data famished by them in accordance with RCW 18-43.070. X.I i COMPLETE AGREEMENT This document and referenced attachments contain all covenants,stipulations,and provisions agreed upon by the parties. Any supplements to this Agreement will be in writing and executed and will become part of this Agreement. No agent,or tzpresentattve of either party has authority to make,and the parties shall not be bound by or be liable for,any statement,representation,promise,or agreement not set forth herein. RECOMME TI N: Staff recommends that Council revise the exemption to the moratorium granted to Renton Technical Collage such that all the prior requirements be replaced by the fallowing: 1) RTC will provide en upfront cr• anticipation in the East Renton Interceptor of $82,501.50, the extent to which they benefit by the improvements. When the East Renton Interceptor project is complete. the actual assessment will be I calculated. The City will utilize any or all of the $82.501.50 plus interest to .I satisfy RTC's assessment. Any balance remaining, including interest, after the assessment is satisfied will be returned to RTC. 2) RTC will provide to the City's Wastewater Utility the final plans and specifications for the improvements required by the original exemption. By providing the plans to the C;ty, RTC acknowledges that Renton will utilize the plans to install the sewer improvements. 3i Following completion of requirements 1 and 2 (above) the City will acknowledge that no condition of the existing sewer moratorium will prohibit granting temporary or final occupancy for the Business Technology Building DISCUSSION, RTC was granted an exemption from the sewer moratorum 02/3190). As a condit;r. of the exemption, they were to participate, to the extent of benefit, in the interim improvements required for Crown Point II, Union Plaza,Wonio,and Pettet. These improvements are scheduled for installation by the City as a project known as the South Highlands Interbasin Transfer. A budget line item exists for the project. Ine requirements placed on the above-mentioned developers were that any or all must install these improvements as a condition to the exemption. This condition was based on the tr'ct that none of the developers were willing to wait until Renton had completed the East Renton Interceptor and/or South Highlands projects. RTC proceeded in good faith. Because of lack of comm tment from the other developers. RTC took charge of the project and had plans and specifications for the project prepared and approved by the City. It was RTC's intent to install the improvements and hold latecomers against the other developments. Because the other developers have maintained a "wait and see" attitude, RTC has expressed a reluctance in fronting a large amount of money in a project where they hav9 a less than 5056 cost responsibility. The college has expressed an interest in participatir; in the East Renton Intercepter, to the extent they would benefit, in order to avoid fronting a large amount of money that may or may not be recouped at a later date. In addition, the decision to utilize the West Maplewood alternative for the East Renton Interceptor changes the long range options for serving the RTC area. By requiring new developments such as Crown Point II and Union Plaza to connect to the East Renton j Interceptor and rerouting flows from existing development to East Renton, we will create additional capacity and minimize upsizing necessary in the South Highlands basin. If we do require properties to connect to and participate in the East Renton +� Interceptor, RTC would not Se reimbursed fer the South Highlands improvements and thus receive an unfair burden. Inciuded in this program was an on campus site for our iBusiness Technology Center. The State of Washington was able to fund all the construction at that time, except for the Business Technology Center. Daring this last legislative session, a special line item appropriation was ill passed in order that we might now construct the Business 'technology Center as I it was planned for in 1984. The monies available are a one time appropriation (3.6 million) and must be used within a specific window of time. Here ties Dur dilemma. We must build within this window and, at the same time, the City of 1:enton has a sewer moratorium in this area. Therefore, the Renton School District is respectfully requesting an exemption from the sewer moratorium for the following ree mxis: 1. Renton Vocational Technical Institute iii a part of the Renton School District and, as such, is a non-profit organisation designed to serve all of The City by providing quality yocational training opportunities to a'l the citizens of Renton. 2. The Business Technology Center was sham on plans for the campus and included in all EIS atatements of 1964, therefore should hLve been included in the capacity calculations for the sewer system. 3. Renton Vocational Technical Institute has closed its Highla.ds Annex location, thus reducing the flow into the system by three (3) buildings and assorted restrooms. 4. Because the moratorium resolution was imposed by action of the Renton City Ccuncil, any decision regarding exemptions must be made by the Council. V Accordingly, we suggest the following steps be taken: 1. Petition the Council, by letter, for an exemption from the moratorium, listing those reasons you feet are important and measures you would propose to provide necessary sewer capacity to properly serve your facility. The next Lily Council meeting is November 19, 1990, If received, your letter would be read into the record that evening and referred to a committee for consideration. 2. Prepare a plan to improve the current sewer system capacity to allow your development. The plan should inrlude preliminary engineering estimates. The 1815 lineal feet of proposed sanitary sewer improvements that have been conceptualiv approved by Council will provide enough capacity to serve Crown Point 11, Wonio, Pellet, and Union Plaza. These improvements will have enou h capacity to h+ndle the additional flow from RVTI. RVTI should be required to participate in their ' a of those improvements that would benefit their development(this -ould exclude the 880 lineal feet on N.G. 6th ^1. that is epstrean from RVTI). j However, the flow from RVTI would put two additional sections of sewer over capacity. ! If RVTI were granted an exemption, tiey should be responsible to replace these sections. i The improvements proposed by the school district will house the clerical and computer training programs. These programs were being taught from the Honeydew School as an annex to RVTI. In anticipation of the need to reopen Honeydew as an eiementary school, t RVTI is relocating these programs. e Staff believes, because of the benefit to the public, RVTI should be given consideration for the exemption as conditioned and, therefore, we are making the recommendation that they be granted that exemption conditioned on the construction of appropriate improve:merts approved by the Department of Planning'Building/Public Works. This improvement would require replacing the existing sanitary sewer along Aberdeen Ave. N.E. and N.E. 7th Street from Manhole 12-51 to Manhole 12-119 with 12" gravity sewer. Wastewater could then be diverted back from the North Highlands Basir. into the Souto Highlands Basin by redirecting the wastewater flow from Manhole !2-59 to Manhole 12-60. Approximately 935 lineal feet of gravity sewer would need to be constructed to complete the interbasin transfer. The failure of the present drain water system is evidenced by the manhole located at the northwest corner of Building D. which pops its cover and overflows across the grass and down into the street drains on Jefferson and Kirkland Avenues and threatens the integrity of Aquifer Protection Zone No. 2. The RVTI main campus is right in the middle of .fifer Protection :one No. 2 and information is needed as to the impacts on tnis Zone. RVTI was not inrluiPci in the properties covered for limited exemptions under Resolution 2764 ("Sewer Moratorium") . When RVTI did apply, all 125 EDU's were already spoken for. Consequently, RVTI went to the City of Renton and requested a total exemption from the Sewer Moratorium. By letter dated November 8, 1990, the City responded to the School District's regl..est by providing a roadmap for getting through the exemption process. By letter dated November 14, 1990, the Renton School District erroneously advised the City Council that the Business Technology Center was .included in all EIS statements of 1984 ." This is simply not true, as only an outline of a "future building" was shown on the 1985 FEIS site plan and the "future building" was only briefly mentioned in the 1985 FEIS as an alternate.
