As you know we have spent two full days doing extensive exploratory work to find a resolution to the problem. We find two basic alternatives. Alternate # 1 Have the telephone ducts relocated. This will take a great deal of time and money. Alternate N 2 Hand tunnel the exist telephone duct approximately 15 ' in width, install a 45 degree bend in the middle of 2nd Avenue thus changing direction short of the Seattle Water Main. This will allow maximum deflection to clear the Seattle Main without putting undue stress on the tyton joints . This work will require considerable traffic control , strict conformance to grades and joint deflection. The total additional cost for this extra work in addition to Change order N 1 is $22 , 786. 00 . Warren, City Attorney RE: Pacific Northwest Bell Telephone Cc. and Franchises Dear Bob: You recently forwarded to me several items Concerning Pacific Northwest Bell . Key amongst those things was Ordinance No. 996 granting to Pacific Telephone and Telegraph Company a twenty-five year franchise to operate within the City right-of-way. That lease ran from March 31, 1938 apparently to the same date in 1963 . Pacific Telephone and Telegraph also filed an acceptance of that lease . One would argue, with the language of the franchise, that Pacific Northwest Bell, as the successor in interest to Pacific Telephone is holding over on that franchise and is still responsible under the terms of that franchise. Section 4 of the franchise requires the grantee, now Pacific Northwest Bell, to relocate any of its facilities if there is a conflict with the City in the prosecution and maintenance of street improvements. The fo" ,wing section requires Pacific Northwest Bell to raise u lower or remove aerial cables, wires and other apparatus However, by quick review I did not find a requirement that lacific Northwest. Bell change the location of its facilitirb if they interferred with City utilities. However, I think it is implicit in franchising that the City has the right to control the location of its facilities and that of the franchisee. Pacific Northwest Bell ' s position that no franchise is requires is apparently in contradiction to the recent Bothell case that I forwarded to you. However, you should � _ aware that the Washington State Supreme Court has agreed to review that decision and that final word will probably take close to a year. Bob Bergstrom April 18, 1985 Page 2 It would be my suggestion that we enter into an agreement with Pacific Northwest Bell that the City will do the work at its own expense, and that Pacific Northwest Bell will agree in writing to pay the costs thereof if the Supreme Court' s opinion remains that the Telephone Company must have a franchise to operate within the City right-of-way. Likewise, if the Supreme Court opinion indicates that such a franchise is not necessary, then the City will have to bear the expense. If the ruling is equivocal in some fashion, then the parties would agree to seek a declaratory judgment from the King County Superior Court. Before we litigate this issue, it would be wise to refer the topic to a City Council Committee so that Council approval of the litigation would be received before we expend any monies.
