If it does , then it would appear that the City is a Class 9 creditor. If the City is a Class 9 creditor, that is, o,te without security or priority, then Jacobson is offering to pay the City 18 of its debt spaced out over a substantial period of time. I do not think we should waste our time with any such plan. The plan is almost an insult. Do you know whether or not the City has filed a claim in the Jacobson bankruptcy? If so, what is the amount of that claim? If the City does have a claim against Jacobson, and it is in fact a Class 9 creditor, then I would suggest that we reject the plan. NhshinQhm WAIN I ARTICLE I - CLASSIFICATION OF CLAIMS 2 1.1 Class l: Costs and expenses of administration as 3 defined in Section 5O7(a)( 1 ), except the administrative claim of Seattle-First Natinal Bank (hereinafter SeaFirst), as allowed by 4 the court pursuant to it Order of June 26, 1986, and the administrative claim of the Internal Revenue Service. 5 1.2 Class 2: The administrative claim of SeaFirst. 6 1.3 Class 3: The administrative claim of the Internal Revenue Service ( IRS) for taxes due post-petition, should any such taxes remain due on the Effective Date. 8 1.4a Class 4(a): Claims secured by consensual liens upon 9 debtors' apartment building located in King County, Washington (the Apartment), to the extent of the value of the Apartment, 10 except the claim secured by the pre-petition lien in favor of SeaFirst. 11 1.4b Class4(b) : Claims secured by non-consensual liens on 12 the Apartment, to the extent of the value of the Apartment. 13 1 .5a Class 5(a) : The claim secured by consensual liens upon debtors' rental property located in Somerset Highlands, King 14 County, Washington (the Somerset Property ), to the extent of the value thereof, except the claim secured by the pre-petition lien 15 to SeaFirst. ]6 1.5b Class 5(b) : Claims secured by the judgment lien on the Somerset Property, to the extent of the value thereof. 17 1.6 Class 6: Claims secured by liens upon the debtors' present residence , (the Residence) , located in King County, 18 Washington, except the lien thereon securing the administrative 19 claim of SeaFirst. 20 1.7 Class 7: The pre-petition claims of SeaFirst secured by liens upon the Apartment, Somerset Property, and all of 21 debtors' equipment as listed in Schedule B to the court' s Order of January 26, 1986. 22 1.8 Class 8: The unsecured tax claims of internal 23 Revenue Service and of the State of Washington to the extent they are entitled to priority. 24 1.9 Class 9: The claims of unsecured, general 25 creditors, including the claims of taxing authorities to the extent not entitled to priority, and the claims of secured 26 creditors to the extent their claims exceed the value of the available security. Saite,*M Seattle,%,hinKt.m 98IN PORSKI P2 12ta)22a 9595 i 1 ARTICLE II - TREATMENT OF CLAIMS 2 2. 1 Class 1 claims will be paid on the later of the 10th day after the Effective Date or the date allowed. 3 2.2 The holder of the Class 2 claim shall be paid the sum d of $20, 000 in full settlement of the Class 2 claim as follows: No payment shall be made on the Class 2 claim until the 45th month 5 after the Effective Date, and until the first day of the said 45th month, no interest shall accrue on the Class 2 claim, Beginning 6 on the first day of the said 45th month, interest shall accrue a`. 12$ on the outstanding principal balance until paid. Debtors 7 shall make $1500 payments each month, beginning with that day of the 45th month on which the Effective Date falls, and continuing 8 each succeeding month until the S20,000, plus interest as provided in this paragraph, is paid in full. The Class 2 claim shall be 9 secured by a deed of trust lien on debtors' residence, against which debtors waive their homestead rights. The lien granted by 10 this paragraph, and the deed of trust granted pursuant hereto, shall be in replacement of the liens granted to secure the Class 2 31 claim by the court' s Order of June 26, 1986, and upon the entry of the Order of Confirmation, the rights, inconsistent herewith, 12 granted the holder of the Class 2 claim by the Order of June 26, 1986, including the lien rights, shall be null and void. 13 The date at which the initial payment of this claim will be 14 made is subject to acceleration as stated in paragraph 2.7, 15 2.3 The Class 3 claim ( administrative taxes due IRS) shall be paid in equal monthly payments with interest as provided 16 in the Internal Revenue Code ( IRC) at the statutory rate in effect on the Effective Date, the first payment of $1500 due on the loth 17 day after the Effective Date and the remaining 11 on the same date of the next succeeding 11 months, continuing at $1500 per month 18 ui.til paid. It is anticipated that there will be no or a minimal Class 3 claim on the Effective Date. 19 2.4(a) Class 4(a) claims will be paid according to the 2Q terms of their notes and deeds of trust, except as the holders of Class 4(a) claims may agree otherwise. 21 2.4(b) Class 4(b) claims will be paid the principal 22 amount of the lien claims ( approximately $27,000) by the debtors' pro-rata distribution of a total of $500 per month among the lien 23 claimants each month for 54 consecutive months (or such additional months as is required for full payment as provided), beginning on 24 the loth day after the Effective Date. 25 2. 5(a) Class 5(a) claims will be paid according to the terms of their notes and deeds of trust except as they may agree 26 ot1—rwise. Although debtors' Plan treats 2 Capital 's note as secured by both properties, only a single I! 3 monthly pa-ment will be made to Capital. ) I 2.5(b) The Class 5( b) judgment secured by a lien on the 4 Somerset Property ( in the principal amount of $1037) will be paid $50 per month, beginning with the loth day after the Effective Date and continuing on the same date of each succeeding month 6 until the principal is paid in full. 2.6 The claims in Class 6 (secured by liens cn debtors' residence) will be paid according to the terms of their notes and 8 deeds of trust, except as they may agree otherwise. 9 In addition, the arrearage of $14,796.00 owing to Federal i Land Bank on its deed of trust note on the Residence will be paid 10 by the 90th day after the Effective Date. 2.7 The Class 7 secured claim of SeaFirst shalt be paid a 11 total of $54, 272.50, reduced by that portion of debtors' total 12 monthly payments made under the Order entered January 21, 1986 (at i the rate of $1500 per month) through confirmation which is 13 properly applicable tc principal under the terms of that Order. Payments on the Class 7 claim shall be in installments of $1500 14 per month. This claim shall bear interest from the Effective Date at 12% until paid. i 15 Debtors have agreed in principle with SeaFirst that in the 16 event their adjusted gross income should increase substantially over that projected in the Disclosure Statement ($7500 per month) , 17 debtors will increase the layments to SeaFirst due under this paragraph. Any such increased payments would accelerate the 18 initial payment due SeaFirst on its Class 2 claim. Exact language has not been agreed upon as of the date of this Second Amended 19 Plan. 20 2.8 The unsecured priority claims of the IRS for federal takes due ( including in this class the entire 941 tax liability 21 for 1st quarter 1985 ), shall be paid in 72 equal monthly installments beginning on the day 10 days after the Effective Date 22 and continuing on the same date each month for the next succeeding 71 months, with interest from the Effective Date on the declining 23 balance at the rate provided �)y the IRC on the Effective Date. BACKGROUND 2 For a number of years prior to 1981, Henry L. (Skip) 3 Jacobson operated in the heavy construction business through a 4 corporation wholly owned by himself and his wife (the Skip Jacobson Construction Company, Inc. , hereinafter the Company) . 6 In 1981 , the Company was low bidder on a major construction 7 contract on one of the Washington Public Power comply projects 8 (WPPS) . There were major required contract modifications; there 9 were also very substantial cost overruns, both of which became 10 non-collc�tible from the project owner. As a result, the Company 11 failed. To secure certain corporate obligations, the debtors 12 granted Seattle-First National Bank (SeaFirst) deeds of trust in 13 two of their properties, an apartment building (the Apartment) � 14 located in King County, Washington, and a residence currently 15 rented as income producing property (the Somerset Property), also 16 located in King County; in addition debtors borrowed money from 17 SeaFirst, secured by certain construction equipment belonging to I 18 them and used in the proprietorship, H.L. Jacobson, Jr. , 19 Construction Company, which succeeded the failed Company. In 2 . addition, debtors secured their indebtedness to SeaFirst with 21 their receivables. 22 23 As a result of the Company' s failure and the debt pressure 24 created by that problem, coupled with the continued depressed 25 condition of construction locally, the debtors filed their case in 26 approximately $110,000 February, 1985. OPERATION IN THE CHAPTE7 11 CASE 7 8 Subsequent to their filing, debtors used a portion of their 9 collections of pre-petition accounts receivable as operating 10 funds. Their position is that this usage was with the permission 11 of their principal lender, SeaFirst; that position has been 12 vigorously disputed. At any event, the court, in an order entered 13 June 26, 1986, awarded SeaFirst an administrative claim not LJ 14 exceed $76,444, secured by a blanket lien on all of debtors' 15 non-exempt assets. The actual amount of usage (and hence of the 16 SeaFirst administrative claim) is subject to further determination 17 by the court and thus has been a matter of continued controversy. 18 19 In December, 1985, debtors, after intense negotiations with 20 SeaFirst, returned to SeaFirst, for sale and application of the 21 proceeds to their indebtedness, a substantial portion of their 22 equipment. Debtors retained equipment with an agreed value of 23 554,272. 5O. Debtors in 1985 11 averaged approximately $29, OOO per meth in gross sales. They 12 have bids outstanding currenV.y on 7 jobs with a total bid value 13 of 5294,7OO. 14 III . THE PLAN 15 1. Summary of Treatment of Debtors' Major As­,ets. 16 The debtors' own four major assets: the Apartment, the 17 Somerset. Property, nrr6ent residence (the Residence) , and 18 the retained equipment (The Equipment) . In addition they possess 19 very minor amounts of non-exempt personal property, primarily 20 about 53OOO equity in two older cars, as reflected on the 21 schedules filed with the court. 22 23 a. The Apartment has been valued by SeaFirst in the 24 affidavit of Ann Aahl, a senior SeaFirst official, executed 25 December 5, 1985 and filed with the court, as worth between 26 S375,OOO and 5439,OOO, fair market value. The Equipment was valued at $54, 272.50 by stipulated 23 Order entered January 26, 1986. This Equipment is necessary for i 24 the debtors' reorganization. Upon payment of the Class 6 claim in full, all 9 SeaFirst pre-bankruptcy liens will be discharged. Debtors have 10 agreed in principle with SeaFirst that if their adjusted gross 11 income substantially exceeds the $75OO projected in this 12 Disclosure Statement, they will accelerate payments on the debt to 13 SeaFirst. As of the filing of this Amended Disclosure Statement, 14 no definitive agreement had been reached. Such acceleration would 15 not affect payment of any ether creditor. 16 2. The Detailed Treatment of the Classes. 17 Class 1 consists of debtors' administrative expenses, other 18 than administrative tai:es and the administrative claim of 19 SeaFirst. These claims will be paid in full, or as otherwise 20 arranged with the claimants, on the latter of 10 days after the 21 Effective Date or the date of allowance. They believe S these questions will be resolved with a determination that no tax 6 will be due; however they provide in the Plan for the immediate 7 payment after the Effective Date of any liability determined to 8 exist. Any Class 2 claims will be paid in installments of $1500 9 per month beginning 10 days after the Effective Date, with 10 interest as provided by the IRC at the rate on the Effective 11 Date. 12 The Class 3 claim of SeaFirst is for the amount of cash 13 collateral arguably used without permission post-petition. The 14 debtors have estimated the claim, if ultimately allowed, cannot 15 exceed $46,300 and in fact will be substantially smaller. I 16 However, a portion of their records required for accurately 17 evaluating the claim were accidentially mislaid while in transit 18 from SeaFirst' s attorney' s offices to the debtors after a 19 Bankruptc,, Rule 2004 examination conduced of Mr. Jacobson by 20 SeaFirst's attorneys. The amount of the claim, therefore, 21 probably cannot now be completely accurately determined with the 22 loss of :these materials, but, as noted, if the i.sue of use without 23 permission is resolved against them, debtors believe it is far 24 less than $46,300. Neither at this hearing nor at 4 any other has there been evidence taken to confirm, nor has the 5 court ever determined, that cash collateral was improperly used 6 ( i.e. , without permission) . As demonstrated above, however, 7 there is, in fact, in the event SeaFirst's original lien on the 8 Equipment is valid, no equity in any property of the estate to 9 which the replacement lien can attach except minimal amounts of 10 depreciating automobiles and in accounts generated by debtors' 11 labor and machinery prior to confirmation. Therefore, again in 12 the spirit of compromise of controversies, debtors have pzoposed 13 in their Plan to waive their homestead claim in their Residence in 14 exchange for granting and securing to SeaFirst an administrative 15 claim in the amount of $20,000 and its payment in $1500 16 installments beginning upon the conclusion of the payment schedule 17 on SeaFirst's pre-petition secured claims (Class 6), with interest 18 at 12% on the $20,000 to begin on the first of the month after the 19 payments on the Class 6 claims are scheduled to conclude. 20 Although this constitutes a substantial reduction in the 21 administrative claim as presently allowed in the Order of June 25, 22 1986, SeaFirst is being offered an effective secured position it 23 would not enjoy if this case were converted or if the debtors were 24 successful in challenging the award of the lien or its amount. The amount of the taxes In Class 7 10 payable to IRS is approximately $114,000; with interes': factored 11 in, payments will be less than $2000 per month. FEASIBILITY 2 The Plan is feasible given debtors' present business 3 activity. It calls for payments of $1500 per month to SeaFirst 4 for approximately 6 years on the Class 3 and Class 6 claims, and 5 payments of approximately $2000 per month to IRS and $200 per 6 month to the State, also for 6 years, plus living expenses and the 7 monthly payments on the Residence secured debt to be made out of 8 debtors' business income. Payments on the claims secured by the 9 Apartment and Somerset Property can be made out of the cash flow 10 of these properties. Thus, debtors' business must support 11 payments of approximately $3700 per month in addition to their 12 living and housing costs. 13 Based upon 1985 and early 1986 res -1ts, with an average 14 monthly gross receipts of $29, 167.O0, business costs will average 15 about $21, 667, for an adjusted gross income averaging $7500 per 16 month. The City has recognized the need to repair this watermain and in 1983 the funds were budgeted for this main replacement from Union, Avenue N.E. to the easterly edge of the ply,, of Honey Dew Estates. The plans for this project will be going to bid sometime in December 1983 or January 1984.
