Warren, City Attorney RE: Professional Service Contract CAG 055-83 Amendment N3 - City Water Telemetry Design Dear Dick: All of the information concerning this contract has been fo. warded to my office. Frankly, I am a little confused. The authorization j. for professional services is entitled Proposed Addendum No. 3 but . makes no reference to the prime contract. The contract also refers 7 to the June 19, 1986 letter that discusses Phase II and Phase III of the project with various tasks also detailed. The June 19, 1986 letter also refers to a March 13, 1986 letter that discusses Phases II through V. This latter letter discusses capital costs as well with the capital costs of Phase II alone being $354,105.00. The June 19, 1986 letter outlines the amount of the engineer's fees for Phase II and Phase III with Phase II being $26,250.00 and Phase '-<- - III being slightly over $30,000.00. However, Phase II, Task II, is not budgeted but there is a suggestion of a budget of $14,520.00. Phase III, Task IV and VI, are not budgeted at all. I do not like the form of the present contract documents. There is no indication that RH2 Engineering is going to have to abide by the contract details of CAG 055-83 even though we are referring to I! this last contract as Addendum No. 3. Frankly, the contract document for .addendum No. 3 appears to stand on its own. The original contract, however, has requirements that the consultants maintain general liability insurance and professional liability insurance and I know theme are sticky points, particularly the professional liability insurance provision. I see nothing wrong with the provisions in the contract, nor in the letters. I presume your staff believes that the letters provide adequate technical detail to proceed on the contract. I also presume that your staff believes the fees listed are reasonable as far as they go. I also believe insurance requirements are necessary - . and if this is truly Addendum No. 3 that we refer back to the original contract. As always, if possible, I would like to see a start date and a completion date included in the contract. WASHING:ON, acting through its City Council referred to hereinafter as the "CTIY" and RH2 ENGINEERING, ) P.S., 1410 Market Street, Klr':Iand, Washington 98033. referred to hereinafter as the "CONSULTANT". WHEREAS, the CITY desires to engage the CONSULTANT to provide Professional Services, including the design and construction of Telemetry Conduit from the well field in Cedar River Park, to the Mount Olivet Pump ' Station, the "N" Street Pump Station and the new city shops, and an emergency power supply caMuit from Cedar River Park to the Mount Olivet Pump Station and a conduit for use by the Traffic Department, along the ' same alignment. Purpose The purpose of this contract amendment shall be the following: TASK 1. Deterine and document the need for an emergency power link between the well field in Cedar River Park and the Mount Olivet Reservoir and Pump Station. TASK 2. Design the Telemetry Conduit link between the well field in Cedar River Park, the Mount Olivet Pump Station, the "M" Street Pump Station, and the new city shops. TASK 3. Design the emergency power conduit link between the well field in Cedar River Park and the Mount Olivet Pump Station. TASK a. Identify the Conduit Requirements, if any, for traffic control purposes along the alignment proposed for the Telemetry Conduit link and design these link concurrently with telemetry conduit link referenced in (2) above. Scope of Work " The scope of work documents the efforts necessary to accomplish the tasks previously identified. TASK 1. Determine and document the need for an emergency power link: 1 1 , yl A. Analyze the power requirements for well Nos. 1, 2, 3, 8, 9, and the Mount Olivet Pump Station. B. Compare alternative locations for emergency power supply to the well field. C. Obtain copies of City plans on the proposed conduit alignment. 1 Use these plans to the extent possible to minimize surveying requirements. B. Coordinate with the City's staff or outside surveyor regarding , the proposed alignment (for sections that have not been previously surveyed or need a resurvey) and show all monuments, centerlines, and right-of-way limits 1n the plans. C. Draft the results of A and B above at a scale of 1"•40' in Plan View. D. Identify and illustrate all Interfering utilities that have been located. E. Design the Telemetry link conduit and develop detailed specifications in accordance with City and State standards and the National Electrical Code (NEC). F. Identify locations for pull boxes or other specialty requirements and develop detail drawings of each. G. Print eight sets of contract documents (plans and specifications) for City and State review. H. Incorporate modifications, if any, and submit originals to City for printing. 1. Develop an engineer's estimate of costs for all improvements to be made. TASK 3. Design Power Conduit link i A. Design the Emergency Power Conduit and develop detailed specifications in accordance with City, State, NEMA and NEC standards and codes. B. Incorporate design into the same plans and specifications as Item 2 above. TASK 4. Identify Traffic Conduit Requirements A. Meet with Traffic personnel and identify proposed telemetry conduit alignment. B. Determine needs of Traffic Department regarding conduit for traffic use along proposed alignment. C. Design traffic conduit and develop detailed specifications to accordance with City, State, NEMA and NEC standards and codes. D. Incorporate design into the same plans and spefications as I Item 2 above, TASK 5. Services during bidding and construction i A. Respond to bidder's questions. B. Attend Pre-bid Conference if necessary, C. Issue necessary addenda. D. Assist in bid review and coordination for award of contract to successful bidder. E. Attend Pre-construction conference. F. Perform detailed construction inspection in cooperation with City staff. G. Review and approval of shop drawings, equipment submittals, specifications and schedules. M. Work will commence on and completion will be 60 working days after the Notice to Proce— received with time excluded for those days spent securing any permits or licenses required, Fee Schedule Our fee has been developed on the basis of using a fixed fee since that is the City s preference. The level of effm required to accomplish Task 1, Items A-E, Task 2, Task 3, and Task 4 Items C and D. have been well defined, and the resulting fee estimate for accoxplishing this work is $14,234. This fee estimate is summarized in Attachment A to this contract _ and is based on using a fixed fee which includes expenses. The level of effort necessary to accomplish Task 1, Items F and G, coordination with Puget Power to supply power to the distribution grid, has _ been established at $2,400.00. We will bill the City for our efforts on this part of the project on a time and expense basis, but will not exceed the budget without prior written authorization. -. The level of effort necessary to accomplish Task 4, Items A and B. coordination with the Traffic Department, and Task 5, services during construction, is difficult to predict. WHEREAS, the CITY desires to engage the CONSULTANT to provide ' Professional Services, including the design and construction of a telemetry ` and supervisory control system over a four-year period which results in a phase of the project being accomplished annually for each of the next four years. NOW, THEREFORE, the parties hereto mutually agree as follows: SCOPE OF WORK The Scope of Work identifies all efforts that are anticipated at this point for Phases I through IV and is as follows: Phase 1 Task I - Function Review A. Compile a "shopping list' for City review and discussion that will , detail all control, indication, and alarm options and configurations available for use by the City, and assist the City In determining the functional requirements of the net control system. B. Investigate the feasibility and desirability of participating with other City departments in joint purchase and use of automatic Control equipment. C. Compile and present Engineer's recommendations for participating with other City departments to joint purchase and use of automatic (. control equipment. Task 2 - Product Documentation A. Compile a listing of products and manufacturers whose equipment would be suitable for use in the automatic control system. B. Attend product demonstrations and visit operating installations of suitable equipment, when necessary. C. Summarize results of product demonstrations for review and { discussion with the City. 0. Compile and present Engineer's recommendation for the best suite! type of system and specific manufacturers ds examples who are capable of developing such a system. Task 3 - System Layout A. Develop a detailed System layout based on the functional requirements Identified in Task IA for the following sites: 1. Central control at City Shops 1 2. Talbot Hill Reservoir 3. Prepare an overall System plan showing the location of all sites involved in the construction of the new System for the purpose of showing telemetry links used. B. Develop a "Process and Instrumentation Diagram". C. Develop a "Control Matrix Diagram", D. Develop a "Control Logic Diagram" E. Develop outline drawings (not site plans to scale) for sites Involved in the construction, and show or state locations of all new hardware to be installed (transducers, electrical panels, and telemetry panels,) I ! F. Describe the panel and wiring requirements for each site, and the limits of interfacing with existing equipment. G. Illustrate or document the location of power supplies for each facility. H. Prepare technical specifications for the functional requirements and the hardware requirements of the new control system. I. Prepare general and legal specifications based on City Standards. a J. Print 8 sets of documents for review by the City's Staff. _ K. Incorporate changes desired and deliver original documents to the City for printing. Task 5 - Services During Bidding and Construction A. Respond to bidder's questions. 8. Attend pre-bid conference if necessary. C. Issue necessary addenda. D. Develop and supervise use of programs for advanced-primary control that will be used in Phase IV. D. Develop a detailed graphic panel for placement in City Shops. Develop a System design for adding a computer at the City shops for primary System operation and advanced control. The existing System will be retained as a backup to the computer and to provide System-wide telemetq functions. B. Develop detailed algorithms for use by software programmers for computer functions and operations. Task 2 - Plans and Specification Same as Task a - Phase I Task 3 - Services During Construction Same as Task 5 - Phase I SCHEDULE a> CONSULT'NT is prepared to begin immediately. Phase I, Task 5 time of completion is dependent upon tl,e contractor's schedule and other factors beyond CONSULTANT'S control, and, therefore, no time of completion is stated. FEE SCHEDULE Our fee has been developed on the basis of using a fixed fee since that is the City's preference. Phase 1 has been well defined and the level of effort required to accomplish this task has been estimated. It should be noted that engineering work for Phase 11 or subsequent phases will not be ?' started until the City has authorized that Phase's work to proceed. The resulting fee estimate for accomplishing Phase 1, excluding services during construction, is $39,460.00. This fee estimate is summarized in Attachment A to this Contract Ind is based on using a fixed fee basis which includes expenses. The level of effort necessary to complete Phase 1, Task 5 - Services During Construction, is difficult to predict since it is highly dependent on the type of system selected by the City. We have, therefore, not made an estimate of the fees needed to accomplish the services during I construction and suggest that a budget be prepared once the type of system sill selected has been established. It is emphasized that the City would be billed only for the fixed fee amount stated above to accomplish Phase I design, while the fee for Task 5 would be based on actual effort expended i to accomplishing this item, 714 Phases 11, III and IV, which are the addition of the new control system for less critical sites and computer operation and control at City Hall and the City Shops, respectively, are less well-defined due to the dynamic and rapidly changing nature of the computer industry. It is difficult to accurately p^edict the level of effort required to design computer i algorithms and interfaces two or three years 1n the future. We have, therefore, not delivered an estimate of the fees needed for Phases 11. 111 and IV. L 4 L 1 rY 1f x NOW, THEREFORE, in consideration of the mutual promises and covenants ' ""' herein contained, to be kept,p performed and fulfilled by the respective parties hereto, and other good consideration, it is mutually agreed as follows: 1. The The CITY hereby employs the CONSULTANT to perform all work in Phases I-IV as described in the Scope of Work. 2. The CONSULTANT hereby accepts such employment and agrees to perform all of the engineering/planning services necessary to complete the Scope of Work. ;. 3. Any cost estimates provided by CONSULTANT will be on a basis of experience and judgment, but since it has no control over market conditions or bidding procedures, CONSULTANT cannot warrant that bids or ultimate construction costs will not vary from these cost estimates. S. A. Payment to the CONSULTANT for services shall be as set forth in the preceding section titled "Fee Schedule", with the addition of the following provisions: 1. CONSULTANT's Hourly Rates are those fees which are charged for work performed on the CITY's Project by CONSULTANT as indicated in Attachment A. 2. CONSULTANT's Direct Expenses shill be those costs incurred on or directly for the CITY's project, incl -ding but not limited to necessary transportation costs including mileage at CONSULTANT's current rate when its automobiles are used, meals and lodging, telephone, computer, printing and binding charges. Reimbursement for these expenses shall be on the basis of actual charges when furnished by commercial sources and on the basis of usual commercial charges when furnished by CONSULTANT. 3. When technical or professional services are furnished by an outside source an additional 'SL •;,all be added to the cost of these services for CONSULTANT's administrative costs. 0. Monthly invoices will be issued by CONSULTANT for all work performed under the terms of this Agreement. Invoices are due and payable within 30 Jays of receipt. Finance charges, based on the current prime lending rate (applied to the previous month's balance after deducting payments and credits for the current month), will be charged on all past-due amounts unless otherwise provided by law or by contract. B. Any items the CITY desires to add to the Scope of Work or items not included, can be accomplished at the CONSULTANT's current rates. 6. The right is reserved by the CITY to terminate or suspend this Agreement at any time, with or without cause, by giving thirty (30) days notice to the CONSULTANT in writing. In that event, all e finished or unfinished documents, data, studies, surveys, r. drawings, maps, models, photographs, and reports, or other material prepared by the CONSULTANT pursuant to this Agreement, - shall be submitted to the CITY, and the CONSULTANT shall be - r 1.. I entitled to receive just and equitable compensation not to exceed s38,280.00, excluding services during construction, for all work completed on the project prior to the date of suspension or t termination. If no notice of termination is given, relationships and + obligations created by this Agreement shall be terminated upon completion of all applicable requirements of this Agreement. 7. Neither the MY nor the CONSULTANT shall assign, sublet, transfer, mortgage, pledge as collateral, or otherwise encumber any rights or interests accruing from this Agreement without the written consent of the other. This Agreement is binding upon the parties hereto, their heirs, successors, and legal representatives. 8. The services under this Contract and all duties incidental and necessary thereto, shall be conducted and performed diligently and competently and in accordance with professional standards of conduct and performance. The CONSULTANT shall be responsible to the level of competency presently maintained by other practicing, professional engineers in the same type of work. CONSULTANT makes no other warranty, express or implied for the professional and i technical soundness, accuracy and adequacy of all designs, drawings, specifications, and other work and materials furnished under this Contract. 9. In all hiring or employment made possible or resulting from this Agreement, there shall be no unlawful discrimination against any employee or applicant for employment because of sex. age, race, color, creed, national origin, marital status, or the presence of a any sensory, mental, or physical handicap, unless based upon a bona fide occupational qualification, and these requirements shall apply to, but not be limited to the following: a. employment b, advertising c. layoff or termination d, rates of pay or other forms of compensation e. selection for training, including apprenticeship. No persons shall be denied or subjected to discrimination in { receipt of the benefit of any services or activities made possible by or resulting from this Agreement on the grounds of sex, race, color, creed, national origin, age (except minimum age and retirement provisions), marital status, or the presence of any se..sory, mental, or physical handicap. 10. The CITY makes no commitment and assumes no obligations for the support of CONSULTANT'S activities except as set forth in this Agreement. Unless otherwise agreed, CONSULTANT will be furnished right-of-entry on lards to make necessary surveys, evaluations. etc. CONSULTANT will take reasonable precautions to minimize damage from use of equipment, but has not included in its fees the cost for restoration of damage which may result from Lhoce operations. 11. CONSULTANT is and sl,,,ll be at all times during the term of this Agreement an independent contractor. 12. Payment by the CITY or performance by CONSULTANT shall not be construed as a waiver of any party's rights or remedies against I the other(s). Failure to require full and timely performance of J 6 any provision at any time shall not waive or reduce the right to ' insist upon complete and timely performance of such provision f thereafter. 13. Documents, materials, methodology, software, logic, and systems developed under this Agreement whether finished or not shall become the property of the CITY, shall be fo,warded to the CITY at its request and may be used by the CITY for the purpose of this Project only. All services performed under this Agreement will be conducted solely for the benefit of the CITY and will not be used for any other purpose without written consent of the CITY, Any information relating to the services will not be released without the permission of the CITY. CONSULTANT does not warrant the accuracy of the documents provided to the CITY for use on any other project without prior authorization for such use from CONSULTANT. The CITY agrees to hold harmless and indemnify CONSULTANT against all claims, demands, losses, penalties, or damages, including attorney fees arising out of the use by others of these documents. 14. CONSULTANT Is protected by Workmen's Compensation Insurance as Vfy required by the applicable State statutes. CONSULTANT maintains and shall keep in force durinn the term of p this Agreement, a general liability insurance oolicy (certificate attached) now in force with Safeco Insurance Company for coverage Of $1,000,000 for bodily injury and property damage. CONSULTANT maintains and shall keep in force during the term of this Agreement, a professional liability insurance policy (certificate attached) now in farce with Fremnont Indemnity Company with limits of $500,990,egor*Iy�� 15. This telemetry system was basically approved under SM-I 12-84. A short section of approximately 500 feet will be added by routing the line across the Houser Way bridge and travel along the south side of the Cedar River to City Hail. The construction of the waterline was completed in April, 1984. The addition to the telemetry system will not interfere with the operation of the municipal park. This m4ision to the Substantial Development Permit, File SM-112-04. is granted pursuant to the following terms and conditions: 1.
