a municipal corporation of the State of Washington, its sucoss-
*ors and assigns hereinafter called "Grantor•, and the City of
RMt*"- a municipal c soration of the State of Woobington, Its
successors and &*sigr n*reinaft*r called "Grant**-.

That said Grantor, for and in consideration of the sus of
One Dollar ($I.00) paid by Grant". hereby grants acid oonwys
unto said Grantee, an "moment for a 12 inch waterline vlth
necessary appurtenances Color, under, across, along and upon ■
pUltiGn of thn following deacrislod property in Ring County,
Washington, mur*rparticularly described as follows:

hereinafter called 'the property-. Said *&&*melt is described
in full :n Exhibit a and is hereinafter called -the Easement".
Now, Therefore, In consideration of the mutual promises
set forth herein, the parties hereby agree as follow:
1. Grantor covenants and agrees, at Its sole cost &nd
expense, to perform routine Maintenance, repairs and replace-
ment of such wtorllnes within the Easement 42 such routins
Maintenance, repair and replacement is, In the reasonable dis-
cr*tion of Grantee, necessary. In the event such routine sain-
tsnano*. repair or replacement is desmsd necessary, grant**
shall so notify Grantor in writing. Grantor *hall, upon
receipt of such notification, proceed with ail due dlligemo to
complete such routine Maintenance, raps It o- replacement within
a reasonable ties thereafter, washer and other conditions
permittinq.
2. In the *want of an emergency leak or break in said
waterlines located within the Easement, Grantor shall clove the
water valves to isolate the leak or break and notify Grantee
immediately. Grantee shall have personnel on site prior to
emergency repairs being made.
1. Grantor covenants and agrees that any contractor or
P*rsonnel esl*ct*d to male* repairs to said waterline either of
an emergency or routine nature shall have the approval of the
Grantee. Said approval Mall not be unreasonably withheld.

6. Grantee covenants and proves that it is fully knowl-
edqsabls that utilities belonging to the Grantor ►ay lie within
the Eamoment and that said easaeeit for waterline is, there-
fore, not exclusive.
b. The Grantor shall fully use and enjoy the afore-
described Easeaent, including the right to use the surface and
subsurface of raid Caoament it such use does not interfere with
installation and maintenance of the waterline.
6. Grantee covenants and agree- that If, in the reason-
able discretion of Grantor, it to w!c ssary to relocate said
waterline within the property to facilitate expaiuion of the
oewage trootmont plant of Which the tavamont tone a part, it
will execute, at no cat to Grantee, a 'Release of Casement•,
so long as said waterline is relocated at Grantor's sole cost
and expense.
7. It said described oassment, or any part thereof,
shall at any time ba abandoned by said Grantee, or by the pub-
lic, or should it he converted to any other use whatsoever,
then and ii, any such event, all the right, title, interest,
benefits and enjoyment of ma:d Grantee, or of the public. in
and to said Easement, for any purpose whatsoever, shall immedi-
ately coast and determine, and the said Grantor, its aucceaoors
and assigns, mayy at its or their optixh, re-enter, retake and
hold said doscribed property and pseaent as of the prevent
estate of said Grantor without compensation to said Grantee,
the public, or any other person whomsoever for Improvements or
property removed, taken or wsstroy*d, or liability for loss of,
or damage to any promises or the Improvements thereon abutting
on said easement area or any part thereof.
