Said parcel is herein referred to as the "Easement Area. ` !S TO HAVE AND TO HOLD said easement unto GRANTEE and its successors and assigns forever, subject to the covenants and conditions hereof, which GRANTEE by its acceptance of this easement agrees to fully perform. Subject only to the rights expressly granted in this easement, GRANTOR reserves all rights with respect to the 'f Easement Area including, without limitation, the right to grant S additional easements, licenses and permits therein to others, the right to install utilities and other fixtures or improvement= over, upon, across and under the Easement Area; and the right to locate structures with permanent foundations within the Easement 7 Areas; PROVIDED HOWEVER, that no surface structures shall be located within 5 feet horizontally of GRANTEE's utilities installed under this easement without GRANTEE's prior written consent (which consent .:RANTEE agrees not to withhold unreasonably) . GRANTOR shall not be liable to GRANTEE, or to GRANTEE's employees, agents, contractors or users of GRANTEE's property, for loss or injury resulting from any damage or destruction of GRANTEF 's facilities directly or indirectly caused by GRANTOR's use of the Easement Area or GRANTOR's facilities on the Easement Area, excepting only loss or injury which results solely from GRANTOR's failure to exercise reasonable care not to damage or destroy GRANTEE's facilities installed within the Easement Area. 2. GRANTEE does hereby release, indemnify and promise to defend and save harmless GRANTOR from and against any and all liability, loss, damage, expense, actions and claims, including costs and reasonable attorneys' fees incu-red by GRANTOR in defense thereof, asserted or arising directly or indirectly on account of or out of acts or omissions of GRANTEE and GRANTE`''s servants, agents, employees and contractors in the exercise of the i,ights granted herein; PROVIDED, HOWEVER, this paragraph does not purport to indemnify GRANTOR against liability for damages arising out of bodily injury to persons or damage to property ,;aused by or resulting from the sole negligence of GRANTOR or GRANTOR's agents or employees. �V 3. GRANTEE shall at all times maintain the Easement Area in n good and safe condition and repair. M 0 4. If the Easement Area ceases to be used by GRANTEE to provide CQ water service to the buildings to be served thereby (being `% Buildings 1 and 17 near the PACCAR Pacific Car S Foundry site CD located at North 4th Street and Factory Avenue in Renton) , then V. the easement herein granted shall terminate, and all rights, interests and privileges granted hereunder shall revert to the GRANTOR, its successors and assigns. Upon any termination of this easement, GRANTEE shall promptly remove from the terminated Easement Area any facilities installed by GRANTEE, and shall restore the Easement Area to its condition prior to such removal. 5. Notices given under this easement shall be given as follows: If to GRANTOR: PACCAR Inc Corporate Real Property Manager 777 - 106th Ave. N.E. Bellevue, WA 98004 If to GRANTEE: The City of Renton Department of Public Works 200 Mill Avenue South Renton, WA 98055 Either party may change the address to which notices may be given by giving notice as above provided. 5. GRANTOR at its expense is initially installing the water main pipes, valves and other facilities to be used by GRANTEE in the Easement Area. Effective upon completion of such installation and acceptance by GRANTEE (as evidenced by its commencing supply of water through the Easement Area) , GRANTOR sells and delivers unto GRANTEE all piping, valves, meters, appurtenances, vaults and other water facilities installed in the Easement Area, TO HAVE AND TO HOLD the same to the GRANTEE and its successors and assigns forever. The foregoing sale and delivery are intended to transfer to GRANTEE all of GRANTOR's interest in the foregoing described property when installed in the Easement Area, whether such property is correctly characterized as realty or personalty. Renton, WA 98055 RE: Water Main Easement from PACCAR Inc to City of Renton, Vicinity of Building 17 - Garden Ave. N., Renton, Washington Gentlemen: We refer to the attached easement to be granted by PACCAR Inc to the City of Renton, as Grantee. This property is located at PACCAR's Renton, Washington manufacturing facility (former PACCAR Defense Systems facility), the easement area referred to in the easement is to be located in unplatted land in Renton described in the easement. This letter is to advise the City that releases of a significant quantity of hazardous substances on or about the property conveyed '.;y this easement may have occurred at various times in the past. While PACCAR has not tested the easement area separately from the remainder of PACCAR's surrounding property, the City is advised of the soils and groundwater testing reports respecting the larger PACCAR Renton property (the "Site") in which this easement area will be located, and which PACCAR has previously filed with the Washington Department of Ecology. This is the PACCAR Remedial Investigation Study dated September 1, 1989 for the Site. The City has received copies of this study, or earlier drafts. The City is also encouraged to confer with R. K. Butler, PACCAR's Corporate Environmental Manager (this address, telephone 455-7435) respecting any such matters, in connection with accepting the grant of this easement. PACCAR is currently finalizing the Remedial Investigation (RI) and Feasibility Study (FS) with Ecology. The Site was, in June 1988, nominated for inclusion on the National Priorities List by US Environmental Protection Agency pursuant to the federal Comprehensive Response, Liability and Compensation Act, as amended. In February 1989, PACCAR entered into a Consent Decree with Ecology in Superior Court for the hI/FS Work Plan which provided, in part, as follows: "No voluntary or involuntary conveyance or relinquishment of title, easement, le_sehold, or other interest in any portion of the Site shall be consummated without provision for continued operation and maintenance of any containment system, treatment system, and monitoring system installed or imPla—fed pursuz.n.t to this Decree." Pursuant to the RI/FS and in connection with any ultinate Cleanup Action Plan, PACCAR will hereafter enter into another Consent Decree with Ecology in City of Renton March 13, 1991 Page Two Superior Court, which is expected to provide, in part, substantially to the same effect as above quoted from the February 1989 Consent Decree. Respecting all such matters and the condition of the Easement Area to be covered by this easement, we advise you that such conveyances are made subject to any rights and obligations of PACCAR in connection with these Consent Decrees. In connection with the particular water line utilities installed in this easement, PACCAR has already undertaken this construction on behalf of the City. Among the pre-autions PACCAR took to eliminate risks associated with any soil contamination encountered are the following: All excavation, movement of soils and placement of filter fabric was �. accomplished by certified workers who have received 40 hours of training in accordance with OSHA Regulation 29 CFR 1910.120. All excavated materials will be stockpiled on-site and soils handled as part of the site remedial actions. All excavations were lined with a minimum 6 oz. polypropylene, nonwoven, needle punched filter fabric with a minimum 12" overlap at the seams. Lined excavations have been backfilled with clean ir.ported material .
