Dear Dick:
-, You forwarded to me copies of two Bills of Sale from
Burlington Northern Railroad representing water lines and
sewer lines. In each instance the language in the Bill of
Sale warranting against any expenses, costs or liens
incurred thereon and warranting title, have been stricken by
the Railroad. You wish to know the legal effect of the
striking of that language.
In general, a warranty requires the individual making that
warranty to defend the warranted statements at that individuals
expense. In other words, if there w_re a lien against the
water line and Burlington Northern had warranted that there
was no lien, Burlington Northern would be responsibile for
removing the lien. In most instances, however, the lien
attaches to the land as well as the water line and the Cit^
could probably defend the action against the water line by
claiming it was in the public interest to have the water line
retained and thereby requiring the liening party to go against
Burlington Northern's property.
The City would be in a better position with the warranties.
However, Burlington Northern is a large well-established and
supposedly profitable rrmpany. I rather doubt that they would
put the water or sewer lines on property that was not theirs
or that they would permit liens to be filed against the property.
The City is probably at minimal risk accepting the Bill of Sale
on its face. Should the Bill of Sale be later repudiated, then
the City could legitimately :aview the permits of Burlington
Northern granted on the strength of those Bills of Sale, and
perhaps revoke occupancy or other permits and thereby force
Burlington Northern to provide clear title s the water and
sewer lines.

corporation, hereinafter called Grantor, for and in consideration of Ten and 6y
No/1DO Dollars ($10.00) to it paid, and the aareements herein contained does
hereby grant to the CiTY OF RENTON, a municipal corporation, hereinafter called
Grantee, a utility easement for underground utilities through, under and along
the following described premises situated in Kiny County, Washington:
A parcel of land ten feet (10') in width located west of and adjacent
to Oakesdale S. W. in Section 25. Township 23 North, Range < East,
W.M., extending 1,570 feet more or less northerly from the Tckwila/
Renton city limit boundary, and being more particularly indicated in
red on Exhibit "A" attached hereto and made a part hereof.
p� This easement is made subject to and upon the following express conditions:

The Grantor, for itself and its successors and assigns, reserves all rights
to use the property hereinbefore described for any and all purposes whatsoever
not inconsistent with the easement hereby granted when deemed necessary or
expedient to the Grantor. Rights reserved shall be so exercised as not to
damage or interfere with the easement as above defined. This easement is
subject to all existing interests o' third parties in said property of any kind
or nature whatsoever and any and all extensions or renewals thereof.

This instrument does not grant or convey unto the Grantee any rights or
title to the surface of the soil along the route of said permanent utility
easement except for the purpose of laying down, inspecting, restoring and
replacing utilities; provided that any such work which shall disturb the surface
of the soil shall be s.aject to the granting of a temporary construction permit
granted by the Grantor.

The Grantee shall protect and save harmless the Grantor from any and all
claims. demands, loss, damage expense and liability of every kind and
description including personal injury Aid for any damage to or loss or
destruction, of property whatsoever si,ffa,ed by the Grantor, its heirs,
successors and assigns, or by any persons, firms or corporations, because of the
construction and/or maintenance of said tacilities.

In the event that said property shall at anytime cease to be used for
utility purposes, or shall by operation of law or otherwise become vacated or

abandoned, the easement herein granted shall immediately cease and terminate
without notice or other proceedings on the part of the Grantor and the Grantee,
its successors or assigns, shall immediately reconvey said property to the

We are in receipt of the advance copy of the Bill-of-Sale for water and sewer
for the above - referenced project as forwarded to us by Mortimer Thomas
of Gardner Engineers.
We find the Bill-of-Sale in this format to be unsatisfactory.
According to the City Attorney, all Bills-of-Sale must be submitted on our
standard forms for subsequent recording with King County. The water Bill-
of-Sale must be seperate from the sewer Bill-of-Sale and also they are not
exacuted by the City.
Enclosed please find both Bills-of-Sale properly prepared by this office.
Please nave an authorized agent of Burlington Northern sign both documents
before a notary and return same to me for recording. Recorded copies will
be sent to you for your records.

TO HAVE AND TO HOLD, together with all appurtenances there unto belonging to the
Buyer its successors and assigns, forever.
Buyer has fully examined and inspected Said water and sewer lines and has in all
respects accepted and approved the same and all parts and appurtenances thereof and
accepts this Bill of Sale with the understanding that the Seller has no representations
or warranties respecting the nature or conditions of said water and sanitary sewer
systems or any of their parts or appurtenances.

The utility easement granted to us by Burlington Northern is
acceptable as ro legal form. I do not particularly like
the language in paragraph I, but because the easement is permanent
and because ,,aragraph I indicates the Burlington Northern w 11
do r thing to damage or interfere with the easement. I see no
way the City czn be damaged. There is also some outside
possibility of the City being responsible for damages under
Paragraph III, but that would require something such as a
utility line bleak, and the City would un�.,ubtedly be responsible
for that anyway_ .

UTILITY EASGmENT
The Grantor, Burlington Northern Railroad Properties Inc.., a Delaware
corporation, hereinafter called Grantor, for and in consideration of Ten and
Nol100 Dollars (SIO.00) to it paid, and the agreements herein contained, does
hereby grant to the CITY OF RENTON, a municipal corporation, hereinafter called
Grant.a, a utility easement for underground utilities through, under and along
the following described premises situated in King County, Washington:
A parcel of land ten feet (;0') in width located west of and adjacent
to Oakesdale S. W. in Section �S, Township 23 North, Range a East,
t9 ►,N., extending 1.570 feet more or less northerly from the Tukwila(
2 kenton city limit boundary, and being more particularly indicated in
ared on Exhibit "A" attached hereto and made a part hereof.

5v_ The Grantor, for itself and its successors and assigns, reserves all rights
O to use the property hereinbefore described for any and all purposes whatsoever
not inconsistent with the easement hereby granted when deemed necessary or
expedient to the Grantor. Rights reserved shall be so exercised as not to
damage or interfere with the easement as above defined. This easement is
subject to all existing interests of third parties in said property of any kind
or nature whatsoever and any and all extensions or renewals thereof.

This instrument does Act grant or convey unto the Grantee any rights m•
title to the surface of the soil along the route of said permanent utility
easement except for the purpose of laying down, inspecting, restoring and
replacing utilities; provided that any such work which shall disturb the surface
of the soil shall be subject to the granting of a temporary construction permit
granted by the Grantor.

The Grantee shall protect and save harmless the Grantor from any and all
claims, demands, loss, damage expense and liability of every kind and
description including personal injury and for any damage to or loss or
destruction of property whatsoever suffered by the Grantor, its heirs,
Successors and assigns, or by any persons, firms or corporations, because of the
construction and/or maintenance of said facilities.
