Box 189, Medina, WA 98039, hereinafter called the Owner, and OLSON BROTHERS' EXCAVATING, INC. with its place of business at 14708 Canyon Road, Puyallup, WA 98373, hereinafter called the Contractor. WHEREAS, Owner owns and plans to develop that certain real property situated in the county of King, State of Washington, commonly known as the preliminary plat of BRANDAL WOOD. WHEREAS, Owner desires to engage the services of Contractor to construct some of the improvements to be made to said property; NOW, THEREFORE, the premisEs being as heretofore stated and in consideration of the agreement of the parties hereinafter set forth, IT IS UNDERSTOOD AND AGREED AS FOLLOWS: Encineer Owner has engaoed the services of Group Four, Inc. , Consulting Engineers, with offices at 19502 56th Avenue West, Lynnwood, Washington 9803G, hereinafter called the Engineer/ Construction Manager in connection with said work. Group Four, Inc. will act as the "Owner's Representative" where noted in this contract. Scope of Work The Contractor has inspected the site and has familiarized himself with all of the existing conditions to be encountered in the work, and hereby agrees to furnish all of the materials and all of the equipment and labor necessary, and to perform all of listed below and as incidental in the construction of the project entitled BRANDAL WOOD; grading to include curb and gutters, sidewalks, roadways and maintenance road, de-watering as required, construction of sanitary sewer and water system, storm drainage, finish roadway grading, curb and gutters, sidewalks and paving (2" AC, 4" rock) all in accordance with the requirements and provisions of the Civil Plans whicl: are hereby made a part of the Agreement. Time of Completion (a) It has been agree6 upon by owner and Contractor, that it is their goal to complete paving of roads and final punchlists for all construction within 90 calendar days from the contract date, referenced above, including holidays. The length of time within which to complete the work as specified herein shall be extended in case of unusually adverse weather, unavailability of materials, unanticipated rock formations, strikes, lockouts, or acts of God, for a period of the time equal to such conditions. Request for days of extension will be in writing to the owner, agreed upon, signed by thi. Owner, and a copy returned to the Contractor. These requests, if necessary, will be submitted each week as the project proceeds. Only those requests approved in said manner will be considered for contract extension. The Contract Sum The Owner shall pay the Contractor the lump sum amount of $233,770.00, together with tax as hereinafter set forth by the schedule attached hereto, for work as outlined in the following schedule. All items will be furnished in place with normally associated appurtenances, bedded and backfilled to the standards and specifications of the appropriate governmental agencies and/or utility districts involved. Retention of ten percent (10%) will be withheld on sanitary sewer, storm drain system, 1 water main and services, curbs, sidewalks, and asphalt. No retention will be withheld on any other items. Extra Work Unit prices or lump sum bid to be agreed upon prior to performance of extra work. Progress Payments The Owner shall make payments on account of the Contract as follows: 1. on progresc billing forms the Contractor shall itemize and present, no later than the 25th day of the month, the total cost of the work that has been completed as detailed and set forth in the plans and specifications. 2. The Owner shall, by the loth day of the following month, pay to the Contractor 90 percent (90%) of the amount of the invoice, less any previous payments made. However, the ninety percent (90%) payment shall apply to retainage items only as set forth above. Non-retainage items shall be paid in full. Retainage shall be paid thirty (30) days after completion of all work to the satisfaction of the Engineer and acceptance in writing by the appropriate governmental agencies and/or utility districts involved. If the Owner fails to make payment as noted above, Contractor shall have the right to stop work upon submittal of written notification to Owner. If a stop work condition occurs, the length of this stop work period shall be added to the time for construction completion. 3. All pit run and quarry rock materials, as apprcved by the Owner, shall be paid for by the ton, (T. ) contract unit price, and the Contractor shall provide the Engineer with a certified loading slip bearing the amount of material, truck number, date of delivery and be signed by the Contractor's representative for each load delivered and placed as directed by the Engineer or as specified on the plans. Pit run to be provided at $ per ton, in place. 4 . Failure of the Contractor to comply with the specified methods of measurement of material shall invoke the use of computed volumes of material in place, to the dimensions shown on the plans. Change and Extra Work 1. If the Owner or his representative orders, in writing, changes in the Contract Drawings or Specifications which affect the contract fee, the Contractor shall provide written notice of either an increase or decrease in the contract amount which shall be approved by the Engineer prior to the construction. 2 2. If the Owner or his representative orders, in writing, the performance of any work not covered by the drawings or specifications, for which no unit price can be agreed upon, work shall continue without interruption and such extra work shall be done on a time and materials basis as follows: A. The Contractor shall be reimbursed for all costs incurred in doing the work based on the schedule set forth immediately below. The Contractor agrees to furnish sufficient business administre.tion and superintendence; to furnish for performance of the work an adequate supply of qualified workmen, machinery and materials; and to promote the progress of the project in the most expeditious manner. The Contractor shall employ and direct all persons performing any work covered by this Contract. It is the intention of this Contract and Contractor shall be, and remain, an independent Contractor, and nothing herein is intended to be construed as inconsistent with the status. The Contractor warrants to the Owner that the work shall be performed in accordance with the following: A. All labor and materials shall be equal to industry standard, quality and workmanship, free from faults and defects, and in conformance with the Contract Documents; B. The Owner or any authorized agents of the Owner may, at any reasonable time, enter and inspect the project and all materials used in connection therewith. If at any time during construction, the Owner shall reasonably determine that construction is not proceeding in accordance with the terms of the Contract Documents, and if Owner shall give written notice to Contractor specifying the particular deviation, deficiency of omission, Contractor forthwith shall take such steps as shall be necessary to c, rect such deviation, deficiency or omission. Failure to comply with this provision may, at Owner's election, result in termination of this agreement under provisions of the Termination Section contained herein. Contractor shall take all reasonable precautions for the safety of, and shall provide all reasonable protection to prevent damage, injury or loss to: a. All persons furnishing labor, materials or services in connection with the project and all other persons who may be affected thereby, in the customary form of Contractor's compre}iensive public liability and property damage insurance. b. The project and all materials and equipment to be incorporated therein, whether in storage on or off the site, or under the care, custody or control of the Contractor or any of its subcontractors; and C. Other property at the site or adjacent thereto, including trees, shrubs, lawns, walks, pavements, roadways, structure and utilities not designated for removal, relocation or replacement in the course of the construction. 3 It is understood and agreed that the Owner shall acquire all permits and agency approvals. To the extent that permits are not. obtained in timely fashion, and/or agency approvals not obtained and/or withdrawn, a change order shall be issued providing for an extension of time of completion, and providing for additional compensation to the Contractor if lack of permit and/or approval requires addition". labor and/or materials. All damage or loss to any property referred to in the preceding paragraph, and all damage or loss in any other manner arising out of or in connection with the project and/or the work caused in whole cr in part by Contractor, any subcontractor, or anyone for whose acts any of thom may be liable, shall be remedied by the Contractor, and the Contractor shall indemnify and save Owner harmless from and against any claims arising in connection therewith, except for damage or lose caused by or arising out of acts or omissions of the Owner, its agents, assigns, and/or employees. Contractor Shall be Obligated for the Following: 1. All payroll charges such as Socia. Security payments, unemployment insurance, workman's cc-,pensation insurance premiums, pensions and retirement allowances, and insurance premiums, vacation and sick leave allowance applicable to wages or salaries paid to own employees for work done in connection with the contract. 2. All premiums on fire, public liability, property damage or other insurance coverage authorized or required by Owner, or regularly paid by the Contractor in the conduct of his business. 3. All use, excise,privilege, business, occupation, gross receipt and all other taxes paid by the Contractor in connection with the work, except Washington State Sales Tax. The Contractor shall secure and maintain such insurance policies as will protect himself, his subcontractors, Owner and Engineer, and their agents and employees, from any claims for bodily injuries, death or property damage which may arise from operations under this contract whether such operations be by himself or by any subcontractor or anyone employed by them, directly or indirectly, and also naming King County as an additional insured. The additional insured clause must read: "It is hereby understood and agreed that King County, its appointed and elected officials and employees, while acting within the scope of their duties as such, is named as an additional insured.,,) No other wording will be accepted. Protection of Owner Against Liens Contractor indemnifies and holds the Owner harmless from and against any and all suits, claims, actions, losses, costs, liens, penalties, and damages of whatsoever kind or nature, including attorney's fees arising out of, in connection with, or incidental to the Contractor's or any subcontractor's performance of this contract, including any appeals arising out of said action. Provided, however, that this indemnification shyall not apply as to any of the foregoing caused by the acts or omissions of the Owner, its agents, assigns and/or employees. Payment of Extra Fees Any and all fees due to extra or redundant inspection, design, staking or consultations by any of the governmental agencies or engineers involved in this project caused by inadequate workmanship or work that was not deemed satisfactory shall be the sole responsibility ur the Contractor, and the Owner shall deduct the amount of these fees from the total overall contract price. Guarantee of Work Contractor guarantees all workmanship and materials for a period of twelve (12) months from the date of inspection and approval of the work by the municipal jurisdictions involved and/or utility districts involved. Provided, however, that such guaranty shall continue in force and effect until Owner's Y responsibility under Owner's Maintenance Bond shall have been satisfied. Preservation of Monuments and Stakes The Contractor shall carefully preserve all monuments, bench marks, reference points and stakes. The Contractor shall be responsible for any mistakes or loss of time that may be caused by their unnecessary loss or disturbance, so long as the Engineer follows the staking sequence recuested by the Contractor. In the event that the stakes and marks placed by the Engineer are destroyed through carelessness on the part of the Contractor, and that the destruction of these stakes and marks causes a delay in the work, the Contractor shall have no claim for damages or extensions of time. In the case of any permanent monuments or bench marks which mist, of necessity, be removed or disturbed in the construction of the work, the Contractor shall carefully protect and preserve the same until they can be properly referenced for relocation. The Contractor shall bear the cost of replacing monuments or bench marks that have been moved or destroyed by the Contractor, his agents or employees. This includes the front lot stakes adjacent to the rcadway.
