THIS INSTRUMENT is made this third day of November, 1994,by and between Washington Natural Gas Company,a Washington corporation,hereinafter referred to as"Grantor,"and the City of Renton,a municipal Corporation of King County,Washington,hereinafter referred to as "Grantee." Grantor,for and in consideration of the sum of Ten Dollars($10)paid by Grantee,and other valuable consideration,receipt of which it hereby acknowledged,does hereby grant, bargain,sell,convey,and warrant unto Grantee,its successors and assigns,an easement for an underground water lint vith necessary appurtenances(hereinafter collectively referred to As the "Facilities'),under,through,and across certain property in King County,Washington,as described in Exhibit"A,"attached hereto and incorporated by reference,which exhibit has been initialled by Grantor. For the purpose of constructing,installing,repairing,replacing,operating and maimaining the Facilities,together with the right of reasonable ingress and egress thereto. This easement is 0 granted subject to the following terms and conditions 1. Grantee shall,upon completion of any work within the property covered by the easement, rl restore the surface of the easement,and any private improvements disturbed or destroyed during execution of the work,to the condition they were in immediately before commencement of the work or entry by Grantee. 2. Grantee agrees to�o harmless and indemnify Grantor,its officers,employees and agents, from and against all claims for damages,o,mands or causes of action,whether to persons or property,that are in any manner incident to the exercise of the privileges granted herein to g Grantee,its successors or assigns,or in any manner directly or indirectly arise out of the construction,installation,repair,replacement,operation or maintenance of the Facilities,and upon notice to Grantee,Grantee shall accept and defend the same at the sole cost of Grantee and shall satisfy any judgmem should such claim,demand or eeuse of action be determined adversely R to Grantor,its officers,employees or agents. This obligation shall not include such claims,costs, damages,or expenses which may be caused by the sole negligence of Grantor,its officers, employees or agents. 3. Grantee shall be solely responsible for ensuring that the Facilities are protected against any possible stray current interference from any source whatsoever,including,without fimitation, - Grantors gas(natural,artificial,or mixed)lines,facilities,appurtenances and related equipment Y . i structures. For purposes of this paragraph,the term"stray current interference"shall include, s but not be limited to,cathodic protection interference,shorts,AC ground faults,and lightning. i. 8 Grantee understands and expressly acknowledges that Grantor shall not be responsible for any damages to Grantee's Facilities resulting,or alleged to have resulted,from such stray current - $ interference. This easement shall not be deemed an exclusive one nor shall Grantor be prohibited from granting permission to others to occupy portions of the easement where such uses are not inconsistent with the easement granted to Grantee S, Grantor reserves the right to use said easement for purposes which will not interfere with Grantee's full enjoyment of the rights hereby granted. & This easement shall run with the land described herein,and shall be binding upon the panics, t their heirs,successors in interest and assigns. 7. By its acceptance of this utilities easement,Grantee agrees to concurrently release the easement previously granted to it by Grantor,which easement was recorded on or about July 1, 1977,under Recorder's Number 7707011009,Records of King County,Washington.
