ENTERPRISE RESOURCE PLANNING SOFTWARE AS A SERVICE
THIS AMENDMENT, dated for reference purposes only as January 6th, 2026 is by and between
the City of Renton (the "City"), a Washington municipal corporation, and Tyler Technologies, Inc.
("Tyler") a Delaware Corporation. The City and Tyler are referred to collectively in this
Amendment as the "Parties" Once fully executed by the Parties, this Amendment is effective as
of the last date signed by both parties.
Whereas, the City engaged the services of Tyler under Agreement CAG-25-238, dated July 25th,
2025 and Amendment No. 1 CAG-25-238, Adden # 1-25 , to provide the Saas Services and related
professional services (referred to herein as the "Agreement"); and
Whereas, the Parties wish to amend the Agreement to adjust the scope of work, in order to
accommodate City's current requirements;
NOW THEREFORE, it is mutually agreed upon that CAG-25-238 is amended as follows:
1.Scope of Work: Section 1, Scope of work, is amended to remove following modules as a
Service (Saas) from the agreement as of October 1, 2025:
A.Bid Management
The removal of these modules adjusts Saas fees as reflected in the revised Exhibit A -
Investment Summary attached hereto and incorporated by reference.
2.Exhibit Replacement: Revised Exhibit A -Investment Summary (Amendment No. 1)
attached to the Contract and Amendment No. 1 is hereby deleted in its entirety and replaced
with the attached Revised Exhibit A -Investment Summary (Amendment No. 2), which
reflects updated pricing, service quantities and discounts following the scope adjustment
described above.
3.Compensation: Section 4, Compensation, is amended so that the maximum amount of Saas
fees for first three years to Tyler is decreased by $24,054.00 from $ 790,977.00 to $
766,923.00 and for One Time Fees (Professional Services) is decreased by $14,100.00 from
$862,800.00 to $848,700.00. The revised contract totals are summarized as follows:

4.All terms of the Agreement not explicitly modified herein shall remain in full force and effect
