This Entertainment Agreement, which is a contract for professional services for the engagement described below, dated
May 21, 2026, is made by and between the City of Renton and Henry Vallee.
1.Name of Professional Service Provider: Henry La Vallee, an individual (hereinafter “Provider”)
2.Scope of Engagement: Solo guitar/vocal performance at the Renton Farmers Market (“Engagement”) * City will
provide sound system *

3.Location of Engagement: Piazza Park (Stage) 233 Burnett Ave. S in Renton, Washington (Renton Farmer’s Market).
4.Date(s) of Engagement: Tuesday June 9, 2026 Engagement Time: 4:00 pm - 6:00 pm
Access to engagement location will be available up to 60 minutes before engagement time
ϱ͘Total compensation to Provider by City of Renton: $ ϰ15.00

ϲ͘City of Renton will make payment as follows:
Ă͘Payment in the amount of $415.00 will be delivered on June 9, 2026 if the following conditions are met:
ŝ͘This Entertainment Agreement has been fully performed;
ŝŝ͘A completed Vendor Set-Up Form is on file with the City and was received by the City at least 30
days prior to date named above;
ŝŝŝ͘Any required Certificate of Insurance was timely provided; and
ŝǀ͘If Provider is otherwise in compliance with the terms of this Entertainment Agreement.
ď͘If the above conditions are not timely met, the City of Renton will issue payment within 30 days after
completion of all conditions.

Evidence of liability insurance coverage, in the minimum amount of $1,000,000.00 per
occurrence, with the City of Renton named as an Additional Insured on a primary, non-
contributory basis, is required.
a. The Certificate of Insurance (“COI”) should be emailed to jkotarski@rentonwa.gov not later
than 3:00 pm on June 3, 2026
b. Late submission of the COI may result in termination of this Agreement.
Evidence of liability insurance coverage is waived by Risk Management and is not required.
The City of Renton does not represent that any required minimum insurance, or waiver of such insurance, is
adequate to protect Artist from financial liability created by Artist’s acts or omissions.
8.Reservation: Subject to constitutional or other legal limits, the City of Renton reserves the right to specify the manner,
means and details of the performance of services by Provider as well as the mode in which the service shall be
accomplished.

9.Additional Provisions:
a. The City of Renton’sprimary contact forthis EntertainmentAgreement is:

b. The City of Renton has the right to cancel the Engagement and/or this Entertainment Agreement
due to inclement weather or for any other reason, in which case the Provider is not entitled to
any compensation.
c. Provider shallmaintain all records relating to the Engagement and retain such records for as long
as required by applicable Washington State records retention laws, but in any event no less than
six years after the last date of the Engagement. Provider agrees to provide access to and copies
of any records related to the Engagement asrequiredby the City foraudit purposesor to comply
withtheWashingtonStatePublicRecords Act (Chapter 42.56 RCW). The provisions of this section
shall survive the expiration or termination of this Entertainment Agreement.
d. If the Consultant is a sole proprietorship or if this Agreement is with an individual, the Consultant agrees
to notify the City and complete any required form if the Consultant retired under a State of Washington
retirement system and agrees to indemnify any losses the City may sustain through the Consultant’s
failure to do so.
e. The City of Renton maintains licenses with the American Society of Composers, Authors and
Publishers (ASCAP) and Broadcast Music Incorporated (BMI). Provider is responsible for obtaining
any and all required forms of permission that extend beyond the City of Renton’s copyright
obligations.
f. Provider,anditsagentsor assigns, agreestorelease,indemnify,defend,andholdharmlesstheCity
of Renton from any and all claims from any person or entity which may arise due to any act or
omission, whetheror not intentional, by Provider or anyone acting on Provider’s behalf.
e. The nature ofthe relationship betweenProvider and the City of Renton under this Entertainment
Agreement shall be that of an independent Consultant, not employee, consultant, or agent.
f. To the extent a Provider-prepared attachment conflicts with the terms in the body of this
Entertainment Agreement or contains terms that are extraneous to the purpose of this
Entertainment Agreement, the terms in the body of this Entertainment Agreement shall prevail,
and the attachment’s extraneous terms shall not be incorporated herein.
g. The lawsof the State of Washington shall apply to this Entertainment Agreement.
h. Provider and the City of Renton may execute this Entertainment Agreement in any number of
counterparts, each of which shall constitute an original, and all of which together constitute this
one Entertainment Agreement.
This Entertainment Agreementcontainstheentiretyoftheagreementbetweenthe parties. No further
agreements have been made between the parties.
