SR 405, North Renton Interchange
This Agreement is made and entered into between the Washington State Department of
Transportation, hereinafter the "STATE," and the City of Renton, 1055 S Grady Way, Renton
WA 98057, hereinafter the CITY"
WHEREAS, the STATE has previously constructed improvements of State Route 405 (SR 405)
with the addition of an interchange at NE Park Drive, including other pertinent features, and
WHEREAS, the CITY has proposed to make improvements on Bridge 900/23 and east along
the north side of NE Park Drive to provide an accessible pedestrian route through the SR 405
limited access interchange, known as "�Iighlands to Landing Pedestrian Connection," herein the
"Project," and
WHEREAS, the Parties desire to identify each Party's responsibilities for the operation and
maintenance of certain items outlined in this Agreement,
NOW, THEREFORE, pursuant to RCW 47.28.140 and chapter 47.24 RCW, and in
consideration of the terms, conditions, covenants, and performances contained herein, and the
attached Exhibits A, B, and C, which are incorporated and made a part hereof,
IT IS MUTUALLY AGREED AS FOLLOWS:
1.0 GENERAL
1.1 The Parties agree that the maintenance obligations for that portion of NE Park Drive
that is a city street that is also a designated state highway, but is not a state-owned
limited access highway, located within the North Renton Interchange will be
governed by chapter 47.24 RCW and will conform to the "City Streets as Part of State
Highways" guidelines, dated April 30, 1997, as amended on April 2, 2013, and
subsequently amended.
1.2 The CITY shall provide the STATE with written notification when the pedestrian
route improvements along the north side of NE Park Drive and located on state-
owned limited access right of way, which were constructed under agreement no. GCB
1376, entered into on April, 30 2014, are physically complete, and upon the STATE
issuance of final acceptance of the Project, the Parties will commence their
maintenance responsibilities as defined in this Agreement.
1.3 The CITY agrees, at its sole cost and expense, to perform its operation and
maintenance responsibilities as identified in Section 2.0.

1.4 The CITY-responsible "Maintenance Area," as identified in Exhibit A -
"Illumination" and Exhibit B — "Landscape," is generally along the north side of NE
Park Drive from the western limit of Bridge 900/23 to and through the SR 900 / SR
405 northbound ramps terminus, located on state-owned limited access right of way.
1.5 The CITY is not required to notify the STATE in order to conduct routine
maintenance activities that have no effect on STATE facilities.
1.6 The CITY is required to contact the STATE Designated Representative in Section
1.7, seven (7) calendar days prior to conducting maintenance activities that may
impact the operation or the maintenance of STATE facilities, including but not
limited to SR 405 and associated on- and off-ramps.
1.7 Designated Representatives:

2.0 CITY MAINTENANCE RESPONSIBILITIES
2.1 LANDSCAPE STRIPS. The CITY agrees to perform, at its sole cost and expense, the
maintenance work as follows:
2.1.1 The landscape strips, including street trees located within state-owned right of
way are the responsibility of the CITY and shall be maintained in a manner
that will not interfere with sight distance or become a danger to the traveling
public.
2.1.2 All landscape maintenance shall be performed by qualified CITY staff familiar
with and in accordance with industry-accepted horticultural practices.
2.1.3 All pruning and mowing maintenance shall be performed, at a minimum,
consistent with current CITY operation and maintenance policies and practices
consistent with industry accepted horticultural standards.
2.1.4 Application of pesticides and herbicides within the Maintenance Area shall be
performed by or under the direct supervision of CITY officers, officials,
employees, and/or agents who possess a current Public Operator or
Commercial Pesticide Operator license. In accordance with chapter 17.21
RCW, Department of Agriculture, Pesticide Application Records shall be kept
by the CITY for each application for a period of seven (7) years and be
available for review by the STATE within five (5) calendar days of its request.

2.2 IRRIGATION
2.2.1 The CITY, at its sole expense, shall be responsible for operation and
maintenance of the irrigation system and appurtenances.
2.2.2 The CITY shall be responsible for obtaining any and all electrical service utility
agreements with the electric service provider necessary for the electrical service
connection.
2.2.3 All costs for the water and electric services, including but not limited to
connection and usage costs, shall be paid by the CITY.
2.2.4 If located within state-owned limited access right of way, the water service will
require a STATE-issued utility permit or franchise. The CITY shall within thirty
(30) days of execution of this Agreement, make application to the STATE for a
utility permit or franchise.
2.2.5 The CITY shall perform normal and regular operation and maintenance of the
irrigation system, at its sole cost and expense, consistent with current CITY
operations and maintenance policies and practices.
2.2.6 The CITY shall inspect and test backflow devices (double-check valves), prepare
test reports, and obtain annual approval from the serving utility or CITY
representative in accordance with WAC 246-290-490, Cross-Connection
Control, and other applicable regulations as required by the Washington State
Department Health.
2.2.7 WAC 246-290-490 requires tests to be performed, completed, and recorded by a
licensed Backflow Assembly Device Tester or a Certified Water Works Operator
with a CCS1 or CCS2 Classification. Test reports shall document that each
device is in good working order prior to spring start-up, flushing, and testing of
the irrigation system. The CITY agrees to comply with this section at its sole
cost and expense.
2.3 PEDESTRIAN ILLUMINATION
2.3.1 The CITY shall perform, at its sole cost and expense, routine preventative
maintenance on the pedestrian illumination system for the Project consistent with
the CITY's current preventative maintenance standards and practices for the
operation and maintenance of luminaires.
2.3.2 The CITY shall perform, at its sole cost and expense, emergency maintenance for
the Project in the event that damage to the pedestrian illumination system presents
an immediate or imminent danger to the public. Variances in light levels will not
be considered as a danger.

3.0 DEFICIENT MAINTENANCE AND REPAIR
3.1 In the event the CITY does not provide adequate maintenance for the landscaping,
irrigation, or pedestrian illumination specified in this Agreement, the STATE will
notify in writing the CITY's Designated Representative of the deficiency, and the
CITY agrees to correct the noted deficiency within thirty(30) calendar days.
3.2 If a deficiency cannot, with due diligence, be corrected within a period of thirty (30)
calendar days from receipt of the STATE's written notice, the CITY may make a
written request of the STATE for an extension of time, and the STATE will respond
in writing, granting additional days or denying the request. The STATE shall not,
without good cause, deny such a request.
3.3 In the event the CITY does not correct a deficiency within thirty (30) calendar days on
receipt of said notification by the STATE, or within a written STATE-approved
extension of time, the STATE, in its sole discretion, may perform the deficient
maintenance, or alter or remove the landscaping, irrigation, or pedestrian illumination
covered by this Agreement at the CITYs sole cost and expense in accordance with
Section 5.0.
3.4 In the event the CITY does not correct a deficiency within thirty (30) calendar days
and the STATE elects to alter or remove the landscaping, irrigation, or pedestrian
illumination covered by this Agreement, the CITY agrees to pay the actual direct and
related indirect costs of the STATE-performed work in accordance with Section 5.0.
The CITY's responsibility for said costs shall be limited to the cost of removing the
features listed in Sections 2.1, 2.2, and 2.3 and replacing them with standard STATE
items, as applicable.
4.0 EMERGENCY MAINTENANCE AND OPERATION
4.1 Should the STATE identify a condition in those areas of CITY maintenance
responsibility within the Maintenance Area which may cause a danger to the traveling
public or state highway right of way and/or facilities, warranting emergency
maintenance, the STATE will immediately notify the CITY's Maintenance Services
Department as listed in Section 1.7, or such official's functional successor, and
request the CITY to immediately address the maintenance problem.
4.2 Upon STATE notification pursuant to Section 4.1 and in the event that CITY forces
are not available to perform emergency maintenance or if the STATE determines that
time does not allow, the STATE reserves the right to perform the emergency
maintenance, at CITY expense, to the extent necessary to preserve the safety of the
traveling public and to prevent damage to state highway right of way and/or facilities.
The CITY agrees to reimburse the STATE for the actual direct and related indirect
costs that it incurs in performing the emergency maintenance work in accordance
with Section 5.0.

5.0 PAYMENTS
5.1 Should the STATE find it necessary to perform CITY maintenance activities within
the Maintenance Area under the conditions described in Sections 3.0 or 4.0, the CITY
agrees to reimburse the STATE for 100% of the actual direct and related indirect
costs it has incurred.
5.2 Payments shall be made within thirty (30) calendar days after the CITY receives a
detailed invoice from the STATE. Invoices are not to be more frequent than one (1)
per month.
5.3 Should the CITY fail to make payment to the STATE as provided herein, the CITY
authorizes and agrees that the STATE may withhold any moneys to which the CITY
is entitled to receive from the Motor Vehicle Fund and expend such moneys until the
CITY's obligations are paid.
6.0 RIGHT OF ENTRY
6.1 The STATE hereby grants to the CITY a right of entry within the state-owned
highway limited access right of way for the purpose of maintaining the Maintenance
Area, as shown on attached Exhibit A and Exhibit B. The granting of this right of
entry does not relieve the CITY from the need to obtain any required permits
necessary to conduct maintenance or work as provided in this Agreement.
7.0 INDEPENDENT CONTACTOR
7.1 The CITY shall be deemed an independent contractor for all purposes, and the
employees of the CITY or any of its contractors, subcontractors, consultants, and the
employees thereof, shall not in any manner be deemed to be employees of the
STATE.
8.0 INDEMNIFICATION AND HOLD HARMLESS
8.1 Each Party shall protect, defend, indemnify, and save harmless the other Party, its officers,
officials, employees, and agents, while acting within the scope of their employment as
such, from any and all costs, claims,judgments, and/or awards of damages (both to persons
and/or property), arising out of, or in any way resulting from the maintenance conducted
pursuant to the provisions of the Agreement. No Party will be required to indemnify,
defend, or save harmless the other Party if the claim, suit, or action for injuries, death, or
damages (both to persons and/or property) is caused by the negligence of the other Party.
Where such claims, suits, or actions result from the concurrent negligence of both Parties,
or involves those actions covered by RCW 4.24.115, the indemnity provisions provided
herein shall be valid and enforceable only to the extent of each Party's own negligence

8.2 The CITY and the STATE agree that their obligations under this Section extend to any
claim, demand, and/or cause of action brought by, or on behalf of, any of their employees
or agents while performing maintenance within the Maintenance Area within state-owned
limited access right of way. For this purpose, the Parties, by mutual negotiation, hereby
waive, with respect to the other Party only, any immunity that would otherwise be available
to it against such claims under the Industrial Insurance provisions of chapter 51.12 RCW.
8.3 This indemnification and waiver shall survive the termination of this Agreement.
9.0 SEVERABILITY
9.1 If any section, terin, or provision of this Agreement, or any section, term, or provision of
any document incorporated by reference, shall be held invalid, such invalidity shall not
affect the other sections, terms, or provisions of this Agreement that can be given effect
without the invalid section, term, or provision, if such remainder conforms to the
requirements of applicable law and the fundamental purpose of this Agreement, and to
this end the provisions of this Agreement are declared to be severable.
10.0 AMENDMENT
10.1 Either Party may request modifications to this Agreement.
10.2 Such modifications shall be mutually agreed upon by written amendment to this
Agreement.
10.3 No variation or alteration of the terms of this Agreement shall be valid unless made in
writing and signed by authorized representatives of the Parties.
11.0 TERM OF AGREEMENT
11.1 This Agreement shall become effective upon execution by the Parties and shall remain
in effect, unless otherwise terminated pursuant to Section 13.0.
12.0 DISPUTE RESOLUTION
12.1 The Designated Representatives identified in Section 1.7 shall use their best efforts to
resolve disputes and issues arising out of, or related to this Agreement. The Designated
Representatives shall communicate, as needed, to discuss the tasks to be performed
hereunder and to resolve any issues or disputes related to successful performance of this
Agreement. The Designated Representatives shall cooperate in providing staff support to
facilitate the performance of this Agreement and the resolution of any issues or disputes
related to this Agreement.
A Party's Designated Representative shall notify the other Party's Designated
Representative in writing of any problem or dispute that the Designated Representative
believes requires formal resolution according to the dispute resolutions provisions of this

Agreement. The Designated Representatives shall meet within five (5) calendar days of
receiving the written notices and attempt to resolve the dispute.
12.2 In the event the Designated Representatives cannot resolve the dispute, the Mayor of the
CITY and the STATE Regional Administrator, or their respective designees, shall meet
and engage in good faith negotiations to resolve the dispute.
12.3 In the event the process described in 12.1 through 12.2 of this Section does not resolve
the dispute, the STATE and the CITY shall appoint a member to a dispute board. These
two members shall jointly appoint a third member to the dispute board who is not
affiliated in any manner with the two Parties to this Agreement. The three-member board
shall conduct a dispute resolution hearing that shall be informal and unrecorded. The
dispute board shall evaluate the facts, contract terms, and applicable statutes and rules
and make a determination on the dispute. The CITY and the STATE shall equally share
in the cost of the third board member; however, each Party shall be responsible for its
own costs and fees.
12.4 An attempt at such dispute resolution in compliance with aforesaid processes shall be a
prerequisite to the filing of any litigation concerning the dispute. The Parties agree that
they shall have no right to seek relief under this Agreement in a court of law until and
unless each of these procedural steps is exhausted.
13.0 TERMINATION
13.1 This Agreement may be terminated by either Party with sixty (60) calendar days prior
written notice and only with the written mutual consent of both Parties.
13.2 Upon termination, the STATE may elect to keep and maintain landscaping, irrigation,
and pedestrian illumination improvements located within state-owned limited access right
. �.of vv�y or elect to have the CITY remove the improvements and install STATE standard
items, at'the CITYs sole cost and expense.
14.0 VENUE
14.1 In the event that either Party deems it necessary to institute legal action or proceedings to
enforce any right or obligation under this Agreement, the Parties hereto agree that any
such action or proceeding shall be brought in the superior court situated in Thurston
County, Washington. The Parties shall be responsible for their own attorney and witness
fees and costs.
