Ladies and Gentlemen:
Please refer to the Agreement dated June 4,2013 between the City of Renton and The
. � Boeing Company(as amended by the"Requested Change"dated July 3,2013,the
"Agreement"). All terms used in this letter that are defined in the Agreement are used here
as they are there defined.
This letter,when accepted by the City,will further modify and amend the Agreement as set
out in this letter,
1. Alteration to 2013 and 2014 Schedule. The schedule attached to this letter as
Exhibit A(the"2014 Schedule Revision")replaces the schedule attached to the Agreement,
as such schedule was revised by the July 2,2013 Requested Change. Boeing agrees that it
will not increase the number of days on which a crane of any given height is scheduled to
be used In 2014 that would cause a Displaced Threshold Event at the Airport,as set out in
the 2014 Schedule Revision, except:(1)the number of days on which a 25-foot crane is to
be used may be increased if the number of days on which either a 65-foot crane or a 120-
foot crane is to be used is reduced by the same aggregate number of days;(2)the number
of days on which a 65-foot crane is to be used may be increased if the number of days on
which a 120-foot crane is to be used is reduced by the same aggregate number of days;or
(3)Boeing and the City agree in writing to such increase. For the sake of clarity,the parties
acknowledge that the use of cranes by Boeing that does not result in a Displaced Threshold
Event at the Airport or otherwise call for the issuance of a NOTAM may continue and may
be changed by Boeing without the approval of the City.
2. No Movement of Crane Usage from 2014 to 2015. Boeing further agrees that it will
not reduce the number of days of crane usage in 2014 in order to increase the number of
days of crane usage in 2015(counting in both years only those days of crane usage that
result in a Displaced Threshold Event or a NOTAM).
3. 10%Increase Does Not Apply to 2014;Does Apply to 2015, Boeing further
acknowledges that any increase in the number of days of crane usage in 2014 above the
number provided for in the 2014 Schedule Revision will require the prior written approval
of the City,which the City is not obligated to provide. Consequently,the provisions in the
original Agreement allowing for a 10%increase in the number of crane days without
approval of the City are no longer applicable to the schedule as it relates to 2014.

However,the City agrees that the provisions allowing Boeing a 1090 Increase in the number
of days of crane usage in 2015 remain in effect notwithstanding this letter agreement.
4, Boeing to Provide Assistance. Boeing agrees that during the period ending with the
completion of the North Bridge and continuing thereafter for as long as both parties deem
such activity to be reasonable,Boeing will provide to the City such advice,counsel,and
engagement by experts and specialists employed or retained by Boeing with regard to the
development, maintenance,and use of facilities at the Airport as the City may reasonably
request, provided that Boeing shall not be required to take any action that Boeing believes
in good faith would adversely affect any matter pending with or likely to be taken up by a
government or government agency. The foregoing is not intended to require Boeing to
make any payments to or on behalf of the City in connection with the Airport and its
facilities except as provided in leases or other written agreements now in force or later
entered into between the City and Boeing.
Except as altered by the foregoing,the Agreement remains in full force and effect in
accordance with its terms.
If the foregoing correctly sets forth your understanding of our agreement with respect to
these matters,please indicate your acceptance, approval,and agreement by signing below.
