Section4,Twp.23North,RangeSEast1W.M.,CountyofKing,StateofWashington.Assessor’sTaxParcelID#:0423059048and7227801860ProjectTitle:McKnightMiddleSchoolFieldImprovementsTHISAGREEMENT(“AGREEMENT’)madeandenteredintoontheZ4’iayof1$MCAIY,2019,byandbetweentheCityofRenton,amunicipalcorporationoftheStateofWashington,hereinafterreferredtoas“CITY”,andRentonSchoolDistrictNo.403,aWashingtonpublicbody,corporateandpolitic,hereinafterreferredtoas“APPLICANT”,(collectively,the“PARTIES”).WITNESSETH:WHEREAS,theundersignedAPPLICANTwillconstructprivateonsitestormdrainagecollection,detentionandconveyancefacilitiesinconnectionwiththeabove-referencedproject;andWHEREAS,theAPPLICANThasagreedtosecurethesuccessfulcompletionofsaidimprovementsforthereferencedprojectpursuanttoRMC4-6-030.NOWTHEREFORE,theAPPLICANTherebyagreesandbindsitselfanditslegalrepresentatives,successors,andassignsasfollows:1.TheAPPLICANTguaranteesthatconstruction,maintenanceandrestorationofstormdrainagecollection,detentionandconveyancefacilitieswill,tothesolesatisfactionoftheCITY,fullycomplywiththeapprovedconstructionplansandprofiles,includinganyapprovedamendmentsthereto,andfullyconformtoapplicableCITYordinances,standardsandspecifications.2.TheCITYmustapprove(inwriting)anyproposedchangesfromtheapprovedplanspriortotheAPPLICANTbeginningsuchwork.3.Priortobeginningconstruction,apreconstructionmeetingshallbeheldwiththeCITY,theAPPLICANTandtheAPPLICANT’Scontractor(s).4.TheAPPLICANTshallberesponsibleforthecostofanycorrectiveworkonthesitetotheextentthatsuchcorrectivemeasuresareassociatedwithworkperformedand/ornotcompleted.PublicAgencyAgreementforPerformancePage2of5 5.TheAPPLICANTshallpayanyfeesrequiredinconjunctionwiththeprojectpursuanttothemostrecentlypublishededitionoftheCityofRentonFeeSchedule.6.IftheAPPLICANTfailstoproceedwithduediligenceandingoodfaithintheworkprovidedherein,theAPPLICANT,atitsownsoleexpense,shallremoveallorpartofconstructedfacilitiesandrestorealldisturbedareasofthesitetoitsoriginalorbetterconditiontotheCITY’Ssolesatisfaction.TheAPPLICANTshallnotstop,delayorabandontheprojectwithoutfirstrectifyinganydamage,stabilizingandrestoringthesitebygrading,hydroseeding,and/orlandscapingasmaybereasonablyrequiredbytheCITY.7.TheAPPLICANTshallfurnishtotheCITYasetof“finalcorrectedplans”(photoMylarquality)ofallrequiredpublicandprivatefacilitieswhenapplicable.8.TheAPPLICANTshallberesponsiblefortheproperperformance,safeconductandadequatepolicingandsupervisionoftheproject.ThisresponsibilityshallnotbelessenedorotherwiseaffectedbytheCITY’Sapprovalofplans,specifications,orwork,orbythepresenceattheworksiteoftheCITY’Srepresentative(s),orbythecompliancebytheAPPLICANTwithanyreasonablerequestsmadebysaidrepresentative(s).10.TheAPPLICANTshallindemnifyandholdtheCITYanditsagents,employeesand/orofficersharmlessfromandshallprocessanddefendatitsownexpenseallclaims,damages,suitsatlaworequity,actions,penalties,losses,orcostsofwhatsoeverkindornature,broughtagainsttheCITYarisingoutof,inconnectionwith,orincidenttotheexecutionofthisAGREEMENTand/ortheAPPLICANT’SperformanceorfailuretoperformanyaspectoftheAGREEMENT.Provided,however,thatnothinghereinshallrequiretheAPPLICANTholdharmlessordefendtheCITYfromanyclaimarisingfromthesolenegligenceoftheCITY’Sagents,employeesand/orofficers.11.IntheeventthatanypartydeemsitnecessarytoinstitutelegalactionorproceedingstoenforceanyrightorobligationunderthisAGREEMENT,thepartiesheretoagreethatanysuchactionorproceedingshallbebroughtinacourtofcompetentjurisdictionsituatedinKingCounty,Washington.ReleaseRequirements:ThisAGREEMENTshallremaininforceandeffectandshallnotbereleaseduntilalltermsofthisAGREEMENThavebeencompletedtothesatisfactionoftheCityofRenton.INWITNESSWHEREOF,thePARTIESheretohaveexecutedthisAGREEMENTonthedateandyearfirstabovesetforth.PublicAgencyAgreementforPerformancePage3of5
