SRMRenton, LLC is the property owner for the Cedar River Apartment project. Pursuant to agreements
among the relevant parties, the following individuals in their capacities with SRM Development, LLC,
Manager of SRMRenton, LLC, or SRMJVV, LLC, Construction Member for development, are duly
authorized to sign documents on behalf of the owner for submittal to the City of Renton: Dee J.
McGonigle, III; James D. Rivard; Trevor L. Ashenbrener; and Ryan B. Leong.

CONSENT OF MANAGERS
OF
SRMRENTON, LLC
The undersigned Managers of SRMRENTON, LLC, a Washington limited liability company (the
"Cornyan '), pursuant to Washington statutes and in compliance with that certain Limited Liability
Company Agreement of the Company ("Company Agreement"), hereby adopt the following resolutions
(this "Consent"):
WHEREAS, the Managers, on behalf of the Company, desire to authorize the principals
of Manager Stone Rivard McGonigle Development, L.L.C., a Washington limited
liability company ("SRM"), to enter into and bind the Company with respect to any and
all documents for the development of the Project which are presented for execution to
SRM on behalf of the Company by SRMJVV, LLC, a Washington limited liability
company ("Construction Member"), pursuant to Construction Member's obligations
under that certain Development Agreement entered into by Construction Member and the
Company dated effective March 1, 2017 (the "Development Agreement"), including but
not limited to, architectural and engineering contracts, consents and contracts with
governmental bodies and utility providers relating to access, traffic, zoning, utilities and
parking, easement agreements, applications for entitlements and permits, licenses,
construction bonds, construction contracts, development agreements and any other
similar development documents (individually a "Development Document" and
collectively, "Development Documents"); provided however, that SRM shall first obtain
the written approval of Manager Maple Valley, LLC, a Washington limited liability
company ("Maple Vallev') prior to entering into any Development Document, which
such consent may be obtained via email or other electronic means (hereinafter, "Written
Approval").
WHEREAS, the Managers, on behalf of the Company, desire to appoint each of the
members of SRM, namely Dee J. McGonigle, III ("McGoni a"), James D. Rivard
("Rivard'), Trevor L. Ashenbrener ("Ashenbrener') and Ryan B. Leong ("Leon¢"), as an
authorized signatory of the Company, who will each have the unilateral authority to
execute, acknowledge and deliver any and all Development Documents on behalf of the
Company provided that Maple Valley's Written Approval is first obtained (it being
acknowledged by Maple Valley that the proper execution and delivery of any such
Development Documents by any of McGonigle, Rivard, Ashenbrener or Leong will
conclusively establish the authority of the Company and the approval of such
Development Documents by the Company).
NOW THEREFORE IT IS RESOLVED, the Managers hereby authorize any of the
aforementioned principals of SRM to enter into and bind the Company, in their capacity
as an "Authorized Signatory" of the Company, with respect to any and all Development
Documents presented for signature to SRM by Construction Member, pursuant to
Construction Member's obligations under the Development Agreement; provided
however, that Maple Valley's Written Approval is first obtained.
All defined terms used herein but not otherwise defined will have the meanings ascribed to them
in the Company Agreement. This Consent may be executed in one or more counterparts, by electronic
signature or otherwise, each of which shall be deemed an original and all of which together shall
constitute but one and the same document. This Consent may be transmitted and/or signed by facsimile,
e-mail or any other electronically transmittable means.
IN WITNESS WHEREOF, the undersigned Managers have duly executed and delivered this
Consent to be effective as of April 14, 2017.
