PSE has identified that the proposal is likely to have probable significant adverse environmental impacts and issuance of a State Environmental Policy Act (SEPA) Threshold Determination of Significance is appropriate. PSE has made application to Bellevue for review and processing of an Environmental Impact Statement (EIS) for this project. Bellevue has been identified as the nominal lead agency for this EIS, with the other four impacted cities, Renton, Newcastle, Kirkland and Redmond serving with Bellevue as Principal Jurisdictions, and co-lead agencies for the portions of the proposal that lie within their respective city limits. The purpose of this interagency agreement is to establish how the Principal Jurisdictions will work cooperatively to review and respond to the proposal under SEPA. RECOMMENDATION: Approve the resolution authorizing the Mayor and City Clerk to enter into an interagency agreement with the cities of Bellevue, Kirkland, Newcastle and Redmond regarding coordinated environmental review of PSE’s proposed Energize Eastside 230 kV Transmission Line Project. BACKGROUND SUMMARY: Puget Sound Energy (PSE) has proposed to construct a new 230 kV bulk electrical transmission corridor and associated electrical energy system between the Talbot Hill Substation in Renton and the Sammamish Substation in Redmond to supply future electrical capacity to the Eastside (potential route segments that PSE has identified are shown on the attached map). PSE has identified that the proposal is likely to have probable significant adverse environmental impacts and issuance of a State Environmental Policy Act (SEPA) Threshold Determination of Significance is appropriate. PSE has made application to Bellevue for review and processing of an Environmental Impact Statement (EIS) for this project. The purpose of this interagency agreement is to establish how the Principal Jurisdictions will work cooperatively to review and respond to the proposal under SEPA. The main provisions of this interagency agreement are: PSE represents that there is a need to construct a new 230 kV bulk electrical transmission line corridor and associated substation(s) and infrastructure between the existing Talbot Hill Substation in Renton and the existing Sammamish Substation in Redmond (the proposal). The purpose of this proposal is to supply future electrical capacity to the Eastside and improve the Eastside electrical grid reliability. The interagency agreement is between the five cities directly impacted by the proposal: Renton, Bellevue, Kirkland, Newcastle and Redmond. The purpose of the interagency agreement is to establish how the five jurisdictions will work cooperatively to review and respond to the proposal under SEPA. Bellevue is designated as the nominal lead agency, with the four other cities designated as co-lead agencies where the proposal traverses their city. All five cities are designated as Principal Jurisdictions. The EIS will be phased. The first phase will address the need, methods and general feasibility of the proposal. The second phase will address construction level impacts of the proposal. The list of alternatives to be analyzed shall include those agreed to by PSE, as well as those alternatives proposed by at least two Principal Jurisdictions. The Principal Jurisdictions will consult to identify a preferred alternative. Selection of a preferred alternative requires the approval of Bellevue and any other principal jurisdiction where the preferred alternative would be located. The EIS may proceed with no preferred alternative identified. An EIS Steering Committee and an EIS Collaboration Team made up of representatives of the Principal Jurisdictions will be established. Bellevue will be responsible as the primary point of contact, establishing public meetings as required by SEPA, comment opportunities, general SEPA administration, identifying actions as defined by SEPA and contracting with the EIS consultant. The agreement establishes timelines for review and comments to be submitted by the Principal Jurisdictions. All of the Principal Jurisdictions are required to provide technical staff to participate in the EIS process. PSE will pay for the development of the EIS. Each Principal Jurisdiction will coordinate and negotiate with PSE reimbursement for their participating staff members and other costs. Ed Prince, Council President Members of the Renton City Council Page 3 of 3 January 8, 2015 Appeals: if there is an appeal, the Principal Jurisdictions will enter into an agreement stipulating proportional share of any legal defense costs not recovered from PSE. Principal Jurisdictions may become Participating Jurisdictions by amendment to the agreement. Participating Jurisdictions will not have authority over decisions, but will have the same rights and responsibilities for review and comment as the Principal Jurisdictions on draft documents. The agreement extends through the issuance of the final EIS (FEIS) and any supplements or addenda to the agreement required as a result of any appeal proceedings. Any party may withdraw from the agreement without cause upon 30-day written notice to the other parties. Except in the case of legal costs associated with appeals, this agreement shall not result in any monetary liabilities from one party to another. The preparation of the EIS, final design and permitting are scheduled to take place in 2015-2016, with construction of the proposal in 2017-2018. A Citizens Advisory Group recommended two routes for the transmission line corridor, shown as “Oak” and “Willow” in the attached graphics, as a result of a year-long series of study sessions and public meetings. These preferred routes were presented on an advisory basis to PSE. NOW,THEREFORE,inconsiderationofthetermsandprovisioncontainedherein,thePrincipalJurisdictionsagreeasfollows:AGREEMENT1.0PurposeoftheAgreementThepurposeofthisAgreementistoestablishhowthePrincipalJurisdictionswillworkcooperativelytoreviewandrespondtotheProposalunderSEPA.1.1CooperationandGoodFaithEffortsThePartiesunderstandandagreethattheprocessesdescribedinthisAgreementdependupontimelyandopencommunicationandcooperationbetweentheParties.Inthisregard,communicationofissues,changes,orproblemsthatarisewithanyaspectoftheperformanceoftermsofthisAgreementshouldoccurasearlyaspossibleintheprocessratherthanbeforeexplicitduedatesordeadlines.EachPartyagreestoworkcooperativelyandingoodfaithtowardresolutionofanysuchissuesandagreethattimeisoftheessenceinresolvingissuesamongtheParties.1.2ProductionThePartiesacknowledgethatthisAgreementcontemplatestheexecutionanddeliveryofanumberofdocuments,thefinalformandcontentsofwhicharenotpresentlydetermined.Thepartiesagreetoprovidethenecessaryresourcesandtoworkingoodfaithtodiligentlyandtimelydevelopthefinalformandcontentsofsuchdocuments.2.0AssociatedProjectsThePrincipalJurisdictionsagreetoworkcooperativelyandcollaborativelytowardsprocessingofanETSandresearchingissuesassociatedwiththeProposal.Toassistinthisprocess,thePrincipalJurisdictionsagreethatitisinthebestinterestsoftheirrespectivecommunitiestocollectivelyengageconsultantstoassistwiththeresearch,developmentandanalysisofanEISaddressingtheProposal.2.1ProcessingofEISThePrincipalJurisdictionswillworktogether,underBellevue’slead,tocompletethenecessarystepsofaphasedETSasdetailedinChapter197-11WAC.ThefirstphaseoftheProposaltobeanalyzedinaDraftEnvironmentalImpactStatement(“DEIS”)shallincludeanalysisoftheneed,methods,andgeneralfeasibilityoftheProposal.ThesecondphaseoftheProposaltobeanalyzedinaDEISshallbetheconstructionlevelimpactsoftheProposal.FollowingthecompletionofbothphasesoftheDEIS,aFinalEnvironmentalImpactStatementshallbeissued.ThePrincipalJurisdictionsshallcooperatejointlyandwithPSEtoidentifyareasonablenumberandrangeofalternatives.ThelistofalternativestobeanalyzedshallincludethoseagreedtobyPSE,aswellasthosealternativesproposedbyatleasttwoPrincipalJurisdictions.EnergizeEastsideInteragencyAgreementVersionEditedDecember15,2014Page2 (ii)EISCollaborationTeama.Purpose:ThepurposeoftheEISCollaborationTeamisinter-jurisdictionalcollaborationinthedevelopmentoftheEISunderSEPArulesfortheProposal,includinginformationcollection,scoping,consultantselection,consultantmanagement,documentdevelopmentandediting,processimplementation,publicoutreach,andqualitycontrol.b.Membership:SeniorlevelplanninganddevelopmentdepartmentorutilitiesandengineeringstaffwithexperienceinSEPAandEISprocessandwithknowledgespecifictotheProposal.c.Responsibilities:EISCollaborationTeammemberswillcommittimetoregularmeetingsandcanoverseedevelopmentoftheEISfortheirrespectivejurisdiction,includinginformationcollection,scoping,consultantselection,consultantmanagement,documentdevelopmentandediting,processimplementation,publicoutreach,andqualitycontrol.TeammemberswillprovidethenecessaryresourcesandtoworkingoodfaithtodiligentlyandtimelydevelopthefinalformandcontentsoftheProposalEIS.d.ConflictResolution:UnresolvableconflictsidentifiedbytheETSCollaborationTeamwillbeelevatedtotheEISSteeringCommitteeforresolutioninaccordancewithSection10.0.4.2BellevueResponsibilitiesA.BellevueshalldesignateasinglestaffpersonwhowillserveastheprimarypointofcontactbetweenBellevueandtheotherPrimaryJurisdictions.Bellevuewillalsodesignateanalternatestaffpersonwhowillserveasthepointofcontactiftheprimarystaffcontactisunavailable.B.Asthenominalleadagency,BellevueshallberesponsibleforthefollowingSEPAactivitieswithrespecttotheProposal:(i)ProvidingallnoticesrequiredbySEPAandBellevueordinancesandregulations,andanyadditionalnoticerequirementsunderordinancesandregulationsoftheCoLeadJurisdictionsthatareidentifiedbyCo-LeadJurisdictionsbywrittennoticetoBellevue;(ii)HoldingpublicmeetingsrequiredbySEPA;(iii)ProvidingrequiredopportunitiestocommentonSEPAdocuments;(iv)CausingthepreparationofenvironmentaldocumentsrequiredbySEPA;(v)MakingallfilingsandpublicationsrequiredbySEPA;(vi)Defendinganyadministrativeand/orcourtchallengetotheadequacyoftheenvironmentaldocuments,subjecttothetermsofthisAgreement;andEnergizeEastsideInteragencyAgreementVersionEditedDecember15,2014Page5 (vii)Identifyingtheactions,asdefinedinSEPAthatwouldbenecessarytoestablishtheProposal,exceptforactionsundertheplanningdocuments,ordinancesorregulationsoflocaljurisdictionsotherthanBellevue;and(viii)GeneralSEPAprocessadministration,projectmanagement,andprojectoversight.C.Bellevueshallcontractwithconsultants,environmentalscientists,engineers,andothersforthepreparationoftheDEIS,FEIS,andrelatedtechnicalreportsandfortheotherworkcontemplatedbytheanticipatedprojectscope.Bellevueshallsolicit,consistentwithStatelaw,theservicesofaqualifiedprofessionalinthepreparationofanEISconsistentwiththedeterminationsastothescopeandcoverageoftheDEISandFEIS.Bellevueshallalsocontractwithanindependentthird-partyconsultantforthecompletionofpreliminaryanalysissupportingtheProposalneedandmethodinadvanceandparalleltotheEISworkrequestedunderthisAgreement.D.Bellevuefurtheragrees,regardingcirculationofdraftsofSEPAdocuments,to:(i)ProvideeachCo-LeadJurisdictionadraftofthescopingnotice15workingdayspriortoissuance;(ii)IssuethescopingnoticeonlywiththeapprovalrequiredinSection5.0;(iii)ProvidethePartieswithadraftoftheproposedfirstandsecondphasesoftheDEISandsupportingtechnicalmemorandaanddisciplinereportsnolessthan30workingdayspriortoscheduledissuanceofeachphaseoftheDEIS;(iv)CoordinateanycommentsorrequestedchangestotheproposedDEISfromthePartiesthatarereceivedwithin20workingdaysaftertheproposedDEISwassenttotheParties,andbringthecommentsandrequestedchangestotheCo-LeadJurisdictionsfordiscussionandrecommendation;(iv)IssuetheDEISonlyafterapprovalasrequiredunderSection5.0exceptthatthepublishedDEISmayincludecorrectionsandchangesnotsoapprovedandnotpreviouslyprovidedtothePartiesiftheydonotfundamentallyalterconclusionsintheDEISanddonotmateriallychangeinformationwithrespecttoanySite;(v)ProvidethePartieswithcopiesofcommentsreceivedontheDEIS;(vi)ProvidethePartiesadraftoftheproposedFEIS,includingitstechnicalmemorandaanddisciplinereportsandresponsetoDEIScomments;(vii)CoordinateanycommentsorrequestedchangestotheproposedFEISfromthePartiesthatarereceivedwithin15WorkingdaysaftertheproposedFEISwassenttotheParties,andbringthecommentsandrequestedchangestotheCo-LeadJurisdictionsfordiscussionandrecommendation;and(viii)DetermineadequacyandissuetheFEIS,andanysupplementoraddendumtotheFEIS,onlyafterapprovalunderSection5.0providedthatthepublishedFEISandanysupplementoraddendummayincludecorrectionsandchangesnotsoapprovedandnotEnergizeEastsideInteragencyAgreementVersionEditedDecember15,2014Page6 previouslyprovidedtothePartiesiftheydonotfundamentallyalterconclusionsintheFEISanddonotmateriallychangeinformationwithrespecttoanySite.(ix)Bellevuereservestherighttoissueanydocumentsinelectronicformat.E.BellevueshallprovidethePartieswithanestimatedscheduleconsistentwiththetimeperiodsidentifiedinsubsectionDofthisSection.F.BellevueshallberesponsiblefordevelopmentofprojectmessagingthroughdevelopmentofonecommonmessageregardingthestatusoftheEISprocess,includingdevelopmentofcommonliteraturegenerictotheproject.G.BellevueshallberesponsiblefordevelopmentandmaintenanceofaconsolidatedwebsitetohostthemultijurisdictionalEISprocess.Thiswebsitewillserveastheprimaryportaltotheprojectforpublicinformationandprojectmanagement,includinginformationanddocumentsharing.I.Bellevueshallberesponsiblefordevelopmentofaprojectoutreachstrategy,includinguseofconsultants;andthenumberandlocationofopenhouses,communitymeetings,orotherevents.4.3Co-LeadJurisdictionResponsibilitiesEachCo-LeadJurisdictionagreesthatitshall:A.Providetechnicalsupportandstaffatalevelsufficienttomeetprojectdeadlines;B.DedicatestaffresourcestoregularlyattendscheduledEISSteeringCommitteeandEISCollaborationTeammeetings;C.ReviewthedraftscopingnoticeandprovidecommentsornotifyBellevueofitsapprovalwithin10workingdaysofreceiptofthedraft;D.ReviewpreliminarydraftdisciplinereportsandtechnicalmemorandaandprovidecommentstoBellevuewithin30workingdays,thereviewtimeforsubsequentdraftsshallbe15days;E.ReviewpreliminarydraftsofthephasesofaDEISorportionsthereof,andanysupplementoraddendumthereto,andprovidecommentsorapprovalwithin30workingdays,thereviewtimeforsubsequentdraftsshallbe15days;F.ReviewdraftsofaFEISorportionsthereof,andanysupplementoraddendumthereto,andprovidecommentsorapprovalwithin30workingdays,thereviewtimeforsubsequentdraftsshallbe15days;G.PromptlyprovideaccesstodataandstudiesreasonablyavailabletotheCo-LeadJurisdictionwithrespecttoanySitewithinitsboundaries,andpromptlyprovidethecooperationofexpertsonthestaffofrelevantJurisdictiondepartments,toBellevueandtoconsultants;EnergizeEastsideInteragencyAgreementVersionEditedDecember15,2014Page7 H.Identify,andconsultwithBellevueandconsultantswithrespectto,(i)allactions,withinthemeaningofSEPA,thatwouldberequiredoftheCo-LeadJurisdictionforpurposesofparticipatinginthereviewoftheProposalthatisincludedintheDEIS,and(ii)allnoticerequirementsundertheordinancesandregulationsofthatJurisdiction;andI.Anyotherprovisionnotwithstanding,ifthePrincipalJurisdictionsdeterminethattheFEISshallbepartofaphasedreview,thentheCo-leadJurisdictionsshallnothaveanyobligationsunderthisAgreementforanyphaseaftertheFEIS.5.0ApprovalsA.ExceptasotherwisestatedinthisSection,theapprovalofamajorityofPrincipalJurisdictions,oneofwhichmustbeBellevue,isrequiredandissufficientforanyofthefollowing:(i)Issuanceofthedeterminationofsignificanceandscopingnotice;(ii)DeterminationofwhetherandtowhatextentSEPAreviewfortheProposalwillbephased,andofthetypesofimpactstobeanalyzedindetailintheDEISandFEIS;(iii)IssuanceoftheDEIS,andanysupplementoraddendumtotheDEIS;(iv)IssuanceoftheFEIS,andanysupplementoraddendumtotheFEIS;(v)Anydecisionwithrespecttothesettlementofanyappealorwithrespecttoactiontobetakenuponanyadversedecisionorremandresultingfromanyappeal;(vi)AmendmentsaddingParticipatingJurisdictionsasPartiestotheAgreement;and(vii)SelectionofaconsultantorconsultantstoassistwiththeperformanceofthisAgreement.B.IfatanytimethereshallbethreeorfewerPrincipalJurisdictionsthatremainPartiestothisAgreement,theapprovaloftwoPrincipalJurisdictions,oneofwhichmustbeBellevue,shallbenecessaryandsufficientforanyoftheactionslistedinsubsectionAofthisSection.C.ApprovalfordesignationofapreferredalternativeintheFEISisgovernedbysubsections2.1and5.0ofthisAgreement.6.0CostsA.ConsultantcostsassociatedwithdevelopingtheEISshallbefundedbyPSEandpaidthroughtheCityofBellevueDevelopmentServicesDepartmentpermitfeestructure.TheCityofBellevueshallhavethesoleresponsibilityofnegotiatingPSE’spaymentofEISconsultantandprocessingcosts.B.EachPrincipalJurisdictionshallhavetheresponsibilityofcoordinatingandnegotiatingreimbursementfromPSEfortheirownrespectivestaffresourcecostsincurredwithprojectandEnergizeEastsideInteragencyAgreementVersionEditedDecember15,2014Page8 EISanalysis.7.0AppealsA.Unlessotherwiseprovidedbyapplicablelaw,timelyappealsoftheadequacyoftheFEISandcompliancewithapplicableSEPAproceduralrequirementsshallbeheardbytheWashingtonStateSuperiorCourtinaccordancewithChapter22.02BellevueCityCode.BellevueshallhavesoleresponsibilitytodefendtheadequacyoftheFEIS,astotheactionscoveredbytheFEIS,inanyappealbeforeacourtwithjurisdiction,totheextentsuchappealrelatestotheadequacyoftheFEISorcompliancewiththeapplicableSEPAproceduralrequirements.B.ThecostsofsuchdefenseincludinganyappealofadecisionbyacourtontheadequacyoftheFF15,includingwithoutlimitationcostsofin-houseattorneys,outsidecounselifdeemednecessarybyBellevue,staffsupportandcostsofexperts,shallbeconsideredcostsallocablehereunder.C.Priortothecommencementofanyappealproceedings,thePrincipalJurisdictionsshallenterintoagreementstipulatingproportionalcostsharingrelatedtolegaldefensenotrecoverablefromPSE.CostsshallbedistributedamongthosePrincipalJurisdictionstowhichtheissuesraisedintheappealpertain.WheretheissuespertaintomorethanonePrincipalJurisdiction,costsshallbedistributedamongtheaffectedPrincipalJurisdictionsbasedontheproportionaldistributionofEISalternativealignmentslocatedwithineachPrincipalJurisdictiontowhichtheissuesraisedintheappealpertain.D.Subjecttotheexecutionofasatisfactorycommoninterestsandconfidentialityagreement,BellevueshallkeeptheCo-leadJurisdictionsreasonablyinformedofthestatusoftheappealandshallconsultwiththemregardinganymajordecisions.E.Anyadministrativeappealorcourtchallengetoasubstantiveaction,includingwithoutlimitationachangeindevelopmentregulationsorprojectpermitdecision,whetherornotjoinedwithachallengetobedefendedundersubsectionAandwhetherornotinvolvingissuesofSEPAcomplianceorexerciseofSEPAauthority,isoutsidethescopeofthisAgreement.8.0Effectiveness;AdditionalParties;Termination;WithdrawalofaPartyA.EffectiveDate.ThisAgreementwillbecomeeffectiveuponsigninganddeliveryoftheAgreementbyallPrincipalJurisdictions.B.ChangeofPartyStatus.AnyPrincipalJurisdictionmaybecomeaParticipatingJurisdictionunderthisAgreementbyamendmentapprovedunderSection12.0,withoutneedforactionofthelegislativebodiesoftheexistingParties.ParticipatingJurisdictionswillnothaveauthorityoverdecisionsunderthisAgreement,butwillhavethesamerightsandresponsibilitiesforreviewandcommentondraftdocumentsasCo-LeadJurisdictions.C.Termination.ThisAgreementshallremainineffectuntiltheFEIS,andanysupplementsorEnergizeEastsideInteragencyAgreementVersionEditedDecember15,2014Page9 addendatotheFEISthatmayberequiredasaresultofanyappealproceeding,havebeenissued,andeitherthetimeforanyappealofBellevue’sdecisionontheadequacyoftheFEISshallhaveexpiredorafinaldecisiononanappealofthatdetermination,inwhichBellevuehasresponsibilityfordefenseunderSection7.0ofthisAgreement,shallhavebeenissuedbyacourtorotheradministrativetribunalwithjurisdictiontohearaninitialappealontheadequacyoftheFEIS.D.Withdrawal.AnyParty,may,uponthirty(30)dayswrittennoticetotheotherParties,withdrawfromthisAgreementwithoutcause.IfaCo-LeadJurisdictionorParticipatingJurisdictionwithdrawsfromthisAgreement,thentheAgreementshallremainineffectamongtheremainingParties.(i)ThewithdrawingParty,asofthedateoftermination,shallnothaveanyrightsofaParty,orofaPrincipalJurisdictionorCo-LeadAgency,underthisAgreement,andnoconsentofthatPartyshallberequiredforanypurposeunderthisAgreement.ThewithdrawingPartyisreleasedfromanyobligationtoperformitsobligationspursuanttotheAgreement..(ii)AnyPartythatwithdrawsfromthisAgreementshallremainobligatedforitsshareofcostsallocableunderthisAgreementthatareincurredthroughthedateofterminationofthisAgreement.(iii)IfaCo-LeadJurisdictionwithdrawsfromtheAgreement,anySiteinthatJurisdictionshallremainamongthealternativesfortheProposalunlessanduntiltheremainingPartiesunanimouslyagreeotherwise,andthewithdrawingPartyshallremainobligatedtocooperateinprovidinginformationrequiredforenvironmentalreviewwithregardtothatSite.(iv)IfBellevuewithdrawsfromthisAgreement,thenthisAgreementshallterminateontheeffectivedateofwithdrawal.9.0RemediesExceptasprovidedinSections7.0above,thisAgreementshallnotresultinanymonetaryliability,indamagesorotherwise,fromanyPartytoanother.NoPartyshallbeliableforanydamagesto,orcostsincurredby,otherPartiesresultingfromanyactualorallegederror,misstatementoromissioninanySEPAdocumentorrelatedtoanySEPAprocess,oranyrulingregardingfailuretocomplywithSEPA,whetherornottheresultofthenegligenceofaParty.ExceptformonetaryobligationsunderSection6.0ofthisAgreement,anysuittoenforcethetermsofthisAgreementoranyobligationunderthisAgreementshallbelimitedtoequitableremediesnotinvolvingpaymentofmoney.10.0DisputeResolutionA.ThePartiesagreethatcooperationandcommunicationareessentialtoresolvingissuesefficiently.ThePartiesagreetoexercisetheirbesteffortstoresolveanydisputesthatmayEnergizeEastsideInteragencyAgreementVersionEditedDecember15,2014Page10 arisethroughthisdisputeresolutionprocess.IntheeventofadisputebetweenthePartiesregardingthisAgreement,thePartiesshallattempttoresolvethedisputeinformallyandresolvepotentialsourcesofconflictatthelowestlevel.Allpartiestothedisputeshallparticipateinagoodfaithmediationefforttoresolvetheirdifferencesbeforebringinganylegalaction.B.ThePartiesagreetousetheirbesteffortstoresolvedisputesarisingoutoforrelatedtothisAgreementusinggoodfaithnegotiationsbyengaginginthefollowingdisputeescalationprocessshouldanysuchdisputesarise:(a)LevelOne—TheEISCollaborationTeamdesignatedrepresentativesshallmeettodiscussandattempttoresolvethedisputeinatimelymanner.Iftheycannotresolvethedisputewithinfourteen(14)calendardaysafterreferralofthatdisputetoLevelOne,eitherpartymayreferthedisputetoLevelTwo.(b)LevelTwo—TheEISSteeringCommitteeshallmeettodiscussandattempttoresolvethedispute,inatimelymanner.Iftheycannotresolvethedisputewithinfourteen(14)businessdaysafterreferralofthatdisputetoLevelTwo,eitherpartymayreferthedisputetoLevelThree.(c)LevelThree—TheservicesofanindependentfacilitatorprovidedbytheEISconsultantshallbeengagedtoresolveoradjudicatethedisputeinatimelymanner.C.IfthedisputeinvolvesaclaimedbreachofthisAgreementandthePartiesarenotabletoresolvethedisputeinformally,thenthePartymaybringsuitagainsttheotherPartyinKingCountySuperiorCourt.D.Asanalternativetotheabove,thePartiesmayagreeinwritingtomediation,orsomeotheralternativedisputeresolutionprocess.E.IfthedisputeincludesPSE,theissue(s)shallbetakentoanindependentprojectfacilitatorprovidedbytheEISconsultantwhowillseekresolutionwithPSE.11.0NoticesTheParties’addressesfornoticesunderthisAgreementshallbethephysicalandelectronicaddressesoftheprimarycontactsassetforthbelowthesignatureofeachPartyonthisAgreementorontheamendmentaddingthatParty,asthecasemaybe,ineachcaseuntilaPartyshallhaveprovidedwrittennoticeofsubstituteprimarycontactinformationtotheotherPartieshereunder.Noticeandcopiesofdocumentsmaybeprovidedbyemail,andifsoprovidedshallbeeffectiveonthedayreceivedifreceivedonaWorkingDayby5:00PMPacifictime,andiflatertheneffectiveonthenextWorkingDay.IfprovidedbyU.S.mail,anynoticeorothercommunicationshallbeeffectiveonthesecondWorkingDayafterdepositintheU.S.mail,postageprepaid,addressedinaccordancewiththisSection.EnergizeEastsideInteragencyAgreementVersionEditedDecember15,2014Page11 12.0CounterpartsThisAgreementmaybeexecutedincounterparts;eachofwhichshallconstituteanoriginalandwhichtogethershallconstituteasingleagreement,andshallbebindingandeffectivewheneachPrincipalJurisdictionhassignedatleastonecounterpart,regardlesswhetherallPrincipalJurisdictionsshallhavesignedthesamecounterpart.AnyamendmentaddingaParticipatingJurisdictionmaybeexecutedincounterparts,eachofwhichshallconstituteanoriginalandwhichtogethershallconstituteasingleamendment,andshallbebindingandeffectivewheneachPrincipalJurisdictionandtheParticipatingJurisdictionbeingaddedeachhassignedatleastonecounterpartthathasbeendeliveredtotheCityofBellevue,regardlesswhetherallofthemshallhavesignedthesamecounterpart.13.0SeverabilityIfanyprovisionofthisAgreementshallbeheldbyacourttobeinvalidorunenforceable,orifthisAgreementoraprovisionhereofshallbeheldbyacourtnottobebindingorenforceableagainstaparticularParty,thentheremainingprovisions,ortheprovisionshereofasappliedtoallotherParties,asthecasemaybe,shallremaininfullforceandeffect.TotheextentthattheobligationofanyPartytocontributetocostsasdescribedhereinshallbefinallydeterminedbyacourttobeinvalidorunenforceable,thatParty’sshareofcostsshallbereallocatedamongtheremainingPartiesinproportiontotheirrespectivesharesunderthisAgreement.14.0EntireAgreement,ModificationThisAgreementistheentireagreementofthePartieswithrespecttoSEPAmattersinvolvingtheProposal.ThisAgreementdoesnotsupersede,andunlessexpresslysoagreedinwritingshallnotbeaffectedby,anyotheragreementamonganyofthePartiesregardinganyaspectsoftheProposalotherthanSEPAmatters.ThisAgreementmaybemodifiedonlybywrittenagreementofallParties,butanywrittenagreementaffectingonlytherightsandobligationsasamongtwoormorePrincipalJurisdictionsshallbevalidwithoutagreementofanyotherParties.15.0NoPartnershipThisAgreementdoesnotestablishanypartnershiporjointventure,norauthorizeanyPartytoincuraliabilityorobligationbindingonanotherPartyorParties.16.0InterpretationThelegalpresumptionthatanambiguoustermofthisAgreementshouldbeinterpretedagainstthepartywhopreparedtheAgreementshallnotapply.17.0RatificationandConfirmationAllactstakenpriortotheeffectivedateofthisAgreementthatareconsistentwiththeintentandpurposeofthesameareherebyratifiedandconfirmedretroactivetoDecemberXX,2014.EnergizeEastsideInteragencyAgreementVersionEditedDecember15,2014Page12 ATTACHMENTAPROPOSALDESCRIPTIONProposalDescriptionPSEhasdeterminedthatprojectedelectricalloadgrowthintheEastsideareaofPugetSoundEnergy’soperatingsystemisoutstrippingthecapacitytodeliverreliablesourcesofelectricitytotheregion.ThisencompassestheareaeastofLakeWashingtonbetweenthecitiesofRedmondandRenton.AdetaileddescriptionoftheelectricalsystemproblemisprovidedinPSE’sNeedsReport(2012).PSE’stransmissionsystembackboneintheEastsideareacomprisesfour230kV—115kVtransformers.Thesetransformers,undercertainoperationalconditions(i.e.,coldwinterdays),areoperatingnearcapacityandsystemstudiesandmodelshaveshownthattheyareexpectedtoexceedthatcapacityasearlyasthewinterof2017/2018.InadditiontothesetransformersatPSE’sTalbotHillandSammamishsubstations,several115kVlinesarealsosubjecttooverloading.Theseoverloadsshowthatthereisaneedforadditional230kVtransmissionsupplytosupporttheEastsidearea.Thissituationcreatesoperationalconditionsthatdonotcomplywithmandatoryreliabilityrequirements.Furthermore,electricgenerationfacilitieslocatedinthisareaofKingCountyprovidelessthan10%ofthepeakelectricload;therefore,theareaisquitedependentontheelectrictransmissionsystem.ElectricalsystemstudiesperformedindependentlyandbyPSEhavedemonstratedthatdifferentpartsofthetransmissionsystemwillnotmeetminimummandatoryreliabilityrequirementsforgivensystemconditionsundercontingentoperation.TheseminimumreliabilityrequirementsaremandatedbytheNorthAmericanElectricReliabilityCorporation(NERC)andWesternElectricityCoordinatingCouncil(WECC).Anumberofsolutionswereidentifiedandanalyzedtoassessviablewaysofsolvingthetransmissionsupplyproblem.ViablesolutionshavetosolvethevariouspowerflowissuesintheEastsideareaaswellassatisfyinglongevitycriteria,beconstructible,andcosteffective.Atenyearstudyhorizonwasusedbetween2012and2022.Todevelopthepotentialsolutions,thefollowingcategorieswereidentified:demandsidereductions;generation;transformeradditionswithminimalreinforcement,andtransformerwithnewtransmissionline.EachsolutiontypewasthensubjectedtopowerflowanalysisusingthebasecasesdescribedintheNeedsReportaswellasanextensivelistofcontingencies.Basedontheresultsofthepowerflowanalysis,themostpromisingsolutionswerefurtherevaluatedfromtheperspectiveofoverallsystemperformance,operationalflexibility,andlongevity.AdditionaldetailsregardingthesolutionsconsideredtosolvetheproblemareprovidedinPSE’sSolutionsReport(2012)andothersupportingdocuments.DemandSideReduction/Non-WireTechnologiesDescription:TheadditionofdemandsidereductionorconservationmeasureswasevaluatedbyPSE’sEnergyEfficiencyGroup.Theseincludeenergyefficiency,demandresponse,anddistributedgenerationmeasures.Energyefficiencymeasuresincludethingssuchpromotingtheinstallationofmoreefficientappliances,changingoutincandescentlightbulbsforLED,updatingwindowsandinsulation,aswellasnumerousothers.PSEhasextensiveprogramstopromotesuchefficiencyimprovements,butcannotrequirethatcustomersimplementthem.Demandresponseentailsenergyreductionprogramswherespecializeddevisesareinstalledthatcanbeusedto controluserselectricalusestobetteraccommodateandmanagepeakusage.PSEhasrunpilotprojectsusingthistechnology,butsuchprogramshavenotbeenpopularandcannotberequiredbytheutility.Installingrooftopsolarpanels,smallscalewindturbines,andwastedigestersareallformsofdistributedgeneration,againallwhichcannotberequiredbyautility’scustomers.ThesesolutionsdonotrepresentapermanentaLternativetoavoidtheneedforinfrastructureimprovementsandupgradesnecessarytooperatethesystemattherequiredreliabilitylevels;howevertheyareanecessarycomponentofthesolution(PSEScreeningStudy2014).GenerationDescription:Ithasbeendeterminedthata300MWnaturalgasfiredpowerplantlocatedwithintheEastsidecouldpotentiallysolvetheidentifiedproblem.Thissizeplantwouldbecomparabletothe325MVAnameplatecapacitiesofPSE’s230kV—115kVtransformers.Inadditiontotheconstructionofthepowerplant,morethan30milesofnewandupgraded115kVtransmissionlineswouldberequiredaswouldpossiblyanewnaturalgaspipelineand/orwaterpipeline.Thenumberandlengthofsupportinginfrastructuretransmissionlinesandpipelineswouldbedependentuponwhereagenerationfacilitycouldbedeveloped.Othergenerationtechnologieswereevaluated,butdeterminedtobeinadequateorinappropriatefortheprojectarea.Newgenerationwouldhavetobesitedsothatitcouldrelievethe230kV—115kVsubstationtransformersand115kVtransmissionlinesthatwereidentifiedasbeingatriskofoverloadinthe2013PSEEastsideNeedsAssessmentReport.NewTransformer—ExistingSubstationDescription:ThePSEplanningteamevaluatedinstallingonlyanew230kV—115kVtransformeratanexistingsubstation,suchastheexistingSammamishsubstation,TalbotHillsubstation,andLakeTraditionsubstations.Itisanticipatedthatthisalternativewouldnotrequiretheinstallationofnew230kVtransmissionlinessinceallthreesitesconsideredcurrentlyhavenearby230kVsources.However,whenelectricsystemmodelsandstudieswereperformed,thisscenarioshowednumerous115kVtransmissionsystemoverloads,whichindicatedthatasubstantialamountofnew115kVlineswouldneedtobeconstructedandstillwithlessthanidealsystemoperationalresults.NewTransformerandTransmissionLineDescription:Themostviablesolutiontypeconsideredwasacombinationofaddinganewsubstationwitha230kVtransformerandconnectingitwiththeTalbotandSammamishsubstationviaanew230kVtransmissionline.Thissolutionwouldprovideanew230kVtransmissionsourceandimprovereliabilityfortheEastsidearea.Toprovidethegreatestsystemefficiency,thenewtransformerwouldneedtobelocatedsomewherebetweenSR520and1-90.NoActionDescription:UndertheSEPArules,whenevaluatingalternatives,the“noaction”alternativealsoneedstobeconsideredandcomparedtotheotherreasonablealternatives(WAC197-11-440(5)(b)(ii)).Inthisinstance,thenoactionalternativeequatestonotmakingimprovementstotheelectricaltransmissionsystem.ThiswouldputtheoperationofthetransmissionsystemasriskandPSEoutofcompliancewithFERCandNERCrequirements. servicecenter;weatherizationandcriticalrepairstosubstandardhousing;parkandboulevarddesign;andwrap-aroundcommunityservicesincludingcrimereductionefforts;extensiveevidence-basededucationapproaches;jobtrainingandplacementservices;andenhancedaccesstohealthcareandotherservices.TheSunsetAreaisadistinctneighborhood,recognizableasagatewaytothemuchlargerHighlandsareaofRenton.Twenty-fivethousandtravelersadaytakeNESunsetBoulevard,a4-laneStatehighway(SR900)thatrunsthroughtheneighborhood.Theareawaslargelyestablishedintheearly1940’swhenthefacilities,amenities,andinfrastructurewereconstructedbythefederalgovernmenttosupportWorldWarIItemporaryhousingbuilttoprovidedwellingsforwarworkersatnearbyBoeingandPACCAR.TheboundariesoftheSunsetAreahavebeenrecognizedasaspecialplanningandrevitalizationareabytheCityfortenyears.Theoriginalhousinglargelyremains,butisinverypoorcondition.Crimeishigher,vacancyishigher,andhousingissubstandardcomparedtootherareasofRenton.The100-unitSunsetTerracepublichousingtargethousingreachedsuchapointofdistressthatHUDapprovedrelocationoftheresidentsanddisposalofthepropertyforone-for-one-replacement.InConfrontingSuburbanPovertyinAmerica,ElizabethKneebonepointsoutthat,overthedecadeupto2010,theSeattle-Tacomasuburbanpoorpopulationgrewby74percentcomparedto26percentinthecitiesand,by2010,morethantwo-thirdsofmetropolitanSeattle’spoorlivedinsuburbs.TheinvestmentoffederalCNIfundsfortheTransformationPlanwillhelpaddressthe“suburbanizationofpoverty”inthePugetSoundregionbyhelpingRentonleverageadditionalpublicandprivateresourcestorevitalizetheSunsetAreaasahealthy,mixedincomecommunityandprovidesupportandopportunitiesforlowincomefamilies.RedevelopmentoftheSunsetAreahasbeenapriorityfocusoftheCityofRentonsinceExhibitA:ExecutiveSummary,page1
