SUMMARY OF ACTION:
The ORCA Business Passport Program is a core element of the City’s Commute Trip Reduction (CTR)
Program for eligible City employees. This contract will continue Renton’s participation in all elements
until February 29, 2016 (leap year).
The ORCA Business Passport Program allows employers to buy annual passes in bulk at an extreme
discount over the retail pricing.
Included in the ORCA Business Passport Program are:
1. Unlimited rides by card holders on bus, light rail, and commuter rail services provided by King County
Metro, Pierce Transit, Sound Transit and others
2. 100% VanPool and VanShare subsidies
3. Guaranteed Ride Home Program for all registered participants which provides a free taxi ride home in
the event of an emergency or illness up to 8 times per year.
The approved budget for this program in 2015 is $110,000.

Should Council approve a Resolution authorizing the Mayor and City Clerk to execute
the agreement with King County Metro Transit for purchase of ORCA Business Cards and
ORCA Business Passports?
RECOMMENDATION:
Approve a Resolution authorizing the Mayor and City Clerk to execute the agreement
with King County Metro Transit for the purchase of ORCA Business Cards and ORCA
Business Passports.
BACKGROUND:
In order to reduce congestion and improve air quality, Washington State passed a
Commute Trip Reduction (CTR) Law in the early 1990s. The CTR law requires employers
with 100 or more employees arriving to work between the hours of 6:00 and 9:00 a.m.
to have transportation programs for their employees that encourage the use of
alternatives to single occupancy vehicles. Under the CTR law, the City of Renton is
classified as a CTR affected employer.
During the past 16 years the City has entered into annual agreements with transit
agencies to purchase public transit passes in bulk at a reduced rate. These passes are
provided to each regular City employee as a core fundamental piece of the City’s CTR
Program. This program is paid for out of the general fund.

The ORCA Business Passport offers unlimited rides on Sound Transit, King County Metro
Transit, Pierce Transit and others. It covers travel on buses, light rail and commuter rail.
In addition it features 100% subsidies for VanPool and VanShare participants of King
County Metro, Community, Kitsap and Pierce transit vehicles, as well as a Guaranteed
Ride Home Program (free emergency taxi service for employees).
In 2013-2014 the retail value of transit services used by City staff was estimated to be
approximately $146,000. Vanpool participation comprised the largest share of this
value with approximately $95,600 spent on its services. Sounder, light rail and bus
usage cost approximately $35,500 with an additional $14,700 for VanShare (VanShare
provides older Metro vans for connection between City Hall and the Sounder Station).
The Guaranteed Ride Home Program costs approximately $500.
The cost for the time period of March 1, 2015 to February 29, 2016 (leap year) is
$498.78 per pass. This is a significant savings over buying the passes through King
County Metro Transit outside of the ORCA Business Passport Program. If passes were
purchased in lesser quantities, each equivalent pass could cost as much as $2,268.
Additionally these passes would not include other benefits of the FlexPass Program,
such as Guaranteed Ride Home or the 100% VanShare and VanPool subsidies.
This agreement allows for the purchase of 200 passes at a total cost of $99,756 for use
by eligible City employees.

AGREEMENTFORPURCHASEOFORCABUSINESSCARDSANDORCABUSINESSPASSPORTPRODUCTSTHISAGREEMENT(hereinafter,“Agreement”)ismadeandenteredintobyandamongCityofRenton(“BusinessAccount”)andKingCountyMetroTransit(“LeadAgency”)onbehalfofanyofthefollowingagencies(collectivelyreferredtoasthe“Agency”or“Agencies”).TheSnohomishCountyPublicTransportationBenefitArea(“CommunityTransit”)TheCityofEverett(“EverettTransit”)KingCountyDepartmentofTransportation,MetroTransitDivision(“KingCounty”)TheKitsapCountyPublicTransportationBenefitArea(“KitsapTransit”)ThePierceCountyPublicTransportationBenefitAreaCorporation(“PierceTransit”)TheCentralPugetSoundRegionalTransitAuthority(“SoundTransit”)TheStateofWashingtonactingthroughtheWashingtonStateDepartmentofTransportation,WashingtonStateFerriesDivision(“WSF”)INCONSIDERATIONofthemutualcovenantscontainedherein,thesufficiencyofwhichisherebyacknowledged,thePartiesagreeasfollows:1.0PURPOSE1.1ThisAgreementestablishesthetermsunderwhichcertainfarepayment-relatedservices,referredtohereinas“ORCAServices,”willbeprovidedtotheBusinessAccount,includingbutnotlimitedtothepricesandtermsunderwhichtheBusinessAccountmaypurchaseanddistributeORCABusinessCardsloadedwithaBusinessPassportProducttoitsEligibleBusinessCardholders.SuchORCABusinessCardsmaybeusedtoaccesscertainTransportationServicesoftheAgencies.ThespecificridershipprivilegesapplicabletotheBusinessPassportProductprovidedunderthisAgreementarespecifiedinAttachment1,Products,PricingandTerms,whichisincorporatedinthisAgreementbythisreference,andaresubjecttoSections6and17below.1.2Attachment1alsoestablishesthetermsunderwhichspecificoptionalproductsandservices(e.g.useofanORCABusinessCardonvanpool;aguaranteedridehomeprogram),ifany,shallbeprovidedbyoneormoreindividualAgencies.1.3ThisAgreementalsoenablestheBusinessAccounttopurchaseBusinessChoiceProductsfromtheAgencies,viatheBusinessAccountWebsite,atthepricesandtermsineffectatthetimeofpurchase.1.4TheBusinessAccountunderstandsandagreesthatthisAgreementappliestoitsuseofORCAServicesincluding,butnotlimitedto,itspurchaseofORCABusinessCardsandORCAProducts.ThisAgreementdoesnotconstituteacontractfortransportationservices.TheAgencieshavenoobligationtotheBusinessAccountoranyotherentityorpersontoprovideanyparticularlevel,frequencyorroutingoftransportationservice.2.0TERMOFAGREEMENTANDCONTACTPERSONS2.1ThisAgreementshalltakeeffectupontheeffectivedatespecifiedinAttachment1.UnlessterminatedinaccordancewithSection13,thisAgreementshallexpireonthelastdayoftheProgramTermspecifiedinAttachment1,oranAmendedAttachment1thathasbeensignedbyapersonauthorizedtobindtheBusinessAccount.2.2TheBusinessAccountshalldesignateaPrimaryContactPersoninAttachment2,DesignatedRepresentatives,whichisincorporatedinthisAgreementbythisreference.ThisPrimaryContactPersonshallberesponsibleformanagingtheBusinessAccount’srolesandresponsibilitiesunderthisAgreement.ASecondaryContactPersonshallalsobedesignatedinAttachment2.TheLeadAgencymaycommunicatewithandrelyuponeitherthePrimaryorSecondaryContactPersononmattersrelatingtothisAgreement.ORCAPassportAgreementPage1of19CityofRentonBAID:2480March1,2015-February29,2016
3.0DEFINITIONS3.1BusinessAccount.Theemployer,educationalorhumanservicesinstitution,governmentagencyorotherentitythathasenteredintothisAgreementenablingittopurchaseORCABusinessCardsandORCAProductsfordistributiontotheiremployees,students,clientsorotherconstituency.3.2BusinessAccountWebsite.ThewebsiteusedbytheBusinessAccounttomanageitsaccount,currentlyatorcacard.biz.3.3BusinessChoiceProducts.TheORCAProductsthatmaybepurchasedatretailpricestosupplementtheORCABusinessPassportProductforoneormoreBusinessCardholders(e.g.aWSFmonthlypass).3.4BusinessCardholder(s)orCardholder(s).Theindividual(s)whoareeligibletoreceiveanORCABusinessCardfromtheBusinessAccount.TheeligibilityrequirementsforBusinessCardholdersaremorefullydefinedinAttachment3,EllgibleBusinessCardholders,whichisincorporatedinthisAgreementbythisreference.3.5BusinessPassportProduct.TheORCAProductloadedontheBusinessAccount’sORCABusinessCardsunderthisAgreementthatprovidestheBusinessCardholdersanunlimitedright-to-ridetheregularlyscheduledTransportationServicesof,oroperatedby,certainAgenciestotheextentspecifiedinAttachment1.3.6CardBlock.AnORCAsystemprocessthatculminatesininvalidatinganORCABusinessCard.3.7LeadAgency.TheAgencythatenteredintothisAgreementonbehalfofitselfandtheotherAgenciesandthatisresponsibleforadministrationofthisAgreementonbehalfoftheAgencies,includinginvoicing,contractmodificationsandrenewals,andORCAsystemsupport.3.8ORCA.Thetrademarkednameofthesystemthatenablesuseofacommonfarecard(OneRegionalCardforAll)onthepublictransportationservicesprovidedbyanyoftheAgencies.3.9ORCABusinessCard(or“BusinessCard”).AnORCAfarecardissuedtoaBusinessAccounttoenabletheloadingofORCAProductsforusebyaCardholdertowhomitwasdistributedbytheBusinessAccounttoaccessTransportationServicesasspecifiedinAttachment1.3.10ORCAProducts.AnytransitfarepaymentmechanismorelectronicvoucherofferedforsalewithintheORCAsystembyanyoftheAgencies.Examplesinclude,butarenotlimitedto,monthlyorperiodpass,E-purse,andelectronicvoucher.3.11ORCAServices.Thematerialsandservicesthatmaybeprovided,fromtimetotime,undertheORCAprogram,includingbutnotlimitedtotheORCABusinessCards,ORCAProducts,ORCAWebsites,data,information,andanyequipment,systemsandservicesrelatedtotheORCAprogram.3.12Parties.TheBusinessAccountandtheAgencies(whichincludetheLeadAgency)maybecollectivelyreferredtoas“Parties.”3.13PrimaryContactPerson.TheindividualsidentifiedastheprimarycontactpointsfortheLeadAgencyandtheBusinessAccount,aslistedinAttachment2orasmodifiedfromtimetotime.3.14ProductBlock.AnORCAsystemprocessthatculminatesininvalidatinganORCAProductwithoutinvalidatingthecardonwhichitisloaded.3.15TransportationServicesarethosepublictransportationservicesprovidedbytheAgenciesthatarespecifiedinAttachment1.ORCAPassportAgreementPage2of19CityofRentonBAID:2480March1,2015-February29,2016
4.0PRICESANDPAYMENTTERMS4.1ThepricesandpaymenttermsapplicabletothisAgreementarespecifiedinAttachment1,Products,PricingandTerms.Suchtermsshallinclude:(a)theamountsduefortheBusinessCards,BusinessPassportProduct,andanyotherproducts,servicesandfees;(b)thetimingofpayments,and(c)theacceptablemethodofpayment.EachordersubmittedbytheBusinessAccountforORCABusinessCardsand/oranyORCAProductswillbesubjecttotheprovisionsofthisAgreement.4.2TheBusinessAccount’spurchaseofanyBusinessChoiceProductsviatheBusinessAccountWebsitewillbeatthepricesandtermsineffectatthetimeoforder.TheBusinessAccountisresponsibleforreviewingthepricesineffectbeforesubmittingeachorderandshallbedeemedtohaveagreedtothethen-applicablepricesbysubmittingtheorder.4.3PaymentinfullisdueasspecifiedinAttachment1.4.4Ifforanyreasonpaymentinfullisnotreceivedbythedatedue,ifapaymentisnothonoredduetonon-sufficientfunds(NSF)orifforanyreasonapaymentisnegatedorreversed,theLeadAgencywillnotifytheBusinessAccountofthepaymentproblemand,iffullandclearpaymentisnotreceivedwithinten(10)calendardaysofsuchnotification,theLeadAgencymay:4.4.1refusetoprocessnewordersforORCABusinessCardsandblocktheloadingofnewORCAProductsbyorfortheBusinessAccount;4.4.2assessanylatepayment,NSFandcollectionfeestothemaximumamountpermittedbylaw;4.4.3initiateaCardBlockorProductBlockontheBusinessCardsissuedtotheBusinessAccount,renderingthemineffectiveforusebytheCardholders,untilsuchtimeastheBusinessAccountpaysthefullamountdue,includinganylatepayment,NSFandfees,inamanneracceptabletotheLeadAgency;and4.4.4suspendorterminateaccessrightstotheBusinessAccount’ssecuredareaofthewebsite.4.5InadditiontoanyotherobligationsitmayhaveunderthisAgreementandatlaw,theBusinessAccountagreestopaytotheLeadAgencyanyreasonablecollectionfeesincurredincollectingamountsduefromtheBusinessAccount.5.0PURCHASE,OWNERSHIP,DISTRIBUTIONANDREPLACEMENTOFORCABUSINESSCARDS5.1OrderingORCABusinessCards.TheBusinessAccountshallorderORCABusinessCardsviatheORCABusinessAccountsWebsite,inaccordancewiththedirectionsprovidedonthatwebsite,andshallmakepaymentasprovidedinAttachment1,Products,PricingandTerms.Ifadditionalcardsarerequired,theBusinessAccountshallberequiredtopayboththestandardcardfeeandthemonthlyrateforloadingthePassportProductonsuchadditionalcardsfortheremainingmonthsofthisAgreement,asspecifiedinAttachment1.5.2ReceiptandOwnershipofORCABusinessCards.UponactualorconstructivereceiptoftheORCABusinessCardsithasordered,theBusinessAccountshallbecometheowneroftheORCABusinessCards.TheBusinessAccountshallbedeemedtohaveconstructivelyreceivedallorderedORCABusinessCardsunlessitnotifiestheLeadAgencyofanynon-deliveryorincorrectdeliverywithinthirty(30)daysaftertheorderwasplaced.IftheBusinessAccountnotifiestheLeadAgencythatithasnotreceivedtheorderedcards,theLeadAgencywillshipareplacementorder.IftheBusinessAccountsubsequentlyreceivesthecardsreportedasmissing,theBusinessAccountisresponsibleforreturningthemtotheLeadAgency.5.3StorageandRiskofLoss.TheBusinessAccountisresponsibleforthestorage,distributionanduseoftheORCABusinessCardsissuedtoit.TheBusinessAccountbearsthesoleriskofanyloss,damage,theftorunauthorizeduseofoneofitscards,whethersuchcardisheldinitsORCAPassportAgreementPage3of19CityofRentonBAID:2480March1,2015-February29,2016
inventoryorhasbeendistributedforuse.TheBusinessAccountisresponsibleforthecostofanyuseofitsBusinessCardsuntiltheeffectivedateofaCardBlockthatmaybeinitiatedasprovidedbelow.5.4DistanceBasedTransitFare.TheBusinessAccountisresponsibleforcommunicatingtoCardholdersthat“distancebasedfares”arechargedonsomesystemssuchas:Linklightrail,andSoundercommuterrailsystems.Ondistancebasedfaremodes,whentheCardholder“tapson,”theORCAsystemwillrecordthetriptothelaststopontheline.WhentheCardholder“tapsoff”attheendoftheride,ORCAwillrecordtheactualride.TheBusinessAccountthenwillbechargedthecorrectfarefortheactualridetaken.IftheCardholdertailsto“tapoff”,thenORCAwillrecordaridetotheendoftheline.Theresultofnot“tappingoff”isthattheBusinessAccountwillbechargedthelargestfarefortherideevenifashorterridewastaken.TheBusinessAccountmayprovideCardholderRulesofUsetotheCardholderasreferencedinAttachment4,orprovidethisinformationusingothermethodssuchasanemailorflyer.5.5DistributionofORCABusinessCards.TheBusinessAccountisresponsiblefordistributingitsBusinessCardsforusebyitsEligibleBusinessCardholders.TheBusinessAccountremainstheownerofallBusinessCardsitdistributesbutacardholdermayalsopurchaseandloadindividualORCAproductsonaBusinessCardandindividuallyregisterthecard.ToenableCardholderstoregisterBusinessCardsasprovidedinSection6below,theBusinessAccountmaynotregister,orallowanyoneotherthantheCardholdertoregister,theBusinessCardsthatareissuedunderthisAgreement.TheBusinessAccountshallrequire,asaconditionofreceivingaBusinessCard,thattheCardholdersignthewrittenCardholderRulesofUseincorporatedinthisAgreementasAttachment4,ORCABusinessCardholderRulesofUse.TheBusinessAccountunderstandsandagreesthatitissolelyresponsibleforimplementationandenforcementoftheCardholderRulesofUse.5.6Proofofpayment.TheBusinessAccountisresponsiblefornotifyingCardholdersthatproofofpaymentmustbemadebytappingtheORCACardonthecardreaderinthemannerrequiredbyeachAgency;otherwise,theCardholdermaybesubjecttoafineiftheORCACardisnottapped,andtheCardholderwillbepersonallyresponsibleforanyfinesthatmaybeimposed.5.7BusinessAccountAccesstoPersonallyIdentifyingInformation.IfanindividualCardholderoptstoregisteroneoftheBusinessCardsissuedtotheBusinessAccount,anypersonallyidentifyinginformationprovidedtotheORCASystem(e.g.name,address,telephonenumber,andcreditcardnumber)willnotbeaccessiblebytheBusinessAccount.IftheBusinessAccountcollectsanypersonallyidentifyinginformationaboutindividualstowhomithasdistributedBusinessCards,theBusinessAccountissolelyresponsibleforitscollection,use,storageanddisclosureofsuchinformation.5.8CardBlocks.IntheeventaBusinessCardisdeterminedtobelostorstolenorifaCardholderisdeterminedbytheBusinessAccounttobenolongereligibletousethecard,theBusinessAccountmayinitiateaCardBlockviatheBusinessAccountWebsitetoinvalidatethesubjectBusinessCard.TheLeadAgencymayalsoinitiateaCardBlockoraProductBlockastoanyoftheBusinessAccount’sBusinessCardsattherequestoftheBusinessAccount,oratthesolediscretionoftheLeadAgencyinaccordancewithSection4.4,orifitissuspectedthatacardhasbeenaltered,duplicated,counterfeited,stolenorusedbyanineligibleCardholder.Onceinitiated,aCardBlockmustbeprocessedintheORCAsystemanddownloadedtoallreaderdevicesthroughouttheregion.Untilthatoccurs,thereisthepotentialthattheBusinessPassportProductandanyE-pursevalueorotherORCAProductsonthesubjectcardwillcontinuetobeused.TheBusinessAccount,nottheAgencies,remainsresponsibleforalltransactions,andanylossorcostsarisingtherefrom,forforty-eight(48)hoursaftertheCardBlockwasinitiated.5.9RestorationofValueAfterCardBlock.FollowingaCardBlock,theBusinessAccountmayrequesttheLeadAgencytorestorevalueonareplacementoftheblockedBusinessCard.AnEpurseonablockedcardwillberestoredonthereplacementcardinapproximatelyten(10)calendardaysafterthereplacementcardisissued.TheE-purseamountthatremainedontheORCAPassportAgreementPage4of19CityofRentonBAID:2480March1,2015-February29,2016
lostorstolencard,forty-eight(48)hoursaftertheCardBlockwasinitiatedintheORCAsystem,willberestoredtothereplacementcardviaaremoterevaluefunction.AnE-purseonablockedcardwillberestoredonthereplacementcardontheeighthdayalterthecardhasbeenissued.ThecardmustthenbetappedtoactivatetheE-pursevalue.5.10CardReplacementTheBusinessAccountisresponsiblefororderingandpayingforanynewcardsneededtoreplaceBusinessCardsthatforanyreasonceasetobeavailableorsuitableforusebytheCardholdersundertheprogramoftheBusinessAccount,includingbutnotlimitedto,iftheunavailabilityorunsuitabilityiscausedbydamage,abuse,loss,theft,CardBlock,andendofusefullife.Provided,however,andnotwithstandingtheexclusionofwarrantiesinSection14,ifaBusinessCardmalfunctionswithintwelve(12)monthsalteritwasdeliveredtotheBusinessAccount,itshallbereplacedbytheLeadAgencywithoutadditionalchargetotheBusinessAccountifthemalfunctionwascausedbyadefectindesign,materialorworkmanshipandwasnotcausedbymisuse,anintentionalact,negligenceordamage,reasonablewearandtearexcepted.TheBusinessAccountunderstandsandagreesthattoavoidthedisruptionandinconveniencecausedbysporadicfailuresasitscardsareused,itmustplanforreplacementofitsBusinessCardsonaregularbasis.AsaconditionofcontinuingundertheBusinessPassportprogram,theBusinessAccountagreesthat:(a)itwillretireallofitsORCABusinessCardsatsometimewithinfouryearsaltertheyareissuedbytheLeadAgencytotheBusinessAccount;and(b)purchasereplacementBusinessCardsatthethen-applicablerate.6.0CARDHOLDERUSEOFORCABUSINESSCARDSCardholderPrivileges.TheBusinessAccountunderstandsandagreesthat,althoughitremainstheownerofORCABusinessCardsafterdistribution,theCardholderhasthefollowingprivilegesinconnectionwiththeuseofanORCABusinessCard.6.1TheCardholdermaypresentanORCABusinessCard,loadedwithavalid,applicableBusinessPassportorBusinessChoiceProduct,toanORCAfaretransactionprocessorasproofofpaymentofalloraportionofarequiredfareonaregulartransportationserviceoperatedbyoneormoreoftheAgencies.(Provided,however,anORCAProductthatisnotsufficienttofullypayafarewillnotbeacceptedaspartialpaymentbytheWashingtonStateFerries.)Inallcases,aCardholderwillberequiredtomakeotherpaymenttotheextentafareisnotcoveredbyanORCAProduct.6.2TheCardholdermayindividuallypurchaseORCAProductsandloadthemontheBusinessCardinadditiontoanyORCAProductloadedbytheBusinessAccount.IndividualORCAProductsmaybeusedtopayalloraportionofarequiredfareonatransportationservicenotcoveredbyaBusinessPassportProductorBusinessChoiceProduct.(Provided,however,anORCAProductthatisnotsufficienttofullypayafarewillnotbeacceptedaspartialpaymentbytheWashingtonStateFerries.)Inallcases,aCardholderwillberequiredtomakeotherpaymenttotheextentafareisnotcoveredbyanORCAProduct.6.3TheCardholdermayregisterhis/hernameandothercontactinformationwiththeORCASystemandlinksuchpersonalinformationtotheserialnumberoftheBusinessCardprovidedtohim/her.SuchregistrationdoesnotgivetheCardholderanyownershiprightsinthecardbutdoesgivetheCardholdertherighttoaccesstheORCACardholderWebsitetoviewthecard’stransactionhistoryandcurrentstoredvalue,tomodifytravelzonepreferences,andtoaddretailproducts.7.0NORETURNSORREFUNDSExceptasotherwiseprovidedhereinorinSection13.2,theBusinessAccountunderstandsandagreesthatitspurchasesofBusinessCards,andBusinessPassportProductsandBusinessChoiceProductspurchasedforsuchcards,arefinalanditisnotentitledtoanyrefunds.Provided,however,theBusinessAccountmayrequestarefundoftheE-pursevalueremainingonaBusinessCardifthecardissurrenderedbytheBusinessAccounttotheLeadAgency.UponsurrenderofthesubjectBusinessCard,theLeadAgencyshallinitiateaCardBlockandtherefundprocessedapproximatelyten(10)calendardaysaltertheCardBlockwasinitiated.TheE-purseamountrefundedwillbethatwhichremainedonthesurrenderedcardforty-eight(48)hoursaltertheCardBlockwasinitiatedintheORCAsystem.Aprocessingfeeoftendollars($10)shallbepayablebytheBusinessAccounttotheLeadAgencyforeachsuchE-purserefundthatisprocessed,regardlessofe-pursevaluerefunded.TheBusinessAccount,notORCAPassportAgreementPage5of19CityofRentonBAID:2480March1,2015-February29,2016
theLeadAgency,isresponsiblefortherefundingofsuchE-pursevalue,ifany,totheindividualCardholdertowhomtheBusinessCardhadbeendistributed.8.0BUSINESSACCOUNTWEBSITE8.1TheBusinessAccountWebsiteistheprimarymeansbywhichtheBusinessAccountshallpurchaseORCABusinessCards,BusinessPassportandBusinessChoiceProducts,manageitsBusinessCardsandobtaininformationabouttheuseofsaidcards.AsaconditionofparticipationintheBusinessPassportprogram,theBusinessAccountagreesthatitwillusetheBusinessAccountWebsitewhenitisavailableandthateachaccessanduseofsaidwebsiteshallbesubjecttotheTermsofUseandPrivacyStatementthatareineffectandpostedontheBusinessAccountWebsiteatthetimeofsuchaccessanduse.8.2TheBusinessAccountunderstandsandagreesthatuninterruptedaccesstoanduseoftheBusinessAccountWebsiteisnotguaranteedandagreesthatitwillcontactitsrepresentativeattheLeadAgencybyemailortelephoneifthewebsiteisnotavailable.8.3AtthetimetheBusinessAccountentersintotheORCAprogram,theLeadAgencywillprovideasinglepasswordtotheBusinessAccount’sPrimaryContact,asspecifiedinAttachment2,DesignatedRepresentatives,toenableuseraccesstotheBusinessAccount’ssecuredareaoftheBusinessAccountWebsite.TheBusinessAccountisrequiredtochangethetemporarypasswordtooneofitsowncreation.TheBusinessAccountshallbesolelyresponsibleforthenumberandidentityofthoseemployeeswithwhomtheBusinessAccount’spasswordisshared.TheBusinessAccountisalsosolelyresponsibleforcomplyingwiththesecuritystandardsspecifiedinAttachment5,SecurityStandards,whichisincorporatedinthisAgreementbythisreference.9.0INFORMATIONPROVIDEDBYTHEAGENCIESANDTHEORCASYSTEM9.1TheBusinessAccountunderstandsandagreesthatthedata,reportsoranyinformationprovidedtoitviatheBusinessAccountWebsiteorotherwise,isandremainsthesolepropertyoftheAgenciesandnothingshallbeconstruedasatransferorgrantofanycopyrightorotherpropertyinterestinsuchdata,reportsorinformation.TheAgenciesherebygranttotheBusinessAccountanon-exclusivelicensetouseanydata,reportsorinformationprovidedbytheAgencies,viatheBusinessAccountWebsiteorotherwise,foranylawfulpurposerelatedtotheadministrationofthetransportationbenefitsprogramoftheBusinessAccount.9.2TheORCASystemwillrecorddataeachtimeanORCABusinessCardispresentedtoanORCAdeviceforfarepaymentandtoloadaproduct.Suchtransactiondataincludes,butisnotlimitedto,thedate,time,andlocation(orroute)ofthetransaction.TheBusinessAccountmayroutinelyaccesssuchtransactiondatarelatedtoitsBusinessCardstotheextentprovidedviatheBusinessAccountWebsite.SaidwebsiteanditsreportsdonotprovidetheBusinessAccountBusinessCardtransactiondatalinkedtocardserialnumbers.Forthepurposeofpreventingfraud,thePrimaryContactPersonoftheBusinessAccountmaysubmitawrittenrequesttotheLeadAgencyfortransactiondatarelatedtoaspecificcardnumberorforacardnumberlinkedtoaspecifictransaction.Thewrittenrequestshallincludethefollowing:9.2.1Cardnumberorthedate,timeandotherknowndetailsaboutthespecifictransactionforwhichacardserialnumberisbeingrequested;9.2.2Astatementastowhytheinformationisgermanetothepreventionoffraud;and9.2.3ThesignatureofthePrimaryContactPerson.IftheLeadAgencydeterminesthatthesubjecttransaction(s)islinkedtoaBusinessCardissuedtotheBusinessAccount,theLeadAgencywillprovidetheBusinessAccountwiththecardserialnumberlinkedtotherequestedtransaction(s).TheBusinessAccountagreesthatitwillusesuchcardserialnumberinformationonlyforpurposesofenforcingitsRulesofUseorotherlawfulbusinesspurposes.TheBusinessAccountmustmaintainitsownrecordsifitwishestoidentifythecardserialnumberissuedtoanindividual.ORCAPassportAgreementPage6of19CityofRentonBAID:2480March1,2015-February29,2016
10.0PUBLICRECORDSTheBusinessAccountunderstandsandagreesthatallrecordsrelatedtoitsparticipationintheORCASystemarepublicrecordsundertheWashingtonPublicRecordsAct(Chapter42.56RCW)(‘Act”),includingbutnotlimitedto:(a)thisAgreementandthesalesactivityhereunder;(b)theorders,communications,andanyotherinformationprovidedbytheBusinessAccounttotheLeadAgency,theotherAgenciesortheORCASystem,whetherprovidedviathiswebsiteorotherwiseandwhetherprovidedinhardcopyorelectronicform;(c)anycommunications,responses,requests,reportsorinformationofanykindprovidedtotheBusinessAccountfromtheLeadAgency,theotherAgenciesortheORCASystem;and(d)alldata,reportsandinformationofanykindrelatedtotheloadingofproductson,andtheuseof,theBusinessCardsissuedtotheBusinessAccount.Aspublicrecords,theserecordswillbemadeavailableforpublicinspectionandcopyinguponrequest,unlesstheLeadAgencydeterminestheyareexemptfromdisclosure.11.0INDIVIDUALUSEOFBUSINESSCARDAFTERLEAVINGABUSINESSACCOUNTTheBusinessAccountisencouragedtocollectBusinessCardsfromCardholderswhoarenolongereligiblefortheBusinessAccount’stransportationbenefitsprogram.Inanycase,theBusinessAccountissolelyresponsibleforinitiatingaCardBlockorProductBlockinaccordancewiththisAgreementtopreventanycontinueduseof,andfinancialliabilityfor,acardthathadbeendistributedtoapersonwhoisnolongereligible.12.0ORCASERVICESSUBJECTTOCHANGETheAgenciesseektocontinuallyimproveandenhancetheORCAServices.Withthousandsofemployers,schools,andotherentitiesenteringintobusinessaccountagreementsatvaryingdatesintheyear,theAgenciesareunabletoguaranteetoeachbusinessaccountthattheORCAServiceswillnotchangeduringthetermofitsagreement.TheBusinessAccountunderstandsandagreesthatoneormoreORCAServicesmaybechanged,suspendedorterminatedfromtimetotimewithoutpriornoticeto,oragreementby,theBusinessAccount,includingbutnotlimitedtochangesinthelook,feel,contentandfunctionsoftheBusinessAccountWebsite.litheBusinessAccountisdissatisfiedwithachangeintheORCAServices,however,itmayterminatethisAgreementforitsconvenienceinaccordancewiththeprovisionsofSection13.2.13.0TERMINATION13.1TheLeadAgencymayatanytimeterminatethisAgreementiftheBusinessAccountfailstomaketimelyandeffectivepaymentofallamountsdue,orotherwisemateriallybreachestheAgreement,oractsinmannerindicatingthatitintendstonotcomply,orisunabletocomply,withtheAgreement.Toeffectsuchaterminationforcause,theLeadAgencyshallsendemailnoticetothelastknownemailaddressforthelastknownprimarycontactpersonoftheBusinessAccountdescribingthemannerinwhichtheBusinessAccountisindefaultandtheeffectivedateoftermination.Ifthebasisforterminationisafailuretoperformthatcanbecured,theterminationshallnottakeeffectsolongastheBusinessAccountcuresthedefaultwithinten(10)calendardaysofthesendingoftheemailnotice.Upontheeffectivedateofsuchtermination,theLeadAgencymayimmediatelyterminatethewebsiteaccessprivilegesoftheBusinessAccount,blocktheBusinessCardsissuedtotheBusinessAccountanddeclinetoacceptandfulfillanypendingornewordersfromtheBusinessAccount.Intheeventofsuchaterminationforcause,theBusinessAccountshallnotbeentitledtoanyrefundofanyamountspaid.13.2EithertheBusinessAccountortheLeadAgencymayterminatetheAgreementwithoutcauseandforitsownconveniencebysendingtheotherpartywrittenoremailnoticeatleastthirty(30)daysinadvanceoftheeffectivedateofthetermination.UponreceiptofanoticeofterminationforconveniencefromtheBusinessAccount,theLeadAgencymay,initssolediscretion,waivetheadvancenoticeperiodandimmediatelyterminatethewebsiteaccessprivilegesoftheBusinessAccount,initiateaCardBlockontheBusinessCardsissuedtotheBusinessAccount,anddeclinetoacceptandfulfillanypendingornewordersfromtheBusinessAccount.Intheeventofsuchaterminationforconvenienceandnotcause,theamountsdueunderthisAgreementshallbecalculatedbytheLeadAgency.(TheamountsduefortheORCAPassportProductandanyoptionalproductslistedinAttachment1shallbetheannualamountsdueproratedforthenumberofmonthsduringwhichthePassportProductandoptionalproductswereORCAPassportAgreementPage7of19CityofRentonBAID:2480March1,2015-February29,2016

labordisputesoractions,shutdownsforpurposeofemergencyrepairs,orindustrial,civilorpublicdisturbances.17.0APPLICATIONOFAGENCYFARESANDOTHERPOLICIESThepurchase,distributionanduseofBusinessCardsandORCAProductsbytheBusinessAccountanditsCardholders,andaccesstoanduseoftheORCAwebsites,shallbesubjecttoallapplicablefederal,stateandlocallaw,regulations,ordinances,codesandpolicies,includingbutnotlimitedtotheORCATermsofUseandPrivacyStatement(postedontheORCAwebsitesandavailableinprintedformuponrequesttotheLeadAgency),andtheAgencies’respectivefares,transferrules,codesofconductandotheroperatingpoliciesandprocedures.18.0PROHIBITEDDISCRIMINATIONTheBusinessAccountshallnotdiscriminateonthebasisofrace,color,sex,religion,nationality,creed,maritalstatus,sexualorientation,age,orpresenceofanysensory,mental,orphysicalhandicapintheadministrationofitstransportationbenefitsprogram,theprovisionofORCABusinessCardsandORCAProducts,ortheperformanceofanyactsunderthisAgreement.TheBusinessAccountshallcomplyfullywithallapplicablefederal,stateandlocallaws,ordinances,executiveordersandregulationswhichprohibitsuchdiscrimination.19.0COMPLIANCEWITHAPPLICABLELAWTheBusinessAccountshallbesolelyresponsibleforcompliancewithallapplicablefederal,stateandlocallaws,regulations,resolutionsandordinances,including,butnotlimitedto,anyprovisionsrelatingtotheBusinessAccount’sprovisionofcompensation,benefitsorservicestoemployeesorothers(e.g.including,butnotlimitedto,transportationfringebenefits)andanyreporting,taxwithholding,orotherobligationsrelatedthereto.TheBusinessAccountexpresslyacknowledgesandagreesthatithasnotreliedonanyrepresentationsorstatementsbytheAgenciesandwillnotrelyonthemtoprovideanylegal,accounting,taxorotheradvicewithregardtotheBusinessAccount’sprovisionofcompensation,benefitsorservicestoemployeesorothers(e.g.including,butnotlimitedto,transportationfringebenefits)andanyreporting,withholdingorotherobligationsrelatedthereto.20.0LEGALRELATIONS20.1NoPartnership,AgencyorEmploymentRelationshipFormed.TheBusinessAccountandtheAgenciesareindependentpartiesandnothinginthisAgreementshallbeconstruedascreatinganyjointventure,partnership,agencyoremploymentrelationshipbetweenandamongthemortheirrespectiveemployees.Withoutlimitingtheforegoing,theBusinessAccountunderstandsandagreesthatnoneofitsemployeesoragentsshallbedeemedemployeesoragent,foranypurpose,ofanyoftheAgenciesandtheBusinessAccountissolelyresponsiblefortheactsofitsagentsandemployeesandtheircompensation,wages,withholdingsandbenefits.20.2LIMITATIONONLIABILITYA.THELEADAGENCYANDEACHOFTHEOTHERAGENCIESSHALLNOTBELIABLEFOR,ANDTHEBUSINESSACCOUNTHOLDSEACHAGENCYHARMLESSFROM,ANYLOSSORDAMAGEARISINGOUTOFORRELATEDTO:1.ANYRELIANCEPLACEDBYTHEBUSINESSACCOUNTONTHECOMPLETENESS,ACCURACYOREXISTENCEOFANYINFORMATIONPROVIDEDTOTHEBUSINESSACCOUNTBYORTHROUGHTHEORCASERVICES;2.ANYCHANGESTOTHEORCASERVICESORTHETEMPORARYORPERMANENTCESSATIONOFANYSUCHSERVICES(ORFEATURESWITHINASERVICE);3.THEDELETIONOF,CORRUPTIONOF,ORFAILURETOSTORE,ANYINFORMATIONMADEAVAILABLETOTHEBUSINESSACCOUNT,ORGENERATEDBYTHEUSEOFTHEORCASERVICESUNDERTHISORCAPassportAgreementPage9of19CityofRentonBAID:2480March1,2015-February29,2016
AGREEMENTINCLUDING,BUTNOTLIMITEDTO,THEUSEOFTHEORCABUSINESSCARDSISSUEDUNDERTHISAGREEMENT;4.THEBUSINESSACCOUNT’SFAILURETOPROVIDETHELEADAGENCYWITHACCURATEACCOUNTINFORMATION;AND5.THEBUSINESSACCOUNT’SFAILURETOKEEPINFORMATIONSECUREANDCONFIDENTIAL.B.THELEADAGENCYANDEACHOFTHEOTHERAGENCIESSHALLNOTBELIABLEFOR,ANDTHEBUSINESSACCOUNTHOLDSEACHAGENCYHARMLESSFROM,ANYINDIRECT,INCIDENTAL,SPECIAL,CONSEQUENTIAL,OREXEMPLARYDAMAGESINCURREDBYTHEBUSINESSACCOUNTUNDERANYTHEORYOFLIAIBILITY,INCLUDINGBUTNOTLIMITEDTOLOSSOFUSE,LOSSOFTIME,LOSSOFPROFITS,LOSSOFPRIVACY,LOSSOFDATA,LOSSOFGOODWILLORBUSINESSREPUTATION,WHENSUCHDAMAGESARISEOUTOF,ORARERELATEDTO,THISAGREEMENTORTHEORCASERVICES,WHETHERORNOTONEORMOREAGENCIESHASBEENADVISEDOF,ORSHOULDHAVEBEENAWAREOF,THEPOSSIBILITYOFANYSUCHDAMAGESARISING.C.TOTHEEXTENTONEORMOREOFTHEAGENCIESINCURSANYLIABILITYFORABREACHOFTHISAGREEMENT,ORANYDUTYRELATEDTOTHEORCASERVICES,ANDSUCHLIABILITYTHATISNOTEXCLUDEDUNDERTHETERMSOFTHISAGREEMENT,THEEXCLUSIVE,AGGREGATEREMEDYAGAINSTTHELEADAGENCYANDEACHOTHERAGENCYWILLBE,ATTHEOPTIONOFTHEAPPLICABLEAGENCIES:(A)THECORRECTION,SUBSTITUTIONORREPLACEMENTOFALLORPARTOFTHEORCASERVICESGIVINGRISETOTHEBREACH,OR(B)AREFUNDOFTHEAMOUNTPAIDBYTHEBUSINESSACCOUNTFORTHEORCASERVICECAUSINGTHEDAMAGE,THEAMOUNTOFWHICHWILLNOTEXCEEDTHEDAMAGES(OTHERTHANTHOSEEXCLUDEDABOVE)ACTUALLYINCURREDBYTHEBUSINESSACCOUNTINREASONABLERELIANCE.Thedamageexclusionsandlimitationsonliabilityintheagreementshallapplyevenifanyremedyfailsforitsessentialpurpose.20.3NoWaiver.TheBusinessAccountagreesthatiftheLeadAgencydoesnotexerciseorenforceanylegalrightorremedywhichiscontainedintheAgreementorunderapplicablelaw,thiswillnotbetakentobedeemedtobeawaiverormodificationoftheLeadAgency’srightsandremedies,andthatthoserightsorremedieswillstillbeavailabletotheLeadAgency.20.4GoverningLawandForum.ThisAgreementandallprovisionshereofshallbeinterpretedandenforcedinaccordancewith,andgovernedby,theapplicablelawoftheStateofWashingtonandoftheUnitedStatesofAmericawithoutregardtoitsconflictoflawsprovisions.TheexclusivejurisdictionandvenueforconductinganylegalactionsarisingunderthisAgreementshallresideineithertheFederalDistrictCourtortheStateofWashingtonSuperiorCourt,asapplicable,thatislocatedinthecountyinwhichtheLeadAgency’sprimaryadministrativeofficeislocated.TheBusinessAccountherebyconsentstopersonaljurisdictionandvenueinsaidcourtsandwaivesanyrightwhichitmighthavetoconductlegalactionsinvolvingtheAgenciesinotherforums.20.5Attorneys’FeesandCosts.IntheeventoflitigationbetweenthepartiesrelatedtothisAgreement,theCourtisauthorizedtoawardthesubstantiallyprevailingpartyitscosts,feesandexpensesincludingreasonableattorneyfeestotheextentauthorizedbytheCourtandpermittedbyapplicablelaw.20.6Survival.Sections4,5,9,14and20shallsurviveandremaineffectivenotwithstandinganyterminationofthisAgreement.20.7UseofORCAnameandlogos.TheBusinessAccountunderstandsandagreesthatthe“ORCA”nameandlogosaretrademarkedandthatitwillnotcopyorusethemandanyothertradenames,trademarks,servicemarks,logos,domainnames,andotherdistinctivefeaturesorintellectualpropertyoftheAgencieswithoutwrittenpermission.TheAgenciesunderstandandORCAPassportAgreementPage10of19CityofRentonBAID:2480March1,2015-February29,2016

ATIACHMENT6HOMEFREEGUARANTEEPROGRAM(continued)2.3NumberOfHFGRidesPerEligibleEmployeeBusinessAccountshallensurethateachEligibleEmployeedoesnotexceedeight(8)HFGridespertwelve(12)monthperiod.2.4AccesstoServiceBusinessAccountshallmakeinformationabouthowtoaccessHFGridesavailabletoallEligibleEmployees.3HFGPROGRAMTASKS3.1ProcessToaccessHFGrides,EligibleEmployeesshallcontacttheProgramCoordinator.TheProgramCoordinatorshallcalldirectlyanansweringserviceprovider,contractedforbyKingCounty.Thephonenumberis425-450-4555.ProgramCoordinatorshallscreenandobtainthefollowinginformationfromtheEligibleEmployee,andprovidetheinformationtotheansweringserviceprovideraspartofarrangingthetaxiridefortheEligibleEmployee.a.VerifytheEligibleEmployeehascommutedtotheworksitebyaneligiblemode.b.VerifytheEligibleEmployeehasaneligiblereasonandeligibledestinationforanHFGride.3.2Reportinga.OnceanEligibleEmployeetakestheemergencytaxiride,obtainfromtheEligibleEmployeeacompletedreceiptofthetaxitrip.b.BusinessAccount’sProgramCoordinatorshallforwardcopiesofsuchreceiptstoKingCountyattheendofeachmonthforrecordkeepingandaccountingpurposes.4KINGCOUNTYRESPONSIBILITIES4.1ParticipatingTaxiBusinessAccount(s)BusinessAccountagreesthatneitherKingCountynoransweringserviceproviderisresponsibleforprovidingtransportationservicesundertheHFGprogram.BusinessAccountfurtheragreesthatKingCountymakesnoguaranteeorwarrantyastotheavailability,qualityorreliabilityoftaxiservice,andthatKingCounty’ssoleobligationundertheprogramistomakepaymentofthetaxiproviderfortripsactuallytakeninaccordancewiththetermsofthisAgreement.BusinessAccountagreesitshallmakenoclaimsofanykindorbringanysuitsofanykindagainstKingCountyfordamagesorinjuriesofanykindarisingoutoforinanywayrelatedtotheHFGprogram.Withoutlimitingtheforegoingandbywayofexampleonly,theBusinessAccountagreesthatKingCountyshallnotbeliableforanyinjuriesordamagescausedbynegligenceorintentionalactsoccurringbefore,duringorafterataxirideorforanyinjuriesordamagescausedbyfailureofataxitoprovidearideduetonegligence,intentionalactsorcausesbeyondthetaxi’scontrol,includingbutnotlimitedtoincidenceoffire,flood,snow,earthquakeorotheractsofnature,riots,insurrection,accident,orderofanycourtorcivilauthority,andstrikesorotherlaboractions.4.2PaymentOfAuthorizedHFGTaxiFaresKingCountyshallpaythemeteredfareamountofaBusinessAccount’sProgramCoordinator-authorizedHFGride,asdefinedintheDEFINITIONSsectionabove,foraone-waydistanceofuptosixty(60)miles.BusinessAccountorEligibleEmployeetakingtheHFGrideshallpayanyfareforaone-waydistanceinexcessofsixty(60)miles.KingCountyshallnotpayanytaxidrivergratuity.TaxidrivergratuitywillbeatthesolediscretionofBusinessAccountortheEligibleEmployeetakingtheHFGride.4.3ReportingKingCountyshallkeepacompleterecordofallauthorizedHFGriderequestsandprovideacopyofthisrecordtoBusinessAccount’sdesignatedContactPersonifrequested.4.4ProgramAbuseKingCountyreservestherighttoinvestigateandrecovercostsfromtheBusinessAccountofintentionalabuseoftheHFGprogrambyEligibleEmployees.Programabuseisdefinedas,butnotlimitedto,takingmorethanthemaximumeightridesperagreementperiod,takingtripsforinappropriatereasons,unauthorizeddestinationsandintermediatestops,andpre-scheduledappointmentsnotdefinedintheDEFINITIONSsectionabove.ORCAPassportAgreementPage19of19CityofRentonBAID:2480March1,2015-February29,2016
