The scope of the project is to for the rehabilitation of principal and minor arterial streets. The project identified for completion with monies budgeted for calendar year 2015 and 2016 is Duvall Avenue NE. The specific improvements include the resurfacing (3-inch overlay) a 0.75 mile section of Duvall Avenue NE from NE 4th Street to NE 10th Street, extending the life of the pavement for an additional 12-15 years. This consultant agreement authorizes the design engineering services to be completed by CM Design. STAFF RECOMMENDATION: Authorize the Mayor and City Clerk to execute the consultant agreement with CM Design in the amount of $157,759 to proceed with design engineering services for the Duvall Avenue NE Pavement Preservation – NE 4th Street to NE 10th Street Project. B.DirectNon-SalaryCosts:DirectNon-SalaryCostswillbereimbursedattheactualcosttotheCONSULTANT.Thesechargesmayinclude,butarenotlimitedto,thefollowingitems:travel,printing,longdistancetelephone,supplies,computerchargesandfeesofsub-consultants.Airortraintravelwillbereimbursedonlytolowestpriceavailable,unlessotherwiseapprovedbytheAGENCY.TheCONSULTANTshallcomplywiththerulesandregulationsregardingtravelcosts(excludingair,train,andrentalcarcosts)inaccordancewiththeWSDOT’sAccountingManualM13-82,Chapter10—TravelRulesandProcedures,andallrevisionsthereto.Air,trainandrentalcardcostsshallbereimbursedinaccordancewith48CodeofFederalRegulations(CFR)Part31.205-46“TravelCosts.,,ThebillingforDirectNon-salaryCostsshallincludeanitemizedlistingofthechargesdirectlyidentifiablewiththeseSERVICES.TheCONSULTANTshallmaintaintheoriginalsupportingdocumentsintheiroffice.CopiesoftheoriginalsupportingdocumentsshallbesuppliedtotheSTATEuponrequest.AllabovechargesmustbenecessaryfortheSERVICESprovidedunderthisAGREEMENT.C.MaximumAmountPayable:TheMaximumAmountPayablebytheAGENCYtotheCONSULTANTunderthisAGREEMENTshallnotexceedtheamountshownintheheadingofthisAGREEMENTonpageone(1.)TheMaximumAmountPayabledoesnotincludepaymentforextraworkasstipulatedinsectionXIII,“ExtraWork.,,NominimumamountpayableisguaranteedunderthisAGREEMENT.D.MonthlyProgressPayments:ProgresspaymentsmaybeclaimedonamonthlybasisforallcostsauthorizedinAandBabove.ThemonthlybillingsshallbesupportedbydetailedstatementsforhoursexpendedattheratesestablishedinExhibit“D,,,includingnamesandclassificationsofallemployees,andbillingsforalldirectnon-salaryexpenses.ToprovideameansofverifringthebilledsalarycostsfortheCONSULTANT’semployees,theAGENCYmayconductemployeeinterviews.Theseinterviewsmayconsistofrecordingthenames,titles,salaryrates,andpresentdutiesofthoseemployeesperformingworkontheSERVICESatthetimeoftheinterview.E.FinalPayment:FinalPaymentofanybalanceduetheCONSULTANTofthegrossamountearnedwillbemadepromptlyuponitsverificationbytheAGENCYafterthecompletionoftheSERVICESunderthisAGREEMENT,contingentuponreceiptofallPS&E,plans,maps,notes,reports,electronicdata,andotherrelateddocumentswhicharerequiredtobefurnishedunderthisAGREEMENT.AcceptanceofsuchFinalPaymentbytheCONSULTANTshallconstituteareleaseofallclaimsforpayment,whichtheCONSULTANTmayhaveagainsttheAGENCYunlesssuchclaimsarespecificallyreservedinwritingandtransmittedtotheAGENCYbytheCONSULTANTpriortoitsacceptance.SaidFinalPaymentshallnot,however,heabartoanyclaimsthattheAGENCYmayhaveagainsttheCONSULTANTortoanyremediestheAGENCYmaypursuewithrespecttosuchclaims.Thepaymentofanybillingwillnotconstituteagreementastotheappropriatenessofanyitemandatthetimeoffinalauditallrequiredadjustmentswillbemadeandreflectedinafinalpayment.IntheeventthatsuchfinalauditrevealsanoverpaymenttotheCONSULTANT,theCONSULTANTwillrefundsuchoverpaymenttotheAGENCYwithinthirty(30)calendardaysofnoticeoftheoverpayment.SuchrefundshallnotconstituteawaiverbytheCONSULTANTforanyclaimsrelatingtothevalidityofafindingbytheAGENCYofoverpayment.PerWSDOT’s“AuditGuideforConsultants,,,Chapter23“ResolutionProcedures,,,theCONSULTANThastwenty(20)workingdaysafterreceiptofthefinalPostAudittobegintheappealprocesstotheAGENCYforauditfindings.F.InspectionofCostRecords:TheCONSULTANTandtheirsub-consultantsshallkeepavailableforinspectionbyrepresentativesoftheAGENCYandtheUnitedStates,foraperiodofsix(6)yearsafterreceiptoffinalpayment,thecostrecordsandaccountspertainingtothisAGREEMENTandallitemsrelatedtoorbearingupontheserecordswiththefollowingexception:ifanylitigation,claimorauditarisingoutof,inconnectionwith,orrelatedtothisAGREEMENTisinitiatedbeforetheexpirationofthesix(6)yearperiod,thecostrecordsandaccountsshallberetaineduntilsuchlitigation,claim,orauditinvolvingtherecordsiscompleted.AninterimorpostauditmaybeperformedonthisAGREEMENT.Theaudit,ifany,willbeperformedbytheStateAuditor,WSDOT’sInternalAuditOfficeandbrattherequestoftheAGENCY’sProjectManager.AgreementNumber:LocalAgencyA&EProfessionalServicesNegotiatedHourlyRateConsultantAgreementPage5of14Pvid1flIfl/2fl14 VI.Sub-ContractingTheAGENCYpermitssubcontractsforthoseitemsofSERVICESasshowninExhibit“A,,attachedheretoandbythisreferencemadepartofthisAGREEMENT.TheCONSULTANTshallnotsubcontractfortheperformanceofanySERVICEunderthisAGREEMENTwithoutpriorwrittenpermissionoftheAGENCY.Nopermissionforsubcontractingshallcreate,betweentheAGENCYandsub-consultant,anycontractoranyotherrelationship.Compensationforthissub-consultantSERVICESshallbebasedonthecostfactorsshownonExhibit“E,,attachedheretoandbythisreferencemadepartofthisAGREEMENT.TheSERVICESofthesub-consultantshallnotexceeditsmaximumamountpayableidentifiedineachsub-consultantcostestimateunlessapriorwrittenapprovalhasbeenissuedbytheAGENCY.Allreimbursabledirectlabor,indirectcostrate,directnon-salarycostsandfixedfeecostsforthesub-consultantshallbenegotiatedandsubstantiatedinaccordancewithsectionVI“PaymentProvisions,,hereinandshallbememorializedinafinalwrittenacknowledgementbetweentheparties.AllsubcontractsshallcontainallapplicableprovisionsofthisAGREEMENT,andtheCONSULTANTshallrequireeachsub-consultantorsubcontractor,ofanytier,toabidebythetermsandconditionsofthisAGREEMENT.Withrespecttosub-consultantpayment,theCONSULTANTshallcomplywithallapplicablesectionsoftheSTATE’sPromptPaymentlawsassetforthinRCW39.04.250andRCW39.76.011.TheCONSULTANT,sub-recipient,orsub-consultantshallnotdiscriminateonthebasisofrace,color,nationalorigin,orsexintheperformanceofthisAGREEMENT.TheCONSULTANTshallcarryoutapplicablerequirementsof49CFRPart26intheawardandadministrationofDOT-assistedcontracts.FailurebytheCONSULTANTtocarryouttheserequirementsisamaterialbreachofthisAGREEMENT,whichmayresultintheterminationofthisAGREEMENTorsuchotherremedyastherecipientdeemsappropriate.VII.EmploymentandOrganizationalConflictofInterestTheCONSULTANTwarrantsthattheyhavenotemployedorretainedanycompanyorperson.otherthanabonafideemployeeworkingsolelyfortheCONSULTANT,tosolicitorsecurethiscontract,andthatithasnotpaidoragreedtopayanycompanyorperson,otherthanabonafideemployeeworkingsolelyfortheCONSULTANT,anyfee,commission,percentage,brokeragefee,gift,oranyotherconsideration,contingentuponorresultingfromtheawardormakingofthiscontract.Forbreachorviolationofthiswarrant,theAGENCYshallhavetherighttoannulthisAGREEMENTwithoutliabilityor,initsdiscretion,todeductfromthisAGREEMENTpriceorconsiderationorotherwiserecoverthefullamountofsuchfee,commission,percentage,brokeragefee,gift,orcontingentfee.AnyandallemployeesoftheCONSULTANTorotherpersonswhileengagedintheperformanceofanyworkorservicesrequiredoftheCONSULTANTunderthisAGREEMENT,shallbeconsideredemployeesoftheCONSULTANTonlyandnotoftheAGENCY,andanyandallclaimsthatmayariseunderanyWorkmen’sCompensationActonbehalfofsaidemployeesorotherpersonswhilesoengaged,andanyandallclaimsmadebyathirdpartyasaconsequenceofanyactoromissiononthepartoftheCONSULTANT’semployeesorotherpersonswhilesoengagedonanyoftheworkorservicesprovidedtoberenderedherein,shallbethesoleobligationandresponsibilityoftheCONSULTANT.TheCONSULTANTshallnotengage,onafull-orpart-timebasis,orotherbasis,duringtheperiodofthisAGREEMENT,anyprofessionalortechnicalpersonnelwhoare,orhavebeen,atanytimeduringtheperiodofthisAGREEMENT,intheemployoftheUnitedStatesDepartmentofTransportationortheAGENCY,exceptregularlyretiredemployees,withoutwrittenconsentofthepublicemployerofsuchpersonifhe/shewillbeworkingonthisAGREEMENTfortheCONSULTANT.AgreementNumber:LocalAgencyA&EProfessionalServicesNegotiatedHourlyRateConsultantAgreementPage6of14Ppvirnd1fl/flI7fl14 ExhibitIAllegedConsultantDesignErrorProceduresThepurposeofthisexhibitistoestablishaproceduretodetermineifaconsultant’sallegeddesignerrorisofanaturethatexceedstheacceptedstandardofcare.Inaddition,itwillestablishauniformmethodfortheresolutionandlorcostrecoveryproceduresinthoseinstanceswheretheagencybelievesithassufferedsomematerialdamageduetotheallegederrorbytheconsultant.Step1PotentialConsultantDesignError(s)isIdentifiedbyAgency’sProjectManagerAtthefirstindicationofpotentialconsultantdesignerror(s),thefirststepintheprocessisfortheAgency’sprojectmanagertonotifytheDirectorofPublicWorksorAgencyEngineerregardingthepotentialdesignerror(s).Forfederallyfundedprojects,theRegionLocalProgramsEngineershouldbeinformedandinvolvedintheseprocedures.(Note:TheDirectorofPublicWorksorAgencyEngineermayappointanagencystaffpersonotherthantheprojectmanager,whohasnotbeenasdirectlyinvolvedintheproject,toberesponsiblefortheremainingstepsintheseprocedures.)Step2ProjectManagerDocumentstheAllegedConsultantDesignError(s)Afterdiscussionoftheallegeddesignerror(s)andthemagnitudeoftheallegederror(s),andwiththeDirectorofPublicWorksorAgencyEngineer’sconcurrence,theprojectmanagerobtainsmoredetaileddocumentationthanisnormallyrequiredontheproject.Examplesinclude:alldecisionsanddescriptionsofwork;photographs,recordsoflabor,materialsandequipment.Step3ContacttheConsultantRegardingtheAllegedDesignError(s)Ifitisdeterminedthatthereisaneedtoproceedfurther,thenextstepintheprocessisfortheprojectmanagertocontacttheconsultantregardingtheallegeddesignerror(s)andthemagnitudeoftheallegederror(s).Theprojectmanagerandotherappropriateagencystaffshouldrepresenttheagencyandtheconsultantshouldberepresentedbytheirprojectmangerandanypersonnel(includingsub-consultants)deemedappropriatefortheallegeddesignerror(s)issue.Step4AttempttoResolveAllegedDesignErrorwithConsultantAfterthemeeting(s)withtheconsultanthavebeencompletedregardingtheconsultant’sallegeddesignerror(s),therearethreepossiblescenarios:•Itisdeterminedviamutualagreementthatthereisnotaconsultantdesignerror(s).Ifthisisthecase,thentheprocesswillnotproceedbeyondthispoint.•Itisdeterminedviamutualagreementthataconsultantdesignerror(s)occurred.Ifthisisthecase,thentheDirectorofPublicWorksorAgencyEngineer,ortheirrepresentatives,negotiateasettlementwiththeconsultant.Thesettlementwouldbepaidtotheagencyortheamountwouldbereducedfromtheconsultant’sagreementwiththeagencyfortheservicesontheprojectinwhichthedesignerrortookplace.TheagencyistoprovideLPthroughtheRegionLocalProgramsEngineer,asummaryofthesettlementforreviewandtomakeadjustments,ifany,astohowthesettlementaffectsfederalreimbursements.Nofurtheractionisrequired.•Thereisnotamutualagreementregardingtheallegedconsultantdesignerror(s).Theconsultantmayrequestthattheallegeddesignerror(s)issuebeforwardedtotheDirectorofPublicWorksorAgencyEngineerforreview.IftheDirectorofPublicWorksorAgencyEngineer,afterreviewwiththeirlegalcounsel,isnotabletoreachmutualagreementwiththeconsultant,proceedtoStep5.AgreementNumber:WSDOTForm140-089EFExhibitIPage1of2Ppvi’prI1fl/1lflI14
