RECOMMENDED ACTION: Refer to Utilities Committee DEPARTMENT: Utility Systems Division STAFF CONTACT: Dave Christensen, Wastewater Engineering Manager EXT.: 7212 FISCAL IMPACT: Expenditure Required: $ 119,168 Transfer Amendment: $ N/A Amount Budgeted: $ 150,000 Revenue Generated: $ N/A Total Project Budget: $ 275,000 City Share Total Project: $ N/A SUMMARY OF ACTION: The Wastewater Utility needs to upgrade its Closed-Circuit Television (CCTV) Inspection Program Improvements Project from Granite XP to Granite Net in order to allow the utility to implement additional phases in the program. This includes integration with our new computerized maintenance management systems software Cityworks, full integration with the City’s GIS, and implementation of a condition rating system for the facilities we CCTV. The engineering consultant agreement with Carollo Engineers, Inc. for the CCTV Inspection Program Improvements Project in the amount of $119,168 will be funded through the approved 2016 Wastewater Capital Improvement Program Wastewater Operations Master Plan account (426.465416). The project budget for this work is $150,000, with a total budget for this account of $275,000. Carollo Engineers, Inc. was selected from the approved 2016 Architecture and Engineering Roster on the Municipal Research and Services Center site. EXHIBITS: A. Issue Paper B. ISSUE: Should the Mayor and City Clerk enter into an engineering consultant agreement for the Closed-Circuit Television (CCTV) Inspection Program Improvements Project with Carollo Engineers, Inc. in the amount of $119,168? RECOMMENDATION: Authorize the Mayor and City Clerk to enter into an engineering consultant agreement for the Closed-circuit Television (CCTV) Inspection Program Improvements Project with Carollo Engineers, Inc. in the amount of $119,168. BACKGROUND SUMMARY: In 2012-13 the Wastewater Utility upgraded its CCTV equipment to a new hybrid truck and new CCTV equipment from Cues, Inc. The software to run the new CCTV Equipment is Granite XP. Carollo Engineers, Inc. assisted the City in that initial implementation phase in order to allow the Wastewater Utility to utilize its GIS for the tracking of our CCTV inspections. At this time, the Wastewater Utility needs to upgrade its software from Granite XP to Granite Net, integrate the program with our new computerized maintenance management systems software Cityworks and develop a condition rating system for our inspection of existing facilities. The combination of these efforts will allow us to better track the work performed by the CCTV for reporting purposes and to better identify and prioritize needed capital improvements for our rehabilitation program. We currently use employee knowledge to set up our rehabilitation program. By adding a rating system we will be able to better quantify the need and prioritize where we spend our funds to ensure we are replacing or rehabilitating our facilities most effectively. CONCLUSION: The Wastewater Utility needs to update the software for its CCTV program and integrate the CCTV element with our new Cityworks software system to allow for better tracking of our system. We also need to develop a condition rating system for our infrastructure to allow us to better identify and prioritize needed improvements in our system. In order for the Wastewater Utility to efficiently implement these improvements we need to enter into an engineering consultant agreement with Carollo Engineering, Inc. in the amount of $119,168. cc: IvOWNERSHIPOFPRODUCTSANDDOCUMENTSTOBEFURNISHEDBYTHECONSULTANTDocuments,exhibitsorotherpresentationsfortheworkcoveredbythisAgreementshallbefurnishedbytheConsultanttotheCityuponcompletionofthevariousphasesofthework.Allsuchmaterial,includingworkingdocuments,notes,maps,drawings,photo,photographicnegatives,etc.usedintheproject,shallbecomeandremainthepropertyoftheCityandmaybeusedbyitwithoutrestriction.AnyuseofsuchdocumentsbytheCitynotdirectlyrelatedtotheprojectpursuanttowhichthedocumentswerepreparedbytheConsultantshallbewithoutanyliabilitywhatsoevertotheConsultant.Allwrittendocumentsandproductsshallbeprintedonrecycledpaperwhenpracticable.Useofthechasing-arrowsymbolidentifyingtherecycledcontentofthepapershallbeusedwheneverpracticable.Alldocumentswillbeprintedonbothsidesoftherecycledpaper,asfeasible.VTIMEOFBEGINNINGANDCOMPLETIONTheworkdetailedintheScopeofWorkwillbeperformedaccordingtoExhibitB,TimeScheduleofCompletion,attachedheretoandincorporatedhereinasthoughfullysetforth.ItisagreedthatalltheConsultant’sservicesaretobecompletedandallproductsshallbedeliveredbytheConsultantunlesstherearedelaysduetofactorsthatarebeyondthecontroloftheConsultant.AllworkunderthiscontracttobecompletedbyDecember31,2017.TheConsultantshallnotbeginworkunderthetermsofthisAgreementuntilauthorizedinwritingbytheCity.If,afterreceivingNoticetoProceed,theConsultantisdelayedintheperformanceofitsservicesbyfactorsthatarebeyonditscontrol,theConsultantshallnotifytheCityofthedelayandshallpreparearevisedestimateofthetimeandcostneededtocompletetheProjectandsubmittherevisiontotheCityforitsapproval.Timeschedulesaresubjecttomutualagreementforanyrevisionunlessspecificallydescribedasotherwiseherein.Delaysattributabletoorcausedbyoneofthepartiesheretoamountingto30daysormoreaffectingthecompletionoftheworkmaybeconsideredacauseforrenegotiationorterminationofthisAgreementbytheotherparty.VIPAYMENTTheConsultantshallbepaidbytheCityforcompletedworkforservicesrenderedunderthisAgreementasprovidedhereinafterasspecifiedinExhibitC,CostEstimate.Suchpaymentshallbefullcompensationforworkperformedorservicesrenderedandforalllabor,materials,supplies,equipment,andincidentalsnecessarytocompletethework.AllbillingsforcompensationforworkperformedunderthisAgreementwilllistactualtime(daysand/orhours)anddatesduringwhichtheworkwasperformedandthecompensationshallbefiguredusingtheratesinExhibitC.Paymentforthisworkshallnotexceed$119,168withoutawrittenamendmenttothiscontract,agreedtoandsignedbybothparties.PaymentforextraworkperformedunderthisAgreementshallbepaidasagreedtobythepartiesheretoinwritingatthetimeextraworkisauthorized.(SectionVIII“EXTRAWORK”).Ashortnarrativeprogressreportshallaccompanyeachvoucherforprogresspayment.Thereportshallincludediscussionofanyproblemsandpotentialcausesfordelay.Toprovideameansofverifyingtheinvoicedsalarycostsforconsultantemployees,theCitymayconductemployeeinterviews.pw//Carollo/Documents/ClienliWNRenton/_ProposalslRentonCCTV-EngineeringConsultantAgreementdoePage3oftOAGENDA AcceptanceofsuchfinalpaymentbytheConsultantshallconstituteareleaseofallclaimsofanynature,relatedtothisAgreement,whichtheConsultantmayhaveagainsttheCityunlesssuchclaimsarespecificallyreservedinwritingandtransmittedtotheCitybytheConsultantpriortoitsacceptance.Saidfinalpaymentshallnot,however,beabartoanyclaimsthattheCitymayhaveagainsttheConsultantortoanyremediestheCitymaypursuewithrespecttosuchclaims.TheConsultantanditssubconsultantsshallkeepavailableforinspection,bytheCity,foraperiodofthreeyearsafterfinalpayment,thecostrecordsandaccountspertainingtothisAgreementandallitemsrelatedto,orbearingupon,theserecords.Ifanylitigation,claimorauditisstartedbeforetheexpirationofthethree-yearretentionperiod,therecordsshallberetaineduntilalllitigation,claimsorauditfindingsinvolvingtherecordshavebeenresolved.Thethree-yearretentionperiodstartswhentheConsultantreceivesfinalpayment.VIICHANGESINWORKTheConsultantshallmakeallsuchrevisionsandchangesinthecompletedworkofthisAgreementasarenecessarytocorrecterrorsappearingtherein,whenrequiredtodosobytheCity,withoutadditionalcompensation.ShouldtheCityfinditdesirableforitsownpurposestohavepreviouslysatisfactorilycompletedworkorpartsthereofrevised,theConsultantshallmakesuchrevisions,ifrequestedandasdirectedbytheCityinwriting.ThisworkshallbeconsideredasExtraWorkandwillbepaidforasprovidedinSectionVIII.VIIIEXTRAWORKTheCitymaydesiretohavetheConsultantperformworkorrenderservicesinconnectionwiththeProjectinadditiontoorotherthanworkprovidedforbytheexpressedintentoftheScopeofWork.SuchworkwillbeconsideredasExtraWorkandwillbespecifiedinawrittensupplementwhichwillsetforththenatureandscopethereof.WorkunderasupplementshallnotproceeduntilauthorizedinwritingbytheCity.AnydisputeastowhetherworkisExtraWorkorworkalreadycoveredunderthisAgreementshallberesolvedbeforetheworkisundertaken.PerformanceoftheworkbytheConsultantpriortoresolutionofanysuchdisputeshallwaiveanyclaimbytheConsultantforcompensationasExtraWork.IXEMPLOYMENTTheConsultantwarrantsthatithasnotemployedorretainedanycompanyorperson,otherthanabonafideemployeeworkingsolelyfortheConsultant,tosolicitorsecurethiscontractandthathehasnotpaidoragreedtopayanycompanyorperson,otherthanabonafideemployeeworkingsolelyfortheConsultant,anyfee,commission,percentage,brokeragefee,giftsoranyotherconsideration,contingentuponorresultingfromtheawardormakingofthiscontract.Forbreachorviolationofthiswarranty,theCityshallhavetherighttoannulthisAgreementwithoutliability,orinitsdiscretiontodeductfromtheAgreementpriceorconsiderationorotherwiserecover,thefullamountofsuchfee,commission,percentage,brokeragefee,giftorcontingentfee.AnyandallemployeesoftheConsultant,whileengagedintheperformanceofanyworkorservicesrequiredbytheConsultantunderthisAgreement,shallbeconsideredemployeesoftheConsultantonlyandnotoftheCityandanyandallclaimsthatmayormightariseundertheWorkman’sCompensationActonbehalfolsaidemployees,whilesoengagedandanyandallclaimsmadebyathirdpartyasaconsequenceofanynegligentactoromissiononthepartoftheConsultant’semployees,whilesoengagedonanyoftheworkorservicesprovidedtoberenderedherein,shallbethesoleobligationandresponsibilityoftheConsultant.pw/ICaroUo/Documenls’ClcenbWNRentonl_Proposals/RentonCCTV-EngineenngConsultantAgreementdocPage4of10AGENDA TheConsultantshallnotengage,onafullorpart-timebasis,orotherbasis,duringtheperiodofthecontract,anyprofessionalortechnicalpersonnelwhoare,orhavebeenatanytimeduringtheperiodofthiscontract,intheemployoftheCityexceptregularlyretiredemployees,withoutwrittenconsentoftheCity.IfduringthetimeperiodofthisAgreement,theConsultantfindsitnecessarytoincreaseitsprofessional,technical,orclericalstaffasaresultofthiswork,theConsultantwillactivelysolicitminoritiesthroughtheiradvertisementandinterviewprocess.xNONDISCRIMINATIONTheConsultantagreesnottodiscriminateagainstanyclient,employeeorapplicantforemploymentorforservicesbecauseofrace,creed,color,nationalorigin,maritalstatus,sexualorientation,sex,ageorhandicapexceptforabonafideoccupationalqualificationwithregardto,butnotlimitedtothefollowing:employmentupgrading;demotionortransfer;recruitmentoranyrecruitmentadvertising;layoffortermination’s;ratesofpayorotherformsofcompensation;selectionfortraining;renditionofservices.TheConsultantunderstandsandagreesthatifitviolatesthisNon-Discriminationprovision,thisAgreementmaybeterminatedbytheCityandfurtherthattheConsultantshallbebarredfromperforminganyservicesfortheCitynoworinthefuture,unlessashowingismadesatisfactorytotheCitythatdiscriminatorypracticeshaveterminatedandthatrecurrenceofsuchactionisunlikely.XITERMINATIONOFAGREEMENTA.TheCityreservestherighttoterminatethisAgreementatanytimeuponnotlessthanten(10)dayswrittennoticetotheConsultant,subjecttotheCity’sobligationtopayConsultantinaccordancewithsubparagraphsCandDbelow.B.Intheeventofthedeathofamember,partnerorofficeroftheConsultant,oranyofitssupervisorypersonnelassignedtotheproject,thesurvivingmembersoftheConsultantherebyagreetocompletetheworkunderthetermsofthisAgreement,ifrequestedtodosobytheCity.ThissectionshallnotbeabartorenegotiationsofthisAgreementbetweensurvivingmembersoftheConsultantandtheCity,iftheCitysochooses.Intheeventofthedeathofanyofthepartieslistedinthepreviousparagraph,shouldthesurvivingmembersoftheConsultant,withtheCity’sconcurrence,desiretoterminatethisAgreement,paymentshallbemadeassetforthinSubsectionCofthissection.C.IntheeventthisAgreementisterminatedbytheCityotherthanforfaultonthepartoftheConsultant,afinalpaymentshallbemadetotheConsultantforactualcostfortheworkcompleteatthetimeofterminationoftheAgreement,plusthefollowingdescribedportionofthenetfee.TheportionofthenetfeeforwhichtheConsultantshallbepaidshallbethesameratiotothetotalnetfeeastheworkcompleteistothetotalworkrequiredbytheAgreement.Inaddition,theConsultantshallbepaidonthesamebasisasaboveforanyauthorizedextraworkcompleted.Nopaymentshallbemadeforanyworkcompletedafterten(10)daysfollowingreceiptbytheConsultantoftheNoticetoTerminate.IftheaccumulatedpaymentmadetotheConsultantpriortoNoticeofTerminationexceedsthetotalamountthatwouldbedueassetforthhereinabove,thennofinalpaymentshallbedueandtheConsultantshallimmediatelyreimbursetheCityforanyexcesspaid.D.IntheeventtheservicesoftheConsultantareterminatedbytheCityforfaultonthepartoftheConsultant,theabovestatedformulaforpaymentshallnotapply.InsuchaneventtheamounttobepaidshallbedeterminedbytheCitywithconsiderationgiventotheactualcostsincurredbytheConsultantinperformingtheworktothedateoftermination,theamountofworkoriginallyrequiredpwffCarollolOocuments/CtienuWNRentonl.ProposalslRentonCCIV-EngineeringConsuLtantAgreementdocPage5of10AGENDA
