EMERGING ISSUES in UTILITIES AB - 1864 City Council Regular Meeting - 06 Mar 2017 SUBJECT/TITLE: Agreement for the Falcon Ridge Lift Station Replacement and Force Main Improvements Project with RH2 Engineering, Inc. RECOMMENDED ACTION: Refer to Utilities Committee DEPARTMENT: Utility Systems Division STAFF CONTACT: Dave Christensen, Wastewater Engineering Manager EXT.: 7212 FISCAL IMPACT SUMMARY: Funding for this contract in the amount of $134,880 is available from the approved 2017-2018 Wastewater Capital Improvement Program Falcon Ridge Lift Station Project budget (426.465480). The total project budget in 2017 is $1,050,000, of which $200,000 is estimated for the total engineering costs and the remainder for construction costs. SUMMARY OF ACTION: The Falcon Ridge Lift Station has reached its useful life and is in need of replacement. The station was originally constructed in the early 1980s as part of the original Falcon Ridge development. In addition to replacing the lift station, we will also update the existing force main for this station to provide increased ability for City crews to better maintain the facility. RH2 Engineering will provide design engineering services for the replacement of the existing lift station and update to the force main. The engineering services will include site analysis, verifying pumping capacity, designing the components of the lift station, electrical design, surveying, geotechnical reporting and services during bidding. Construction services will be added in an addendum once design is complete and we know what the construction requirements will be. RH2 Engineering, Inc. was selected from the approved MSRC Architecture and Engineering Consultant Roster to perform this work. EXHIBITS: A. Agreement STAFF RECOMMENDATION: Execute the engineering consultant agreement for the Falcon Ridge Lift Station Replacement and Force Main Improvements Project with RH2 Engineering, Inc. in the amount of $134,880 for design engineering services and services during construction. AGENDA ITEM #1. a) Iø1tr1AgreementforFalconRidgeLiftStationReplacementandForceMainImprovementsCAG-17-THISAGREEMENT,datedJanuary12,2017,isbyandbetweentheCityofRenton(the“City”),aWashingtonmunicipalcorporation,andRH2Engineering,Inc.,(“Consultant”),aWashingtoncorporation.TheCityandtheConsultantarereferredtocollectivelyinthisAgreementasthe“Parties.”OncefullyexecutedbytheParties,thisAgreementiseffectiveasofthelastdatesignedbybothparties.1.ScopeofWork:Consultantagreestoprovidedesignservicesforthereplacementoftheexistingagingliftstation,asspecifiedinExhibitA,ScopeofWork,whichisattachedandincorporatedhereinandmayhereinafterbereferredtoasthe“Work.”2.ChangesinScopeofWork:TheCity,withoutinvalidatingthisAgreement,mayorderchangestotheWorkconsistingofadditions,deletionsormodifications.AnysuchchangestotheWorkshallbeorderedbytheCityinwritingandtheCompensationshallbeequitablyadjustedconsistentwiththeratessetforthinExhibitC,CostandFeeEstimateorasotherwisemutuallyagreedbytheParties.3.TimeofPerformance:ConsultantshallcommenceperformanceoftheAgreementpursuanttotheschedule(s)setforthinExhibitB,Schedule.AllWorkshallbeperformedbynolaterthanMarch31,2018.4.Compensation:A.Amount.TotalcompensationtoConsultantforWorkprovidedpursuanttothisAgreementshallnotexceed$134,880,plusanyapplicablestateandlocalsalestaxes.CompensationshallbepaidbaseduponWorkactuallyperformedaccordingtotherate(s)oramountsspecifiedinExhibitC,CostandFeeEstimate.TheConsultantagreesthatanyhourlyorflatratechargedbyitforitsWorkshallremainlockedatthenegotiatedrate(s)unlessotherwiseagreedtoinwritingorprovidedinExhibitC,CostandFeeEstimate.Exceptasspecificallyprovidedherein,theConsultantshallbesolelyresponsibleforpaymentofanytaxesimposedasaresultoftheperformanceandpaymentofthisAgreement.B.MethodofPayment.OnamonthlyornolessthanquarterlybasisduringanyquarterinwhichWorkisperformed,theConsultantshallsubmitavoucherorPagelof9AGENDA invoiceinaformspecifiedbytheCity,includingadescriptionofwhatWorkhasbeenperformed,thenameofthepersonnelperformingsuchWork,andanyhourlylaborchargerateforsuchpersonnel.TheConsultantshallalsosubmitafinalbilluponcompletionofallWork.PaymentshallbemadebytheCityforWorkperformedwithinthirty(30)calendardaysafterreceiptandapprovalbytheappropriateCityrepresentativeofthevoucherorinvoice.IftheConsultant’sperformancedoesnotmeettherequirementsofthisAgreement,theConsultantwillcorrectormodifyitsperformancetocomplywiththeAgreement.TheCitymaywithholdpaymentforworkthatdoesnotmeettherequirementsofthisAgreement.C.EffectofPayment.PaymentforanypartoftheWorkshallnotconstituteawaiverbytheCityofanyremediesitmayhaveagainsttheConsultantforfailureoftheConsultanttoperformtheWorkorforanybreachofthisAgreementbytheConsultant.D.Non-AppropriationofFunds.IfsufficientfundsarenotappropriatedorallocatedforpaymentunderthisAgreementforanyfuturefiscalperiod,theCityshallnotbeobligatedtomakepaymentsforWorkoramountsincurredaftertheendofthecurrentfiscalperiod,andthisAgreementwillterminateuponthecompletionofallremainingWorkforwhichfundsareallocated.NopenaltyorexpenseshallaccruetotheCityintheeventthisprovisionapplies.5.Termination:A.TheCityreservestherighttoterminatethisAgreementatanytime,withorwithoutcausebygivingten(10)calendardays’noticetotheConsultantinwriting.Intheeventofsuchterminationorsuspension,allfinishedorunfinisheddocuments,data,studies,worksheets,modelsandreports,orothermaterialpreparedbytheConsultantpursuanttothisAgreementshallbesubmittedtotheCity,ifanyarerequiredaspartoftheWork.B.IntheeventthisAgreementisterminatedbytheCity,theConsultantshallbeentitledtopaymentforallhoursworkedtotheeffectivedateoftermination,lessallpaymentspreviouslymade.IftheAgreementisterminatedbytheCityafterpartialperformanceofWorkforwhichtheagreedcompensationisafixedfee,theCityshallpaytheConsultantanequitableshareofthefixedfee.ThisprovisionshallnotpreventtheCityfromseekinganylegalremediesitmayhavefortheviolationornonperformanceofanyoftheprovisionsofthisAgreementandsuchchargesduetotheCityshallbedeductedfromthefinalpaymentduetheConsultant.NopaymentshallbemadebytheCityforanyexpensesincurredorworkdonefollowingtheeffectivedateofterminationunlessauthorizedinadvanceinwritingbytheCity.6.WarrantiesAndRightToUseWorkProduct:ConsultantrepresentsandwarrantsthatConsultantwillperformallWorkidentifiedinthisAgreementinaprofessionalandworkmanlikemannerandinaccordancewithallreasonableandprofessionalstandardsPage2of9AGENDA andlaws.Compliancewithprofessionalstandardsincludes,asapplicable,performingtheWorkincompliancewithapplicableCitystandardsorguidelines(e.g.designcriteriaandStandardPlansforRoad,BrideandMunicipalConstruction).Professionalengineersshallcertifyengineeringplans,specifications,plats,andreports,asapplicable,pursuanttoRCW18.43.070.ConsultantfurtherrepresentsandwarrantsthatallfinalworkproductcreatedforanddeliveredtotheCitypursuanttothisAgreementshallbetheoriginalworkoftheConsultantandfreefromanyintellectualpropertyencumbrancewhichwouldrestricttheCityfromusingtheworkproduct.ConsultantgrantstotheCityanon-exclusive,perpetualrightandlicensetouse,reproduce,distribute,adapt,modify,anddisplayallfinalworkproductproducedpursuanttothisAgreement.TheCity’sorother’sadaptation,modificationoruseofthefinalworkproductsotherthanforthepurposesofthisAgreementshallbewithoutliabilitytotheConsultant.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.7.RecordMaintenance:TheConsultantshallmaintainaccountsandrecords,whichproperlyreflectalldirectandindirectcostsexpendedandWorkprovidedintheperformanceofthisAgreementandretainsuchrecordsforaslongasmayberequiredbyapplicableWashingtonStaterecordsretentionlaws,butinanyeventnolessthansixyearsaftertheterminationofthisAgreement.TheConsultantagreestoprovideaccesstoandcopiesofanyrecordsrelatedtothisAgreementasrequiredbytheCitytoauditexpendituresandchargesand/ortocomplywiththeWashingtonStatePublicRecordsAct(Chapter42.56RCW).TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.8.PublicRecordsCompliance:TothefullextenttheCitydeterminesnecessarytocomplywiththeWashingtonStatePublicRecordsAct,ConsultantshallmakeaduediligentsearchofallrecordsinitspossessionorcontrolrelatingtothisAgreementandtheWork,including,butnotlimitedto,e-mail,correspondence,notes,savedtelephonemessages,recordings,photos,ordrawingsandprovidethemtotheCityforproduction.IntheeventConsultantbelievessaidrecordsneedtobeprotectedfromdisclosure,itmay,atConsultant’sownexpense,seekjudicialprotection.Consultantshallindemnify,defend,andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaimorlitigationrelatedtoaPublicRecordsActrequestforwhichConsultanthasresponsiverecordsandforwhichConsultanthaswithheldrecordsorinformationcontainedtherein,ornotprovidedthemtotheCityinatimelymanner.ConsultantshallproducefordistributionanyandallrecordsresponsivetothePublicRecordsActrequestinatimelymanner,unlessthoserecordsareprotectedbycourtorder.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.9.IndependentContractorRelationship:A.TheConsultantisretainedbytheCityonlyforthepurposesandtotheextentsetforthinthisAgreement.ThenatureoftherelationshipbetweentheConsultantandtheCityduringtheperiodoftheWorkshallbethatofanindependentcontractor,Page3of9AGENDA notemployee.TheConsultant,nottheCity,shallhavethepowertocontrolanddirectthedetails,mannerormeansofWork.Specifically,butnotbymeansoflimitation,theConsultantshallhavenoobligationtoworkanyparticularhoursorparticularschedule,unlessotherwiseindicatedintheScopeofWorkorwhereschedulingofattendanceorperformanceismutuallyarrangedduetothenatureoftheWork.ConsultantshallretaintherighttodesignatethemeansofperformingtheWorkcoveredbythisagreement,andtheConsultantshallbeentitledtoemployotherworkersatsuchcompensationandsuchotherconditionsasitmaydeemproper,provided,however,thatanycontractsomadebytheConsultantistobepaidbyitalone,andthatemployingsuchworkers,itisactingindividuallyandnotasanagentfortheCity.B.TheCityshallnotberesponsibleforwithholdingorotherwisedeductingfederalincometaxorSocialSecurityorcontributingtotheStateIndustrialInsuranceProgram,orotherwiseassumingthedutiesofanemployerwithrespecttoConsultantoranyemployeeoftheConsultant.C.IftheConsultantisasoleproprietorshiporifthisAgreementiswithanindividual,theConsultantagreestonotifytheCityandcompleteanyrequiredformiftheConsultantretiredunderaStateofWashingtonretirementsystemandagreestoindemnifyanylossestheCitymaysustainthroughtheConsultant’sfailuretodoso.10.HoldHarmless:TheConsultantagreestorelease,indemnify,defend,andholdharmlesstheCity,electedofficials,employees,officers,representatives,andvolunteersfromanyandallclaims,demands,actions,suits,causesofaction,arbitrations,mediations,proceedings,judgments,awards,injuries,damages,liabilities,taxes,losses,fines,fees,penalties,expenses,attorney’sorattorneys’fees,costs,and/orlitigationexpensestoorbyanyandallpersonsorentities,arisingfrom,resultingfrom,orrelatedtothenegligentacts,errorsoromissionsoftheConsultantinitsperformanceofthisAgreementorabreachofthisAgreementbyConsultant,exceptforthatportionoftheclaimscausedbytheCity’ssolenegligence.ShouldacourtofcompetentjurisdictiondeterminethatthisagreementissubjecttoRCW4.24.115,(Validityofagreementtoindemnifyagainstliabilityfornegligencerelativetoconstruction,alteration,improvement,etc.,ofstructureorimprovementattachedtorealestate...)then,intheeventofliabilityfordamagesarisingoutofbodilyinjurytopersonsordamagestopropertycausedbyorresultingfromtheconcurrentnegligenceoftheConsultantandtheCity,itsofficers,officials,employeesandvolunteers,Consultant’sliabilityshallbeonlytotheextentofConsultant’snegligence.ItisfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedinthisAgreementconstituteConsultant’swaiverofimmunityundertheIndustrialInsuranceAct,RCWTitle51,solelyforthepurposesofthisindemnification.ThePartieshavemutuallynegotiatedandagreedtothiswaiver.TheprovisionsofthissectionshallsurvivetheexpirationorterminationofthisAgreement.Page4of9AGENDA 11.GiftsandConflicts:TheCity’sCodeofEthicsandWashingtonStatelawprohibitCityemployeesfromsoliciting,accepting,orreceivinganygift,gratuityorfavorfromanyperson,firmorcorporationinvolvedinacontractortransaction.ToensurecompliancewiththeCity’sCodeofEthicsandstatelaw,theConsultantshallnotgiveagiftofanykindtoCityemployeesorofficials.ConsultantalsoconfirmsthatConsultantdoesnothaveabusinessinterestoraclosefamilyrelationshipwithanyCityofficeroremployeewhowas,is,orwillbeinvolvedinselectingtheConsultant,negotiatingoradministeringthisAgreement,orevaluatingtheConsultant’sperformanceoftheWork.12.CityofRentonBusinessLicense:TheConsultantshallobtainaCityofRentonBusinessLicensepriortoperforminganyWorkandmaintainthebusinesslicenseingoodstandingthroughoutthetermofthisagreementwiththeCity.Informationregardingacquiringacitybusinesslicensecanbefoundat:http://rentonwa.gov/business/default.aspx?id=548&mid=328.InformationregardingStatebusinesslicensingrequirementscanbefoundat:http://dor.wa.gov/content/doirigbusiness/registermybusiness/13.Insurance:Consultantshallsecureandmaintain:A.Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000foreachoccurrence/$2,000,000aggregatefortheTermofthisAgreement.B.IntheeventthatWorkdeliveredpursuanttothisAgreementeitherdirectlyorindirectlyinvolveorrequireProfessionalServices,ProfessionalLiability,ErrorsandOmissionscoverageshallbeprovidedwithminimumlimitsof$1,000,000peroccurrence.“ProfessionalServices”,forthepurposeofthissection,shallmeananyWorkprovidedbyalicensedprofessionalorWorkthatrequiresaprofessionalstandardofcare.C.Workers’compensationcoverage,asrequiredbytheIndustrialInsurancelawsoftheStateofWashington,shallalsobesecured.0.CommercialAutomobileLiabilityforowned,leased,hiredornon-owned,leased,hiredornon-owned,withminimumlimitsof$1,000,000peroccurrencecombinedsinglelimit,iftherewillbeanyuseofConsultant’svehiclesontheCity’sPremisesbyoronbehalfoftheCity,beyondnormalcommutes.E.ConsultantshallnametheCityasanAdditionalInsuredonitscommercialgeneralliabilitypolicyonanon-contributoryprimarybasis.TheCity’sinsurancepoliciesshallnotbeasourceforpaymentofanyConsultantliability,norshallthemaintenanceofanyinsurancerequiredbythisAgreementbeconstruedtolimittheliabilityofConsultanttothecoverageprovidedbysuchinsuranceorotherwiselimittheCity’srecoursetoanyremedyavailableatlaworinequity.F.SubjecttotheCity’sreviewandacceptance,acertificateofinsuranceshowingtheproperendorsements,shallbedeliveredtotheCitybeforeperformingtheWork.Page5of9AGENDA The total project budget in 2017 for the two projects is $1,650,000, of which $400,000 is estimated for the engineering costs and the remainder for construction costs. SUMMARY OF ACTION: All of the City’s sewer lift stations have been replaced within the last 25 years with the exception of Falcon Ridge, which is scheduled to be replaced in 2017-2018. The remaining stations, while in good running condition overall, need a variety of smaller improvements to both the stations and force mains. This work will be done in phases. This consultant contract covers predesign activities for the first nine stations (aka Group 1) that will be rehabilitated. The types of improvements include replacement of outdated telemetry, recoating wet wells, replacement of pumps and motor controls, and the rehabilitation of force mains.
