This Parking Covenant is made on this 21.0day of i4per'1, 2005, by Sprint
Communications Company, a Delaware limited partnership (the "Owner")
RECITALS:
A. Owner owns that certain building located at 1415 Maple Avenue South, in
the City of Renton, County of King, Washington (the "Building") which
sits on the tract of real property described on Exhibit A attached hereto
(the "Property").
B. Owner purchased the building and all parking and outside areas from
WAPO Investments, L.L.C., a Washington limited liability company
("WAPO"), including "all other rights, warranties, privileges and
appurtenances owned by [WAPO] and in any way related to the Property .
. . ." On July 30, 2004, the Owner recorded a Statutory Warranty Deed
evidencing the conveyance of the Property and recorded in the real
property records of King County, Washington.
C. WAPO submitted to the City of Renton (the "City") a site plan (the "Site
Plan") for the construction of technical space and supporting office space
(the "Project") within the Building and, in connection with the Site Plan,
WAPO requested a modification from Section 4-4-080F10 of the City's
parking regulations in order to provide sixteen (16) parking stalls, less
than the minimum of on-site parking spaces required by code, but more
than sufficient for WAPO's employee count at full employment. The City
agreed to approve the requested parking modification and WAPO
executed and recorded a Parking Covenant, attached and incorporated
herein as Exhibit B, as a covenant running with the land.

AGREEMENT
NOW,THEREFORE, in consideration of the covenants contained herein, and for
other good and valuable consideration, Owner and the City hereby agree as follows:
1. The provisions of the Parking Covenant between WAPO and the City shall be
binding upon the City and the Owner, as WAPO's successor-in-interest to the
Property.
2. Upon application for any change in use, property improvements, building
permit, or business license for a new occupancy for the subject property, a
parking analysis must be submitted for the City's review and approval for
compliance with code and planning regulations in force at the time of the
application.
3. Future changes of use that expand present uses or employee counts may not
be allowed unless it can be demonstrated that the on-site parking is sufficient.
4. The covenants set forth herein constitute covenants running with the land,
shall be binding upon the Property, and shall be binding upon Owner and its
assigns.
5. The provision of this Parking Covenant shall continue in full force and affect
in perpetuity from the date hereof, unless terminated with the express consent
of the City as set forth in an executed and acknowledged instrument recorded
in the real property records of King County, Washington.
IN WITNESS WHEREOF, Owner and the City have executed this Parking
Covenant as of the date first written above.
