CONSULTANT AGREEMENT
THIS AGREEMENT is made as of the 9;0, day of-e—...U.,-�96i, between the
CITY OF RENTON, a municipal corporation of the State of Washington, hereinafter
referred to as "CITY"and ENTRIX, INC., hereinafter referred to as "CONSULTANT",
to conduct background research and a historical survey for buildings within the
downtown core, and prepare a report summarizing findings for use by City of Renton
Staff and City Council.
The CITY and CONSULTANT agree as set forth below:
1. Scope of Services. The Consultant will provide all labor necessary to perform all
work, which is included in the attached letter to Jennifer Toth Henning, dated
November 1, 2001 (Exhibit A).
2. Changes in Scope of Services. The City, without invalidating the Consultant
Agreement, may order changes in the services consisting of additions, deletions or
modifications, and adjust the fee accordingly. Such changes in the work shall be
authorized by written agreement signed by the City and Consultant. If the project
scope requires less time, a lower fee will be charged. If additional work is
required, the consultant will not proceed without a written change order from the
City.
3. Time of Performance. The Consultant shall complete performance of the
Consultant Agreement for the items under Consultant's control in accordance
with Exhibit A, by January 31, 2002. If items not under the Consultant's control
impact the time of performance,the Consultant will notify the City.
4. Term of Consultant Agreement. The term of this Agreement shall end at
completion of the scope of work identified in Exhibit A. This Agreement may be
extended to accomplish change orders, if required, upon mutual written
agreement of the City and the Consultant.
5. Consultant Agreement Sum. The total amount of this Agreement is not to
exceed the sum of$15,000. Washington State Sales Tax is not required. The
Cost Estimate provided by Entrix, Inc. to the City specifies staff assigned to the
project, hourly rates, estimated hours, and total cost. The cost estimate is based
upon the following assumptions:
a. Attendance by designated City of Renton representatives from
Economic Development/Neighborhoods/Strategic Planning
Department and Development Services Division
b. Preparation of Assessor's Base Maps by City staff showing parcels,
Assessor's Parcel Numbers, and street addresses.
6. Method of Payment. Payment by the City for services rendered will be made
after the service has been performed and a voucher or invoice is submitted in the
form specified by the City. Payment will be made within thirty(30) days after
receipt of such voucher or invoice. The City shall have the right to withhold
payment to the Consultant for any work not completed in a satisfactory manner
until such time as the Consultant modifies such work so that the same is
satisfactory.
7. Record Maintenance and Work Product. The Consultant shall maintain
accounts and records,which properly reflect all direct and indirect costs expended
and services provided in the performance of this Agreement. The Consultant
agrees to provide access to any records required by the City. All originals and
copies of work product, exclusive of Consultant's proprietary items protected by
copyright such as computer programs, methodology, methods, materials, and
forms, shall belong to the City, including records, files, computer disks, magnetic
media or material which may be produced by Consultant while performing the
services. Consultant will grant the City the right to use and copy Entrix, Inc.
copyright materials as an inseparable part of the work product provided.
8. Assignment Agreement. The Consultant shall not assign any portion of this
consultant Agreement without express written consent of the City of Renton.
9. Hold Harmless. The Consultant shall indemnify, defend and hold harmless the
City, its officers, agents, employees and volunteers, from and against any and all
claims, losses or liability, or any portion thereof, including attorneys fees and
costs, arising from injury or death to persons, including injuries, sickness, disease
or death of Consultant's own employees, or damage to property caused by a
negligent act or omission of the Consultant, except for those acts caused by or
resulting from a negligent act or omission by the City and its officers, agents,
employees and volunteers.
10. Insurance. The Consultant shall secure and maintain commercial liability
insurance in the amount of$1,000,000 in full force throughout the duration of this
Consultant Agreement. A certificate of insurance shall be delivered to the City
before executing the work of this agreement. The certificate shall name the City
as an additional insured. Please note: The cancellation language should read
"Should any of the above described policies be cancelled before the expiration
date thereof,the issuing company will mail 45 days written notice to

11. Independent Contractor. Any and all employees of the Consultant, while
engaged in the performance of any work or services required by the Consultant
under this agreement, shall be considered employees of the Consultant only and
not of the City. The Consultant's relation to the City shall be at all times as an
independent contractor. Any and all claims that may or might arise under the
Workman's Compensation Act on behalf of said employees,while so engaged,
and any and all claims made by a third party as a consequence of any negligent
act or omission on the part of the Consultant's employees, while so engaged on
any of the work or services provided to be rendered herein, shall be the sole
obligation and responsibility of the Consultant.
12. Compliance with Laws. The Consultant and all of the Consultant's employees
shall perform the services in accordance with all applicable federal, state, county
and city laws, codes and ordinances.
This agreement is entered into as of the day and year written above.

ENTRIX proposes to assist the City of Renton in identifying historic resources of
potential local, state, or national significance that are located within the Renton
downtown core as illustrated on the map provided to us as part of the SOQ package. The
project will include conducting background research, a historical survey, and a preparing
a report summarizing our findings. The report will also include recommendations
regarding methods the City of Renton could use to identify historic resources and
mitigate for impacts to resources as required by the Washington State Environmental
Policy Act (SEPA). Below is a summary of our proposed methodology for completing
each task.
TASK 1 Background Research
ENTIRX will complete background research to identify previously surveyed resources
within the study area and relevant historical maps. We will gather information regarding
previously surveyed historical resources at the Washington Office of Archaeology and
Historic Preservation, King County Historic Preservation Division, and the Renton
Historical Society. The research will not include a review of determination of eligibility
forms at the Washington Office of Archaeology and Historic Preservation. Survey forms
of previously inventoried resources will be copied for inclusion in the appendix of our
report. The report will also include a list of previously studied resources that are local
landmarks or are listed in the state or national registers.
To assist in the identification resources ENTRIX will use readily available historical
maps from the Renton Historical Society. Historical maps may include Sanborn Fire
Insurance maps and other historical maps that show the foot print of buildings.

TASK 2 Historical Survey
Within urban areas that have undergone generations of change and updating, historical
buildings are frequently modified. Buildings that have been markedly altered are not
eligible for listing as local landmarks or for inclusion in the state or national registers of
historic places. The purpose of the historical survey would be to identify buildings
within the study area that have retained their historical characteristics.
Using maps prepared by the City of Renton that show the tax parcel numbers of
properties over 50 years old, ENTRIX will conduct a windshield survey of the study area.
Our survey would focus on the identification of resources that have undergone few
exterior alterations and may potentially be eligible for local, state, or national historical
significance. The results of the survey will provide the City of Renton with a list of
buildings that are largely unaltered and are over 50 years old. Further separate research
will be necessary to determine if the identified buildings hold historical significance and
warrant environmental review should future development projects impact the properties.
TASK 3 Report
ENTRIX will prepare a report providing a brief discussion of pertinent historic
preservation regulations, a description of the research and survey methods, a summary of
historic and potentially resources identified, and recommendations regarding the
treatment of historic resources for compliance review according to SEPA. The report
will be a limited study that does not provide a detailed historical context for Renton or a
historical background for individual buildings. The recommendations section of the
report will outline an environmental review process for buildings included on the list of
historic and potentially historic resources that may undergo impacts due to a proposed
project. ENTRIX will provide a summary of mitigation measures to address impacts to
historic buildings.
ENTRIX proposes that we can complete the proposed work for a not to exceed cost of$
15,000.00. I have attached a budget listing our staff's hourly rates and the projected cost
of each of the tasks. It is our understanding that the project will be completed by January
31, 2002. We have received a verbal notice to proceed; however this scope and cost
estimate should be attached to our written contract.
