' THE CITY COUNCIL OF THE CITY OF RENTON, WASHINGTON DO HEREBY RESOLVE AS FOLLOinIS : l. That the City Clerk and the Mayor of the City of Renton, Washington, be and they are hereby authorized and directed to execute, on behalf of the City of Renton, an Agreement between the State of Washington, Economic Assistance Authority and the City of Renton for aid in financing the cost of public facilities consisting of a certain sanitary se�er trunk line pro�cl.ing service to industrial sites in the North Kennydale area, together with lift station and facilities incidental thereto. 2 . A copy of said Agreement is attached hereto labeled Exhibit °A" and incorporated herein as if fully set forth. The Owner must evidencec�hof 1971reChaptern109�f , the State Environmental Pol�cy P Laws of 1971, lst Ex. Sess. , have been complied with. Article 4. Owner Shall Continuously Pdaintain Protection of Project Work and Property at Owner�'s Risk The Owner shall continuously maintain adequate protection o� all the project work from damage and shall protect the property from injury or loss arising in connection with this Contract. The entire work of the Owner shall be at the sole risk of the Owner. The Owner may, at his option , elect to secure fire, extended �overage and vandalism insurance or all-risk insurance to cover the project work during the course of construction. Tne Owner shall take all neces- sary precautions for the safety of em�loyees on the project work, and shall comply with all apolicable provisions of federal, state and municipal safety laws and building codes to prevent accidents or injuries to persons on, �nout, or , adjacent to the premises where the work is being performed. Article 5. Access to Work The Authority and its representatives shall at all times have access to the work caherever it is in preparation or progress and the Owner shall provide facilities for sach access so that the Authority may perform its functions under tne Con- tract Documents. Article 6. Changes in the Work The Owner, without invalidatir.c the Contract , may order extra work or make changes by altering, adding to, or deducting from the work, so long as said alteratio�s or changes are of a minor nature and are not ir.consistent with the purposes of the project work. :io extra work or cnange snall be made that wiil invo�lve any further financial obligation or co::rtitment on behalf of the authority unles$ in pursuance of express written agreement to that effect by the Authority. �11 such work shall be executed under the conditions of this original Contract. Article 7. Delays and Extension of Time If the Owner is delayed at any time in the progress of the • work by any act or neglect of his c�hera�e=,°or tay�changes • ployee of either the contractor or �' � . c . I • � • � . . • 4 t . 3. ordered in the work, or by strikes , lockouts, fire, unusual delay in transportation, unavoidable casualties, or by de- lay authorized by the Authority, or by ar_y cause which the Authority shall decide jus�izies the delay, then the time of completion shall be extended fo= such reasonable time as the Authority may decide. No such extension shall be made for delay occurrinq more than seven days before claim therefor is made in writing �o the Authority. In the case of a continuing cause of delay, onl� one claim is necessary. Article 8. Authority's Right to Terminate Contract If the Owner should persistently disregard laws, ordinances , or the instructions of the Au�hority, or otherwise be guilty of. a substantial violation of any provision of this Contract, then the Authority, upon the dete�ination of a majority of its members that sufficient cause exists to justify such action, may, without prejudice to an� other right or rzr�edy and after giving the Owner seven days written notice, ter- minate this Agreement and cause the appropriate te r,nination of all pa�-ments under this Agreement by cvhatever metY�od the Authority may deem expedient. In such case , the Ocaner shall not be entitled to receive any further payment under this Contract. Article 9. Payments Payments to the Owner under this Agreement shall be subject to the terr.is 'and conditions as described in the Special Con- ditons. Article 10. Payments Withheld The Authority may withhold or, on account of subsequently discovered evidence, nullify t:�e whole or a part of any periodic payment to such extenc as may be necessary in its opinion to protect tne Authority and the State from loss or damage including, but not linited to : (a) Defective wotk not remedied; (b)� �A reasonable doubt that the Contract can be con�- pleted for the balance then unpaid. . Hold Harmless Clause The Owner shall protect, indemnify, and save the Authority harmless from and against any damage, cost, or liability for injury or death to persons or to dar�age or destruction of property, arising from the acts of the Owner, his em- ployees, contractors, or subcontractors in the performance of the project work whether by contract or otherwise. Article 12. Nondiscrimination The Owner will not discriminate against any employee or applicant for employment because of. race, creed, color, � national origin, sex, or age. The Owner will insure that applicants are employed, and that employees are treated during employment, without reaard to tneir race , creed, color, sex or age. Su�h action shall include , but not be lim.ited to, the following: employrnent, upgrading, demotion 4 or transfer. Article 13. Contingencies - The duty of the Authority to approve disbursemet of funds pursuant to this �'�gree!��ent is coiitinaent upon strict co:n- plianee by the OcJner cvith the terris of the Agreement. The duty of the State of :lasninq�on to dis�urse funds is contincent upon the funds �eing available in the appropriaze accounts of � the state general fund. Article 14 . Project Performance � � The Owner shall execute and complete the approved project in accordance with the tine schedule set forth in tne project ap- plication. Unless a different schedule appears in the ap- plication or in tnis Agreer.ent , the Owner' s performance shal2 commence not later �than ninty (90) days after tne final ap- proval date of this Agreement. Unless othercvise aareed in writing, the Otvner' s performance shall be completed in ac- cordance with all tne terms and conditions of this Agreement. Article 15. Project Administration . > (a) The Owner shall promptly submit such progress reports as the Authority may request. , � ,. . • • . . . / 5. . • (b) Property arad facilities acquired or develo�ed pursuant to this Agreement shall be available for inspection by the Authority or its author- ized representative upon reasonable requeste (c) The Owner shall submit a final reoort when the project is completed or whenever project assist- ance is terminated. The report sha11 include a final accou:�ting of all e�penditures and a description of the work accomplished. If the project is not completed, the rebort snall con- tain an estimate of the percentage of completion, and shall contain a final accountir.g surr�arizing all expenditures not previously reported and shall include an overall summary for the entire project. � Article 16 . Project Termination All obligations of the Authority under this Agreement may be suspended or canceled at the option of the Authority if any of the following occur : (a) The Owner has failed to make satisfactory pro- � gress to complete the Droject, or will be un- able to complete the pro�ect, or any portion of it. . (b) The contracting party has made misrepresentations - in its application or in any other inforriation furnished to the Authority in connectioa �aith this project, which misrepresentations would have provided a basis unon which the app3ica- tion would have otherwise been rejected. Article 17. Restrictions on Conversion of Facility To Other Uses The Owner shall not at any time convert any property or facility acquired or develo�ed pur$uant to this Agreer�en� to uses other tnan those for cvnic:� state assistance was originally approved without the prior written approval of the Authority. Article 18. No Waiver by Authority , The Owner agrees that failure by the Authority to insist upon the strict performance of any provision of this projec� Agreement • i � ' I ` � �• b � . . Article 19 . Identifying Markers The Authority reserves the right to display, during the period covered by this Aareement and after project completion, appropriate signs or marxers identifying the roles of the state and federal agencies participating financially in this project. Article 20 . Notices All notices, demands, requests , consents , approvals , and other 'ch mav be or are reauired to be given by communications whi _ either party to the other under this Agreemen� shall be in writing and shall be deemed to nave been sufficiently given for all purposes when delivered or mailed by first class postage or certified mail, postage prepaid, addressed as follows : (a) Notice to the State: TO: �conomic Assistance Author.ity � c/o Department or Commerce & Economic Development General Administration Building I Olympia, Washington 98504 or at such address as the Authority shall have furnished to the contracting party in writing. Accounting Project cost accounting will be accomplished within pre- scribed standards as approved by the Office of the State Auditor and ��erial and recorcis evidencing such accounting sha1.1 be held available for audit by the State Auditor, Division of Municipal Corporations.
