GENERAL MAINTENANCE AGREEMENT
For MAINTENANCE of SR 515 LANDSCAPE STRIPS & STORMWATER FACILITIES
Constructed as part of the 1-405/1-5 to SR 169 Stage 2 -Widening
and SR 515 Interchange Project
Between SR 515 MILEPOST 6.68 and MILEPOST 6.95
This AGREEMENT is made and entered into by the CITY OF RENTON, a municipal
corporation, hereinafter the "CITY," and the WASHINGTON STATE DEPARTMENT OF
TRANSPORTATION, hereinafter the "STATE," collectively referred to as the "Parties" and
individually referred to as "Party."
WHEREAS, the STATE, in the interest of providing congestion relief for the 1-405 Corridor,
constructed improvements along 1-405 within the CITY through a project known as the 1-405/1-5
to SR 169 Stage 2 —Widening and SR 515 Interchange Project, hereinafter the "Project;" and
WHEREAS, the CITY requested that the STATE include landscape strips along both sides of
SR 515 located within state-owned limited access right of way; and
WHEREAS, the STATE entered into an agreement with the CITY, GCA 5721 "Cooperative
Agreement for Design and Construction of the 1-405/1-5 to SR 169 Stage 2 Widening and SR
515 Interchange Project," executed October 1, 2008, and Section 4.4.7 thereof provided for the
CITY's maintenance of the landscape strips on SR 515 located within state-owned limited
access right of way; and
WHEREAS, the STATE constructed the requested landscape strips as an element of the
Project; and
WHEREAS, the STATE constructed stormwater facilities on and adjacent to SR 515 as part of
the Project; and
WHEREAS, the Parties desire to identify each Party's respective responsibilities for the
maintenance of the features provided in this Agreement and identified in the exhibits,
NOW, THEREFORE, pursuant to Revised Code of Washington (RCW) 47.28.140, the above
recitals that are incorporated herein as if fully set forth below, and in consideration of the terms,
conditions, covenants, and performances contained herein, including Exhibits A, B, C, and D,
which are attached and made a part hereof,
IT IS MUTUALLY AGREED AS FOLLOWS:

1.0 GENERAL
1.1 The CITY agrees to accept the maintenance responsibilities and requirements
identified in Sections 2.1, 3.0, 5.0, and 6.0, at CITY expense, for the lawn, street
trees, and irrigation system installed by the Project within state-owned limited
access right of way and designated as "Irrigated Lawn," hereafter "Landscape
Strips," in Exhibit A.
1.2 The CITY agrees to accept the maintenance responsibilities and requirements
identified in Section 2.2, at CITY expense, for stormwater conveyance systems
(Systems).
1.3 The CITY is not required to notify the STATE in order to conduct routine
maintenance activities so long as highway lane closures are not necessary.
1.4 The CITY will notify the STATE in writing when lane closures are necessary for
maintenance activities and will provide specific dates and times for those
closures. Prior to performing maintenance work, the CITY shall prepare a traffic
control plan in accordance with the Manual on Uniform Traffic Control Devices
(MUTCD) and submit it to the STATE Area 4 Maintenance Superintendent, as
listed in Section 1.5, fourteen (14) calendar days prior to the CITY's maintenance
work. The STATE will provide a timely review and approve and if necessary
modify, at its discretion, the CITY's traffic control plan.
1.5 Designated representatives.

2.0 CITY MAINTENANCE RESPONSIBILITIES
2.1 LANDSCAPE STRIPS
2.1.1 At the end of the 1-year plant establishment period, as provided in the
Project's contract, the CITY assumed landscape maintenance
responsibilities for the lawn within the Landscape Strips.
2.1.2 At the end of the 3-year plant establishment period, as provided in the
Project's contract, the CITY assumed landscape maintenance
responsibilities for the street trees within the Landscape Strips, and the
maintenance and operation of the irrigation system for the Landscape
Strips.
2.1.3 All landscaping maintenance work shall be performed under the
supervision of, or at the direction of, qualified CITY staff with experience
in the CITY's approved maintenance practices.

2.1.4 The Landscape Strips located within state-owned limited access right of
way are the responsibility of the CITY and shall be maintained in a clean,
neat, and safe condition.
2.1.5 All pruning and mowing shall be performed, at a minimum, per STATE
policy as described in Chapter 6, Roadside Management, of the STATE
Maintenance Manual (M 51-01), current edition, as amended, located at
http://www.wsdot.wa.gov/Publications/Manuals/M51-01.htm.
2.1.6 Application of pesticides and herbicides within STATE right of way shall
be performed by, or under, the direct supervision of CITY officers,
officials, employees, and/or agents who possess a current Public
Operator or Commercial Pesticide Operator license, as required by law.
Washington State Department of Agriculture Pesticide Application
Records shall be kept by the CITY for each application in accordance with
chapter 17.21 RCW and be made available for review by the STATE
within five (5) calendar days of its request.
2.2 STORMWATER CONVEYANCE SYSTEMS
2.2.1 The CITY shall maintain the Systems that are located outside of the
limited access right of way, as constructed by the Project and identified as
"Conveyance System (By City)" on Exhibit B, Maintenance
Responsibilities, and in Exhibit C, Stormwater Facility List.
2.2.2 The CITY agrees to maintain the Systems described in Section 2.2.1
according to CITY standards. The Systems shall be maintained to
preserve their original efficiency and preserve adequate flow.
2.2.3 At the end of the one-year general warranty period as provided in the
Project's contract, the CITY assumed maintenance responsibilities for the
Systems.
2.2.4 Stormwater discharge onto state-owned property from the stormwater
conveyance system structure DR08-33 will require a no fee modified
utility permit (Exhibit D) issued by the STATE to the CITY. The CITY
agrees to make application to the STATE for a no fee modified utility
permit as shown in Exhibit D.
3.0 IRRIGATION SYSTEM
3.1 As part of the Project, an irrigation system was installed by the STATE through
its design-build contractor (Design-Builder) within state-owned limited access
right of way for the purpose of irrigating the Landscape Strips.
3.2 The irrigation system was connected to water and electric services supplied by
the CITY.
3.2.1 All costs for the water and electric services, including but not limited to
connection and usage costs, shall be paid by the CITY.

3.2.2 The CITY shall be responsible for obtaining any and all electrical service
utility agreements with the electric service provider necessary for the
electrical service connection.
3.2.3 The STATE, through its Design-Builder, coordinated with the CITY on the
timing of the installation and necessary location of the water and electrical
services.
3.2.4 The water service will require a utility permit or franchise issued by the
STATE to the CITY if it is located within state-owned limited access right
of way. The CITY agrees to make application to the STATE for a utility
permit or franchise.
3.3 The STATE, through its Design-Builder, supplied labor and materials, including
the electrical service cabinet, to connect the irrigation system to the water and
electrical services supplied by the CITY as described in Section 3.2. The CITY
has accepted ownership of and shall maintain the electrical service cabinet.
3.4 The CITY supplied the water meter as part of the installation of the water service.
3.5 During and following the CITY assuming landscape maintenance responsibilities,
as outlined in Sections 2.1.1 and 2.1.2, the CITY shall be responsible for paying
for the water, electricity, and any required maintenance associated with the
irrigation system for watering the Landscape Strips.
3.6 The CITY shall be responsible for operation and maintenance of the irrigation
system and appurtenances at its sole expense.
3.6.1 The CITY shall perform normal and regular operation and maintenance of
the irrigation system, including, but not limited to, winterization, spring
start-up, annual backflow testing, programming of irrigation clocks,
flushing and testing the irrigation systems, replacement of damaged or
broken irrigation system components: heads, pipes, wires, and valves as
needed for complete operation.
3.6.2 The CITY shall inspect and test backflow devices (double-check valves),
prepare test reports, and obtain annual approval from the serving utility or
CITY representative in accordance with WAC 246-290-490, Cross-
Connection Control, and other applicable regulations as required by the
Washington State Department Health.
3.6.3 WAC 246-290-490 requires tests to be performed, completed, and
recorded by a licensed Backflow Assembly Device Tester or a Certified
Water Works Operator with a CCS1 or CCS2 Classification. Test reports
shall document that each device is in good working order prior to spring
start-up, flushing, and testing of the irrigation system.
3.6.4 Test results shall be recorded and kept on file with the CITY. These
records shall be provided to STATE upon request and shall be
maintained for a period of five (5) years in accordance with WAC 246-
GM 1513 General Maintenance Agreement for SR 515 Page 4 of 9
290-490. The provisions contained within this Section shall survive the
termination of this Agreement.
4.0 STATE MAINTENANCE RESPONSIBILITIES
4.1 The STATE agrees to accept the maintenance responsibilities, at STATE
expense, for the stormwater facilities and their associated conveyance systems,
as constructed by the Project and identified as "Stormwater Facilities (By State)"
or "Conveyance System (By State)" on Exhibit B, Maintenance Responsibilities,
and in Exhibit C, Stormwater Facility List.
4.2 Maintenance of the facilities described in Section 4.1 shall be in accordance with
STATE policy as described in the STATE Maintenance Manual (M 51-01)
Chapter 4, Drainage, current edition; as amended and the STATE Highway
Runoff Manual (M 31-16) Chapter 5, Section 5-5, Operation and Maintenance,
current edition, as amended.
5.0 EMERGENCY MAINTENANCE AND OPERATION
5.1 Should the STATE determine those areas of CITY maintenance responsibility on
Exhibits A and B within state-owned limited access right of way present an
immediate danger to the traveling public or the construction, operation, and
maintenance of SR 515 and/or 1-405, the STATE will notify the CITY, if time
permits, and request that the CITY immediately address the maintenance
problem.
5.2 In the event that CITY forces are not available to perform emergency
maintenance or operation upon the STATE's notice to the CITY's designated
contact identified in Section 1.4.2, or if the STATE determines that immediate
action is necessary, the STATE reserves the right to perform the emergency
maintenance or operation, at CITY expense.
5.3 Actual direct and related indirect costs associated with emergency maintenance
performed by the STATE, pursuant to Sections 5.1 and 5.2, shall be billed to the
CITY. The CITY shall reimburse the STATE for said costs within thirty (30)
calendar days after receipt of a detailed invoice.
6.0 IMPROVEMENTS
6.1 Any improvements made by the CITY within the state-owned limited access right
of way, including changing the features of the Landscape Strips and/or irrigation
system, are subject to review and approval by the STATE prior to installation.
The design of said improvements shall be in accordance with the guidance in the
STATE Design Manual(M 22-01), current edition, as amended.
6.2 In the event that widening or other highway improvements are contemplated by
the STATE that will impact areas covered by this Agreement, the STATE will
review the impacts of the widening or improvement with the CITY.

7.0 RIGHT OF ENTRY
7.1 The STATE hereby grants to the CITY and its authorized agents, contractors,
subcontractors, and employees, a right of entry upon the STATE's right of way,
subject to the terms of Section 7.2, for the purpose of maintenance and
operation, as required by this Agreement.
7.2 The granting of this right of entry to the CITY pursuant to Section 7.1 does not
relieve the CITY from the need to obtain any required permits that may be
necessary to perform maintenance, operation or work as required in this
Agreement.
7.3 The CITY hereby grants to the STATE a right of entry upon the CITY's right of
way for the purpose of maintenance, as required by this Agreement.
8.0 INDEPENDENT CONTACTOR
8.1 The CITY shall be deemed an independent contractor for all purposes, and the
employees of the CITY or any of its contractors, subcontractors, consultants, and
the employees thereof, shall not in any manner be deemed to be employees of
the STATE.
9.0 INDEMNIFICATION AND HOLD HARMLESS
9.1 To the extent authorized by law, each Party to this Agreement shall protect,
defend, indemnify, and hold harmless the other Party, its officers, officials,
employees, and agents, while acting within the scope of their employment as
such, from any and all costs, claims, judgments, and/or awards of damages (both
to persons and/or property), arising out of, or in any way resulting from, each
Party's negligent acts or omissions with respect to its actions under the
provisions of this Agreement. No Party will be required to indemnify, defend, or
hold harmless the other Party if the claim, suit, or action for injuries, death, or
damages (both to persons and/or property) is caused by the sole negligence of
the other Party, its officers, officials, employees, and agents, while acting within
the scope of their employment as such. Where such claims, suits, or actions
result from the concurrent negligence of the Parties, or involves those actions
covered by RCW 4.24.115, the indemnity provisions provided herein shall be
valid and enforceable only to the extent of each Party's or its offices', officials',
employee', and agents' own negligent acts or omissions.
9.2 The CITY agrees that its obligations under this Section extend to any claim,
demand, and/or cause of action brought by, or on behalf of, any CITY employees
or agents while performing Landscape Strips, Stormwater Conveyance, and
Irrigation System operation and maintenance identified on Exhibits A, B and C,
as appropriate. For this purpose, the CITY, by mutual negotiation, hereby
waives, with respect to the STATE only, any immunity that would otherwise be
available against such claims under the Industrial Insurance provisions of chapter
51.12 RCW.
9.3 This indemnification and waiver shall survive the termination of this Agreement.

10.0 SEVERABILITY
10.1 If any section, term, or provision of this Agreement, or any section, term, or
provision of any document incorporated by reference, shall be held invalid, such
invalidity shall not affect the other sections, terms, or provisions of this
Agreement that can be given effect without the invalid section, term, or provision,
if such remainder conforms to the requirements of applicable law and the
fundamental purpose of this Agreement, and to this end the provisions of this
Agreement are declared to be severable.
11.0 AMENDMENT
11.1 Either Party may request modifications to this Agreement.
11.2 No variation or alteration of the terms of this Agreement shall be valid unless
made in writing and signed by authorized representatives of the Parties hereto.
12.0 ALL WRITINGS CONTAINED HEREIN
12.1 This Agreement contains all the terms and conditions agreed upon by the Parties
to this Agreement. No other understanding, oral or otherwise, regarding the
subject matter of this Agreement shall be deemed to exist or to bind either of the
Parties hereto.
13.0 GOVERNANCE
13.1 This Agreement is entered into pursuant to, and under the authority granted by,
the laws of the State of Washington and applicable federal laws.
13.2 The provisions of this Agreement shall be construed to conform to these laws.
14.0 EFFECTIVENESS AND DURATION
14.1 The term of this Agreement shall begin on the last date entered below and
continue to be in full force and effect until such time either Party provides written
notice of termination to the other Party pursuant to Section 16.
15.0 DISPUTES
15.1 In the event that a dispute arises under the provisions of this Agreement, the
CITY and the STATE agree to work quickly and collaboratively to determine a
resolution using the following guidelines at the lowest organizational level.
15.2 The process to informally resolve the issue shall proceed in the following order:
15.2.1 The CITY's Community Services Administrator and the STATE's
Northwest Region Area 4 Maintenance Superintendent shall jointly
cooperate to resolve any dispute as quickly and efficiently as possible.
15.3 If unresolved, either Party may terminate this Agreement pursuant to Section 16,
TERMINATION.

16.0 TERMINATION
16.1 Either Party may terminate this Agreement for any reason with sixty (60)
calendar days prior written notice, only if mutually agreed to in writing and signed
by persons authorized to bind each of the Parties.
16.2 Upon termination, the CITY shall have no further responsibility of any kind or
nature regarding the Landscape Strips within state-owned limited access right of
way at the locations shown in Exhibit A.
16.3 Upon termination of this Agreement, the STATE will terminate the utility permit or
franchise described in Section 3.2.4. Termination of the utility permit or franchise
will require the CITY to disconnect the water, remove the water connection,
remove the water pipe from state-owned limited access right of way, and cap the
irrigation pipes.
16.4 Upon termination, those features within state-owned limited access right of way
identified as CITY maintenance responsibilities shall revert to STATE
responsibility and may be maintained as determined solely by the STATE.
16.4.1 The electrical service associated with the irrigation system shall be
disconnected.
16.4.2 The STATE shall have no further obligation to maintain the Landscape
Strips or irrigation system.
16.4.3 The STATE, in its sole discretion, may remove all plantings within the
Landscape Strips.
17.0 VENUE
17.1 In the event that either Party deems it necessary to institute legal action or
proceedings to enforce any right or obligation under this Agreement, the Parties
hereto agree that any such action or proceedings shall be brought in the superior
court situated in Thurston County, Washington. The Parties shall be responsible
for their own attorney and witness fees and costs.

Stormwater Discharge General Provisions
This Permit is issued pursuant to the terms of RCW 47.32, RCW 47.44, and WAC 468-34, and amendments thereto.
2. The Utility agrees that it shall be responsible for and pay the Department's expended direct and
indirect costs associated with applicable provisions of the Permit.
(a) The Department will assign a reimbursable account to the Utility as a means of invoicing the
Utility for the costs associated with this Permit.
(b) The Department will invoice the Utility and the Utility agrees to pay the Department within thirty
(30) calendar days of the invoice date.
3. Upon approval of this Permit, the Utility shall comply with all Stormwater Discharge General and
Special provisions herein. "Work" under this Permit shall mean operation and maintenance of the
Utility's facilities as authorized herein.
11. The Utility shall provide proof of insurance coverage prior to performing any Work within state-owned
highway right of way, as follows:
(a) Commercial General Liability covering the risks of bodily injury (including death), property
damage, and personal injury, including coverage for contractual liability, with a limit of not less
than $3 million per occurrence and in the aggregate;
(b) Business Automobile Liability (owned, hired, or non-owned) covering the risks of bodily injury
(including death) and property damage, including coverage for contractual liability, with a limit
of not less than $2 million per accident; and
(c) Employers Liability covering the risks of Utility's employees' bodily injury by accident or
disease, with limits of not less than $1 million per accident for bodily injury by accident and $1
million per employee for bodily injury by disease.
Such insurance policies or related certificates of insurance shall name the Washington State
Department of Transportation as an additional insured on all general liability, automobile liability,
employers' liability, and excess policies. A forty-five (45) calendar day written notice shall be given to
the Department prior to termination of or any material change to the policy(ies) as such relate(s) to
this Permit.
12. If the Utility is a city or county, it shall provide verification of insurance coverage at a minimum in the
amounts and types identified in Section 11 to the Department by submitting proof of its coverage
through a Risk Pool or verification that the city or county is self-insured, to comply with the Section 11
insurance terms and conditions of this Permit. If allowable under its coverage, the city or county shall
name the Washington State Department of Transportation as an additional insured for the coverage
required by this section.
14. This Permit may not be amended or modified without the Department's prior review and written
approval.
16. The Utility agrees to maintain, at its sole expense, its facilities authorized by this Permit in a
satisfactory condition.
19. If the Utility Work performed under this Permit alters, modifies, changes, or interferes in any way with
the drainage of the state-owned highway right of way, the Utility shall, at its own expense, make all
corrections and/or provisions the Department requires to fix and restore the state-owned right of way
drainage to its original condition and function prior to the Utility's Work. Any flows from the Utility shall
not exceed the flows discharging to WSDOT drainage, as allowed under this Permit. Any flows
discharged to state-owned highway right of way shall meet the requirements for quantity and water
quality according to the current version Highway Runoff Manual (M 31-16). Should the Utility not
make the required drainage restoration, the Department reserves the right to make such changes as
necessary to restore the original drainage function at the sole cost of the Utility, and the Utility agrees
to pay the Department's expended costs and expenses for performing the work in accordance with
Stormwater Discharge General Provision 2.

Provisions for Stormwater Discharge OCCUPANCY of state-owned right of way:
23. If the Department, at its sole discretion, shall determine that any or all of the Utility's facilities must be
modified, removed from, or relocated within the state-owned highway right of way as necessary,
incidental, or convenient for the construction, alteration, improvement, repair, relocation, or
maintenance of the state highway, or for the safety of the traveling public, the Department shall notify
the Utility in writing of its intent to modify, relocate, or remove any or all of the Utility's facilities within
or from the state-owned highway right of way.
25. If the Department determines in good faith that emergency maintenance work on the Utility's facility is
needed to (a) protect any aspect of the state highway right of way or (b) secure the safety of the
traveling public due to a failure of the Utility's facility, the Department may perform the necessary
work without the Utility's prior approval. The Department will notify the Utility of the emergency work
performed as soon as practicable.
26. The Department may amend, revoke, or cancel this Permit at any time by giving written notice to the
Utility. If the Permit is amended, the Utility will have thirty (30) calendar days to modify the facility as
the Permit amendment(s) require. If the facility modifications cannot be made within thirty (30)
calendar days, the Utility shall respond to the Department, in writing, as to when the facility
modifications can be made. If the Permit is revoked or canceled, all facilities may be removed by the
Department.
27. The Utility shall not assign or transfer this Permit without the Department's prior written approval. The
Utility understands that any assignment or transfer requires the assignee or transferee to have the
means to assume all obligations, duties, and liabilities of the terms and conditions of this Permit , and
the Utility will advise the assignee or transferee of its obligation to apply for an updated or
replacement Permit. If the Department does not approve the assignment or transfer, this Permit shall
automatically terminate, and the Utility shall be subject to the terms of RCW 47.44.060.
28. The Utility, its successors and assigns, shall indemnify, defend at its sole cost and expense, and hold
harmless the State of Washington, its officers and employees, from all claims, demands, damages
both to persons and/or property, expenses, regulatory fines, and/or suits that (1) arise out of or are
incident to any acts or omissions of the Utility, its agents, contractors, and/or employees, in the use of
the state-owned highway right of way as authorized by the terms and conditions of this Permit , or(2)
are caused by the breach of any of the terms or conditions of this Permit by the Utility, its successors
and assigns, and its contractors, agents, and/or employees. The Utility, its successors and assigns,
shall not be required to indemnify, defend, or hold harmless the State of Washington, its officers
and/or employees, if the claim, suit, or action for damages both to persons and/or property is caused
by the sole acts or omissions of the State of Washington, its officers and/or employees; provided that,
if such claims, suits, or actions result from the concurrent negligence of(a) the State of Washington,
its officers and/or employees, and (b)the Utility, its successors or assigns, agents, contractors, and/or
employees, or involves those actions covered by RCW 4.24.115, the indemnity provisions provided
herein shall be valid and enforceable only to the extent of the acts or omissions of the Utility, its
successors or assigns, agents, contractors, and/or employees.
29. The Utility agrees that its obligations under this Permit extend to any claim, demand, and/or cause of
action brought by, or on behalf of, any of its employees or agents while performing Work under this
Permit while located on state-owned highway right of way. For this purpose, the Utility, by MUTUTAL
NEGOTIATION, hereby waives, with respect to the State of Washington only, any immunity that
would otherwise be available to it against such claims under the Industrial Insurance provisions in
chapter 51.12 RCW.
30. The Insurance requirements in Stormwater Discharge General Provisions 11 and 12 shall also apply
to the Utility's occupancy of the state-owned highway right of way.

31. The indemnification and waiver provided for in Stormwater Discharge General Provisions 28 and 29
shall survive the termination of this Permit.
32. Any action for damages against the State of Washington, its agents, contractors, and/or employees,
arising out of damages to a utility or other facility located on state-owned highway right of way, shall
be subject to the provisions and limitations of RCW 47.44.150.
33. This Permit shall not be deemed or held to be an exclusive one and shall not prohibit the Department
from granting rights of like or other nature to other public or private utilities, nor shall it prevent the
Department from using any of the state-owned highway right of way or other properties for
transportation purposes, or affect the Department's right to full supervision and control over all or any
part of the state-owned highway right of way or properties, none of which is hereby surrendered.
