Upon Pu�et's rec{uest, Grantee shall pro:nptly provide Puget z�i as-built dra;��ings and sun�ey sho;ving the location and elevations of , � the Settier Line facilities on Puoet's Right of 4Vay. � � 6. Grantee's Use and Activities. Grantee shall exercise its rights under � this Aar�e,ent so as to rrunirruze and a�-oid, insofar as possible, interference p� ���ith the w� by Puoet of its Right o� 1��ay for electric utility purposes and 0 shall ai. alI times conduct its acti��ities on the Easement Area so as not to � interfere ttiith, obstruct or endanger Puget's operations or facilities. Grantee shall install the Sewer Line and conduct any other of its substantial activities on Puget's Right of jti7ay in accordance �:�ith such additional or other specific and reasona.ble requirements, conditions and specifications applicable to Puget's Riont of jttay as may be co�i_micated to Grantee by Puget for the purpose of protecting Puget's facilities, preventing hazardous conditions and minimizing interruptions to Puget's utility opera�ions> 7e Coordination of Activities. Grantee shall give at least 30 days advance written notice of e propose tes of its construction, repair and maintenance activiti.es on Puget's Right of jVay to Puget's South Central Division (presently headquartered at Renton, Clashington) , or such other division of Puget as Puget may from tin� to time desio ate. Grantee shall cooperate in the revision of such dates andjor the coordination of its activities with those of Puget's if deerried _ necessary by Puget to minimi.ze conflic�s, insure protection to each party`s facilit'ies, prevent hazardous conditions, or minimize interruption of Puget's opera.tions. Provided, ho�:eti7er, that in the event of an emergency reauiring irrunediate action by Grantee for the protection of its facilities or other persons or property, Grantee rtay take such action upon such notice to Puget as 3 is reasonable uzder the circwn�tances. 8. jtiork Standards. All i4or�: to �e performed by Grantee on Pugett s Right of jv'ay shall be designed and constructed so as to zaithstand the consec�uences of any short circuit of any of Puget's electric facilities now or herea�ter installed on the Rig�it of lt�ay. All i�ork to be p�rformed by Grantee on Puget's Right of �Va� shall also be in accordance i��i.th the plans and specifications submitted to and approved by Puget and shall be compl�i.ed in a careful and ti�rorlcrnanlike manner to Puget's satisfaction, free of clairu or liens; however, nothing herein shall be . deemed to 'u�pose a duty or obligation on Puget with respect to the sufficiency thereof. jtiithout limitation to the foregoing, Grantee shall exercise the utmost caution ttihen conducting its activities in the vicinity of any of Puget's energized po:�er lines in order to preti-ent any contact therewith. Upon completion . of such work Grantee shall remove all debris and restore the groi.md surface as nearly as possible to the conditic� in iahich it ivas at the coTrunencement of sucn i�rork, and shall replace any pro�erty corner monLunents ti�lhich were disturbed or destroyed during construction. Grantee shall also pay to Puoet all of Puget's costs necessary to re-establish destro;red survey references and hubs established by Puget in conjunction i.2th any sun-ey for ne�a facilities on Puget's Right of �Vay. 9. Chanaes and Repairs to Puget`s Facilities. . Grantee shall promptly pay , te Puget the cest of any relo�atian, alteration, restoration and other. rhanQes or repairs ta Puget's facilities �.hich Puoet shall reasonably deem necessazy by , reason of the construction, use an� n.�intenance of the Sec�er Line or other activities of Grantee on Puget's preperty. ti'i�:�out limitation to the fore�oing, Gr�ntee ' shall promptly pay to Puget the cost of temporary raisino of wires and the realio�r:;ent or strengtheninb of po�.-er poles or to��ers made necessaiy by Grantee�s acti�rities pursuant to this Agreement. If Pu�et so rec�ziests, Grantee shall pro�ride assuraiice of payment satisfactonr to Puget prior to Puoet's cor�nencenent of such �•:ork. The Grantee shall d�sign, construct, maintain and use its S��.•er Line i—`n stich fas�ion as to p�rnit reasonable and continuous access along Puget`s Rijht of �Vay in all directions, and in such fashion as to accommodate and support vehictzlar tra��el over and across the 5e��er Line, including travel b} cranes and trucks ��ith heavy loads. Grantee shall at all times keep Puget's Right of 1ti'ay free and cl�ar of all obstructions and ec{uipment. If reQu�sted by �-`uget, the Grantee shall ma�:e provisions for continued access by Puget along. Puget's Right of jti'ay during construction of the S�wer Line. � 11. Inspectors. Puget shall appoint one or several Puget representatives c•:ho shall serve as inspectors to oversee all �tiork to be performed by Grantee on Puget's Ri�t of jt�ay. Grantee shall not carry on any �Jork wiless it has gi�-en such notice to Puget as may be reasonable in the circumstances so as to � allo?�: for the presence of such inspector or inspectors. Grantee and Grantee's � contractors shall promptly and fully co�� ly iaith all orders and directions of �p PuU�t's insp�ctors, including ��ithout limitation, cessation of tiaork, and -Grantee's Oconstruction contracts shaii so prov-ide. Grantee shall pro�tly pay Puget's � charge for such inspectors. � 0 12. Conflict taith Future Installations of Puget. In the event that it should � .becorr� necessary for Puget to install additional electric utility facilities or � othenaise we Puget's Right of lJay and if, in the sole judgment of Puget, the location, e�ci.stence and use of the Se�:er Line interferes with such installation or use to the extent that it is i�npracticable or substantiall� rr�ore expensive to accorrrplish such installation or use, or that such installation or use may pose a hazard because of the location, existence or use of the Se�aer Line, Grantee shall have the obligation to eith�r, in GranteePs sole discretion, (a) pxotect, modify or relocate the Sewer Line at the cost and expense of Grantee, so as to remove the interference or hazard to Puget's satisfaction, or (b) to reimburse Puget for its added costs of design, construction and installation to avoid such interference or hazard. In the event Puget intends to undertake any such � construction, Puget sha11 aive Grantee reasonable advance ti�-ritten notice of , such intention together i��ith preliminary plans and specifications for suc'n iti�ork, identifyino the potential interference or hazard and all design information relati;�g thereto. In no event shall such notice and plans be required to be required to be given more than siY months prior �Co the scheduled corunencem�nt of work. jti'itnin one month after receivina such notice from Puget, Grantee shall give caritten notice to Puoet by ���ich notice Grantee �aill elect to (a) protect, modify or relocate the Sewer Lin�, or (b) reimburse Puget for its said added costs. If Grantee elects to protect, modify or relocate the Sei�Ter Line it shall commence kork prorrotly and diligently prosecute such jaork to completion prior to the scheduled date of comrnencement of Puget's construction. If Grantee elects to pay Puget's added costs, Grantee shall give Puge� satisfactory assurance of . payment of such costs at the time such notice of election is given. If Grantee does not so elect one of the above-described options by giving Puget the required notice, Puget shall be entitled to ma.ke such an election on behal.f of Grantee, Grantee agrees that this electzon shall be binding upon Grantee and have the same effect as if made by Grantee. If Puget so elects option (a) described � herein or if Grantee elects option (a) and fails to commence and prosecute its �tiork as contemplated herein, Puget may, at its option, tmdertake such work on behalf of Grantee as Puget deems necessary pursuant to option (a) and Grantee shall prorTptly pay Puget for all costs incurred by Puget in performing such 11ork. Puaet's cos�ts reimbursable under this paragra�h are defined as in Para;raph 9 herein. 13. Termination for Breach. In the event Grantee breaches or fails to - . perfor;.r, or e ser,re any o t� � tzrms �-�d conditions herein, and fails tc, cure such breach or default ��°ithin ninety (90) days of Puget's giving Grantee t.ritten notice thereof, or t.-ithin such other period of time as may be reasonable , in the circums tances, Puget may temtinate Grantee's ri�hts under this Agreem�nt in addition to and not in limitation of any o�i::r remedy of Puaet at latJ or in ec�uity, and the failure of Puoet to exercise such right at any tim�� shall not �Yai�,-e Puge�'s ri��t to terminate fur any future breach or default. � 1�. P.ele�e of Sewer Line on Term?nation. �;o termination of this Agreeme;�t shall releas� Grantee from any liability or obligation ��iith resp�ct to any ratter occurring prior to sucn terrnination, nor shall such termination release Grantee fro�n its obligation and liability to remove the Se�aer Line facilities fro�-� Puget's P.ight of SVay and restore the ground. 16. Remo�ral of Sewer Line on Termination. Upon any terminaticn of this aoreement, Grantee shall pro�� tly rerr.ove from the Easement Area the Se�Yer Lins facilities and restore the a ot.md to the condition noia existinb or, in the alter- native, tal:e such other mutually agreeable measures to minimize the iripact of th� Se�cer Line on Puget's Right of ttay. Such Zr'ork, removal and restoration shall b� done at the sole co�t and e�-pe;ise of Grantee and in a manner satis- factory to Puoet. In case of failure of Grantee sQ to remove the Se��er Line c7 facilities, restore the ground or taLe such other mutually agreed upon m�asures, � Pu�et may, after reasonable notice to Grantee, remove the Se�aer Line facilities, p r�store the grotmd or take suciz measures at thA expense of Grantee, and Puget *� shall not bn liable therefor. Q p 17. Third Party Rights. Puget reserves all rights with respect to its ' � property including, iai out lirutation, the right to grant easements, licenses .and per,nits to others subject to the rights granted in this Aa ee;aent. 18. Release and Indemnity. Grantee does hereby release, indzmnify and pro�ise to e end an save ar,nless Puget from and against any and all liabili.ty, loss, cost, dama.ge, expense, actions and claims, including costs and reasonable attorney's fees incurred by Puget in defense thereof, asserted or arising directly or incli rectly on account of or out of (1) acts or omissions of Grantee and Grantee's servants, agents, err�loyees, and contractors in the exercise of the rights granted herein, or (2) acts and omissions of Puget in its use of the Ri�t of 1ti'ay ���hich affect Grantee's ernployees, agents, contractors, and other parties benefiting fron said Seiti-er Line; provided, hoirever, fihis paragraph does not purport to inde�ify Puget against liability for damages arisi.ng out e of bodiiy injury to pzrsons or daTnage to property caused by or resulting from the sole neglioence of Puget or Puget's agents or er�ployees. 19. Insurance. Prior to Grantee's construction activities or other I� � substa�tial activities on Puget�s Right of ��'ay under the rights provided herein, Gra�ztee shall submiti i.o Puget evidence that Grantee or Grantee`s contrac�ors I has obtained co;nprehensive general liability coverage (including broad form co�tractual liability coverage) satisfactory to Puget taith limits no less . t�an the follot�ing: Bodily Injury Liability, including $500,000 automobile bodily injury liability each occurrence Property Dam.age Liability, including $500,000 automobile property damage liability each occurrence Said evidence shall be submitted on Puget's Cartificate of Insurance standard forrl (iahich form Pug�t shall provide upon request) or such other form '� as Pu�et may from time to tir:�e appro�-e. Said col-erage shall be maintain�d by� Grantee or Grantee's contracto2s during the period ttihen such activities take place. ' 20. Ta�es. Grantee shall pro:rr�tly pay or reimburse Puget for any taxes I let�ied as a result of this �greemen� or relating to the Grantee's improvem�nts , ^o^st�:-ucted pursuant to this A�r�em�nt. 21. Title. The riohts granted herein are subject to permits, leases, licenses and easements, if any, heretofore granted by Puget affecting the property subject to this Agreem�nt. Piioet does not t�ai-rant title to its property and shall not be liable for defects thereto or failure thereof. 22. \o�ices.
