1. Purpose.Grantee shali have the right to construct,o�erate,maintain,r•epair,replace and enlarge an underground electric
transmission and/er distr�bution system u�on an�i under the Right-of-�Vay together with all necessarv or convenient ap-
' purtenances therefor. �vhich ma��inctude but are not limited to the f��llo�ving: uiiderground conduits, cables,communication
lines; ��aulis. manholes, switches, and trans�o�mers; and semi-buried or ground mounted facilities. Following(he initial con-
struction of its facilities. C�rantee may from time to time construct such additional facilities as it may require,
2. Access.Grantee shall have the right of access to the Right-of-Way ov�r and across the Property ro enable Grantee to exer-
cise its rights her�,under.��rovided,that Grante.e shall compensate Grantor for any damage to the Property caused b��the exer-
cise of said �ight ��f access. .

3. Obstructions; I:andscaping.Grantee may from time to time remove trees,bushes,or other obstructions within the Right- ,
of-Way and niay ?e��el and grade the Right-of-�Na}- to the extent reasonably necessary to carry out the purposes Set f�rth in
paragraph 1 hereof. �rot•ided, that fcllo�ling a�iy suc.h �rork, Grantee shall, to the eatent reasonably practicahle, restore the
Right-of-�l�ay to the condition it �vas immediately F�riar t� such work. F�llowin� the installa;ion of C=rantee's undergrovnd

4. Grantor's Use of Right-of-Way.Grantor reserc�es the right to use the Right-of-Way for am�Purpose not inconsistent wi:h �.

5. Indemnity.By accepting and recording this easement,Grantee agrees to indemnify and hold harmless Grantor from any
and a�l ciaims for injuries and/or damages suffered by an�person which may be caused by the Grantee's exercise of the rights
herein granted: grevided, that vrantee shall not be responsible to Grantor for an}- injuries and/or damages to any person `
caused by acts or omissions of Gr.antor. ;
6. Abandonmsnt. The rights herein granted shali continue until such time as Grantee ceases to use the Right-of-Way for a
period r,f five (51 successia�e years,in which event this easement shall terminate and all rights hereunder shall revert to Gran- .
tor, provided that no abandonment shall be deemed to have occurred by reason of Grantee's failure to initially� install its
i facilities on the Right-of-Way within any pe�riod of time from tt�e date hereof. �

7. Successors and Assigns.The rights and obligations of the parries shall inure to the benefit of and be binding upon their
respective successors and assigns.
