� description of which is attached hereto as Exhibit A. The Grantor, for and in consideration of mutual benefits, does

� easement for public utilities (including water, wastewater, and surface water) with necessary appurtenances over,

The aforementioned Utilities Easement is also referred to below as the "Right-of-Way" and is granted
according to the following conditions:

�on a� its facilities. Granue may from ume co time canstruct such additional undezground
facilities, as it may require within the Right�f-Way. This easement is �anted s�bject to the following
terms aad conditions
1. Grantee s�all �ve reasonable noti� to Grantor and atry occupants (the "Occupants'� of
tiu building lacaied on the parce!within whic�the:tight�f-Way is located(the"Parcei'�before e.�cezcising
the easement rights granted hezein. if its acuvities might impact the business operations or activities of the
Grantor or the Occupants. E.�t in �se of emergency, Grantee shall coordinaze its acrivities with the
Glaator and the Occupants so as to caase minimum disrupdon to the business operations aad activities of
the Grantor aad the Occupants-
2. The Grantee shall, upon complerion of amr woric within the Parcei, at Grantee's cost
promptly restore the surface and any private improvemenu disnirbed or destroyai during �cecurian of the
waric, as nrariy as pracsic�ble to the candition they were in immediateiy beiore commencement of the work
or entry by the Grantee.
� 3. Grantor shall retain the right to use the Right�f-Way as long as such use daes noc
.�' interfen with the easement rights herein�c-anud to the Granue. Granmr shall not, however, have the right

� (b) Plant tr�s, shrubs or ve sation havin

vdamage to or intezfere with the utilities to be placed within the Rigiit�f-Way by
the Gtantee; or
(c) Deveiop, tandscape, or beauafy the Right-of-Way area in any way wMch would
unreasonably incrpse che costs to the Grantee of restoring the Right-of-Way area
and any private improvements therein.
(d) Dig,tunnei or perform other forms of consuucrian acrivities on the Parcei wtuch
would distu� the compaction or unearch Grantee's facilities on the Right-of-
Way,or�ndanger the lateral support facilities.
