I. CALL TO ORDER
. Chair Laurie Beden called the meeting to order at 6:05 p.m.

II. APPROVAL OF AGENDA
A motion was made by Suzi Ure, seconded by Amy Pieper,to approve the February agenda
with one amendment,to move a portion of Item "VII. KCLS Report/Dri Ralph"to the top of
the agenda. All were in favor, motion carried, amended agenda approved.
III. APPROVAL OF MINUTES
Suzi Ure made a motion to approve the minutes with one correction to the date (notes say
December 16 but meeting was held on December 21), seconded by Amy Pieper. All were in
favor, motion carried, minutes approved with correction.

KCLS REPORT/DRI RALPH
Dri Ralph was on hand at the meeting to discuss the buildings and construction progress. She
distributed DRAFT sketch-ups/ architectural drawings and floor plans for each location. She
, said they are very early in the process and as things progress, better information will be
forthcoming.
Dri commented on the drafts that were passed out and again reiterated the early stages of
the progress and the mock-ups are not final drawings, especially where the interior items will
be placed. She mentioned that the architect for the downtown location, Miller Hull, is known
and their trademark is for "honest buildings". They are known for the use of glass in their
designs allowing one to see what's going on inside. They are a well awarded Architectural
Firm receiving two Honor Awards from AIA Seattle Chapter, one being for the Vancouver
Community Library.

The second handout is a rough idea of the inside placements, again a rough draft sketch. The
drawings show one door in and out for public use along with other fire doors and exits. With
22 million in circulation, it is important where the doors are placed for both the users and
staff. There would be a staff entrance door, most likely being used by staff most of the time.
Dri stressed that she has talked to the Architects and wants as much of the building in use as
possible. The group talked about how important it is to see what is going on inside and
outside of the building;the park area will be redesigned to look to connect to the building.
She also mentioned landscaping on the street side so when inside the Library one is not just
looking at cars parked out front. Dri wants the max space used, 100%of space. The building
will be approximately 15,OOp square feet, near the park, and the meeting room will have
i retractable walls in the rooms and when not in use can be open/spread out. The design has
not yet been tweaked and they are still working on it.
HIGHLANDS:
The Architects for the Highlands Library is 1"HA Architects (THA) out of Portland. They have
quite a bit of experience designing Libraries but have not yet worked with the King County
Library System; which means there is training and learning process with a lot of work to do.
King County's style is different than other buildings they have designed in the past. Flexibility
is an important part of the training process. Progress has been made but there's still much
work to do. It will be a challenge to make the space come together with the mixed residential
space, zones, and elevation changes throughout the space. Ceiling heights are different
inside the building with ranges between 17' and 22'. The view out the back is currently
housing but hopes are to possibly have a large park. This will be a tricky space to design with
skylights and door locations. The volume of circulation is close to the downtown location.
Dri mentioned there are will be two additional open-houses for the Highlands Library and said
the last open house was the worst she had seen for attendance in any location. They are
working on getting the word out a little better.
IV. ORAL COMMUNICATIONS/PUBLIC COMMENTS
None.
V. BOARD COMMUNICATION
Terry Higashiyama appraised the Board on a situation at the downtown Library where as a
patron has made accusations of racism. Terry entered into the minutes a letter written by Bill
Ptacek, KC Library Director, and advised that the City is not involved in this as it is an issue
between KCLS and the patron.
Terry also advised the Board the status of the recent petition that was delivered to the City
Clerk on February 7. The City Clerk delivered the petition signatures to the King County
Elections Office for certification. The Elections Office will have ten days to verify the
signatures and the City Attorney is working on writing up legal definitions. Terry mentioned it
could costF!`anywhere from $90,000 to $100,000 to put an issue to ballot.

VI. CITY REPORT
Peter Renner discussed the Highlands Four-Way Agreement and distributed a package of
information that included a letter to Mark Gropper, Executive Director of Renton Housing
Authority, from US Department of Housing and Urban Development. The letter advised the
Renton Housing Authority of the approval of application for the disposing of four dwelling
buildings and using proceeds to support the development and construction of no fewer than
18 new units.
The handout included a copy of the Agreement between the City of Renton, King County
Library System, Renton Housing Authority, and Colpitts Development Company for the
development of a larger, multi-phased, mixed use project, also known as the Highlands Four-
Way Agreement. Phase I will be developed on a separate legal lot of approximately.91 acres
and will contain the Library, approximately 112 units of market rate multifamily rental
housing, approximately 3,200 s.f. of retail space and approximately 242 total parking stalls.
The handout also shows the example of what RHA had to go through and still has to go
through and Peter advised that the second part of the Agreement is very complicated as more
parties will be involved.
Peter Renner also briefly discussed the Pre-Application Meetings. He stated that the City's
Planning/Building Department along with the Fire Department reviewed the drawings to
determine and screen for policies and other items in an effort to prevent any issues such as
fire code violations. The Departments are precise in the reviews and in turn assist with
building safety. It's a good process when the engineers may even go to the extent of making
suggestions on how to do certain things. One instance is the parking in front of the current
new downtown library and suggesting angle parking on the street. It not only will allow for
more parking but may also save money.
VII. KCLS REPORT/ANGELINA BENEDETTI
Angelina briefly discussed statistics and went over 2011 Circulation Report. She discussed
checkouts, registrations, meeting room bookings, and volunteers. She commented that some
of the registration numbers are from citizens changing their library card from City of Renton
Library to King County Library cards.
Angelina Benedetti discussed the "Take Time to Read" campaign. This is a multi-year
initiative to increase reading across King County. This program is sponsored by the KCLS
� Foundation, which promotes literacy, learning and libraries by providing support beyond
public funding for initiatives and resources that enable the King County Library System to
better serve residents in the different service areas. Planning has started for the 2012 Book
Cover Walking Tour with Jennifer Davis Hayes, City of Renton's Community Development
Project Coordinator, working with downtown business for support in their windows with
posters.

VIII. DISCUSSION/ACTION ITEMS
Terry Higashiyama gave a brief update on the Liberty Park Building Steering Committee
progress and schedule. The Steering Committee was holding an open-house tonight in the
room next door.
IX. OLD BUSINESS
None.
X. NEW BUSINESS
The KCLS Highlands Library Design update has been rescheduled from February 27, 2012 to
March 12, 2U12. The approximate time has been set at 6:00 p.m. but is scheduled to be
revised.
XI. INFORMATION
KCLS Foundation's Literary Lions Gala is scheduled for Saturday, March 10, 2012, at 6:00 p.m.
at the Hyatt Regency Bellevue, Grand Ballroom. The keynote this year is Author Lee Child,
Thirty popular Northwest authors and their new books will be featured. Guests will have the
opportunity to meet the authors, buy their books and get their autographs. Nancy Pearl,the
nation's most popular book reviewer, will emcee the event. Angelina will send the Board a
copy of the flyer/reminder. Due to the construction of the new parking garage at the
Bellevue Library, the Gala will be held at the Hyatt Regency Bellevue. For more information

THIS TERM SHEET DATED THE ! DAY 4F , �-1 is by aud among
the City of Renton, a muxucipal corporation of the State of Washington ("R.enton"), the King
County Rural Library Di.stricf d/b/a King Couniy Library System, a Washington rural.
library district {"KCLS"} the Ren�on Housing Authority, a public carporation of the State of
Washington (the "Authority") and Colpitts Development Company, LLC, a Washington limited
liability company(the"Developer")(together,the"Parties").
� � Recitals
A. , The Parties desire to develop the first phase ("Phase I") of a larger, multi-phased,
bnixed use project that ultimately will encornpass approximately 11.56 acres in Renton,
Washington, on property currently owned by the Authority as shown on the attached
Exhibit A {the "Site"). When all phases of the contemplated project are completed, the
Site will provide replacement housing for existing affordable housing owned by the
• Authority, the development of market rate hausing, a public Iibrary, retail space, parking,
� rfladways, sidewaiks and a public park as envisianed in the drawing attached hereto as
Exhibit B.
B. Phase I will be developed on a separate legal Iot consisting o£approximately .91
acres (the "Phase I 5ite"}. The north and east sector of the Phase 1 Site will contain the
' library, approximately 112 units of market rate mulfifamily rental housing, approximately
3200 square:�feet of retail space an.d appro�cimately 242 stalls of parking as depicted in the
drawings attached hereto as E�ibit C and fizrther described below (the "Phase I
Improvements"). The Phase T Iznprovements will be developed as part of a mixed-use

condomzni.uxn consisting of the "Apart�nent Unit" and the "Library Unit" as further
described in Section 2 beiow. �
C. The Parties anticipate entering znto a series of agreements to facilitate the
development of the Site. There will be agreexnents for the purchase and sale of the Phase
I Site; devalopment agreements for the development of the parking garage and podium �
for the iwo rnixed-use condominium buildings to be constructed on top of the parking
garage as part of the Phase I Im.pxovements, includ.ing approxi.mately 112 units of
marlcet-rate multifamily rental housing,parking and retail space to be constructed by the
Developer as part of the Apartment Unit; a condominium declaration for the Phase I Site;
a purchase and sale agxeement for �lie sale of�he Library Unit to KCLS; and other
ancillary documents {together, the Agreements")providing for the sale of the Phase I Site
and subsequent development and construction of the Phase I Improvernents on the Pha.se
I Site. The Parties intend for the Agreements to contain provisions sufficient to assure the
respectiva perfozmance of the Parties in accordance with their terxns, in addition to being
legally binding on the Parties. The Developer m�ay designate a separate limited liability
company to execute the Agreements, subject to the appzoval of the Parties.
D. Renton and KCLS previously entered into an Znterlocal Agxeement (the
� "Interlocal Agreement") dated July 11, 2011. That agreement memorialized Renton's
an.d KCLS's agreement to work together to develap a library on a portion of the Site.
E. The Parties will publicly aunounce their intent to enter into the Agreements upon
the execution of tbis Term Sheet. The Parties agxee to negoYiate in good faith to reach
agreement an the terms and condirions to be set forth in the Agreements within the time
frame set forth below to accomplish the purposes of this Term Sheet.

TERMS
1. Term. �
1.1 The Parties agree fo negotiate the terms and conditions ta be set forth in
the Agreements in good faith.
1.2 7n the event the Parties are unable to agree on the terms of the Agreements
on or before June 15, 2012, all obligations of the Parties under fihis Term Sheet
. sha11 autoxxa.aticaily terminate unless the Parties mutually agree otherwise in
� writing.
1.3 If the Parties agree.on all of the terms of the agreements and execute the
� agreexnents on or before rune 15, 2Q12, the Agreements sha11 commence on�their
respective effective dates and shall remain in effect until such time as they may be
. terminated in accordance with their terms or by mutual agreement of the parties to
such Agreements.
1.4 In the event the Agreements are not executed on.or before June 15,,2012,
� • Renton reserves the right to acquire the Site from tlze Authority at a price
determined between Renton and the Authority for development independent of

2.1 The Authority will sell to the Developer the Phase I Site as required for
the Phase I Irnprovements at faix market value as determined between the

2.3 The Developer, in.caordination with Renton and KCLS, will design.and
then consiruct the parking garage and podium consistent wz�.�. final plans
approved by KCLS containing not less than b0 parl�ng stalls for exclusive KCLS
use.
. 2.4 The Developer wi11 alsa ensure that the arkin ara e is desi ed to

support the constxaction of the proposed 15,000 square foot pnblic library and the
, multifamily apartment bnilding witli approximately 112 units thereon. The
Developer will also design, develop and construct all site work, required
landscaping, sfireet and frontage improvements and titilities to serve the Phase I
Irnprovements and any mitigation required by the permitting jurisdiction as a
• , condition to issuance of permits neeessary to cans�ruct the Phase I Improvements
(the"Phase I Initial Woxk").
� 2.4.1 The Developer sha11 have sole responsibility for all costs
associated with the design, development, construction and financing of the �
Phase I Initial Work.
• 2.4.2 Although the Phase I Initial Work is not intended to be a public
work and compliance with the provisions of RCW.39.04 (Public Works)
' and 39.12 RCW (Prevailing wages on public works) is not required, the
Developer shall require that aIl contractors and subcontractors employed
on that portion af the Phase I Initial Work that will constitut'e a part of the

Library Unit to pay applicable prevailing wages in accordance with state �
law. �
2.43 Upon completion of the Phase I Tnitial Warlc, the Developer shall
cause a condom.inium declaration to be recorded with respect to the Phase
' T Site including the proposed Phase I Improvements.
2.4.4 The Parties antzczpate that the Phase I condominium wi11 consist of
a minimwn of two units.
2.4.4.1 One iuiit vvill consist of the Library Unit which vc�ill include
a biulding to be buzlt by KCLS containing tlie lzbrary and a xninimuxn of
60 parking stalls located on the upper Ieve1 of the parking garage as part of
the Library Unit and rights to use of additional street level parking
descrzbed in�ection 3.1 below.
2.4.4.2 The other unit wi.11 consist of the Apartment Unit which
will include the remainder of the parl�ng stalls located in tlae parking
� garage, a building containing approximately 112 units of market rate
multifamily rental housing and related retail space (the "Apartment
Proj ect").
2.4.5 The boundaries of each condominiux�a unit, including common
elements and Iim.ited cornmon elements for each unit and the form and
substan.ce of the condoxxiinium declaration must be acceptable to KCLS.
2.4.b� The librazy buildir�g and tJae Apartment Project to be constructed
on.top of the parking garage as part of�Iie Phase I Improvements shall be

common elements. The fonn of the condoxninium declaration shall he
agreed upon by the Parties and attached as an exhibit to the development
agreement.
2.5. Within its Iibrary development budget, Renton will provide fiinds ta
acquire the Library Unit (and thereafter construct the lib'rary building within tlae
Library Unit) for a purchase price to be agreed upon by the parties to the purchase
and development agreement for the Libzaxy Uxut.
2.5.1 Either Renton ar KCLS will purchase the Library Unit
upon completion of the Phase I Initial Work, recording of the
� Condominium Declaration and associated survey rnap and plans and
. satisfaction of other conditions precedent to be set forth in the purchase
� agreement between Developer ar�d Renton/KCLS.
� 2.6 Within its library development budget, Renfon will provide funds to
' KCLS with which to design, permit and consiruct a library within the Library
Unit. .
2.6.1 KCLS will design,permit, construct and operate the library
in accordance with state law, KCLS Policy, and the Ix�terlocal, and any
future agreements between Renton and KCLS.
. 2.7 The Developer wili, at its sole cost and expense, design, develop, permit,
finance, construct and operata the Apartment Project and Iease the related retail
space within the Apartment Unit. .
2.$ Renton will sell and the Authoriry will buy praperty commonly known as
Sunset Court Park at a price to be deterniined between Renton and the Autharity.

2.9 The obligations of the Parties as outlined in this section 2 to sell,purchase
and develop the Phase I Site shall be subject to a number of conditions precedent �
to be set forth in the Agreements including,but not lzmited to the following: ,
. 2.9.1 The parties agree on final building designs for the Phase T
Initial Work,the Apartment Project and the public library;
. 2.9.2 The parties have agreed upon the purchase price for the
Library Unit following completion of the Phase I Tnitial Work;
2.9.3 The Developer has obtained all permits necessary to
consfruct the Phase I Initial Work and the Apartment Project, and
� � KCLS has obtained all pernuts necessary to construct the library .
within the Library Unit;
2.9.4 The parties have approved.the condominium declaration for
the Phase I Txnprovements;
2.9.5 The Developer has secured all deb� and equ�ity financing
• required to construct the Phase I Initial Work and the Apartment
Proj ect; and
2.9.6 Such other preconditions, currently undetermined but to be
set forth in the Agreements, which will ensure the successful and
timely development of the Phase I Improvernents.
2.10 Prior to the e�ecution of the Agreements,the Parties w.ill bear their
respective pred.evelopment costs. The predevelopment costs incutzed by
KCLS will be subject to reimbursement by Renton as part of its library
development budget in accordance with the Tnterlocal Agreement. KCLS

has agreed to provide certain furnittu�e, f xtures and equipment ("FF&E")
for the new facility . The Parties have agreed to pay the fees and
� expenses af their respective attorneys, architects and other consultants;
provided that the architechual and other consultants' fees and expenses
(other than certain legal fees) incurred. by KCLS are reimbursable by
Renton to KCLS as part of its library development budget. -
3. Size and Scale Commitments.
�� 3.1 KCLS will construct a library facility of up to 15,000 square feet within
the Library Unit. The Library Unit will include dedicated paxki�n.g within
. the parking garage structure with appzopriate access to the library entry of
approximately 60 stalls.
� 3.1.1. The limitation on the builclin.g size for the library and related
structured parking, permitting and rnitigation expenses payable by KCLS
for the Library Unit is the funding available from Renton.
3.1.2 Tn addition KCLS requires non-exclusive access to approxinnately
four (4) on-street parking stalls which can be available within short
accessible walking distance to the Iibrary facility entry including 2 van
accessible ADA compliant stalls and 2 short time parking stalls for access
to KCLS's materials self check-in systena.
3.2 The Developer will construct approximately 112 units of market rate
�.nultifamily rental housing within the Apartment Unit.

3.2.1 The multifatnily rental housing and retail uses require dedicated
� parking within the parking garage stn�.cture with appropriate access to the
housing of 181 stalls which wili be part of the Apariment Unit.
3.2.2 In addition the Developer will construct approximateiy3200 square
feet of rental retail space within the Apartment Unit as part of the
- Apariment Project.
3.23 The Developer agrees that such retail space shall be liix�.ited to uses .
compatible with a public library which restrictions sha11 be agreed upon
and set forth in the condorniniwn declaration for the Phase I
linprovements. , '
. 3.3 .Any required on-site and off-site infrastructure improvements including
. improvements to Sunset Lane will be considered part af the Phase I
linprovements, and any Renton contribution thereto and, therefore, any
' KCLS purchase obligation for the Library Unit will be limited to Ren.ton's
library development budget.
4. Announcement and Preparation of Agreements.
4.1 Following execution of this Term Sheet the Parties will publicly announce i
their intention to enter into the Agreements. �
�4.2 The Parties will thereafter negotiate ixz good faith the terms of the
Agreements with the goal of executing the Agreements no later than June 15,
� 2012 or eazlier with the goal of ineeting the proposed time line for
implementation of the Agreements as set forth in Exhibi.t D attached hereto.

S.2 Nott�vithstanding the City being a party to this Term Sheet the City of
Rentan is not bound or Iimited in any mac�i.er by thi.s gr a�.y other agreement
when exercising its police power authority to review and issue permits upon
application by the Developer.
