13.RoyalCreekisunabletopayitsdebtsastheybecomedue.However,theSunset2Propertyisbelievedtohaveavaluesubstantiallyinexcessofthesecureddebtassociatedwithit.34.Thepresentassignmentforthebenefitofcreditorsisbeinginitiatedduetothe4actionsofalenderontheSunsetProperty,ConstructionLoanServicesII,LLC(“Builders5Capital”).BuildersCapitalhasfailedandrefusedtomaketheadditionalcapitaloutlaythat6wouldbenecessarytocompleteconstructionoftheSunsetProperty.BuildersCapitalhasfurther7indicatedthatitintendsto“takeback”theprojectbydeclaringadefault,andhasotherwise$threatenedtotakeimmediatemeasurestopreventRoyalCreekfromcompletingtheSunset9PropertyprojectBuildersCapitals’actionswouldcauseasignificantlosstoothercreditorsand10relevantstakeholders.115.Accordingly,RoyalCreekexecutedanAssignmentfortheBenefitofCreditorsAeec-’’*V1.12(the“ABC”)namingElliottBayasitsAssignee.TheABCisaahehretoBhitht1.13PursuanttotheABC,RoyalCreekhasassignedtotheAssignee“allofarsignor‘sproperty....“14Id.,atl-2.156.RoyalCreekhascreatedascheduleofitspropertyandliabilitiesintheform16prescribedbyRCW7.60.090.TheschedulesareattachedtotheABC.Inaccordancetherewith,17RoyalCreekowes$7,208,836.33insecureddebt.RoyalCreekalsoestimatesthatitsassets,18whicharecomprisedsolelyoftheSunsetProperty,arevaluedatapproximately$8.65Millionin19theeventofanorderlysale.Qevf)\€*orc”&%u207.ElliottBayiseligibleandqualifiedtoserveasRoyalCreek’sgeneralreceiver.As21outlinedintheaccompanyingdeclarationofStuartHeath,ManagingMemberofElliottBay,the22AssigneemeetsallrequisitescontainedinRCW7.60.035toserveasRoyalCreek’sgeneral23receiverandhasextensiveexperienceservingasareceiver,includingforsignificantrealestate24projectssuchastheforgoing.252627LAWOFFICESOFANTHONYPETITIONTOAPPOINTGENERALRBCEWER-217c’09Seaffle,WA98107206.418.8720tony@wisen1aw.com
