HomeMy WebLinkAboutRES 4408CITYOFRENTON,WASHINGTONRESOLUTIONNO.4408ARESOLUTIONOFTHECITYOFRENTON,WASHINGTON,AUTHORIZINGANDDIRECTINGTHEMAYORANDCITYCLERKTOSIGNONBEHALFOFTHECITY,THEPUGETSOUNDEMERGENCYRADIONETWORKOPERATORINTERLOCALCOOPERATIONAGREEMENT.WHEREAS,KingCountycurrentlyhasacountywideemergencypublicsafetyradionetwork.TheKingCountyEmergencyRadioCommunicationSystem(“KCERCS”)supportsoverseventeenthousandradiosandnearlytwohundredseparatepolice,fire,emergencymedical,andothergovernmentalagencies;andWHEREAS,portionsofKCERCSareseparatelyownedbytheEastsidePublicSafetyCommunicationsAgency,ValleyCommunicationsCenter,theCityofSeattle,andKingCountywithajointlyownedswitchcontrollingtheentirenetwork;andWHEREAS,KCERCSisovertwentyyearsoldandisincreasinglyunsupportedbythesupplierofthesystem’sequipment,softwareandrelatedparts;andWHEREAS,theCityandthecitiesofAuburn,Bellevue,FederalWay,lssaquah,Kent,Kirkland,MercerIsland,Redmond,Seattle,andTukwilaandKingCounty(“Parties”)determinedthatitisinthepublicinterestthatanewpublicsafetyradiosystem,referredtoasthePugetSoundEmergencyRadioSystem(“PSERN”),beimplementedtoprovidepublicsafetyagenciesandotherusergroupsintheregionwithimprovedcoverageandcapacity,aswellasuniformlyhigh-qualityradiocommunications;andWHEREAS,thePartiesenteredintothePugetSoundEmergencyRadioImplementationPeriodInterlocalCooperationAgreement(“ImplementationPeriodILA”)thatdesignatesKingCountyastheleadagencyforplanning,procurement,financing,implementationandlimited1
RESOLUTIONNO.4408operationofPSERN.TheImplementationPeriodILAalsoestablishesaJointBoardtooverseethePSERNProjectimplementation;andWHEREAS,thePartieseachgave800MHzfrequenciestothePSERNprojectthatwillbecomethenewPSERNsystemandwilleventuallybeownedbythePSERNOperator;andWHEREAS,thePartiestotheImplementationPeriodILAhavenegotiatedaseparateagreement,thePugetSoundEmergencyRadioNetworkOperatorInterlocalCooperationAgreementtocreateanewseparategovernmentalagencyunderRCW39.34.030(3)(b)thatisorganizedasanon-profitcorporationunderChapter24.06RCWtoassumetheownershipandcontrolofPSERNfollowingfullsystemacceptance;andWHEREAS,inadditiontocreatingthenewagencytobecalledthePSERNOperator,thePSERNOperatorILAestablishesthetermsforgovernanceofthePSERNOperatorandthetermsunderwhichthePSERNOperatorwillundertakeresponsibilityfortheownership,operations,maintenance,managementandon-goingupgrading/replacingofthePSERNsystemduringitsusefullife;andWHEREAS,thePSERNJointBoard,createdbytheImplementationPeriodILA,approvedthePSERNOperatorILAbyunanimousvote;andWHEREAS,pursuanttothePSERNOperatorILA,thecitiesofRenton,Auburn,FederalWay,Kent,andTukwilawillshareasinglevoteonthePSERNOperatorBoardofDirectorsandtofacilitatesuchvotesharinghavenegotiatedamemorandumofunderstandingtodesignatehowsuchsharedvotingauthoritywillbeoverseen;NOW,THEREFORE,THECITYCOUNCILOFTHECITYOFRENTON,WASHINGTON,DORESOLVEASFOLLOWS:2

PUGETSOUNDEMERGENCYRADIONETWORKOPERATORINTERLOCALCOOPERATIONAGREEMENTThisPugetSoundEmergencyRadioNetworkOperatorlnterlocalCooperationAgreement(‘Agreement”)isenteredintopursuanttochapter39.34RCW(the“InterlocalCooperationAct”)byandamongKingCountyandthecitiesofAuburn,Bellevue,FederalWay,lssaquah,Kent,Kirkland,MercerIsland,Redmond,Renton,Seattle,andTukwila,eachapoliticalsubdivisionormunicipalcorporationoftheStateofWashington(individually,a“Party”andcollectively,the“Parties”).RECITALSA.TheParties,undervariousinterlocalagreements,havebeenresponsiblefortheownership,operationandmaintenanceofvariouselementsinthecurrentKingCountyEmergencyRadioCommunicationsSystem(KCERCS),avoiceradiosystemthatisnearlytwentyyearsoldandisincreasinglyunsupportedbythesupplierofthesystem’sequipment,softwareandrelatedrepairs.B.ThePartiesdeterminedthatitisinthepublicinterestthatanewpublicsafetyradiosystembeimplementedthatwillprovidepublicsafetyagenciesandotherusergroupsintheregionwithimprovedcoverageandcapacity,aswellasuniformlyhigh-qualityemergencyradiocommunications.Saidnewsystemisreferredtohereinasthe“PugetSoundEmergencyRadioNetworkSystem”or“PSERNSystem.”C.ThecostsofimplementingthePSERNSystemarefinancedthroughafundingmeasureapprovedbyvotersattheApril2015election.D.ThePartiesexecutedaseparateagreement(“ImplementationPeriodILA”)thatdesignatesKingCountytoactastheleadagencyforplanning,procurement,financingandimplementationofthePSERNSystemwiththeoversightofaJointBoardestablishedpursuanttotheImplementationPeriodILA.E.TheImplementationPeriodILAcontemplatesthatthePartieswillcreateanewseparategovernmentalagencyunderRCW39.34.030(3)(b)thatisorganizedasanonprofitcorporationunderChapter24.06RCWasauthorizedbytheInterlocalCooperationActtoassumetheownershipandcontrolofthePSERNSystemfollowingFullSystemAcceptanceandberesponsiblefortheownership,operations,maintenance,managementandon-goingupgrading/replacingofthePSERNSystemduringitsusefullife.F.ThepurposeofthisAgreementistocreatethenewgovernmentalagencytobeknownasthe“PSERNOperator”andestablishthetermsforgovernanceofthePSERNOperatorandthetermsunderwhichthePSERNOperatorwillundertaketheownership,operations,maintenance,managementandon-goingupgrading/replacingofthePSERNSystem.NOW,THEREFORE,inconsiderationofthemutualpromises,benefitsandcovenantscontainedhereinandothervaluableconsideration,thesufficiencyofwhichisherebyacknowledged,thePartiesagreetotheaboveRecitalsandthefollowing:Page1
1.0RULESOFCONSTRUCTIONANDDEFINITIONS1.1RulesofConstruction1.1.1Unlessthecontextrequiresotherwise,thesingularformofawordshallalsomeanandincludetheplural(andviceversa),andthemasculinegendershallalsomeanandincludethefeminineandneutralgenders(andviceversa).1.1.2Referencestostatutesorregulationsincludeallcurrentandfuturestatutoryorregulatoryprovisionsconsolidating,amendingorreplacingthestatuteorregulationreferredto.1.1.3Referencestosections,exhibits,attachmentsorappendicestothisAgreementandreferencestoarticlesorsectionsfollowedbyanumbershallbedeemedtoincludeallsubarticles,subsections,subclauses,subparagraphsandotherdivisionsbearingthesamenumberasaprefix.1.1.4Thewords“including,”“includes”and“include”shallbedeemedtobefollowedbythewords“withoutlimitation.”1.1.5Thewords“shall”or“will”shallbedeemedtorequiremandatoryaction.1.1.6Wordssuchas“herein,”“hereof’and“hereunder”arenotlimitedtothespecificprovisionwithinwhichsuchwordsappearbutshallrefertotheentireAgreementtakenasawhole.1.1.7Wordssuchas“person”or“party”shallbedeemedtoincludeindividuals,politicalsubdivisions,governmentalagencies,associations,firms,companies,corporations,partnerships,andjointventures.1.1.8Referencesto“days”shallmeancalendardaysunlessexpresslystatedtobe“BusinessDays.”Iftheduedateforatask,payment,oranyotherrequirementfallsonaSaturday,SundayorholidayobservedbyKingCounty,theduedateshallbedeemedtobethenextBusinessDay.1.1.9TheheadingsandcaptionsinsertedintothisAgreementareforconvenienceofreferenceonlyandinnowaydefine,limit,orotherwisedescribethescopeorintentofthisAgreement,oranyprovisionhereof,orinanywayaffecttheinterpretationofthisAgreement.1.1.10ThisAgreementwasnegotiatedandpreparedbythePartiesandtheirrespectiveattorneys.ThePartiesacknowledgeandagreethattheruleofconstructionthatanambiguouscontractshouldbeconstruedagainstthedraftershallnotbeappliedinanyconstructionorinterpretationofthisAgreement.1.2DefinitionsPage2
WordsandtermsusedinthisAgreementandnototherwisedefinedherein(includingintherecitalswhichareherebyincorporatedintothisAgreementbythisreference)shallbegiventheirordinaryandusualmeaningsortheirwell-knowntechnicalindustrymeaningsexceptthatthefollowingtermsaredefinedforthisAgreementasfollows:1.2.1BoardofDirectorsorBoardmeanstheboarddescribedinSection4.0ofthisAgreementandshallbethegoverningbodyofthePSERNOperator.1.2.2AgreementmeansthisPugetSoundEmergencyRadioNetworkOperatorIntetlocalCooperationAgreement,asitmayhereafterbeamendedormodifiedfromtimetotime,togetherwithallexhibitsandappendiceshereto,astheymayhereafterbeamendedormodified.1.2.3ConsolidatedServiceAreameansthosegeographicareasofKingCounty,PierceCountyandSnohomishCounty,Washington,previouslyservedbytheemergencyradionetworksofKingCounty,theCityofSeattle,EPSCAandValleyCom,andwhichareasaretobeprospectivelyservedbythePSERNSystem.TheConsolidatedServiceAreashallalsoincludethoseothergeographicareasthatareaddedtotheareaservedbythePSERNSystemasexpandedinaccordancewithactionoftheBoardofDirectors.1.2.4DirectormeansapersondesignatedasamemberoftheBoardofDirectorspursuanttoSection4.2ofthisAgreement.1.2.5DispatchCentermeansanorganizationthathasenteredintoanagreementwithKingCountyorthePSERNOperatorforconsoleserviceonthePSERNSystem.1.2.6EPSCAmeanstheEastsidePublicSafetyCommunicationsAgency,formedpursuanttochapters39.34and24.06RCW,createdbythecitiesofBellevue,lssaquah,Kirkland,MercerIslandandRedmond,oritssuccessoragency.1.2.7ExecutiveDirectormeansthechiefexecutiveofficerforthePSERNOperatorappointedbyandservingatthepleasureoftheBoardofDirectors.1.2.8FullSystemAcceptanceorFSAmeansthedeterminationissuedtothePSERNSystemContractorupontheContractorsatisfactorilycompletingthefinalsystemdevelopmentphasemilestonepursuanttoKingCountyContractNo.5729347(ContractfortheDesign,Development,Implementation,TestingandOnGoingSupport,MaintenanceandUpgradeofthePugetSoundEmergencyRadioSystem,executedonDecember17,2014).1.2.9KCERSmeanstheKingCountyEmergencyRadioCommunicationSystem.1.2.10OperationsPeriodmeanstheperiodthatcommenceswiththefirstfullmonthafterFSAandcontinuingthroughthelifeofthePSERNSystem.Page3
1.2.11PSERNTransitionalEmployeemeansanindividual:(1)who,atthetimeofFSA,isemployedbyKingCounty,theCityofSeattle,EPSCA,orValleyCominamanagement,administration,finance,operations,and/ormaintenancepositionforasubregionofKCERCS;(2)whoseemploymentwithKingCounty,theCityofSeattle,EPSCA,orValleyComwillbeeliminatedasadirectresultofthePSERNproject;and(3)whowillnotbehiredbythePSERNOperatorinacomparablecapacitybecausethePSERNOperatorhasnoorfewercomparablepositions.1.2.12PugetSoundEmergencyRadioNetworkOperatororPSERNOperatormeansthegovernmentalagencyformedunderthisAgreementandRCW39.34.030(3)(b)thatisorganizedasanonprofitcorporationunderchapter24.06RCWasauthorizedbytheInterlocalCooperationActforthepurposeofowning,operating,maintaining,managingandongoingupgrading/replacingofthePSERNSystemduringtheOperationsPeriod.1.2.13PugetSoundEmergencyRadioNetworkSystemorPSERNSystemmeansthelandmobileradiosystemconstructedundertheImplementationPeriodILA.Italsomeansallequipment,software,andotherworkdeployedduringtheOperationsPeriodtoprovidepublicsafetycommunicationservice(s)oranadditiontoanexistinginfrastructureduringtheOperationsPeriodtoprovideneworadditionalpublicsafetycommunicationservice(s).1.2.14Systemmeansaninfrastructurethatisdeployedtoprovidepublicsafetycommunicationservice(s)oranadditiontoanexistinginfrastructuretoprovideneworadditionalpublicsafetycommunicationservice(s).1.2.15ServiceRatemeanstherateorrateschargedtoUserAgenciesinaccordancewiththeRateModelatExhibitA,orasitmaybeamendedbyactionoftheBoardofDirectors.1.2.16Servicesmeansvoice,data,video,orothercommunicationservicesprovidedtoUserAgenciesandDispatchCentersthroughanagreementwithKingCountyorthePSERNOperator.1.2.17UserAgencymeansanentitythatisauthorizedunderanagreementwithKingCountyorthePSERNOperatortoregisterandusearadioorotherdeviceonthePSERNSystem.1.2.18ValleyCommunicationsCenterorValleyCornmeanstheGovernmentalAdministrativeAgencyformedbyinterlocalagreementunderChapter39.34RCW,createdbythecitiesofAuburn,FederalWay,Kent,Renton,andTukwila.2.0DURATIONOFAGREEMENTThisAgreementshallbeeffectiveonthedateitislastsignedbyanauthorizedrepresentativeofeachthePartiesandisfiledand/orpostedasprovidedinSection15.2(“EffectiveDate”).ThisAgreementshallremainineffectuntilterminatedasprovidedinSection12.0.Page4
3.0PURPOSEOFTHEAGREEMENT;FINANCING;SERVICESThepurposeofthisAgreementistoprovidecommunicationServicesthroughouttheOperationsPeriodtoUserAgenciesandanyotheragenciespermittedtobelicensedinthe800MHzPublicSafetyRadioSpectrumpursuantto47C.F.R.Part90thatarewithintheboundariesoftheConsolidatedServiceArea.Toeffectuatethispurpose,thePartiesherebycreateagovernmentaladministrativeagencycalledthe“PugetSoundEmergencyRadioNetworkOperator”.ThePartieseachassigntothePSERNOperatortheresponsibilityofowning,operating,maintaining,managingandongoingupgrading/replacingofthePSERNSystemduringtheOperationsPeriodaspermittedbytheInterlocalCooperationAct.ThePSERNOperatorshallbeformedpursuanttoRCW39.34.030(3)(b)andshallbeorganizedasanonprofitcorporationunderchapter24.06RCW.ThePartiesheretoacknowledgeandagreethateachisexecutingthisAgreementinordertofacilitiatethecreationofthePSERNOperatorasaseparategovernmentaladministrativeagencypursuanttotheInterlocalCooperationActandnota“jointboard”withinthemeaningofRCW39.34.030(4)(a).Alldebts,obligationsandliabilitiesincurredbythePSERNOperatorshallbesatisfiedexclusivelyfromtheassetsandpropertiesofthePSERNOperatorandnocreditororotherpersonshallhaveanyrightofactionagainstthePartieshereto,theUserAgenciesoranyotherpublicorprivateentityoragencyonaccountofanydebts,obligations,orliabilitiesofthePSERNOperatorunlessexplicitlyagreedtoinwritingbythePartyhereto,theUserAgency,orsuchentityoragency.TheexpensesofthePSERNOperatorshallbefinancedthroughafundingmeasureapprovedbyvotersattheApril2015electionandwithuserfees(ServiceRates)tobeassessedagainstandpaidbyallUserAgencies.ItistheintentofthePartiesthatServiceRatesbecomputedasprovidedinExhibitAandbesettocoveralloperatingexpensesofthePSERNOperator,unlessotherwisedirectedbytheBoardofDirectors.ThisAgreementshallnotobligatethePartiestoincurdebtonbehalfofthePSERNOperator.EachParty’sfinancialobligationstoPSERNshallbelimitedtopaymentofServiceRatesunlessotherwiseagreeduponinwriting.ThePSERNOperatorshallhavetheresponsibilityandauthorityforprovidingcommunicationServicesasprovidedinthisAgreement,includingbutnotlimitedtoowning,operating,maintaining,managingandongoingupgrading/replacingofthePSERNSystemduringtheOperationsPeriodandallrelatedincidentalradiocommunicationsfunctions.4.0BOARDOFDIRECTORS4.1CreationofBoardofDirectorsThePSERNOperatorshallbegovernedbyaBoardofDirectorsthatisherebycreatedpursuanttotheInterlocalCooperationActandchapter24.06RCWthatshallactinthebestinterestsofPSERNandinfurtheranceofthepurposeofthisAgreement.TheBoard’sPage5
composition,powers,responsibilities,quorumandmeetingrequirementsshallbeincludedinthePSERNOperator’sarticlesofincorporationorbylaws.4.2CompositionoftheBoardofDirectors4.2.1TheBoardofDirectorsshallbecomposedofthefourfollowingvotingmembers:4.2.1.1theKingCountyexecutive,oradesigneeoftheexecutiveapprovedbytheKingCountycouncil;4.2.1.2theCityofSeattlemayor,orhis/herdesignee;4.2.1.3onemayororcitymanagerorhis/herdesigneerepresentingtheCitiesofBellevue,lssaquah,Kirkland,MercerIslandandRedmond(the“EPSCACities”);and4.2.1.4onemayororcitymanagerorhis/herdesigneerepresentingtheCitiesofAuburn,FederalWay,Kent,RentonandTukwila(the“ValleyComCities”).4.2.2TheBoardofDirectorsshallalsoincludetwononvotingmemberstocommentandparticipateindiscussionsbutwhoarenotentitledtovoteonanymatter.OnenonvotingmembershallbeappointedbytheKingCountyPoliceChiefsAssociationandonememberselectedjointlybytheKingCountyFireCommissionersAssociationandtheKingCountyFireChiefsAssociation.4.2.3AnauthorizedrepresentativeofKingCounty,theCityofSeattle,theValleyComCitiesandtheEPSCACitiesshallprovidewrittennoticeofitsinitialBoardofDirectorsmemberandalternatemembertotheChairoftheJointBoardestablishedundertheImplementationPeriodILA.Thereafter,noticeofachangetoaParty’sBoardofDirectorsmemberoralternateshallbeeffectiveupondeliveryofwrittennoticetotheChairoftheBoardofDirectors.Thenoticeshallincludethenameandcontactinformationforthenewmemberoralternate.4.2.4AnauthorizedrepresentativeofKingCounty,theCityofSeattle,theValleyComCitiesandtheEPSCACitiesshallpromptlyreplaceanyvacancyinitsBoardofDirectorsmemberoralternateandmay,atanytime,replaceitsBoardofDirectorsmemberoralternatebygivingnoticeasprovidedinSection4.2.3.IftheCountyortheCityofSeattlefailstofillavacancyforitsBoardofDirectorsmemberandalternate,itschiefexecutiveofficerorhis/herdesigneeshallattendallmeetingsuntiloneofthevacanciesisfilled.IfoneofthegroupsofcitieslistedinSections4.2.1.3or4.2.1.4failstofillavacancyforitsBoardofDirectorsmemberandalternate,thenthechiefexecutiveofficerorhis/herdesigneeofoneofthecitiesinthatgroupshallattendallmeetingsuntiloneofthevacanciesisfilled.4.2.5TheofficersofthePSERNOperatorshallconsistofaChair,ViceChair,aSecretary,aTreasurerandsuchotherofficersandassistantofficersasmaybedeemednecessaryandsetforthinthebylaws.AnytwoormoreofficesmaybePage6
heldbythesameperson,excepttheofficesofChairandSecretary.TheofficersshallbeelectedfromamongthevotingmembersoftheBoard.TheChairshallpresideatthemeetingsoftheBoardofDirectors.TheViceChairshallserveintheabsenceoftheChair.4.3QuorumandMeetingProcedures4.3.1AquorumforameetingoftheBoardofDirectorsshallbeallfouroftheBoardmemberswhohavevotingauthority.ActionbytheBoardofDirectorsshallrequiretheaffirmativevoteofallfourvotingBoardmembers,exceptasprovidedotherwiseinthisAgreement.4.3.2AnyBoardofDirectorsmemberwhohasvotingauthoritymayrequestthatavoteonameasurebedeferreduntilthenextmeeting.Themeasureshallthenbedeferredforonemeetingunlesstheotherthreevotingmembersfindeitherthatthereisanemergencyrequiringthatthevotebetakenattheoriginallyscheduledmeetingorthatadelaywouldlikelyresultinharmtothepublic,UserAgenciesorthePSERNOperator.AvoteonthesamemeasureshallnotbedeferredasecondtimewithouttheconcurrenceofthemajorityoftheBoardofDirectors’votingmembers.4.3.3TheBoardofDirectorsshallestablishbylawsandproceduresforitsoperationsandmeetingsincludingsettingaregularmeetingscheduleandlocation,providingfortheschedulingofspecialandemergencymeetings,andprovidingforattendancebytelephoneorotherelectronicvoicecommunication.4.3.4TheregularmeetingscheduleshallbeestablishedbytheBoardofDirectors,withaminimumoftwomeetingsbeingheldeachcalendaryear.SpecialoremergencymeetingsmaybecalledbytheChairorbyatleasttwovotingmembersoftheBoard.4.3.5ThefirstmeetingoftheBoardofDirectorswillbeheldassoonaspracticableandnecessarytobeginoperationsofthePSERNOperator.ThemembersdescribedinSection4.2.3shallattendthemeetingandshallelectaChairandViceChairtoserveatermthatwillbeginuponelectionandextendthroughtheremainderofthatcalendaryearandthecalendaryearimmediatelyfollowing.Thereafter,theBoardofDirectorsshallelectaChairandViceChairatthefinalmeetingofeachyeartoalloweachtoserveatwo-yeartermthatwillbeginonJanuary1ofthefollowingyear.4.3.6TheBoardofDirectorsshallholdanannualmeetingtocoincidewiththefirstregularmeetingeachyear.Duringtheannualmeeting,theExecutiveDirectorshallreportonthestateofthePSERNOperator.4.3.7TheBoardofDirectorsshalltakeactionsbyvoteandeachvotingBoardmembershallbeentitledtoonevote.Allvotesshallhaveequalweightinthedecision-makingprocess.AnyvotingBoardmembermaycallforavoteonanissue.MeetingsshallbeconductedaccordingtothemostrecenteditionofRobert’sRevisedRulesofOrderunlessotherwisedirectedbytheBoardofDirectors.Page7
4.3.8Boardmembersmustbepresentatameetingtovoteandmaynotvotebyproxy,providedthat,ifprovidedforinthebylaws,amembermayparticipateinBoardmeetingsandmayvoteonBoardissuesviatelephoneorotherelectronicvoicecommunication.4.3.9TheBoardofDirectorsshallcomplywithapplicablerequirementsoftheWashingtonStateOpenPublicMeetingsAct,Chapter42.30RCW.4.3.10AnalternateattendingBoardofDirectorsmeetingsonbehalfofaregularmemberoftheBoardshallbeconsideredtobeamemberforpurposesofthatmeetingandentitledtoexerciseallrightsofthemembertoparticipateinsuchmeetings,includingparticipatingindiscussion,makingmotions,andvotingonmatterscomingbeforetheBoard.4.3.11NotwithstandinganyotherprovisioninthisAgreement,theBoardofDirectorsmaytakeactionbythreeaffirmativevoteswheneachofthefollowingconditionsismet:(1)amatterhasbeenidentifiedforactioninthenoticeorproposedagendaforatleasttwomeetingsinarow,and(2)bothmeetingswereregularlyscheduledmeetingsorproperlynotifiedandscheduledspecialmeetingsinaccordancewiththebylawsandRCW42.30,and(3)thesamevotingmemberfailedtoattendbothmeetingsandfailedtosendanalternate.Inthisevent,forthisoneactionitemonly,aquorumoftheBoardofDirectorswillconsistofthreemembers.4.4BoardofDirectorsActionsThePSERNOperator,throughitsBoardofDirectors,shallhaveallpowersallowedbylawforinterlocalagenciescreatedunderRCW39.34.030andchapter24.06RCW,astheynowexistormayhereafterbeamended,andasauthorized,amended,orremovedbytheBoardofDirectors,asprovidedforinthisAgreement,andincludingbutnotlimitedtothefollowing:a.AmendthisAgreement,subjecttoSection15.13;b.EstablishcommitteesandadvisorygroupstoperformactivitiesrelatedtothePSERNSystem;c.Adoptandamendbudgetsandapproveexpenditures;d.AdoptandamendpoliciesandbylawsfortheadministrationandregulationofthePSERNOperator;e.Adoptandamendpurchasingandcontractingpoliciesconsistentwithstatelaw;f.DirectandsupervisetheactivitiesoftheOperatingBoard;g.DirecttheactivitiesoftheExecutiveDirector;Page8

w.RecommendactiontothelegislativebodiesofthePartiesandUserAgencies;w.DelegatetheBoardofDirectors’authorityunderthisAgreementsubjecttoanyapplicablelawandtosuchlimitationsandconditionsastheBoardofDirectorsmayestablish;x.EnterintoagreementswithotheragenciestoaccomplishtasksforthePSERNOperatorsuchasagreementsforservicessuchasprocurementandpropertyleasing;y.Contractforstaffthroughagreementswithotheragenciesthatspecifytheemploymentpolicies,compensationsamounts,andsupervisorystructurethatwillapplytosuchstaff;z.ExerciseanypowersnecessarytofurtherthegoalsandpurposesofthisAgreementthatareconsistentwiththepowersoftheParties;aa.AddpartiestothisAgreementandconcurrentlyamendthemembershipoftheBoardofDirectors,subjecttothelimitationsofSection15.13;bb.Takenecessaryactionstoprepareandplanforapublicsafetyradiosystem(s)tosucceedthePSERNSystem;cc.Totheextentpermittedbylaw,acceptloansorgrantsoffundsfromanyfederal,state,localorprivateagenciesandreceiveanddistributefunds;anddd.ThePSERNOperatorshallhavenopowertolevytaxes.4.5ImpasseResolutionProcedure4.5.1IfamatterrequiringBoardactionismovedataBoardofDirectorsmeetingbutfailsforlackofaunanimousvotebyallfour(4)Directors,avotingDirectormaysubmitwrittennoticeofanimpassetotheotherDirectorsandtheExecutiveDirector.ThenoticeshallincludeastatementoftheactionbeingsoughtandthehistoryofanyBoarddeliberationorvote(s)onthematter.4.5.2Withinseven(7)daysofreceiptofanoticeofimpasse,theBoardChairshalldesignateamediatortoassisttheBoardinresolvingtheimpasse.Themediatorshallbeexperiencedinresolvingdisputesamongpublicsectorand/ornonprofitagenciesandmaynotbeanemployeeorconsultantofanyoftheParties,unlessotherwiseagreedtobytheParties.4.5.3ThePartiesagreethatitisessentialtothesuccessofthePSERNSystemthatanyimpasseberesolvedasquicklyaspossibleandaccordinglyagreetoinstructtheirrespectiveDirectorstocooperatewiththemediatoringoodfaith,includingexpeditingresponsestoanymediatorrequestsforinformationanddiscussion.Page10
4.5.4ThemediatorshallpromptlyinvestigatetheimpasseandtherespectivepositionsofthevotingDirectors.Themediatormayrecommendoneormorenonbindingalternativesforresolvingtheimpasse.Regardlessoftheoutcomeofthemediation,thecostofthemediator’sfeesandexpensesshallbedividedintofourequalpartstobepaidby(1)theCounty,(2)theCity,(3)theEPSCACitiesandthe(4)ValleyCornCities.TheEPSCACitiesandValleyCornCitiesshalleachberesponsibleforapportioningtheironequartershareofthecostsamongtheirmembersandforinformingthePSERNOperatoroftheapportionment.ThePSERNOperatorshallpaythemediatorandinvoiceeachPartyforitsshare.EachPartyshallpaythePSERNOperatorwithinthirty(30)daysoftheParty’sreceiptoftheinvoice.4.5.5Iftheimpasseisnotresolvedwithinten(10)daysofthemediatorprovidinghis/herrecommendation(s),theElectedExecutivesCommittee(EEC)shallmeetwiththeBoardofDirectorstoattempttoresolvetheimpasse.TheEECshallbecomposedoftheKingCountyExecutive;theMayoroftheCityofSeattle;oneelectedofficialdesignatedbytheEPSCACities;andoneelectedofficedesignatedbytheValleyCornCities.TheBoardofDirectorsandtheEECshallconvenetoconsiderthematterandattempttoteacharesolution,whichmayincluderesubmittingthematterforaBoardofDirectorsvote,notlaterthantwenty(20)daysafterthedatethemediatorprovidedhis/herrecommendation(s).5.0OPERATINGBOARDTheBoardofDirectorswillcreateanOperatingBoardofPSERNSystemUserAgencies,whichwillincludeatleastonefirecommissionerasamember,toprovideadviceandperformotherdutiesasdeemedappropriatebytheBoardofDirectors.TheobligationtocreateandmaintainanOperatingBoardshallbeincludedinthePSERNOperator’sarticlesofincorporationorbylaws.6.0EXECUTIVEDIRECTORIftheExecutiveDirectorisdirectlyhiredasanemployeeofthePSERNOperator,theBoardshallberesponsiblefortheappointmentandterminationoftheExecutiveDirector.IftheBoardentersintoanagreementwithanothergovernmentalagencytocontractforanExecutiveDirector,theagreementshallgivetheBoardtheauthoritytoappointtheExecutiveDirectorandtoterminatetheExecutiveDirectorfromhis/herposition.TheExecutiveDirectorshallreporttotheBoardofDirectorsandshallregularlyadvisetheBoardonmattersrelatedtotheoperationandfunctionsofthePSERNSystemandthePSERNOperator,includingproposedbudgets,financialandliabilityissues,andallotherappropriatemattersrelatedtothePSERNSystemandthePSERNOperator.TheExecutiveDirectormayalsorequestassistancefromtheOperatingBoardtoaddresstaskscallingfortechnicalanduser-relatedexpertise.6.1ExecutiveDirectorDutiesTheExecutiveDirectorshall:Page11
a.ManagethePSERNOperator’sday-to-dayactivitiesconsistentwithapplicablepolicies,procedures,andstandards;b.RetainappropriatePSERNOperatorstaffeitherthroughthedirecthireofsuchstafforthroughanagreementwithanagencytoprovidesuchstaff;c.Hire,evaluate,supervise,discipline,andterminatestaffincompliancewithapplicablebudget,policies,procedures,agreementsandstandards;d.ProposeandadministerAnnualBudgetsincludingacontingency;e.ConsistentwithapplicablebudgetandprocurementpoliciesadoptedbytheBoard,approveexpendituresandsigncontractsinamountsasestablishedbytheBoardofDirectorswithoutadditionalapprovaloftheBoardofDirectors;f.TracktheperformanceofPSERNsystemsandServices;g.ProvidesupporttotheBoardofDirectors;h.Recommendpolicies,procedures,andstandards,andchangesthereto,includingwithoutlimitationpoliciesgoverningtheprocurementofgoods,services,publicworksandimprovements,staffingandemergencyresponses;i.ProvidewrittenmonthlyreportstotheBoardofDirectorsdescribingthePSERNOperator’sbudgetstatus,PSERNSystemperformanceagainsttargets,partialorfullPSERNSystemoutages,purchasesequaltoorgreaterthan$10,000,andusagestatistics;j.Maintainandmanagerecordsinaccordancewithapplicablestateandfederallawsandregulations;k.PrepareanannualreportforthePSERNOperatorasrequiredbyRCW23.95.255;andI.PerformotherdutiesasassignedbytheBoardofDirectors.6.2QualificationsandStatusoftheExecutiveDirectorTheExecutiveDirectorshallhaveexperienceorcomparableequivalentskillsinthetechnical,financialandadministrativefieldsofpublicsafetyradioandhisorherappointmentshallbeonthebasisofmeritonly.IftheExecutiveDirectorisdirectlyhiredbythePSERNOperator,he/shewillserveinan“atwill”positionthatmaynotbemodifiedbyanyPSERNAgencypolicy,rule,orregulationregardingdisciplineorterminationofPSERNAgencyemployees,andaccordingly,theExecutiveDirectormayonlybeterminatedfromhisorherpositionbytheBoardofDirectors.7.0EMERGENCYPROCEDURESPage12
Inthecaseofanemergency,theExecutiveDirectorshallhavetheauthoritytoissueadeterminationofemergencyunderapplicablelaw.TheExecutiveDirectorshallcommunicatetotheBoardofDirectorseachdecisionmadepursuanttoanyemergencydeterminationassoonasreasonablypossibleandshallissueawrittenfindingoftheexistenceoftheemergencynolaterthantwoweeksfollowingtheawardofanycontractexecutedpursuanttotheemergencydetermination.8.0PSERNOPERATOREMPLOYMENT8.1EmployeesGenerallyTheBoardofDirectorsshallrequirethePSERNOperatortocomplywithallapplicablefederal,stateandlocallaws,ordinancesandregulationspertainingtoallcurrentandfutureemployees.Inaddition,thePSERNOperatorshallbeanequalopportunityemployerandmakereasonableeffortstomaintainadiverseworkforce.8.2.EmploymentofCurrentRegularEmployees8.2.1OfferofEmployment8.2.1.1AsoftheEffectiveDateofthisAgreement,thereare3.0FTECityofSeattleemployeesand8.0FTEKingCountyemployeeswhoareemployedtoprimarilyworkonKCERCSinfrastructureandwhosejobdutieswillbeassumedbythePSERNOperatorafterFSA(“QualifiedEmployees”).ItistheintentionofthePartiesthateachofthoseQualifiedEmployeeshavetheoptionofworkingforthePSERNOperatorandthatthePSERNOperatorandtheCountyandCityofSeattlewillworkcooperativelytotransitiontheemployeeswhoacceptsuchoptiontoworkforthePSERNOperatoronaschedulethatdoesnotadverselyimpactpublicsafetyfunctionspriortoFSA.8.2.1.2DirectlyHiredEmployeesIftheBoardofDirectorsdeterminesthatPSERNOperatorstaffshallbedirectlyhiredbythePSERNOperatorandtoimplementtheintentofSection8.2.1.,thennolaterthanthedatetobesetbytheBoardofDirectors,thePSERNOperatorwillofferemploymenttoeachoftheQualifiedEmployeesforsimilaremploymentwiththePSERNOperator.Theoffershallremainopenfornomorethanthirty(30)daysunlessotherwisedeterminedbytheBoardofDirectors.EachQualifiedEmployeewhoacceptstheoffershallbecomea“TransferringEmployee.”ThePSERNExecutiveDirectorshallusebesteffortstoensureeachTransferringEmployeeasmoothandprompttransitiontoemploymentwiththePSERNOperator.TheBoardofDirectorsshallrequirethePSERNOperatortouseitsbesteffortstooffertheTransferringEmployeesopportunitiesforprofessionaladvancementandapackageofemployeebenefitsthataresimilartothePage13
opportunitiesandbenefitsavailabletotheTransferringEmployeesattheircurrentagencyatthetimeoftransitiontoPSERNemployment.8.2.1.3Agency-ProvidedEmployeesIftheBoardofDirectorsdeterminesthatPSERNOperatorstaffwillbecontractedforthroughanagreementwithanothergovernmentalagency,thennolaterthanthedatesetbytheBoardofDirectors,theagencyprovidingsuchstaffwillofferemploymenttoeachoftheQualifiedEmployeesforsimilaremploymentwiththeagencyforPSERNOperatorwork.Theoffershallremainopenfornomorethanthirty(30)daysunlessotherwisedeterminedbytheagencyprovidingthePSERNOperatorstaff.EachQualifiedEmployeewhoacceptstheoffershallbecomean“AgencyEmployee.”TheagencyprovidingPSERNOperatorstaffshallusebesteffortstoensureeachAgencyEmployeeasmoothandprompttransitiontoemploymentwiththeagencyandworkforthePSERNOperator.8.2.2RetirementBenefitsIftheBoardofDirectorsdeterminesthatPSERNOperatorstaffshallbedirectlyhired,thenthePSERNOperatorwillparticipateinthePublicEmployees’RetirementSystem(PERS)andwillofferPERSretirementbenefitsthroughtheWashingtonStateDepartmentofRetirementSystemstoTransferringEmployeesandTransitionalEmployees.8.3TemporaryEmploymentofPSERNTransitionalEmployees8.3.1AnyPSERNTransitionalEmployeewhorequeststemporaryemploymentwiththePSERNOperatorshallbeemployedasatemporaryemployeebythePSERNOperatororifthePSERNOperatordoesnotdirectlyhireitsemployees,thenbytheagencyprovidingstaffforthePSERNOperator..Theperiodoftemporaryemploymentshallnotexceedeighteen(18)monthsfromthetimeoftransitiontosuchemploymentorashorterdurationifrequestedbythePSERNTransitionalEmployee.Thetimeoftransitionshallbewithin60daysafterFSAunlessanotherdateisagreedtobythePSERNOperatorandthePSERNTransitionalEmployee.8.3.2WhileemployedastemporaryemployeesperformingworkforthePSERNOperator,PSERNTransitionalEmployeesshallbeentitledtoasalaryandpackageofbenefitssimilartowhattheTransitionalEmployeereceivedpriortohisorhertransitiontoPSERNOperatorwork.Thefullcostofcompensation,includingsalaryandbenefits,providedtoPSERNTransitionalEmployeesshallbepaidbythePSERNOperator,eitherdirectlyorpursuanttoanagreementwithanotheragencyfortheprovisionofstaff.8.3.3WhileemployedastemporaryemployeesperformingworkforthePSERNOperator,PSERNTransitionalEmployeesmustmeetallemploymentrequirementsapplicabletopermanentPSERNOperatoremployeesoremployeesoftheapplicableemployingagency.NothinginthisAgreementshallprecludethePage14
PSERNOperator’sorapplicableemployingagency’sabilitytotakeemploymentaction,uptoandincludingterminationofemployment,regardingaPSERNTransitionalEmployeewhofailstomeetanyrequirementofhis/heremployment.8.3.4NothinginthissectionshallprecludethePSERNOperatororanapplicableemployingagencyfromhiringaPSERNTransitionalEmployeeservingasatemporaryemployeetoapermanentposition.8.4NoThird-PartyBeneficiaries.EmployeesaffectedbythisAgreementarenotintendedtobethird-partybeneficiariestothisAgreementandcannotsuetoenforceitsterms.9.0ServiceLevelRequirements9.1ContractorServicesThePSERNOperatorshallensurethefollowingservicesareprovidedbytheContractorthroughouttheexpectedservicelifeofthePSERNSystem:(i)technicalsupport;(ii)infrastructurerepair;(iii)Systemupdates;and(iv)Systemupgrades.9.2MinimumPerformanceThePSERNOperatorshallensurethefollowingminimumperformancerequirementsforthePSERNSystem:(i)DAQ3.4;(ii)97%reliability;(iii)97%portableon-streetcoverageinthePrimaryBoundedArea;(iv)95%portableon-streetcoverageintheHighwayBufferCoveredAreas;(v)gradeofserviceof1.0;(vi)99.999%availabilityofbackhaul;(vii)atleast17dbaddedsignalabovethebaselinePSERNdesignwithinthethree(3)polygoncoverageareasshowninExhibitB;and(viii)provide97%portableon-streetcoveragewith97%SAR(serviceareareliability)inthethree(3)polygoncoverageareasshowninExhibitB.10.0RESERVED11.0WITHDRAWALANDREMOVAL11.1WithdrawalofaPartyPage15
11.1.1APartymaywithdrawfromthisAgreementeffectiveonthelastdayofacalendaryearbygivingwrittennoticetotheBoardatleasttwoyearspriortotheproposedeffectivedateforwithdrawal.11.7.2AnyPartythathasgivennoticeofitsintenttowithdrawmustmeetwiththeExecutiveDirectororhisorherdesigneetodevelopadepartureplanthatisintendedtoensureanorderlyseparationofthePartyfromthePSERNOperatorinamannerthatisconsistentwiththisAgreement.ThedepartureplanmayincludethetransferoffundsandequipmentorotherassetsandsuchplanmustbeapprovedbyunanimousvoteoftheBoardofDirectors.17.1.3CostsofWithdrawal17.7.3.1APartythatwithdrawsshallremainresponsibleforanyobligationsthatarosepriortotheeffectivedateofthewithdrawalandforanythatarespecifiedunderSection15.17assurvivingawithdrawal.11.1.3.2Asaconditionofwithdrawal,thewithdrawingPartymustpayanydirectcostsresultingfromthewithdrawal.TheBoardofDirectorsmayalsosetadifferentwithdrawaldateasitdeemsappropriate;however,thewithdrawaldateshallnotbelaterthanoneyearafterthewithdrawingParty’sproposedwithdrawaldate.11.1.3.3AnycostsorotheramountsowedbyawithdrawingPartyunderthisAgreementoranyotheragreementbetweenthewithdrawingPartyandthePSERNOperatorshallbepaidpriortotheeffectivedateofthewithdrawalor,ifsuchamountsarenotthenknownorestablished,thenwithinthirty(30)daysaftertheamountisknownorestablished.However,thewithdrawingPartyshallnotberesponsibleforamountsnotknownorestablishedwithinonehundred(100)daysofthedateofwithdrawal.11.1.4AmemberoftheBoardofDirectorsrepresentingaPartythathasgivennoticeofwithdrawalwhichiseffectiveatafuturedate,shallbeauthorizedtocastvoteswiththeBoardofDirectorsonlyonbudgetsandotheritemstobeimplementedpriortothewithdrawaldateunlesspermissiontovoteonamatterisgrantedbyallremainingBoardmembers.11.1.5APartythathasgivenitsnoticeofwithdrawalmayrevokeitsnoticeofwithdrawalbydeliveringawrittennoticeofsuchrevocationtotheBoardofDirectors.TheBoard,initssolediscretion,maybyunanimousvoteoftheremainingmembersoftheBoard,determinetoacceptordenytherevocationandunderwhatconditionsanyacceptanceshallbepermitted.11.1.6IfaPartywithdrawsfromthisAgreement,thewithdrawingPartywillforfeitanyandallrightsitmayhavetoPSERNSystemreal,personal,orintellectualpropertyandanyrightstoparticipateinthePSERNOperator,unlessotherwiseprovidedbytheBoardofDirectors.11.2RemovalofaBoardMember.Page16
TheBoardofDirectorsmay,bymajorityvoteandforcause,removeaBoardmemberfromtheBoardofDirectorsandterminatetheBoardmember’srighttoparticipateingovernanceofthePSERNOperator.ImmediatelyafterthevoteremovingaBoardmember,theParty’salternateshallbecomeitsBoardofDirectorsmember.lithePartyhasnotdesignatedanalternate,thevacancyprovisionsinSection4.2.4shallapply.CauseforremovalmayincludefailuretoactingoodfaithinparticipatingintheBoardofDirectorsandwillful,arbitraryfailuretoperformtheBoardmember’sobligationsassetforthinthisAgreement.12.0DISSOLUTIONANDTERMINATION12.1Three(3)ormoreDirectorsmay,atanyonetime,callforavoteonthecompletedissolutionofthePSERNOperatorandterminationofthisAgreement.Uponboth:(a)theaffirmativevoteofamajorityofthefullBoardfordissolutionandtermination;and(b)theaffirmativevoteofamajorityoftheParties’legislativebodiesfordissolutionandtermination,theBoardshallestablishataskforcetodeterminehowthePSERNSystemassetsandliabilitieswillbedivideduponsuchdissolutionandtermination.Forpurposesofthissection,eachPartyshalldeterminewhatconstitutesanaffirmativevoteofitslegislativebody.12.2ApprovaloftheplanfordispositionofthePSERNSystemassetsandliabilities(the“DispositionPlan”)shallrequireaunanimousaffirmativevoteofthefullBoard.IftheBoardfailstoapprovetheDispositionPlanwithinone(1)yearofthelastlegislativebodyvoteunderSection12.1.b,thePartiesshallproceedwiththeimpasseresolutionproceduresinSection4.5.12.3FollowingtheapprovaloftheDispositionPlan,thePSERNOperatorshallwindupbusinessinaccordancewiththeDispositionPlanandanyothertermssetbytheBoard.TheBoardshallsetthedateforterminationofthisAgreementbyaffirmativemajorityvoteofthefullBoard.13.0LEGALRELATIONS13.1EmployeesandNoThirdPartyBeneficiaries13.1.1NothinginthisAgreementshallmakeanyemployeeofonePartyanemployeeofanotherPartyforanypurpose,including,butnotlimitedto,forwithholdingoftaxes,paymentofbenefits,worker’scompensationpursuanttoTitle51RCW,oranyotherrightsorprivilegesaccordedbyvirtueoftheiremployment.NoPartyassumesanyresponsibilityforthepaymentofanycompensation,fees,wages,benefitsortaxestooronbehalfofanyotherParty’semployees.NoemployeesoragentsofonePartyshallbedeemed,orrepresentthemselvestobe,employeesofanotherParty.13.1.2ItisunderstoodandagreedthatthisAgreementissolelyforthebenefitofthePartiesandgivesnorighttoanyotherpersonorentity.13.2Indemnification.Page17
EachPartytothisAgreementshallprotect,defend,indemnify,andsaveharmlesstheotherPartiesandtheirrespectiveofficialsandemployees,fromanyandallclaims,arisingoutof,orinanywayresultingfrom,theindemnifyingParty’swillfulornegligentactsoromissionsarisingoutofthisAgreement.NoPartywillberequiredtoindemnify,defend,orsaveharmlessanyotherPartyiftheclaim,suit,oractionforinjuries,death,ordamagesiscausedbythesolenegligenceofthatotherParty.Wheresuchclaims,suits,oractionsresultfromconcurrentnegligenceoftwoormoreParties,theseindemnityprovisionsshallbevalidandenforceableonlytotheextentofeachParty’sownnegligence.EachofthePartiesagreesthatitsobligationsunderthisSectionextendtoanyclaim,demand,and/orcauseofactionbroughtby,oronbehalfof,anyofitsemployeesoragents.Forthispurpose,eachoftheParties,bymutualnegotiation,herebywaives,withrespecttoeachoftheotherPartiesonly,anyimmunitythatwouldotherwisebeavailableagainstsuchclaimsundertheIndustrialInsuranceprovisionsofTitle51RCW.Anylossorliabilityresultingfromthenegligentacts,errors,oromissionsoftheBoardofDirectors,OperatingBoard,ExecutiveDirectorand/orstaff,whileactingwithinthescopeoftheirauthorityunderthisAgreement,shallbebornebythePSERNOperatorexclusively.13.3InsuranceTheBoardofDirectors,ExecutiveDirector,andPSERNOperatorshalltakesuchstepsasarereasonablypracticabletominimizetheliabilityoftheParties,includingbutnotlimitedtotheutilizationofsoundbusinesspractices.TheBoardofDirectorsshalldeterminewhich,ifany,insurancepoliciesorself-insuranceprogramsforgovernmentalentitiesauthorizedintheStateofWashingtonmaybereasonablyandpracticablyacquiredtocoverliabilityexposuresandotherpotentiallossesarisingfromtheoperationsofthePSERNOperatorandtheactivitiesofthePartiespursuanttothisAgreement(whichmayincludeDirectorsandOfficers,CommercialGeneralLiability,Auto,Workers’Compensation,StopGap/Employer’sLiability,errorsandomissions,crime!fidelityinsurance,CyberRisk,propertydamageorloss),andshalldirecttheacquisitionofsame.14.0PUBLICRECORDS14.1TheExecutiveDirectorshallkeeprecordsrelatedtothePSERNSystemandPSERNOperatorasrequiredbylawandinaccordancewiththepolicies,proceduresandretentionschedulesasmaybeestablishedbytheBoardofDirectors.14.2EachPartyshallkeeprecordsrelatedtothePSERNSystemandPSERNOperatorasrequiredbylawandinaccordancewithsuchthepolicies,proceduresandretentionschedulesasmaybeestablishedbytheParty,andeachPartyshallberesponsibleforrespondingtopublicdisclosurerequestsaddressedtoitinaccordancewiththeWashingtonPublicRecordsAct,Chapter42.56RCW,andsuchproceduresasmaybeestablishedbytheParty.14.3TheExecutiveDirectorshallberesponsibleforrespondingtopublicdisclosurerequestsaddressedtothePSERNOperatorinaccordancewiththeWashingtonPublicRecordsAct,Chapter42.56RCW,andsuchproceduresasmaybeestablishedbytheBoardofDirectors.Page18
15.0GENERAL15.1RESERVED15.2FilingofAgreementPursuanttoRCW39.34.040,priortoitsentryintoforce,thisAgreementshallbefiledwiththeKingCountyRecorder’sOfficeor,alternatively,listedbysubjectonaParty’swebsiteorotherelectronicallyretrievablepublicsource.15.3TimeoftheEssenceThePartiesrecognizethattimeisoftheessenceintheperformanceoftheprovisionsofthisAgreement.15.4CompliancewithLawsDuringthetermofthisAgreement,thePartiesheretoagreetocomplywithallfederal,state,andlocallawsasnecessarytocarryoutthetermsofthisAgreement.Further,totheextentthatanyemergencycommunicationServicesinvolvetheretention,security,confidentialityorotherhandlingofcertain‘protected”healthinformationunderthefederalHealthInsurancePortabilityandAccountabilityActof1996(“HIPAA”)anditsimplementingregulationsthereunderbytheU.S.DepartmentofHealthandHumanServicesandotherapplicablelawsincludingchapter70.02RCW,theWashingtonUniformHealthCareInformationAct,asamended,thePartiesagreetocomplywithsuchlawsandexecutedocumentsasnecessarytoimplementtherequirementsundersuchlaws.15.5SpecificPerformanceIntheeventaPartyfailstoperformanobligationunderthisAgreement,theotherPartiesoranyoneofthemshallhavetherighttobringanactionforspecificperformance,damagesandanyotherremediesavailableunderthisAgreement,atlaworinequity.15.6NoWaiverNotermorprovisionofthisAgreementshallbedeemedwaivedandnobreachexcusedunlesssuchwaiver,excuse,orconsentshallbeinwritingandsignedbythePartyorPartiesclaimedtohavewaivedorconsented,IfthewaivingorconsentingPartyisthePSERNOperator,thenthewritingmustbesignedbyallofthevotingmembersoftheBoardofDirectors.WaiverofanydefaultofthisAgreementshallnotbedeemedawaiverofanysubsequentdefault.WaiverofbreachofanyprovisionofthisAgreementshallnotbedeemedtobeawaiverofanyotherorsubsequentbreach.WaiverofsuchdefaultandwaiverofsuchbreachshallnotbeconstruedtobeamodificationofthetermsofthisAgreementunlessstatedtobesuchthroughwrittenapprovalofallParties.15.7PartiesNotRelievedofStatutoryObligationPage19
PursuanttoRCW39.34.030(5),thisAgreementshallnotrelieveanyPartyofanyobligationorresponsibilityimposeduponitbylawexceptthat,totheextentofactualandtimelyperformancethereofbytheBoardofDirectors,theperformancemaybeofferedinsatisfactionoftheobligationorresponsibility.15.8NondiscriminationThePartiesshallcomplywiththenondiscriminationrequirementsofapplicablefederal,stateandlocalstatutesandregulations.15.9NoAssignmentNoPartyshalltransferorassignaportionorallofitsresponsibilitiesortightsunderthisAgreement,exceptwiththepriorauthorizationoftheBoardofDirectors.15.10Merger,ConsolidationorSaleofAllorSubstantiallyAllAssetsApprovalofthemergerorconsolidationofthePSERNOperatorwithanotherentity,orthesaleofallorsubstantiallyallassetsofthePSERNOperator,shallrequireaunanimousvoteoftheBoardofDirectors.15.11DisputeResolutionIfoneormorePartiesbelieveanotherPartyhasfailedtocomplywiththetermsofthisAgreement,theaffectedPartiesshallattempttoresolvethematterinformally,lithePartiesareunabletoresolvethematterinformally,anyPartymaysubmitthemattertomediationunderSection4.5.Inanyevent,ifthematterisnotresolved,thenanyPartyshallbeentitledtopursueanylegalremedyavailable.15.12EntireAgreementThePartiesagreethatthisAgreement,includinganyattachedexhibits,constitutesasingle,integrated,writtencontractexpressingtheentireunderstandingandagreementbetweentheParties.Nootheragreement,writtenororal,expressedorimplied,existsbetweenthePartieswithrespecttothesubjectmatterofthisAgreement,andthePartiesdeclareandrepresentthatnopromise,inducement,orotheragreementnotexpresslycontainedinthisAgreementhasbeenmadeconferringanybenefituponthem.15.13Amendments15.13.1ExceptasprovidedinthisSection,theAgreementmaybeamendedbytheBoardofDirectorsfromtimetotimeinordertocarryoutthecorporatepurposesofthePSERNOperator.AnysuchmodificationshallbeinwritingandexecutedbytheChairoftheBoardofDirectorsafterprovidingnotlessthanthirty(30)days’advancewrittennoticetoallPartiesofsuchproposedmodification,anduponunanimousapprovaloftheBoardofDirectors.However,thefollowingtermsofthisAgreementmayonlybeamendedinwritingafterapprovalofeachofthelegislativebodiesofSeattle,KingCounty,EPSCA,andValleyCom;however,forpurposesofthislegislativedetermination,EPSCAandValleyCornwilleachberesponsibletoPage20

MEMORANDUMOFUNDERSTANDINGThisMemorandumofUnderstanding(MOU)isenteredintoamongthecitiesofAuburn,FederalWay,Kent,Renton,andTukwila,thefivemembercitiesthatformedValleyCommunicationsCenter,aGovernmentalAdministrativeAgencycreatedbyinterlocalagreementunderChapter39.34RCW(ValleyCom).RECITALSA.ValleyCornisresponsiblefortheownership,operationandmaintenanceofvariouselementsinthecurrentKingCountyEmergencyRadioCommunicationsSystem(KCERCS),avoiceradiosystemthathasbeeninexistencesince1993andisincreasinglyunsupportedbythesupplierofthesystem’sequipment,software,andrelatedrepairs.B.ValleyCorn,KingCounty,thecityofSeattle,andtheEastsidePublicSafetyCommunicationsAgency(EPSCA)determinedthatitisinthepublicinteresttoimplementanewpublicsafetyradiosystem,thePugetSoundEmergencyRadioNetwork(PSERN),thatwillprovidepublicsafetyagenciesandotherusergroupsintheregionwithimprovedcoverageandcapacity,aswellasuniformlyhigh-qualityemergencyradiocommunications.C.ThecostsofimplementingthePSERNsystemarefinancedthroughafundingmeasureapprovedbyvotersattheApril2015election,andtheabove-mentionedpartiesthenexecutedaseparateimplementationagreement(“ImplementationPeriodILA”)thatdesignatedKingCountytobetheleadagencytoplan,procure,finance,andimplementthePSERNsystemwiththeoversightofajointboardestablishedpursuanttotheImplementationPeriodILA.ValleyCorn’sExecutiveDirectorhasrepresentedtheValleyCornmembercitiesonthisjointboard,reportingbacktotheValleyCornAdministrationBoard,whichiscomprisedofthefivemayorsfromValleyCom’smembercities.D.TheImplementationPeriodILAcontemplatescreationofanewseparategovernmentalagencyunderRCW39.34.030(3)(b)thatisorganizedthroughaninterlocalagreementasanon-profitcorporationundertheInterlocalCooperationAct(OperatorILA).Onceformed,thisagencywillassumetheownershipandcontrolofPSERNduringitsusefullife.JustaswiththeImplementationPeriodILA,theOperatorILAwillbesubjecttooversightbyaBoardofDirectors,comprisedofonerepresentativeeachfromKingCounty,Seattle,theValleyCornmembercities,andtheEPSCAmembercities.E.UndertheOperatorILA,Section4.2.1.4,theValleyCommembercities’representativewillbeselectedfromonemayororcitymanagerorhis/herdesigneerepresentingtheCitiesofAuburn,FederalWay,Kent,RentonandTukwila.TheOperatorILAalsoprovidesthattheValleyCornmembercitiesretaintherighttodeterminewhowillrepresentthemonthePSERNBoardofDirectors.ThepurposeofthisMOUistodesignatethemannerinwhichthefiveValleyCornmembercitieswillselectitsrepresentative.1
NOW,THEREFORE,theValleyCornmembercitiesagreetotheaboveRecitalsandthefollowing:AGREEMENT1.ThefiveValleyCornmembercitiesauthorizetheValleyCornAdministrationBoardtoselecttheirrepresentativeonthePSERNBoardofDirectorsatthetimesandwithintheconstraintsestablishedintheOperatorILA.TobeeligibletorepresenttheValleyCornmembercities,theselectedrepresentativemustbeamayorfromoneofthemembercities.Itisunderstood,butnotrequired,thattheValleyCornExecutiveDirectormayactastherepresentative’sdesigneeonafull-timeoranoccasionalbasis,ortherepresentativemayselectanyotheralternateordesigneewhenneeded,asprovidedintheOperatorILA.2.SelectionoftheValleyCornmembercities’representativeforthePSERNBoardofDirectorsshallbeonlybysupermajorityvoteofthefullValleyCornAdministrationBoard.Theregulartermoftheselectedrepresentativeshallbetwoyear(s)commencingonJanuary1ofevennumberedyearsandendingDecember31ofoddnumberedyears.3.TheValleyCornmembercities’representativeonthePSERNBoardofDirectorsandhis/herdesignee,willcomplywithalltherights,obligations,andlimitationsprovidedtoPSERNBoardmembersthroughtheOperatorILAandthisMOU.4.TheValleyCornmembercities’representativeonthePSERNBoardofDirectorsmust,ateachregularValleyCornAdministrationBoardmeeting,reporttotheAdministrationBoardonPSERN’scurrentoperationalstatus.TheValleyCornmembercities’representativemust,wheneverpossibleandpractical,brieftheValleyCornAdministrationBoardonissuestherepresentativedeterminestobematerialbeforevotingonthosemattersasaPSERNSystemBoardmember.5.BeforevotingonanyPSERNmatterthat(a)materiallyexpandsthescopeofthePSERNsystem,(b)thatmateriallyincreasestheoperationalcostofthePSERNSystem,(c)orthatmateriallyamendstheOperatorILA,theValleyCornmembercities’representativeonthePSERNSysternBoardofDirectorsmustbrieftheValleyCornAdministrationBoardfordirectionandmustvoteasaPSERNBoardmemberinaccordancewiththatdirection,whichmustbeprovidedbyatleastamajorityvoteofthefullValleyCornAdministrationBoard.6.NotwithstandingtheprecedingParagraph5,theValleyCornmembercities’representative,ordesignee,shallnotvotetoamendtheOperatorILAonmattersrequiringlegislativeapprovalunderSection15.13.1oftheOperatorILAwithoutaffirmativeauthorityfromeachcities’governingbody.6.ThisMOUwillterminateupontheearlieroftheexpirationorterminationoftheseparatenon-profitgovernmentalagencyformedunderthelnterlocalCooperationAct2
