CITYOFRENTON,WASHINGTONRESOLUTIONNO.4412ARESOLUTIONOFTHECITYOFRENTON,WASHINGTON,AUTHORIZINGTHESUBMISSIONOFANAPPLICATIONFORGRANTFUNDINGASSISTANCEFORABRIANABBOTTFISHBARRIERREMOVALBOARDPROJECTTOTHERECREATIONANDCONSERVATIONFUNDINGBOARDASESTABLISHEDBYRCW77.95.160FORTHEPANTHERCREEKBARRIERREMOVAL—TALBOTROADSOUTHPROJECT.WHEREAS,thePublicWorksStormwaterUtilityispursuingaBrianAbbottFishBarrierRemoval(“BAFBRB”)granttoremovethePantherCreekfishbarrierattheTalbotRoadSouthcrossing(“Project”);andWHEREAS,thebarrieriscausedbyadecaying36”pipethatoutfallssevenfeetabovePantherCreek;andWHEREAS,underprovisionsoftheBAFBRB,stategrantassistanceisrequestedbytheCitytoaidinfinancingthecostofdesigningthefishpassablecrossingforPantherCreekatthelalbotRoadSouthcrossing;andWHEREAS,theCityconsidersittobeinthebestpublicinteresttocompletetheprojectdescribedintheapplication;NOWTHEREFORE,THECITYCOUNCILOFTHECITYOFRENTON,WASHINGTON,DORESOLVEASFOLLOWS:SECTIONI.TheCityintendstoapplyforfundingassistancemanagedbytheRecreationandConservationOffice(“RCO”orthe“Office”)fortheabove“Project.”SECTIONII.TheCityauthorizesthefollowingpersonsorpersonsholdingspecifiedtitles/positions(andsubsequentholdersofthosetitles/positions)toexecutethefollowingdocumentsbindingtheCityontheProject:1 RESOLUTIONNO.4412GrantDcumentNameofSignatoryorTitleofPersonAuthorizedtoSignGrantapplication(submissionProjectManager(CivilEngineerifi)—JaredMcDonald,PEthereof)Projectcontact(day-to-dayProjectManager(CivilEngineerifi)—JaredMcDonald,PEadministeringofthegrantandcommunicatingwiththeRCO)—RCoGrantAgreement(Agreernent)Mayor—ArmondoPavoneAgreementamendmentsMayor—ArmondoPavone________AuthorizingpropertyandrealestateMayor—ArmondoPavonedocuments(NoticeofGrant,DeedofRightorAssignmentofRightsifapplicable).Theseareitemsthataretypicalrecordedonthepropertywfththecounty.Theabovepersonsareconsideredan“authorizedrepresentative(s)/agent(s)”forpurposesofthedocumentsindicated.TheCityshallcomplywitharequestfromtheRCOtoprovidedocumentationofpersonswhomaybeauthorizedtoexecutedocumentsrelatedtothegrant.SECTIONIII.TheCityhasreviewedthesampleRCOGrantAgreementontheRecreationandConservationOffice’sWEBSITEat:https://rco.wa.gov/wp-content/uploads/2019/06/SampleProjAgreement.pdf.TheCityunderstandsandacknowledgesthatifofferedanagreementtosigninthefuture,itwillcontainanindemnificationandlegalvenuestipulationandothertermsandconditionssubstantiallyintheformcontainedinthesampleAgreementandthatsuchtermsandconditionsofanysignedAgreementshallbelegallybindingonthesponsoriftheCity’srepresentative/agententersintoanAgreementontheCity’sbehalf.TheOfficereservestherighttorevisetheAgreementpriortoexecution.2 RESOLUTIONNO.4412SECTIONIV.TheCityacknowledgesandwarrants,afterconferringwithitslegalcounsel,thatitsauthorizedrepresentative(s)/agent(s)havefulllegalauthoritytoactandsignonbehalfoftheCityfortheirassignedrole/document.SECTIONV.GrantassistanceiscontingentonasignedAgreement.EnteringintoanyAgreementwiththeOfficeispurelyvoluntaryonthepartoftheCity.SECTIONVI.TheCityunderstandsthatgrantpoliciesandrequirementsvarydependingonthegrantprogramappliedto,thegrantprogramandsourceoffundingintheAgreement,thecharacteristicsoftheproject,andthecharacteristicsoftheCity.SECTIONVII.TheCityfurtherunderstandsthatpriortotheCity’sauthorizedrepresentative(s)/agent(s)executinganyofthedocumentslistedabove,theRCOmaymakerevisionstoitssampleAgreementandthatsuchrevisionscouldincludetheindemnificationandthelegalvenuestipulation.TheCityacceptsthelegalobligationthattheCityshall,priortoexecutionoftheAgreement(s),conferwiththeCity’sauthorizedrepresentative(s)/agent(s)astoanyrevisionstotheprojectAgreementfromthatofthesampleAgreement.TheCityalsoacknowledgesandacceptsthatiftheCity’sauthorizedrepresentative(s)/agent(s)executestheAgreement(s)withanysuchrevisions,alltermsandconditionsoftheexecutedAgreementshallbeconclusivelydeemedtobeexecutedwiththeCity’sauthorization.SECTIONVIII.AnygrantassistancereceivedwillbeusedforonlydirecteligibleandallowablecoststhatarereasonableandnecessarytoimplementtheProject.SECTIONIX.Ifmatchisrequiredforthegrant,theCityunderstandsthattheCitymustcertifytheavailabilityofmatchatleastonemonthbeforefundingapproval.Inaddition,theCity3 RESOLUTIONNO.4412understandsitisresponsibleforsupportingallnon-cashmatchingsharecommitmentstothisprojectshouldtheynotmaterialize.SECTIONX.TheCityacknowledgesthatifitreceivesgrantfundsmanagedbytheOffice,theOfficewillpaytheCityononlyareimbursementbasis.TheCityunderstandsreimbursementbasismeansthattheCitywillonlyrequestpaymentfromtheOfficeaftertheCityincursgranteligibleandallowablecostsandpaysthem.TheOfficemayalsodetermineanamountofretainageandholdthatamountuntilallprojectdeliverables,grantreports,orotherresponsibilitiesarecomplete.SECTIONXI.TheCityacknowledgesthatanypropertyownedbytheCitythatisdeveloped,renovated,enhanced,orrestoredwithgrantassistancemustbededicatedforthepurposeofthegrantinperpetuityunlessotherwiseallowedbygrantprogrampolicy,ortheOfficeinwritingandpertheAgreementoranamendmentthereto.SECTIONXII.TheCitycertifiesthefollowing:theProjectdoesnotconflictwiththePugetSoundActionAgendadevelopedbythePugetSoundPartnershipunderRCW90.71.310.SECTIONXIII.Thisresolution/authorizationisdeemedtobepartoftheformalgrantapplicationtotheRCO.SECTIONXIV.TheCitywarrantsandcertifiesthatthisresolution/authorizationwasproperlyandlawfullyadoptedfollowingtherequirementsoftheCityandapplicablelawsandpoliciesandthattheCityhasfulllegalauthoritytocommitittothewarranties,certifications,promisesandobligationssetforthherein.4
