HomeMy WebLinkAboutPermitCITYOFSEATTLE-SEATTLEPUBLICUTILITIESPERMITAGREEMENTFile#371-429THISPERMITAGREEMENT(“Permit”)isenteredintobyandbetweenTheCityofSeattle,amunicipalcorporationoftheStateofWashington,actingthroughandbySeattlePublicUtilities(the“City” or“SPU”)andTheCityofRenton,amunicipalcorporationoftheStateofWashington(the“Permittee”).RECITALSWHEREAS,SPUownsinfeealongtheCity’s66-footwideCedarEastSideSupplyLine(CESSL)right-of-way,asfurtherdescribedinSection1.1.(the“Property”);andWHEREAS,PermitteehasrequestedtheuseofSPUPropertytoinstall,operateandmaintainan8-inchwatermainline;andWHEREAS,SPUiswillingtoallowsuch useofthePropertybyPermittee,underthetermsandconditionslistedherein:IPERMITTEDUSE:1.1.Grant.TheCitygrantstoPermitteelimitedandnonexclusivepermissiontousetherealproperty(the“Property”)describedbelowsolelyforthepermittedusepresentedinSection12.LocatedintheSouthiofSectioti21,Township23North,Range5East,WMat9OfeetSouthwestoJSE]9h1ct(I’heAlluraDevelopment,).12.PermittedUse.TheCitypermitsPermitteetousethePropertyforan8-inchwatermainline.1.3.LimitationsonUseandChangestoApprovedUse.Permittee’suseofthePropertyislimitedtowhatSPUapprovesinthispermit. AnyandallchangestoapprovedusesmustbeapprovedbySPUandincludedwithinasignedaddendumtothispermit.1.4.Non-exclusiveUse.ThisPermitissubjecttoexistingrights,ifany,ofotherparties. TheusehereingrantedtoPern-iitteeshallbenon-exclusiveandSPUreservestoitself,itssuccessorsandassignstherighttousethePropertyforanypurposeandgrantotherpermits.whichshallnotunreasonablyconflictwithPermittee’sintendeduse.Perrnitteeshallnotinterferewith accessorusebyothersuchauthorizedparties.1.5.SuitabilityofUse.PermitteeunderstandsandagreesthatSPUmakesnorepresentationstothesuitabilityofthePropertyforthePermittee’spurposesanduse.2.EFFECTIVESDATEfIERM:2.1.EffectiveDate.ThisPermitshallbeeffectiveonDecember1,2019(EffectiveDate),subjecttothetermsofSection2.2.Page1PAG-21-002
2.2.PermitValidity.ThisPen-nitisnotvaliduntilsignedbyanauthorizedrepresentativeforPermitteeandcounter-signedbytheManagerofSPU RealPropertyServices.3.PERMITFEES:3.1.Feeamount.AsoftheEffectiveDate, andontheanniversaryoftheEffectiveDateforthetermofthePermit,Permitteeshallpay apermitfee(“PermitFee”)whichshallbethesumofanadministrativefee,asdelineatedinExhibitA.4.SPECIALTERMSandCONDITIONS:-Excavationwithin3feettotheSPUPipemustbedugbyhandorVactorTruck-WaterlinemustbepotholedifrequiredbySPU’son-siterepresentative-CopiesofthisPermitAgreement,togetherwithallexhibitsnotedherein,mustbeavailableon-siteduringconstruction.5.MAINTENANCEOFPROPERTYAM)PERMITTEEOPERATIONS:5.1.Peri-nitteeobligations.PermitteeisresponsibleforlimitingtheactivitiesonthePropertytothoseapprovedinthisPermitandassuresappropriateandcontinuousmonitoringofsuchactivities.5.2.MaintenanceofProperty.5.2.1.PermitteewilloperateandmaintainthePropertyinaclean,safe,andorderlyconditionatalltimes.Permitteewillnotallow HazardousSubstancestobereleasedintotheenvironmentontheProperty,andshallnotusepesticides,herbicides,orotherweed-killingsubstancesontheproperty.5.2.2.SPUisundernoobligationtomaintainorassumeanycostsassociatedwithmaintainingthePropertyforthebenefitofPermittee.5.3.PermitteeFacilitiesandImprovements.53.1.Permitteewillberesponsibleforconstructing,operating,maintainingandrepairingitsownfacilitiesandforconductingitsownactivitiesatitsownexpense.5.3.2.AnypropertyimprovementsorinstallationofstructuresproposedbyPermitteemustbepre-approvedinwritingbySPU. SPUwillreviewandapproveanydesigns forallowablestructuresorimprovements,orplansforallowableactivities,andmay requirethatthedesignorplansincludepreventativemeasurestoprotectwaterqualityinutilitysystems,receivingwaters,orothersensitiveareas,aswellasthesecurityandphysicalintegrityoftheutilityproperty.Thepreventativemeasuresmayincludebutarenotlimitedtodenialofcertainstructuresoractivities,adjustmentsorcorrectionstodesignsorplans,andspecificongoingmonitoringandoversight.5.3.3.NewstructuresapprovedbySPUaftertheEffectiveDateofthePermiti-nayresultinanincreaseinthePen-nitFee.Page2
5.3.4.Permittee’splacementofanyimprovementsorpersonal propertyinthePermitAreashallbeatPermittee’ssolerisk,andPermitteeherebyreleasesCityfromanyclaimsforlossordamagetoPermittee’spropertyinthePermitArea.SPUisnotresponsibleinanywayfordamagetothePermittee’simprovementswithinthePermitArea.Notwithstandingtheforegoing,thisreleasedoesnot extendtoclaimsinvolvingthenegligenceorwillfulmisconductoftheCityand/orSPU.5.3.5.IntheeventthatPermittee’suseofthePropertymateriallyinterfereswiththemaintenanceoroperationofSPU’sexistinginfrastructure,Permitteeshall,uponthewrittennotificationofSPU,relocateorremoveanyofitspennittedstructuresorimprovements.Alternatively,SPUmayelecttorelocateorremoveitsinfrastructuretopreventorcorrectsuchmaterialinterferenceatPermittee’ssoleexpense.IfagreedtobySPU,Permitteemaydirectlyperformthemaintenanceoroperationalwork.5.3.6.Permitteeagrees,uponbeingbilledbySPU,topay foranyincreaseinSPU’sactual,reasonablecostsincurredforinstalling,replacingorrepairingSPLJ’spipelinesorotherCityimprovementsresultingfromtheexistenceofPermittee’sfacilitiesorimprovements.5.4.HeavyEquipmentandexcavations.5.4.1.Permittee_agreesthatduringanyconstruction.operationormaintenanceofsaidpermitteduse.(1)noheavyequipmentshallbeused or(2)excavationsconductedwithoutpermissionofSPU.5.4.2.PermitteewillnotcrossthePropertywithanyloadinexcessofKingCountygrossvehicleweightloadingstandards.Page3
6.SPUACCESSANDOPERATIONS:6.1.SPUAccess.SPUwillatalltimeshavefreeaccesstothePropertyfortheoperation.maintenanceandrepairofitspipelineorfacilitiesorforanyotherpurpose.IfSPU,initsdiscretion,desirestoundertakeactivitiesonthePropertythatmayimpacttheoperationofthepermitteduse,SPUwillendeavortogivePeniiitteereasonablenoticeunderthecircumstances.6.2.ClosureofProperty.SPUmayclosethePropertyattimesfortheinstallation,repairorreplacementofitspipelinesorfacilities,ortomakeotherimprovements.Permitteeshallnotbeentitledtopaymentfordamagesfor anylossofuseofthePropertyduringsuchoperation.maintenance,andrepair;exceptforreturnofaprepaidPermitFeecoveringthetimePermitteewas notalloweduseoftheProperty.7.TERMINATION:7.1.TerminationwithoutCause.ThisPermitmaybeterminateduponthirty(30)days’noticebyeitherSPUorPerrnittee.7.2.TerminationforPermitViolation.SPUmayrevokePermittee’suseimmediatelyforanyviolationsofPermitconditionsandrequirementsthatarenot correctedbythePermitteewithinareasonabletimeframe.7.3.PrepaidPermitFees.Uponrevocationbyeitherparty,SPUwillrefundanyprepaidPeniiitFeetoPernuitteeforperiodsextendingbeyondthetenrinationofthisagreement.7.4.PermitteeObligations.AttheexpirationorterminationofthisPermit,PermitteeagreestoquitandsurrenderthePropertyinasgoodstateorconditionasnowexists.UponthewrittenrequestofSPU,PermitteeagreestoremovefromsaidPropertyallpropertyofPermittee,andtorestorethatportionofthePropertyaffectedbyPermittee’sfacilitiestoaconditionatleastequaltothatexistingpriortotheconstructionofsaidPermitteefacilities,includingremovalofanyHazardousSubstancesonthePropertytotheextentcausedbyPermittee,allsubjecttotheapprovalofSPU.8.INSURANCE:TheCityofRentonisself-insured.9.GENERALCONDITIONS9.1.CompliancewithApplicableLawsandRegulations9.1.1.Permitteeshallcomplywithallapplicablefederal,state,andlocallaws,ordinances,codes,rulesandregulations,includingbutnotlimitedtohealth,safetyandenvironmentallaws.9.1.2.DuringthetermofthisPermit,thePermitteeagreestonotcauseorpermitSPU’spropertytobecomecontaminatedwithanyHazardousSubstancesorPollutants.UponnoticeordiscoveryofanyreleaseofanyHazardousSubstanceorPollutantscausedbythePermitteetooccuruponSPUproperty,thePermitteeshall,atitsowncosts,immediatelytakeallnecessarystepstorespondto,andcleanupthesameandrestorethePropertytoitspre-existingconditioninaccordancewithapplicableEnvironmentalLawsandPage4
Requirements.ThePermitteeshallreportanysuchrelease.toSPUwithin24hoursofdiscovery.9.2.Indemnification.Permitteeshallindemnif,’theCityasfollows:9.2.1.Permitteeshallrelease,defend,indemnifyandholdharmlesstheCityanditsofficials,employees,agents,licensees,contractors,consultantsandrepresentatives(collectively,the“lndernnitee&’)fromandagainstany andallclaims,liens,demands.actions,costs,losses,expenses,harm,damages,andliabilityofanykindorcharacter (collectively,“Claims”),includinganydamageorinjurytoanypersonorproperty,assertedorarisingfrom,onaccountof,causedby,orinanywayrelatedto(1)Permittee’sexerciseofitsrightsorobligationsunderthisPermitAgreement,(ii)theactsoromissionsofPermitteeorPermittee’semployees,agents,consultants,contractors,representatives,or licenseesinorupontheProperty,or(iii)theexistenceof,damageto,orfailureofanyofPermittee’simprovementsbothonandofftheProperty;provided,however,nothinghereinshallrequirePennitteetosoindemnifyandholdharmlesstheIndemniteesfromClaimsarisingoutofanydamageorinjurytoanypersonorpropertytotheextentcausedbyorresultingfromthelndemnitees’negligence.9.2.2.AsbetweenthepartiesandsolelyforthepurposeofeffectuatingtheindemnitiescontainedinthisSection9.2,Permitteespecificallyandexpresslywaives,withrespecttotheIndemnitees,itsimmunityandlimitation,defenseorprotectiononliabilitythatmaybegrantedtoitunderanyindustrialinsurancelegislation,includingbutnotlimitedto.theWashingtonStateIndustrialInsuranceAct,RevisedCodeofWashingtonTitle51oranyotherindustrialinsurance,workers’compensationorsimilarlawsoftheStateofWashington.ThissectionshallnotbeinterpretedorconstruedasawaiverofPermittee’srighttoassertanysuchimmunity,defenseorprotectiondirectlyagainstanyofitsownemployeesorsuchemployee’sestateorotherrepresentatives.PermitteeacknowledgesthatthisSection9.2wasspecificallyenteredintoaftermutualnegotiation.9.2.3.TheIndemnificationssetforthinthisagreementshallsurvivetheexpirationorearlierterminationofthisPermit.9.3.Darnaes.PermitteewillcorrectatitsexpenseanydamagestoSPU’sutilitysystem,propertyorfacilitiesthatariseoutofthepermittedusewithinthetimeframestipulatedinSection7.1.IfPermitteehasnotcorrectedormadeanacceptableagreementwithSPUtocorrectanyconditioncausedbyPermitteewithinthestipulatedtimeframe,SPU,initssolediscretion,mayrevokethispermitpursuanttoSection72orSPUmayperformanyrequiredwork,andallreasonablecostsincurredwillbebilledtoPemiittee.SPUmayactimmediatelyforconditionswhichposeathreattopublichealth,safetyortheenvironment.Permitteeagreestopaysuchbillsinatimelymanner.9.4.PermitViolationsandRemedies.IfPermitteeviolatesthetermsorrequirementsofthisPermit,Permitteewillhavefourteen(14)daysafterreceiptofnoticeofviolationtocure thespecifiedviolation.Ifcurecannotbeaccomplishedwithinsuchfourteen-dayperiod.SPUmaygrantPermitteealongerperiodasisreasonablynecessarytoeffectsuchcure,solongassuchcurehasbeencommencedwithinsuchfourteen-dayperiodandisbeingdiligentlypursued.Page5
9.5.TemporaryandRevocableUse.Permittee’suseofthePropertyisrevocableupon30-dayswrittennoticeanddoesnotgrantorconveyanypermanent propertyrightsorchangeSPUrightsinanyway.9.6.OtherPermits.ThisPermitshallnotbeconstruedtoreplaceortobeusedinlieuofanyotherpermitorlicensesthatmayberequired,grantedorsupervisedbyanyotheragencyorsubdivisionofgovernment.9.7.ActionsofOtherParties.ThePermitteeexpresslyagreesthattheactionsofitsemployees,contractors,agents,invitees,orlicenseesofthePermitteeareconsideredtobethesameasifperformedorcausedbythePermittee.9.8.AssignabilityofPermitThisPermitisnottransferableorassignable withoutthewrittenapprovalofSPU.9.9.EmergencyConditions.IntheeventofanemergencyconditionthatpresentsanimmediatethreattolifeorpropertyonorneartheProperty,Permitteemay takeimmediate,reasonableactionstoremoveorreducetheimmediatethreat;provided,howeverthat Permitteemust(1)provideSPUwithnoticeofsuchactionsassoonaspracticableunderthescenario,(2)seekinputfrom andcoordinatewithSPUatallreasonablejuncturesduringanyresponsetotheimmediatethreatandanysubsequentremedialaction,and(3)remainresponsibleforanyandalldamage,mcludingrestoringthePermitAreastothesameorbetterconditionafter suchremedialactionsarecompletedandthethreathasbeenresolved.10.CONTACTS:10.1.SPUEmergencycontact:24-hourEmergencyNumber(206)386-1800,Ext3OperationsResponseCenter(ORC)10.2.SPUContact,otherpurposes:BryanSolemsaasPhone:206-684-5971RealPropertyAgentFax:206-615-1215SeattlePublicUtilities:RealPropertyServicesP0Box34018SeattleWA 98124-401810.3.PermitteeContact:JustinJohnsonContact:CityofRenton:AssistantDevelopmentEngineeringManager1055SGradyWayPhone: 425-430-7291Renton,WA98057Cellphone:Email:JTjohnson@Rentonwa.comPage6

THIS AGREEMENT is entered into by and between the CITY OF SEA TILE, a municipal
corporation of the State of Washington acting through and by Seattle Public Utilities and The City of Renton.
