RECIT�iLS A. Grantee is the owner of the property known as the'Plat of Hazelwood Gardens in the City of Newcasde, King Countjr,Washington, legally described on.Exhibit A attached hereto ("Plat'�. B. Grantee has appointe�d the Hazelwood HOA,which is the homeowner's association for the Plat,to be responsible for the maintenance of the storm drainage system serving the Plat("Stocm Drainage System'� on behalf of Grantee's future successors as owners of Iots in the Plat ("Homeowners'�. C. The City is the owner of the unimproved right-of-way adjacent to the Rlat and commonly known as NE�3'�Street("NE 43"�S#'�. D, The Storm Drainage System is connected to the City's existing storm drainage system located in Uncoln Avenue NE by a pipe running through NE�3rd St("Storm 1Nater Pipe'�. E. I�ermanent Storm Water Pipe Easement; Maintenance and Cos�s.7he City hereby grant�and canveys to �rantee, it�successors and assigns, a non-exclusive perpetual easement over, under, and acrass NE 43rd St, vvhich is more particular4y described on'Exhibit B attached hereto ('���a�e�nent Area'�, for the aperatian, maintenanceJ repair and replacem�nt af th�Storm Water Pipe. Grant�e and the Homeowners, acting through the Haze(woad HOA, shakl maintain th�Storm Water Pipe in good working order, candition and repair at Grantee's and Hom�owner`s sale cost�nd expcnse and in accordance with applicable Citjr of Rentan standards, re�uiremerrts arrd guidelines ("Storm Wat�r Ripe Maintenance Work"�, including the standards set forth on the operatian ar�d maintenanee schedule attaehed hereto as Eachibit C ('�City O&.M Requirements`�. IP the Gity inspects tMe Easement Area and determines that the Storm Water Pipe has caused flaoding in the �asement Area, the Gity will natify the Hazelwood H(JA of the specific maintenance, repair, restoration,and/or mitigation work needed to rectify the floading.The City will also set a reasanabie deadline for the work to be completed (which wifl be at least 3p days from the �ate af tl�e City`s deliuery of the notice) and Grant�e, acting through the Hazelwaod HOA, will u�e diligen�, cammercially reasanable efforts ta complete�h�wark by the �'ity's deadline. 2. Right of Entry. Subject to Grantee and/or the Hazelwood H�A abt�inin� any permits required by the City for the perFormance af any Storm Water Pipe Maintenarrce Work, the City grants ta Grantee and the Hazelwoad HOA, for thernselves and the�r con�ractors and agents (calleeCively, "Hazelwood HCJA I�arties"�,the license and right to enter onfio NE�3�d St far the purpose of accessing the Easement Area. The Hazelwood Hl7A Parties will keep the Easement Area in a neat, clean, and safe condition during any 5torm Water Pipe Mainten�nce Wark, cansistent with applicable law and good canstructi�n practices.The Hazelwaad HQ,4 f'arties shatf give the Gity at least 48 hours'prior notice of any �ntry anko NE 43�d St in conneetion with any Stprm Water Pipe Mainkenance Work. 3. Relr�cation of the Storrn Wat�r Pip�. In the event that the City�lects to imprc�v� NE 43rd St, Grantee(acting through the Hazelwaad HOA) will, at the City's request, either(i) relacate the S'Corm Wafier Pipe within fihe improved NE 43rd St, flr (ii) remove the Sfiorm Wafier Pipe and connect the Storm brainage System to any storm drainage system built by the City in the improved N�43rd St.The City shall determine which option applies, and the wark shall be undertaken at the expense of the Hcameowners via the Hazelwvod HOA. IJpon any such removal of the Storm Water Pipe, this Easement Agreement sF�all terminate. � Ind�mw�ifwcation. Grantee and�he HorYreowners via �he H�z�lwood HCIA shall indemnify, defend and hald the City harmless from �nc{against any and atl casts, darr�ages, li�bilities, third-party claims (including eonstrucCion liens) property damage, badlly injury and expenses (including aifiorneys`fees and costs) whatsoeuer(collectiveCy"`Lass"'}that arise oufi af ar are in any way related to this Easernent Agreement, except this indemnity shall not apply ta tFre extent the Loss results firam the sole negligence or intentional misconduct af the City. Grantee's, the Hcamecawners`,and the Hazelwrood HOA's obligatians under this Section shall survive termination af this Easement Agreement. 5. Succ�ssprs and�ssigr�s/Rur�ning with the �.and. The rights ar�d oblig�tipns created ' by thi5 Easemen�Agreem�n�shall inure ta the b�nefit o��nd be binding upon e�ch of th� parkies, and their successnrs, assigns, and subsequer►t tr�nsFerees. '�"he hen�fit�nd burd�n af the e�sement�s gr�nted herein and the other covenants, terms and conditians set forth herein shall attach to and run with the land. Tn this �asement Agreement,"Grantee"rneans fihe Qriginal Grantee and the Homeowners as the successors of the original Grantee. No Amendmen#s. This Easement Agreement shall n�t be amended, m�dified, terminated or cancelled except by the written agreement of the parties. 8. Entire bgreement.This Easement Agreement constitutes the entire agreement between the parties reqarding the subject matter hereof, and all other prior agreements and understandings regarding the subject matter hereof in their entirety, and any such prior agreements are of no further force and efFect. �. �a Dedication or Grants ta O#her Parties. Nothing contained in this Easement Agreement shall be deemed to be a gift or dedication of any portion of the real properly referred to herein to the general public or for any public use or purpose whatsoe�er. The parties hereto intend that this Easement Agreement be for the exclusive Genefit of the parties and their heirs, successors, assigns, permittees,and invitees and that nothing in this Easement Agreement, express or implied, shall confer up�n any�ther pers�n any rights�r remedies by reas�n �f this Ease�ent Agreement. 10. Gov�rning l.aw;Venu�e;Q##orne�s'Fees. This Easement Agreement shall be governed by and construed in accordance with the laws of the State of vVashington. The venue of any legal action brought to enforce this Easement Agreemsnt shall be in IGng County, Washington. In the event of any litigation to enforce or interpret the rights and obligations set forth herein, the prevailing party shall be entitled to an award of reasonable costs, expenses and attorneys'fess in connection therewith, at trial and on appeal.
