AGREEMENTFORARCHITECTURALSERVICES
THISAGREEMENT,datedforreferencepurposesonlyasMay10,2021isbyandbetweentheCity
ofRenton(the“City”),aWashingtonmunicipalcorporation,andARCArchitects(“Consultant”),
aWashingtoncorporation.TheCityandtheConsultantarereferredtocollectivelyinthis
Agreementasthe“Parties.”OncefullyexecutedbytheParties,thisAgreementiseffectiveasof
thelastdatesignedbybothparties.
1. ScopeofWork:Consultantagreestoprovidearchitecturalandengineeringservicesas
specifiedinExhibitsAandD,whichisattachedandincorporatedhereinandmay
hereinafterbereferredtoasthe“Work.”
2. ChangesinScopeofWork:TheCity,withoutinvalidatingthisAgreement,mayorder
changestotheWorkconsistingofadditions,deletionsormodifications.Anysuchchanges
totheWorkshallbeorderedbytheCityinwritingandtheCompensationshallbe
equitablyadjustedconsistentwiththeratessetforthinExhibitBorasotherwisemutually
agreedbytheParties.
3. TimeofPerformance:ConsultantshallcommenceperformanceoftheAgreement
pursuanttotheschedule(s)setforthinExhibitA.AllWorkshallbeperformedbynolater
thanDecember31,2021.
4. Compensation:
A.Amount.TotalcompensationtoConsultantforWorkprovidedpursuanttothis
Agreementshallnotexceed$55,000.00,plusanyapplicablestateandlocalsales
taxes.CompensationshallbepaidbaseduponWorkactuallyperformedaccordingto
therate(s)oramountsspecifiedinExhibitC.TheConsultantagreesthatanyhourlyor
flatratechargedbyitforitsWorkshallremainlockedatthenegotiatedrate(s)unless
otherwiseagreedtoinwritingorprovidedinExhibitB.Exceptasspecificallyprovided
herein,theConsultantshallbesolelyresponsibleforpaymentofanytaxesimposed
asaresultoftheperformanceandpaymentofthisAgreement.
B.MethodofPayment.Onamonthlyornolessthanquarterlybasisduringanyquarter
inwhichWorkisperformed,theConsultantshallsubmitavoucherorinvoiceinaform
specifiedbytheCity,includingadescriptionofwhatWorkhasbeenperformed,the
nameofthepersonnelperformingsuchWork,andanyhourlylaborchargeratefor
suchpersonnel.TheConsultantshallalsosubmitafinalbilluponcompletionofall

Work.PaymentshallbemadebytheCityforWorkperformedwithinthirty(30)
calendardaysafterreceiptandapprovalbytheappropriateCityrepresentativeofthe
voucherorinvoice.IftheConsultant’sperformancedoesnotmeettherequirements
ofthisAgreement,theConsultantwillcorrectormodifyitsperformancetocomply
withtheAgreement.TheCitymaywithholdpaymentforworkthatdoesnotmeetthe
requirementsofthisAgreement.
C.EffectofPayment.PaymentforanypartoftheWorkshallnotconstituteawaiverby
theCityofanyremediesitmayhaveagainsttheConsultantforfailureofthe
ConsultanttoperformtheWorkorforanybreachofthisAgreementbythe
Consultant.
D.NonͲAppropriationofFunds.Ifsufficientfundsarenotappropriatedorallocatedfor
paymentunderthisAgreementforanyfuturefiscalperiod,theCityshallnotbe
obligatedtomakepaymentsforWorkoramountsincurredaftertheendofthe
currentfiscalperiod,andthisAgreementwillterminateuponthecompletionofall
remainingWorkforwhichfundsareallocated.Nopenaltyorexpenseshallaccrueto
theCityintheeventthisprovisionapplies.
5. Termination:
A. TheCityreservestherighttoterminatethisAgreementatanytime,withorwithout
causebygivingten(10)calendardays’noticetotheConsultantinwriting.Intheevent
ofsuchterminationorsuspension,allfinishedorunfinisheddocuments,data,studies,
worksheets,modelsandreports,orothermaterialpreparedbytheConsultant
pursuanttothisAgreementshallbesubmittedtotheCity,ifanyarerequiredaspart
oftheWork.
B. IntheeventthisAgreementisterminatedbytheCity,theConsultantshallbeentitled
topaymentforallhoursworkedtotheeffectivedateoftermination,lessallpayments
previouslymade.IftheAgreementisterminatedbytheCityafterpartialperformance
ofWorkforwhichtheagreedcompensationisafixedfee,theCityshallpaythe
Consultantanequitableshareofthefixedfee.Thisprovisionshallnotpreventthe
Cityfromseekinganylegalremediesitmayhavefortheviolationornonperformance
ofanyoftheprovisionsofthisAgreementandsuchchargesduetotheCityshallbe
deductedfromthefinalpaymentduetheConsultant.Nopaymentshallbemadeby
theCityforanyexpensesincurredorworkdonefollowingtheeffectivedateof
terminationunlessauthorizedinadvanceinwritingbytheCity.
6. WarrantiesAndRightToUseWorkProduct:Consultantrepresentsandwarrantsthat
ConsultantwillperformallWorkidentifiedinthisAgreementinaprofessionaland
workmanlikemannerandinaccordancewithallreasonableandprofessionalstandards
andlaws.Compliancewithprofessionalstandardsincludes,asapplicable,performingthe

WorkincompliancewithapplicableCitystandardsorguidelines(e.g.designcriteriaand
StandardPlansforRoad,BridgeandMunicipalConstruction).Professionalengineersshall
certifyengineeringplans,specifications,plats,andreports,asapplicable,pursuantto
RCW18.43.070.Consultantfurtherrepresentsandwarrantsthatallfinalworkproduct
createdforanddeliveredtotheCitypursuanttothisAgreementshallbetheoriginalwork
oftheConsultantandfreefromanyintellectualpropertyencumbrancewhichwould
restricttheCityfromusingtheworkproduct.ConsultantgrantstotheCityanonͲ
exclusive,perpetualrightandlicensetouse,reproduce,distribute,adapt,modify,and
displayallfinalworkproductproducedpursuanttothisAgreement.TheCity’sorother’s
adaptation,modificationoruseofthefinalworkproductsotherthanforthepurposesof
thisAgreementshallbewithoutliabilitytotheConsultant.Theprovisionsofthissection
shallsurvivetheexpirationorterminationofthisAgreement.
7. RecordMaintenance:TheConsultantshallmaintainaccountsandrecords,which
properlyreflectalldirectandindirectcostsexpendedandWorkprovidedinthe
performanceofthisAgreementandretainsuchrecordsforaslongasmayberequiredby
applicableWashingtonStaterecordsretentionlaws,butinanyeventnolessthansix
yearsaftertheterminationofthisAgreement.TheConsultantagreestoprovideaccess
toandcopiesofanyrecordsrelatedtothisAgreementasrequiredbytheCitytoaudit
expendituresandchargesand/ortocomplywiththeWashingtonStatePublicRecordsAct
(Chapter42.56RCW).Theprovisionsofthissectionshallsurvivetheexpirationor
terminationofthisAgreement.
8. PublicRecordsCompliance:TothefullextenttheCitydeterminesnecessarytocomply
withtheWashingtonStatePublicRecordsAct,Consultantshallmakeaduediligentsearch
ofallrecordsinitspossessionorcontrolrelatingtothisAgreementandtheWork,
including,butnotlimitedto,eͲmail,correspondence,notes,savedtelephonemessages,
recordings,photos,ordrawingsandprovidethemtotheCityforproduction.Intheevent
Consultantbelievessaidrecordsneedtobeprotectedfromdisclosure,itmay,at
Consultant’sownexpense,seekjudicialprotection.Consultantshallindemnify,defend,
andholdharmlesstheCityforallcosts,includingattorneys’fees,attendanttoanyclaim
orlitigationrelatedtoaPublicRecordsActrequestforwhichConsultanthasresponsive
recordsandforwhichConsultanthaswithheldrecordsorinformationcontainedtherein,
ornotprovidedthemtotheCityinatimelymanner.Consultantshallproducefor
distributionanyandallrecordsresponsivetothePublicRecordsActrequestinatimely
manner,unlessthoserecordsareprotectedbycourtorder.Theprovisionsofthissection
shallsurvivetheexpirationorterminationofthisAgreement.
9. IndependentContractorRelationship:
A. TheConsultantisretainedbytheCityonlyforthepurposesandtotheextentsetforth
inthisAgreement.ThenatureoftherelationshipbetweentheConsultantandtheCity
duringtheperiodoftheWorkshallbethatofanindependentcontractor,not

employee.TheConsultant,nottheCity,shallhavethepowertocontrolanddirectthe
details,mannerormeansofWork.Specifically,butnotbymeansoflimitation,the
Consultantshallhavenoobligationtoworkanyparticularhoursorparticular
schedule,unlessotherwiseindicatedintheScopeofWorkorwhereschedulingof
attendanceorperformanceismutuallyarrangedduetothenatureoftheWork.
ConsultantshallretaintherighttodesignatethemeansofperformingtheWork
coveredbythisagreement,andtheConsultantshallbeentitledtoemployother
workersatsuchcompensationandsuchotherconditionsasitmaydeemproper,
provided,however,thatanycontractsomadebytheConsultantistobepaidbyit
alone,andthatemployingsuchworkers,itisactingindividuallyandnotasanagent
fortheCity.
B. TheCityshallnotberesponsibleforwithholdingorotherwisedeductingfederal
incometaxorSocialSecurityorcontributingtotheStateIndustrialInsurance
Program,orotherwiseassumingthedutiesofanemployerwithrespecttoConsultant
oranyemployeeoftheConsultant.
C. IftheConsultantisasoleproprietorshiporifthisAgreementiswithanindividual,the
ConsultantagreestonotifytheCityandcompleteanyrequiredformiftheConsultant
retiredunderaStateofWashingtonretirementsystemandagreestoindemnifyany
lossestheCitymaysustainthroughtheConsultant’sfailuretodoso.
10. HoldHarmless:TheConsultantagreestorelease,indemnify,defend,andholdharmless
theCity,electedofficials,employees,officers,representatives,andvolunteersfromany
andallclaims,demands,actions,suits,causesofaction,arbitrations,mediations,
proceedings,judgments,awards,injuries,damages,liabilities,taxes,losses,fines,fees,
penalties,expenses,attorney’sorattorneys’fees,costs,and/orlitigationexpensestoor
byanyandallpersonsorentities,arisingfrom,resultingfrom,orrelatedtothenegligent
acts,errorsoromissionsoftheConsultantinitsperformanceofthisAgreementora
breachofthisAgreementbyConsultant,exceptforthatportionoftheclaimscausedby
theCity’ssolenegligence.
ShouldacourtofcompetentjurisdictiondeterminethatthisagreementissubjecttoRCW
4.24.115,(Validityofagreementtoindemnifyagainstliabilityfornegligencerelativeto
construction,alteration,improvement,etc.,ofstructureorimprovementattachedtoreal
estate…)then,intheeventofliabilityfordamagesarisingoutofbodilyinjurytopersons
ordamagestopropertycausedbyorresultingfromtheconcurrentnegligenceofthe
ConsultantandtheCity,itsofficers,officials,employeesandvolunteers,Consultant’s
liabilityshallbeonlytotheextentofConsultant’snegligence.
Itisfurtherspecificallyandexpresslyunderstoodthattheindemnificationprovidedin
thisAgreementconstituteConsultant’swaiverofimmunityundertheIndustrial

InsuranceAct,RCWTitle51,solelyforthepurposesofthisindemnification.TheParties
havemutuallynegotiatedandagreedtothiswaiver.Theprovisionsofthissectionshall
survivetheexpirationorterminationofthisAgreement.
11. GiftsandConflicts:TheCity’sCodeofEthicsandWashingtonStatelawprohibitCity
employeesfromsoliciting,accepting,orreceivinganygift,gratuityorfavorfromany
person,firmorcorporationinvolvedinacontractortransaction.Toensurecompliance
withtheCity’sCodeofEthicsandstatelaw,theConsultantshallnotgiveagiftofanykind
toCityemployeesorofficials.ConsultantalsoconfirmsthatConsultantdoesnothavea
businessinterestoraclosefamilyrelationshipwithanyCityofficeroremployeewhowas,
is,orwillbeinvolvedinselectingtheConsultant,negotiatingoradministeringthis
Agreement,orevaluatingtheConsultant’sperformanceoftheWork.
12. CityofRentonBusinessLicense:TheConsultantshallobtainaCityofRentonBusiness
LicensepriortoperforminganyWorkandmaintainthebusinesslicenseingoodstanding
throughoutthetermofthisagreementwiththeCity.

13. Insurance:Consultantshallsecureandmaintain:
A. Commercialgeneralliabilityinsuranceintheminimumamountsof$1,000,000for
eachoccurrence/$2,000,000aggregatefortheTermofthisAgreement.
B. IntheeventthatWorkdeliveredpursuanttothisAgreementeitherdirectlyor
indirectlyinvolveorrequireProfessionalServices,ProfessionalLiability,Errorsand
Omissionscoverageshallbeprovidedwithminimumlimitsof$1,000,000per
occurrence."ProfessionalServices",forthepurposeofthissection,shallmeanany
WorkprovidedbyalicensedprofessionalorWorkthatrequiresaprofessional
standardofcare.
C. Workers’compensationcoverage,asrequiredbytheIndustrialInsurancelawsofthe
StateofWashington,shallalsobesecured.
D. CommercialAutomobileLiabilityforowned,leased,hiredornonͲowned,leased,hired
ornonͲowned,withminimumlimitsof$1,000,000peroccurrencecombinedsingle
limit,iftherewillbeanyuseofConsultant’svehiclesontheCity’sPremisesbyoron
behalfoftheCity,beyondnormalcommutes.

E. ConsultantshallnametheCityasanAdditionalInsuredonitscommercialgeneral
liabilitypolicyonanonͲcontributoryprimarybasis.TheCity’sinsurancepoliciesshall
notbeasourceforpaymentofanyConsultantliability,norshallthemaintenanceof
anyinsurancerequiredbythisAgreementbeconstruedtolimittheliabilityof
ConsultanttothecoverageprovidedbysuchinsuranceorotherwiselimittheCity’s
recoursetoanyremedyavailableatlaworinequity.
F. SubjecttotheCity’sreviewandacceptance,acertificateofinsuranceshowingthe
properendorsements,shallbedeliveredtotheCitybeforeperformingtheWork.
G. ConsultantshallprovidetheCitywithwrittennoticeofanypolicycancellation,within
two(2)businessdaysoftheirreceiptofsuchnotice.
14. Delays:Consultantisnotresponsiblefordelayscausedbyfactorsbeyondthe
Consultant’sreasonablecontrol.WhensuchdelaysbeyondtheConsultant’sreasonable
controloccur,theCityagreestheConsultantisnotresponsiblefordamages,norshallthe
ConsultantbedeemedtobeindefaultoftheAgreement.
15. SuccessorsandAssigns:NeithertheCitynortheConsultantshallassign,transferor
encumberanyrights,dutiesorinterestsaccruingfromthisAgreementwithoutthe
writtenconsentoftheother.
16. Notices:AnynoticerequiredunderthisAgreementwillbeinwriting,addressedtothe
appropriatepartyattheaddresswhichappearsbelow(asmodifiedinwritingfromtime
totimebysuchparty),andgivenpersonally,byregisteredorcertifiedmail,returnreceipt
requested,byfacsimileorbynationallyrecognizedovernightcourierservice.Timeperiod
fornoticesshallbedeemedtohavecommenceduponthedateofreceipt,EXCEPT
facsimiledeliverywillbedeemedtohavecommencedonthefirstbusinessdayfollowing
transmission.Emailandtelephonemaybeusedforpurposesofadministeringthe
Agreement,butshouldnotbeusedtogiveanyformalnoticerequiredbytheAgreement.

17. DiscriminationProhibited:Excepttotheextentpermittedbyabonafideoccupational
qualification,theConsultantagreesasfollows:

A. Consultant,andConsultant’sagents,employees,representatives,andvolunteers
withregardtotheWorkperformedortobeperformedunderthisAgreement,shall
notdiscriminateonthebasisofrace,color,sex,religion,nationality,creed,marital
status,sexualorientationorpreference,age(exceptminimumageandretirement
provisions),honorablydischargedveteranormilitarystatus,orthepresenceofany
sensory,mentalorphysicalhandicap,unlessbaseduponabonafideoccupational
qualificationinrelationshiptohiringandemployment,inemploymentorapplication
foremployment,theadministrationofthedeliveryofWorkoranyotherbenefits
underthisAgreement,orprocurementofmaterialsorsupplies.
B. TheConsultantwilltakeaffirmativeactiontoinsurethatapplicantsareemployedand
thatemployeesaretreatedduringemploymentwithoutregardtotheirrace,creed,
color,nationalorigin,sex,age,sexualorientation,physical,sensoryormental
handicaps,ormaritalstatus.Suchactionshallinclude,butnotbelimitedtothe
followingemployment,upgrading,demotionortransfer,recruitmentorrecruitment
advertising,layoffortermination,ratesofpayorotherformsofcompensationand
selectionfortraining.
C. IftheConsultantfailstocomplywithanyofthisAgreement’snonͲdiscrimination
provisions,theCityshallhavetheright,atitsoption,tocanceltheAgreementin
wholeorinpart.
D. TheConsultantisresponsibletobeawareofandincompliancewithallfederal,state
andlocallawsandregulationsthatmayaffectthesatisfactorycompletionofthe
project,whichincludesbutisnotlimitedtofairlaborlaws,worker'scompensation,
andTitleVIoftheFederalCivilRightsActof1964,andwillcomplywithCityofRenton
CouncilResolutionNumber4085.
18. Miscellaneous:Thepartiesherebyacknowledge:
A. TheCityisnotresponsibletotrainorprovidetrainingforConsultant.
B. Consultantwillnotbereimbursedforjobrelatedexpensesexcepttotheextent
specificallyagreedwithintheattachedexhibits.
C. Consultantshallfurnishalltoolsand/ormaterialsnecessarytoperformtheWork
excepttotheextentspecificallyagreedwithintheattachedexhibits.
D. Intheeventspecialtraining,licensing,orcertificationisrequiredforConsultantto
provideWorkhe/shewillacquireormaintainsuchathis/herownexpenseand,if
Consultantemploys,subͲcontracts,orotherwiseassignstheresponsibilitytoperform
theWork,saidemployee/subͲcontractor/assigneewillacquireandormaintainsuch
training,licensing,orcertification.

E. ThisisanonͲexclusiveagreementandConsultantisfreetoprovidehis/herWorkto
otherentities,solongasthereisnointerruptionorinterferencewiththeprovisionof
WorkcalledforinthisAgreement.
F. Consultantisresponsibleforhis/herowninsurance,including,butnotlimitedto
healthinsurance.
G. Consultantisresponsibleforhis/herownWorker’sCompensationcoverageaswellas
thatforanypersonsemployedbytheConsultant.
19. OtherProvisions:
A. ApprovalAuthority.EachindividualexecutingthisAgreementonbehalfoftheCity
andConsultantrepresentsandwarrantsthatsuchindividualsaredulyauthorizedto
executeanddeliverthisAgreementonbehalfoftheCityorConsultant.
B. GeneralAdministrationandManagement.TheCity’sprojectmanagerisRuss
Woodruff.InprovidingWork,ConsultantshallcoordinatewiththeCity’scontract
managerorhis/herdesignee.
C. AmendmentandModification.ThisAgreementmaybeamendedonlybyan
instrumentinwriting,dulyexecutedbybothParties.
D. Conflicts.IntheeventofanyinconsistenciesbetweenConsultantproposalsandthis
Agreement,thetermsofthisAgreementshallprevail.Anyexhibits/attachmentsto
thisAgreementareincorporatedbyreferenceonlytotheextentofthepurposefor
whichtheyarereferencedwithinthisAgreement.TotheextentaConsultant
preparedexhibitconflictswiththetermsinthebodyofthisAgreementorcontains
termsthatareextraneoustothepurposeforwhichitisreferenced,thetermsinthe
bodyofthisAgreementshallprevailandtheextraneoustermsshallnotbe
incorporatedherein.
E. GoverningLaw.ThisAgreementshallbemadeinandshallbegovernedbyand
interpretedinaccordancewiththelawsoftheStateofWashingtonandtheCityof
Renton.ConsultantandalloftheConsultant’semployeesshallperformtheWorkin
accordancewithallapplicablefederal,state,countyandcitylaws,codesand
ordinances.
F. JointDraftingEffort.ThisAgreementshallbeconsideredforallpurposesasprepared
bythejointeffortsofthePartiesandshallnotbeconstruedagainstonepartyorthe
otherasaresultofthepreparation,substitution,submissionorothereventof
negotiation,draftingorexecution.

G. JurisdictionandVenue.Anylawsuitorlegalactionbroughtbyanypartytoenforceor
interpretthisAgreementoranyofitstermsorcovenantsshallbebroughtintheKing
CountySuperiorCourtfortheStateofWashingtonattheMalengRegionalJustice
CenterinKent,KingCounty,Washington,oritsreplacementorsuccessor.Consultant
herebyexpresslyconsentstothepersonalandexclusivejurisdictionandvenueof
suchcourtevenifConsultantisaforeigncorporationnotregisteredwiththeStateof
Washington.
H. Severability.Acourtofcompetentjurisdiction’sdeterminationthatanyprovisionor
partofthisAgreementisillegalorunenforceableshallnotcancelorinvalidatethe
remainderofthisAgreement,whichshallremaininfullforceandeffect.
I. SoleandEntireAgreement.ThisAgreementcontainstheentireagreementofthe
Partiesandanyrepresentationsorunderstandings,whetheroralorwritten,not
incorporatedareexcluded.
J. TimeisoftheEssence.TimeisoftheessenceofthisAgreementandeachandallof
itsprovisionsinwhichperformanceisafactor.Adherencetocompletiondatesset
forthinthedescriptionoftheWorkisessentialtotheConsultant’sperformanceof
thisAgreement.
K. ThirdͲPartyBeneficiaries.NothinginthisAgreementisintendedto,norshallbe
construedtogiveanyrightsorbenefitsintheAgreementtoanyoneotherthanthe
Parties,andalldutiesandresponsibilitiesundertakenpursuanttothisAgreementwill
beforthesoleandexclusivebenefitofthePartiesandnooneelse.
L. BindingEffect.ThePartieseachbindthemselves,theirpartners,successors,assigns,
andlegalrepresentativestotheotherpartytothisAgreement,andtothepartners,
successors,assigns,andlegalrepresentativesofsuchotherpartywithrespecttoall
covenantsoftheAgreement.
M. Waivers.Allwaiversshallbeinwritingandsignedbythewaivingparty.Eitherparty’s
failuretoenforceanyprovisionofthisAgreementshallnotbeawaiverandshallnot
preventeithertheCityorConsultantfromenforcingthatprovisionoranyother
provisionofthisAgreementinthefuture.Waiverofbreachofanyprovisionofthis
Agreementshallnotbedeemedtobeawaiverofanypriororsubsequentbreach
unlessitisexpresslywaivedinwriting.
N. Counterparts.ThePartiesmayexecutethisAgreementinanynumberof
counterparts,eachofwhichshallconstituteanoriginal,andallofwhichwilltogether
constitutethisoneAgreement.

Dear Russ:
ARC Architects is pleased to submit its proposal for Renton’s Henry Moses Aquatic Center project, which includes
architectural & engineering services to study the feasibility of expansion and renovation opportunities at the
existing facility. For more than 40 years ARC has provided quality services to public and non-profi t clients across
the state. In addition to ARC, our team for this proposal includes the following consultants:
Aquatic Design - Aquatic Design Group (Carlsbad, CA)
Civil Engineering - MIG/SvR (Seattle, WA)
Landscape Architecture - MIG/SvR (Seattle, WA)
Electrical Engineering - Cross Engineers (Tacmoa, WA)
Mechanical Engineering - GDM-AE (Dupont, WA)
Structural Engineering - PCS Structural Solutions (Seattle, WA)
Cost Estimating - DCW Cost Management (Seattle, WA)
The Design Team’s total proposed fee for Standard and Additional Services for the study is $52,345 including
reimbursable expenses.
Project Understanding
This proposal is based on the information provided in the RFP titled City of Renton Henry Moses Aquatic Center
Request for Proposal and dated February 22, 2021, at the in-person walkthrough of the site on March 3, 2021, and in
subsequent phone calls with Russ Woodruff .
The focus of the study is to propose solutions to identifi ed facility shortcomings, study desired additions, and
contribute other possible program expansion opportunities. These elements will be studied from a cost, site
impact, operations, and systems standpoint. The City’s overall budget for renovations and additions is unknown
at this time and it will be part of the eff orts of the study to priortize opportunities that can be implemented as
funding is better understood. A large part of the funding strategy will be in the form of the King County aquatics
capital grants opportunity. ARC will structure our work to dovetail with the requirements of the grant and provide
support documentation in a timely manner.
ARC will coordinate with the City for access to the site to verify existing conditions on an as-needed basis.
The duration of services is assumed to be 6 months for the feasibility study beginning in May of 2021 and ending
in October of 2021.
The City shall retain any consultants and contractors required but not listed in this fee proposal including , but
not limited to, geotechnical engineers, LEED consultants, special inspectors, and surveyors. Modifi cations to the
project scope of work, schedule or assumptions may result in additional fees.

The attached ARC Architects Standard Terms & Conditions (Exhibit A) and any other attachments referenced in this
proposal are incorporated and made a part of our agreement, and by your authorization to proceed (in writing
or orally), you are agreeing to those Standard Terms and Conditions. In the event that we decide to prepare more
detailed contract documents for this project such as the AIA standard form contracts, and you decide that we
need to start work before completion of these more detailed contract documents, then this proposal and the
attached Standard Terms and Conditions will apply to and control the work performed until the more detailed
contract documents are negotiated and executed.
Also included are the standard billing rate schedule (Exhibit B).

ARC Architects
Scope Summary
Task 1 - Project Management
ARC will develop a detailed project schedule including decision milestones and funding deadlines to coordinate
our deliverables with external needs. Accordingly, we will schedule design team and owner team kick-off meetings.
Task 2 - Immersion
Our team will begin with immersion into the project and review of existing documentation including previous
existing site, building, and systems information. ARC will facilitate a virtual or socially distanced kick-off meeting
with the Owner and Design team including a discussion on construction budgets and goals.
Task 3 - Programming
ARC will review the owner’s list of desired program additions and add additional options for consideration based
on similar facilities and experience. We will work with the owner team to prioritize the program.
-Deliverable: Prioritized program
Task 4 - Building & Site Analysis
Site analysis provides the basis for development of concept and space planning. We will review zoning code
requirements including setbacks, lot coverage, building height, and parking needs. We will identify limitations and
opportunities for site development.
- Deliverable: Site diagrams and buildable area analysis
Task 5 - Concept Options
From data collected and discussions with Owner, the Design Team will develop two or three building and site
plan options for consideration. Design options will consider many variables including access, views, adjacency,
parking, drop off , and circulation.
-Deliverable: Site plan, building fl oor plans/diagrams, massing studies, ROM cost estimating
Task 6 – Preferred Option & Imagery
With review and input from the Owner on the concept options, the design team will refi ne the site design to one
or two preferred optons. We will create interior and exterior renderings showing potential design character and
relationships. These will be reviewed and refi ned based on Owner input.
-Deliverable: Refi ned site plan, refi ned fl oor plan, exterior and interior renderings
Task 7 - Cost Estimate & Budget Alignment
DCW will develop a detailed cost estimate to be reviewed by the team and owner group in order to fi nalize the
budget including construction costs and potential softs costs for a full project budget.
- Deliverable: Detailed cost estimate and preferred option revisions
Task 8 - Final Report & Presentation
Together, we will develop a draft report for the Owner’s use. The report will provide a clear executive summary and
timeline of recommended next steps. If requested, we will facilitate a presentation as needed.
