conveyed to the City. �
C. After acquiring�tifle ta:fhe�ase,men#Ar.ea,the Ciry has agteed'fo perform certain tasks and
responsibilities relating to maintenance ara� upkeep�o�the��a�emer�t Area.. �lowever, the City and FRB, as
owners of #he Benefited Parcels, have�`agr,eed to �har�'the �sfs o#such maintenance and upkeep in
accordance with the ferms and conditions set�forth in the:.Agreement.;�Longac.r,�s�Park, inc. ("Lortgacres'�,
the owner of c��rtain property located adjacent�to tfi� FRB'Parcel:and legally described and idenMied on
Exhibit 8 as ttie"Longacres Parcels", is listed as a beneficiar��under t�is a�re�merit sol�ly fot pu.�ioses of
Section 6, �elow,.related to any amendments or modifications of,fhis Agreemerif:�"`�•�
D. .`The parties have execufed this Easement �A�reemenf�..to-�(i) esta6lish��. permanent
stormwater drainage easements on Easement Area for the benefit of Fi;B and,the.�City, as:the owners of
the FR8 Pr�pert�r�`and the 27t� Street Parcel, respectively, and (ii) provide'�pt�blic.�no.�ce of the perpetuai
covenants;�: cond'rtions� an� res�tions set for#h in the Agreement, which co�enants��shaEl constifute

!n consideration of the rCri.itt�al promises �nd.covenants set forth herein and in the Agreement, and
for other good and valt�able coiisi�erat�on, th�r�ce'ipt and su�ciency of which are hereby acknowledged,
the parties hereby agree�as'follo+��: :: .
1. Grant of Easeme�t. FRB,in its capacity:as owne�o��the Easement Area, hereby conveys
and grants to the City, in its capacity �s�owner of:the 27th.Street Rarce(;�nd to FRB, in its capacity as
owner of the FRB Parcei, a non-exclusive perpetual�asement,�the.."E�sem�l.�'�,under, over, and across
fhe Easement Area for the purpose of installing;.constructing,..°per�ting; inspecting,�maintaining, repairing,
replacing, and using the Sformwater Detention Facitifies:in accordanc� witti��the terms of the Agreement,
including without limitation, fhe right to operate, inspecf, maintain, repair; replace; �nd use`the same for
purposes of detaining stormwater emanating or fiowing from t��FRB Pro�erty�and the 27th..Street Parcel.
2. Allocation of Sto�mwater Detention Capacity Acco�ding to::�t�ormw�ter Percenta�es;��.:

Stormwater Qe�e,ntion ,Facilities. lf�.fPie Sto�mwater Detention Facilities shal! ever become overloaded or
shall�fail;�ecaus�e the�ow�ier afi either Ben�fite.d�P�r�el has violated this provision, then the owner of the
Benefited P�rcel who is.�uiltX��of"s.uch viQ1�#i�rt shall;l�e;�olely obligated to repair and to pay for the cost of
repair of a�iy damage•�o fhe S�rmwater��DetenYan �acifties or to the other Benefited Parce! that was
caused by such violation,:�nd�hall,;promptly cor�m.�rice'�the design, permitting, and construction of such
additional stormwat�r•d�ainag� or detention faci�i�ies on�.ifs respective Benefited Parcel as are required for
such party not to be in vialatiori'of th'rs pr�visicin governing: #he allocation of the total capacify of the
Stormwater Detention Facilities..:� �
3. Construction of Sfor�mwat�r D�tentfon:fac.tlities, .F�ie:,,Sformwater Detention Facilities
shalf be constructed, and all associated�'consf�ucfior�.cos�s shalf be�al(ocated, in accordance with the terms
of the Agreeme�t. .
4. :� Dedi�ation of Easement Area; Easement Survn+es:`Wifk�ip..�30 days�after.the Glosing of
fhe sale vf FR�'s pt�rchase of the Easement Area���'�rom:�Longacr�s (wfiich cfc�sing is,;`occurring
confempo�aneo,usl�..with�ecordation of this Easement Agreemetit),FRB;�shall�flave the right to.dedicate the
Easeme�t Area to:the �ity, and the City shall accept such dedicatitm ar�d��assu�ie.��wn�rship of the
Easement Area and shati perpetually use the Easement Area solely for��pur.p.os:es pf stormwafer detention
and �iilely for the�bene#it of t�e�.27th Street Parcel and fhe FRB Parcel. Notwi#hs�an�ing.:such dedication
and.�transfEr,,the�Easeine�it granf�d hereunder to FRB and fhe City for the benefif of:�:the.�enefited Pa�cels
shan survive and shall:�contir�ae..in e�fect perpetually, unless modified by a written instrumertt executed and
delivered:by the th�n_.current owners of the.Easement Area,the FRB Property, the 27th St�eet Parcel, and,
pursuant to���cfion 6; f�e:�Lon.gacres F'arcels.��`��.
5. Maintenance of�Stormwat�e.r petentZo.n Facilities; Allocation of Costs. Upon such
dedication and transfer,�fihe..Gity shall own and�`s�iaff con#inue�.tp own the Easement Area, and the City shall
thereafter perform all of fhe mainte�a�ce and�upkeep:'tasics antl responsibilities described in the
Agreement, and shafl perform su�h other�iepairs,:replacements;��nd maintenance as are required to
continuously preserve the Stormwafer:petention Facilifies and ti�e E�sement Area in a neat, clean, and
safe condifion, in compliance with all statutes,:ordinancss, and a#her laws, arid in.conformity with all permit
condi6ons, restrictions, and other requirements.esta�lished wi�► respec#to t�te Easement Area under fhe
binding site plan under which fhe Easement Are�a�:was.:created:or is�goy�rned, and under any permit
conditions associated with the permits and approvals given,.wifh:respect ta the 27th Stre��`f�arcel and the
FRB Parcel. The costs of such maintenance shail be allocated between and si�alf�by paid 6� FRB, as
owner of the FRB Parcel, and the City, as owner of the 27th`�treet P�rcel., in �c.eordance:�witl�:fhe'cost-
sharing provisions of the Agreement.

'�6. Covenants Running with the Land; No Merger; Termination, The Easement and t�e
, agre�menfs contained herein and in the Agreement shall be deemed covenants running with the land and
� shal#�intare�to the benefit of,and shall be binding upon the owners of the FRB Parcel,the 27th Street Parcel,
� and t�e E�sement Area, together with their respective successors, grantees, hei�s and assigns.
Notwiths�anding FR8's or any future owner's ownership of both the Easement Area and either Benefited
:�°�PaGcel,;the �asemen�,afld.covenants estabfished hereby and under the Agreement are nof intended and
� � sMa{1 t�t be deEme� to have.merge���wifih�:#he fee interest in such prope�ties. 7he Easement and the
covenants_�refete�ced�aerein and e&.i�blishe� hereby may be modified or terminated only by the recording
ofi�an amend�ienf or:notice of't��ninativn���exe�ted..�y all of the owne�s of the Easement Area, the FRB
Parcel, �#he:27tM S�reet;�Parcel,'�and eaQh:<of��owner�s.a�f.the l.ongacres Parcels (who shall be deemed

7. Incorporation a�id Notice of Agree�ient. The terms and conditions of the Agreement

Parcel, or the Easement Area is her�by notifie� anc!instructed to obtain a:�apy of the Agreemenf, ce�ified
as current, #rue, and accurate by the�owrters of such:parc�l�, and shall.�n�any event be bound by the terms
